(hereinafter "Subgrantee") . I WHEREAS, The Comprehensive Employment and Training Act of 1973 (CETA) Public ! Law 93-203, as amended by the Comprehensive Employment and Training Act of 1978, Public Law 95-524, was enacted to provide meaningful training and employment opportunities for economically disadvantaged, unemployed and underemployed persons; and I WHEREAS, the United States Department of Labor has provided financial assistance in the Special Grant to Governors to carry out special model programs and I related services, and I WHEREAS, the Governor has delegated authority with respect to the Special Grant to EDD, and WHEREAS, Subgrantee has been selected to receive funds under this program, and WHEREAS, the Employment Development Department is authorized to act as fiscal agent for these funds. NOW, THEREFORE, the parties agree: 1. The term of this subgrant is November 1, 1982 through September 30, 1983 I 2. EDD shall reimburse the Subgrantee in the amount not to exceed 4. $ 40.000 for its actual and necessary expenses. 3. Subgrantee shall provide services in accordance with Exhibit A, Assurances ar.'_4 i Certifications, attached hereto and made a part hereof, Exhibit B, Standard of Conduct, attached hereto and made a part hereof, Exhibit C, the Project Operating Plan, i attached hereto and made a part hereof, Exhibit D, Budget, attached hereto and made a part hereof, and Exhibit E, the Narrative Program Description, attached hereto and made a part.,hereof. . I 4. Prior to any disbursements Subgrantee shall forward to EDD an assurance ! that all persons handling funds received or disbursements made hereunder are covered by a fiedlity bond in an amount not less than 5 ** If the bond is cancelled or reduced;_5ubgrantee shall immediately so notify EDD. In that event EDD shall make no further disbursements until it is assured adequate coverage has been obtained. i **Self-insured - Documentation Attached CETA 62 Rev. 5 (9-82) i ' i O 0 5. With respect to performance under this subgrant, and prior to final subgrant I processing and approval, Subgrantee agrees to obtain and maintain in full force and effect throughout the period of this subgrant, the following minimum insurance coverages: I (a) General liability insurance with a combined limit of $500,000 or public liability coverage for $500,000 and property damage coverage for $100,000. Regardless of the type of coverage secured, a minimum aggregate of $500,000 for public liability and for property damage is i required. (b) Broad form automobile liability coverage with limits as set forth in (a) above, which applies to both owned/leased and nonowned automobiles used by the Subgrantee or its agents in performance of j this subgrant, or, in the event that the Subgrantee will not utilize ' owned/leased automobiles but intends to require employees, trainees, or other agents to utilize their own automobiles in the performance I of this subgrant, Subgrantee will secure and maintain on file from all I such employees, trainees, or agents a self-certification of automobile insurance coverage. (c) Workers' Compensation Insurance, which complies with provisions of � the California Labor Code, covering all employees of the Subgrantee and participants enrolled in work experience programs. Medical and Accident Insurance, with principal sum death benefits of at least $15,000 and medical reimbursement coverages, will be carried for those participants not qualifying as "employed" (Section 3352. et sec. of the California Labor Code) for Workers' Compensation.. I **6. EDD will be named as certificate holder of policies secured in compliance I with paragraphs 5. (a) and 5. (b) above and will be provided certificates of insurance prior to performance under the subgrant verifying the subgrant insurance requirements have been complied with. The coverages noted in 5. (a) and 5. (b) i above must contain the following clauses: i (a) Insurance coverage will not be cancelled or changed unless 30 days prior to the effective date of cancellation or changes written notice is sent to: i Employment Development Department � c/o Office of Employment and Training 800 Capitol Mall, MIC #77 Sacramento, California 95814 (b) State of California, its officers, employees, and servants are included as additional insureds. (c) The State of California is not responsible for direct payment of premiums or assessmen_s on this policy. 7. In the event of any termination., all property, finished or unfinished documents, photograpas, data studies and reports, supplies prepared or purchased by the Subgrantee under this subgrant shall be disposed of in, accordance with the I direction of EDD. **Self-insured - Documentation Attached I -2- I I I c o 8. At the expiration of the term of this subgrant or upon termination prior to the expiration of the subgrant, funds not expended for the purposes i of this subgrant shall revert to EDD. I 9. Termination (a) Either party may terminate this subgrant upon ten (10) days written notice to the other party. (b) EDD may terminate this subgrant upon written notice at such time and to such extent as funds are reduced or not made available to EDD by the U.S. Department of Labor. i (c) Funding of this subgrant is contingent on the availability of Federal funds and continued Federal authorization for program activities, and is subject to amendment or termination due to lack of funds or authorization. (d) This subgrant is subject to modification and termination as necessary in accordance with requirements contained in any future Federal or i State legislation. (e) All notices of termination may be personally delivered or may be delivered by deposit in the United States mail, postage prepaid, and shall be deemed to have been given at the time of personal delivery, I or of the date of deposit in the mail. EDD retains the right to withhold payment to the Subgrantee when, in the opinion of EDD expressed in writing to the Subgrantee, (a) that the Subgrantee's performance, in whole or in part, either has not met the conditions set forth in this subgrant, or, (b) the Subgrantee has neglected, failed or refused to furnish necessary documentation or information or to reasonably cooperate with any inspection, review, or audit of its program operations or records. 11. This subgrant may be amended only in writing by the mutual agreement of the parties hereto. 12. This subgrant contains the entire agreement of the parties and supersedes i all negotiations and any other agreements between then. Legal Relationships I 1. The Subgrantee will comply with the requirements of the Comprehensive Employment and Training Act of 1973, (CETA) P.L. 93-203 as amended by the Comprehensive Employment and Training Act Amendments of 1978 hereinafter referred to as the Act, and with the regulations and policies promulgated thereunder and with policies and procedures developed by EDD pursuant to the Act; and 2. Subgrantee assures and certifies that if the regulations promulgated pursuant to the Act are amended or revised, it will comnly with them or will notify Employment Development Department (EDD) within 30 days after promulgation of the amendments or revision that it cannot so conform so that EDD may take appropriate action including termination, I if necessary. 3. The Subgrantee assures and certifies that it will be subject to and comply with all Federal, State and local laws, and anplicable regula- tions with respect to its performance. 4. The Subgrantee certifies that it possesses legal authority to apply for the subgrant or contract; a resolution, motion or similar action has been duly adopted or passed as an official act of the Subgrantee's governing body, authorizing the filing of the subgrant application, ! including all understandings and assurances contained therein, and i directing and authorizing the person identified as the official ! representative of the Subgrantee to act in connection with this silb- ! grant or contract and to provide such additional information as may be required; and a copy of this document is attaches'_ to this subgrant. 5. Subgrantee agrees that its premises are available for on-site inspec- tion by EDD, its agent or Department of Labor durin-a reasonable business hours. I G. Subgrantee agrees that third party contractual agreements to provide any or all of the services in this subgrant shall be subject to prior written approval of EDD. I B. Limiting Provisions 1. whenever applicable, the Subgrantee assures that it will comply with the provisions of the Hatch Act which limit the political activity of the employees. 2. Subgrantee assures that it will comply with the requirement that no program under the Act shall involve political activities. 3. Subgrantee assures that it will establish safeguards to prohibit em- ployees from using their positions for a purpose that is or gives the � -5 i I appearance of being motivated by desire for private gain for themselves or others, particularly those with whom they have family, business or other ties. 4. Subgrantee assures that participants to the program will not be employed on the construction, operation or maintenance of that part or any facility which is used for religious instruction or worship. 5. Subgrantee assures that the program will not result in the displacement of employed workers or impair existing contracts for services or result I in the substitution of Federal funds for other funds in connection with work that would otherwise be performed, and that 6. It will comply with the requirements of the provisions of the Uniform Relocation Assistance and Real Property Acquisition Act of 1970 (P.L. 91-646 and F:-:C 74-7 issued thereunder) which provides for fair and equitable treatment of persons displaced as a result of Federal I and federally assisted programs. 7. Subgrantee assures that in no event will it assign work experience participants, if any, to other than public agencies and/or nonprofit organizations. Subgrantee understands that work experience in the private, for-profit sector is prohibited. C. Fiscal Provisions 1. The Subgrantee will comply with Federal Regulations 41 CFR 29-70, 41 CFR 1-15.2 (for certain nonprofit agencies) , 41 CPR 1-15.7 (for state and local governments) and OMB Circular 1-95 as they relate to utilization of funds, the operation of programs and maintenance of j records, books, accounts and other documents under the Act. 2. Subgrantee s:iall submit accurate written fiscal and statistical data in the manner and form prescribed by EDD. Ao final payment shall be made by "M until receipt of the final report from Subgrantee. I 3. Subgrantee expenditures for each cost category will not exceed the total amounts listed under than category. I 4. Subgrantee expenditures for salary and fringe benefits line iters shall not exceed the amount budgeted. Other expenditures may exceed budgeted line item amounts within a Cost Category subject to the following limitation: Line item flexibility is restricted to 15;', or $1,000 whichever is less of the total amount remaining in a Cost Category after deducting the amount established for salaries and � fringe benefits. i I 3. EDD and/or the U.S. Department of Labor shall have the right to observe and monitor all conditions and activities of this CETA Project, and the Subgrantee shall maintain such program and fiscal records and make such program and fiscal reports as are required by EDD and/or the U.S. Department of Labor with regard to this CE:A Project. 6. Subgrantee agrees that EDD and/or U.S. Department of Labor shall have access to and right to examine and audit all records, books, I -6- ' - I • -' 1 O I r papers or documents related to the conduct of programs funded by this subgrant. The Subgrantee further agrees to retain all such records, i books, papers or documents pertaining to this subgrant for five years from the termination of this subgrant. 7. Subgrantee assures that it will provide appropriate workers, compensation j or medical/accident insurance to all participants in work experience activities and appropriate insurance for all participants in classroom training, services to participants, or other activities. 8. Wages and other benefits provided program participants shall be the same as those provided other employees doing similar work. Participant wages shall be no less than the applicable California or federal minimum wage, whichever is higher. 9. No later than. thirty (30) days following the termination of this subgrant Subgrantee shall submit to EDD a closeout report in the form required by EDD showing the actual allowable program costs. If the closeout report shows that the actual allowable program costs for the term exceed the payments, EDD will remit the difference to Subgrantee subject to the maximum specified in the payment limit. If the cost report shows that the payments exceeded the actual allowable program costs for the term, Subgrantee shall refund the difference to EDD. 10. Subgrantee agrees that any tools and/or equipment EDD furnishes and/or I the Subgrantee purchases with subgrant funds pursuant to this agreement, shall remain the property of the U.S. Department of Labor and/or EDD. Upon termination of the agreement, the Subgrantee shall immediately return such tools and/or equipment to EDD or dispose of them in accordance with the directions of EDD. j D. Affirmative Action/Grievance Procedures Provision 1. Subcrantee assures that it will comply with Title VI of the Civil Rights Act of 1964, (P.L. 86-352) , and in accordance with Title VI of the Act no person in the United States shall on the ground of race, color, sex, or national origin, be excluded from participation in, be denied the benefits of, or be otherwise subjected to discrimination under any program or activity for which the Subgrantee received Federal financial assistance, and the Subgrantee will imiediately take any neasures necessary to effectuate this assurance. I 2. Subgrantee assures that it will comply with Title VI of the Civil Rights Act of 1964, (42 USC 2000d) prohibiting employment discrimination where (1) the primary purpose of a grant or contract is to provide employment or (2) discriminatory employment practices will result in unequal treatment of persons who are or should be benefiting from the grant-aided activity. 3. Subgrantee assures that no person with reponsibilities in the operation of any program under the Act will discriminate with respect to any program I I -7- I i C� O participant or any applicant for participation in such program because of race, creed, color, national origin, sex, age, political affiliation, handicap or beliefs. 4. Subgrantee assures that it will comply with Executive Order No. 11246, entitled "Equal Employment Opportunity" as supplemented in Department of Labor regulations (41 CPR Part 60) . Subgrantee hereby assures that it has an Affirmative Action Plan which is applicable to and covers staff and participants reimbursed through this subgrant, which declares that it does not discriminate on the basis of race, color, religion, creed, national origin, physical handicap, sex, political affiliations or beliefs and age and which specifies goals and target dates to assure the implementation of that plan. Subgrantee will file the approved documentation of the above Affirmative Action Plan with EDD (Office of Employment and Training) 10 days before the start of actual program operations. I 5. Subgrantee will implement the Office of Employment and Training complaints procedure for resolving any grievable issue between Subgrantee and participants. 6. Subgrantee assures that no qualified handicapped individual shall, on the basis of handicap, be subjected to discrimination as to notification j of, admission to, treatment in, or participation/employment under I any program or activity financed in whole or part by CETA funds. E. Progra:. Provisions Subgrantee hereby agrees that it recognizes that the provisions contained i in this part of Exhibit A do not preclude adherence to all requirements I of the Act regarding program design and performance. 1. Subgrantee will give special consideration to the needs of eligible special disabled and Vietnam-era veterans with special emphases on qualified veterans who served in the Indo-China theater on or after August 5, 1964, and on or before May 7, 1975. Each Subgrantee in selecting participants for programs funded under Title II of the Act, shall take into consideration the extent that such veterans are available in the area. Specific effort should be made to develop appropriate full or part-time opportunities for such. veterans. The Subgrantee should utilize the assistance of the State and local veterans employment services representative in formulating its i program: objectives. 2. Subgrantee will assure that training and related services will, to the maximum extent practicable, be consistent with every individual's fullest capabilities and lead to employment opportunities which will enable participants to become economically self-sufficient. 3. Subgrantee will assure that programs of institutional skill training will be designed for occupations in which skill shortages exist. I 4. Subgrantee will assure that institutional skill training and training on the job shall only be for occupations in which the Secretary or the prime sponsor has determined there is reasonable expectation for employment. -8- I I I •- _0 `/ I 5. Subgrantee will insure that the program will, to the maximum ex- i tent feasible, contribute to the occupational development or upward mobility of individual participants. G. Subgrantee will insure training will not be for any occupations which require less than two weeks of preemployment training, I unless immediate employment opportunites are available in that occupation. i 7. Subgrantee will insure that conditions of employment or training; j will be appropriate and reasonable with regard to the tvpe of work, the geographical region and the proficiency of the applicant. 8. Subgrantee will insure that appropriate standards for health and safety in work and training situations will be maintained. I 9. Subgrantee will insure that he will comply with the labor standards requirements set out in section 125 of the Act. i i I i I I I I I I I i i I I i I i I -9- I I I Page 10 (Not applicable) OEXHIBIT B 0 I STANDARD OF CONDUCT _ I Subgrantee hereby assures that in administering this EDD subgrant, it will comply I with the standards of conduct hereinafter set out, for maintaining the integrity of the project and avoiding any conflict of interest in its administration. i General Assurance I Every reasonable course of action will be taken by the subgrantee in order to maintain the integrity of this expenditure of public funds and to avoid any favoritism, questionable or improper conduct. This subgrant will be administered in an impartial manner, free from personal, financial or politi- cal gain. The subgrantee, its executive staff and employees, in administering I the subgrant, will avoid situations which give rise to a suggestion that any decision was influenced by prejudice, bias or personal gain. Conducting Business Involving Relatives No relative by blood, adoption or marriagel of any executive or employee of the subgrantee, will receive favorable treatment in either services provided by, or employment with, the subgrantee. The subgrantee will obtain from each employee and potential participant a complete and signed questionnaire, a copy of which is attached hereto. A copy of the questionnaire shall be retained in the subgrantee's permanent files and made available to EDD personnel for audit purposes. If an employee or potential participant is related to an executive i or employee of the subgrantee, the questionnaire shall be submitted to the Chief Counsel of EDD for a ruling on the propriety of participation. ! Conducting Business Involving Close Personal Friends and Associates I i Executives and employees of the subgrantee will be particularly aware of the I varying degrees of influence that can be exerted by personal friends and associates and, in administering the subgrant, will exercise due diligence to avoid situations which may give rise to an assertion that favorable treat- ment is being granted to friends or associates. I When it is in the public interest for the subgrantee to conduct business with a friend or associate of an executive or employee of the subgrantee, a permanent record of the transaction will be retained. Avoidance of Conflict of Economic Interest An executive or employee of the subgrantee will not solicit or accept money or any other consideration from a third person, for the nerformance of an act j reimbursed in whole or part by the subgrantee or EDD. Supplies, materials, equipment or services purchased with subgrant funds will be used solely for purposes allowed under the subgrant. Compliance Failure to comply with these assurances may be deemed a material breach of the subgrant and the basis for immediate termination of the subgrant. 1For the purpose of this agreement "relative by blood or marriage" shall include: wife, husband, son, daughter, mother, father, brother, brother-in-law, sister, i sister-in-law, son-in-law, daughter-in-law, mother-in-law, father-in-law, aunt, uncle, niece, nephew, stepparent, and stepchild. An occupant of this position will have primary i responsibility for implementation of this grant, under the supervision of the Division Chief of the Employment Generating Services Unit of the Department of Manpower Programs (DAMP) . He will be responsible for working with a designated member of the Board of Supervisors and j the Director of the Department of Manpower Programs in organizing the Community Action Team (CAT) and will assist in the development i of the design for the Uorker Assistance Center (WAC) . He will also assist in the recruitment of agencies and individuals to staff the j WAC as well as provide staff assistance to the CAT in the development o` a plan for timely implementation of the :QAC. In addition, he will work with the DMP evaluator in the construction and imple-en- tation of a monitoring and evaluation plan for the grant. He will be responsible for the preparation of the report to be submitted to State CETA at the conclusion of the grant period. It is estimated that 75% of his time will be utilized in support of this grant. b. Intermediate Typist Clerk. The unit clerk for the Employment Generating Services Unit of DMP will provide the clerical support required in the implementation of this grant. Her activities will include typing all correspondence , minutes, memorandums, agendas and reports related to the grant as well as serving as receptionist, and doing filing and photocopying.
