VOCATIONAL TRAINING AGREEMENT
FOR INDIVIDUAL CETA REFERRALS

1. Parties. The County of Contra Costa, California (County), for its Department of
Manpower Programs Office and the following named Vocational Training Institution
(Institution) mutually agree and promise as follows:

2. Term. The effective date of this Agreement is 0•ztcber 1, 19-8- and it
terminates Szem em •er 30, 19-2 unless sooner terminated as provided herein.
3. Termination. This Agreement slay be terminated by either party, at its sole discretion,
upon 7-day advance written notice thereof to the other, or cancelled immediately by
written mutual consent.
4. Institution's Obligations. Institution shall provide full vocational training for
CETA enrollees who are referred and certified for training by prior written authorization
from County in the occupational titles and at the training fees set forth in the Vocational
Training Schedule attached hereto, which is incorporated herein by reference, and in
accordance with the Assurances and Certifications attached hereto and incorporated herein
by reference.
5. County's Obligations. County shall pay Institution the training fees set forth in
the Vocational Training Schedule attached hereto, for training provided to properly re-
ferred CETA enrollees, upon submission of a properly documented demand for payment in the
manner and form prescribed by County (Demand Form D-15) and upon approv ' of such demand
by the Director, Department of Manpower Programs or her designee.
6. Amendments. This Agreement may be amended to modify the Vocational Training Schedule
in order to add or delete occupational titles or to change the training fees or to comply
with changes in federal regulations by a written amendment executed by Contractor and the
Director, Deparment of Manpower Programs or her designee.
7. Independent Contractor Status. This Agreement is by and between two independent
contractors and is not intended to and shall not be construed to create the relationship
of agent, servant, employee, partnership, joint venture, or association.
S. Indemnification. Institution shall defend, save harmless, and indemnify the County
and its officers, agents, and employees from all liabilities and claims for damages for
death, sickness or injury to persons or property, including without limitation, all conse-
quential damages, from any cause whatsoever arising from or connected with the operations
or the services of the Institution hereunder, resulting from the conduct, negligent or
otherwise, of the Institution, its agents or employees.
9. Legal Authority. This Agreement is entered into under and subject to the following
legal authorities: California Government Code Sections 26227 and 31000; Title II-B of
the Comprehensive Employment and Training Act of 1978 (CETA) , as amended.
10. Signatures. These signatures attest the parties' agreement hereto: i

ASSURANCES AND CERTIFICATIONS

Subject to the General and Special Conditions Contractor hereby makes the following assur-
ances and certifications.
General Assurances. Contractor assures and certifies that:
1. It will fully comply with the requirements of the Comprehensive Employment and
Training Act, all Federal regulations issued pursuant to the Act, and with applicable
sections of County's Comprehensive Employment and Training Plan, as approved by the
Department of Labor.
2. In operating programs funded under the Act, it shall assure that it will administer
its programs under the Comprehensive Employment and Training Plan in full compliance
with safeguards against fraud and abuse as set forth in CETA and the CETA regulations;
that no -portion of its CETA program will in any way discriminate against, deny benefits
to, deny employment to, or exclude from participation any persons on the grounds of
race, color, national origin, religion, age, sex, handicap, or political affiliation or
belief; that it will target employment and training services to those most in need of
them.

3. In operating programs for youth funded under Title IV of the Act further assures i
that:
a. Youth participating in program, projects, and activities under subparts 2 and
3, shall be youth who are experiencing severe handicaps in obtaining employ-
ment, including but not limited to those who lack credentials (such as a high
school diploma) , those who require substantial basic and remedial skill devel-
opment, those who are women and minorities, those who are veterans of military
service, those who are offenders, those who are handicapped, those with depen-
dents, or those who have otherwise demonstrated special need, as determined by
the Secretary per Section 444(a) ;
b. Training and work experience for eligible youth will be coordinated with
school-related programs, including the awarding of academic credit per Section i
426(b)(2) ;
c. Applications will be coordinated to the maximum extent feasible with the plans
submitted under Title II, but services to youth under that title shall not be
reduced beause of the availability of financial assistance under Title IV, per
Section 436(a)(2) .
4. In administering programs under CETA, the Contractor assures and certifies that:
a. It will comply with Title VI of the Civil Rights Act of 1964 (P.L. 88-352) .
b. It will comply with the provisions of the Uniform Relocation Assistance and
Real Property Acquisition Act of 1970 (P.L. 91-646) which requires fair and
equitable treatment of persons displaced as a result of Federal and federally-
assisted programs.
C. It will comply with the provisions of the Hatch Act which limit the political I
activity of certain State and local government employees.
d. For grants, subgrants, contracts in excess of $100,000, or where the grant
officer has determined that orders under an indefinite quantity contract or
subcontract in any year will e;.ceed $100,000, or if a facility to be used has I
been the subject of a conviction under the Clean Air Act [42 U.S.C. 1857c-8(c)
(1)] or the Federal Water Pollution Control Act [33 U.S.C. 1319 (C)] and is
listed by the Environmental Protection Agency (EPA) or is not otherwise exempt,
the grantee assures that: (1) no facility to be utilized in the performance of
the proposed grant has been listed on the EPA List of Violating Facilities; (2)
it will notify the RA, prior to award, of the receipt of any communication from
the director, Office of Federal Activities, U.S. Environmental Protection
Agency, indicating that a facility to be utilized for the grant is under con-
sideration to be listed on the EPA List of Violating Facilities; and (3) it
will include substantially this assurance, including this third part, in every
nonexempt subgrant, contract or subcontract.

Vocational Training Institutions
for FFY 1981 — 82
The Board having authorized, by its Order dated August 25,
1981, execution of the County's federal fiscal year 1981-82
Comprehensive Employment and Training Plan (CETP) for operation of the
County's CETA programs, including individual referral classroom training
under Title II—B, for the period October 1, 1981 through September 30,
1982; and

The Board having considered the recommendation of the
Director, Department of Manpower Programs, regarding the need to
continue to provide vocational/classroom training during FY '81 — 82 for
CETA—eligible Title II—B enrollees, individually referred by the County
Department of Manpower Programs, pending approval of said CETA by the U.
S. Department of Labor (DOL);
IT IS BY THE BOARD ORDERED that the Director, Department of
Manpower Programs is AUTHORIZED to execute, on behalf of the County,
standard form Vocational Training Agreements with twenty—eight (28) !
Vocational Training Institutions (Contractors) named in the attached
"Vocational Training Institutions Listing", for the term beginning
October 1, 1981 through September 30, 1982, with an overall program
budget limitation of $131,095, and subject to the availability of
continued DOL funding; and
IT IS FURTHER ORDERED that the Director, Department of
Manpower Programs, is AUTHORIZED to execute additional standard form
Amendment Agreements with said Vocational Training Institutions as may
be needed periodically, for the purpose of adding or deleting
occupational titles (training courses), changing the fixed training
fees, or complying with changes in federal regulations.

1 1. Parties. The County of Contra Costa, California (County) , for its Manpower Office
and the following named Vocational Training Institution (Institution) mutually agree
and promise as follows:

2. Term. The effective date of this Agreement is

3. Termination. This Agreement may be terminated by either party, at its sole dis-
cretion, upon 7-day advance written notice thereof to the other, or cancelled immediately
by written mutual consent.

4. Institution' s Obligations. Institution shall provide full vocational trainine
for CETA enrollees who are referred and certified for training by prior written author-
ization from County in the occupational titles and at the training fees set forth in
the Vocational Training Schedule attached hereto, which is incorporated herein bV —moi
reference, and in accordance with the Assurances and Certi=icatioas attached 'hereto
and incorporated 'herein by reference.
5. County' s Obligations. County shall pay Institution the training fees set foith j
in the Vocational Training Schedule attached hereto, for training provided to properly
referred CETA enrollees, upon submission of a properly documented demand for payment
in the manner and form prescribed by County (Demand Form D-15) and upon approval of i
such demand by the Director, Department of Manpower Programs or her designee.
6. Amendments. This Agreement may be amended to modify the Vocational Training !
Schedule in order to add or delete occupational titles or to change the training fees j
or to comply with changes in federal regulations by a written amendment executed by i
Contractor and the Director, Department of Manpower Programs or her designee.
= 7. Independent Contractor Status. This Agreement is by and between two independent
contractors and is not intended to and shall not be construed to create the relation-
ship of agent, servant, employee, partnership, joint venture, or association.

8. Indemnification. Institution shall defend, save harmless, and indemnify the
County and its officers, agents, and employees from all liabilities and claims for i
damages for death, sickness or injury to persons or property, including without
limitation, all consequential damages, from any cause whatsoever arising from or
connected with the operations of the services of the Institution hereunder, resulting
from the conduct, negligent or otherwise, of the Institution, its agents or employees.
9. Legal Authority. This Agreement is entered into under and subject to the i
rfollowing legal authorities: California Government Code Sections 26227 and 31000;
Title II-B of the Comprehensive Employment and Training Act of 1978 (CETA) , as amended.

A._- General Assurances. -Institution-assures -and-certifies that:
I. It will comply with the requirements of the comprehensive Employment and
Training Act of 1978 (CETA) , as amended (P.L. 95-524, 92 Stat. 1909), hereinafter
referred to as the Act, and wish the regulations and policies promulgated thereunder.
2. It will comply with 0'.:B Circular number A-95 and Federal Management Circulars
(FMO 74-4 and 74-7, as those circulars relate to the utilization of funds, the oper-
ation of programs, and the maintenance of records, books, accounts, and other documents
under the Act.
3. If the regulations promulgated pursuant to the Act are amended or revised,
it shall com-ply with them or will notify the County within 30 days after promulgation
of the amendments or revision that it cannot so conform, so that the County may take
appropriate action including termination of this Agreement, if necessary.

4. It possesses legal authority to enter into this Agreement; a resolution,
i
motion or similar action has been duly adopted or passed as an official act author-
izing the execution of this Agreement, including all understandings and assurances
contained therein, and directing and authorizing the person identified as the official I
representative of the Institution to execute this Agreement and to provide such addi-
tional information as may be required.
5. It will comply with Title :'I of the Civil Rights act of 1964 (P.L. 88-352).
6. No person in the United States shall on the ground of race, color, national
origin, or sex be excluded From participation in, be denied the benefits of, or be
otherwise subiecte_d to discrimination under any program or activity funded in whole
or in ?art with CET_A funds made available under the Act (including this Agreement),
and Institution will immediately take any measures necessary to effectuate this

7. No person with responsibilities in the operation of a-_ program under the
Act will discriminate wit'- respect to any program participant or any applicant for
participation in such program because of race, creed, color, national origin, sex,
age, political affiliation or beliefs.
8. It will comply with the requirements of the provisions of the Uniform
Relocation Assistance and Real Property Acquisition Act of 1970 (F.L. 91-646) which
provides for fair and equitable treatment of persons displaced as a result of Federal i
and Federally-assisted programs.

operation or maintenance of that part of any facility which is used for religious
instruction or worship.
14. Appropriate standards for health and safety in work and training situations _
will be maintained.

disease resulting from their participation to those individuals engaged in any
program activity under the Act; i.e. , work experience, on-the-job training, public
service employment, classroom training, services to participants, and other activities,
where others similarly engaged are not covered by an applicable workers' compensation j

li. Its program will not result in the displacement of employed workers or impair
existing agreements for services or result in the substitution of Federal funds for
other funds in connection with work that would otherwise be performed.
1E. Training will not be for any occupations which require less than two weeks I

19. Training and related services will, to the extent practicable, be consistent
with every individual' s fullest capabilities and lead to employment opportunities
which will enable participants to become economically self-sufficient.
20, institutional skill training and training on the job shall only be for
occupation=_ in which the Secretary of Labor or the County has determined there is j
reasonable expectation for employment.
21. CETn funds will, to the extent pract4cable, be used to supplement, rather
than supplant, the level of funds that would otherwise be available for the planning
and administration of programs under this Agreement. i
22. It will submit reports as required by the Secretary or the County and will
maintain records and provide access to them as necessary for the Secretary' s or the
County' s review to assure that funds are being expended in accordance with the purposes i
and provisions of the Act, including the maintenance of records to assist the Secretary
or County in determining the extent to which the program meets the special needs of
disadvantaged, chronically unemployed, and low income persons for meaningful employment
Opportunities.

23. Its program will, to the maximum extent feasible, contribute to the occupational
development or upward mobility of individual participants.
24. Its program has adequate administrative and accounting controls, personnel
standards, evaluation procedures, availability of in-service training and technical
assistance programs, and other policies as may be necessary to promote the effective I
use of funds. I
25. Its program makes appropriate provision for the manpower needs of youth in
the area served.
26. Individuals receiving training on the Job or who are in public service employ- I
mert jobs shall be compensated by the employer at such rates, including periodic
increases, as may be deemed reasonable under regulations prescribed by the Secretary, I

but in no event at a rate which is less than the highest of: (a) the minimum wage
rate specified in section 6(a)(1) of the Fair Labor Standards Act of 1935; (b) the
State or local minimum wage for the most nearly comparable covered employment;
(c) the prevailing rates of pay for persons employed in similar occupations by the
same employer; (d) the minimum entrance rate for inexperienced workers in the same i
occupatior, in the establishment or, if the occupation is new to the establishment,
the prevailing entrance rate for the occupation among other establishments in the
community or area or any minimum rate required by an applicable collective bargaining :
agreement; or (e) for participants or. Federally-funded or assisted construction projects,
the prevailing rate established by the Secretary, in accordance with the Davis-Bacon Act,
as amended, when such rates are required by the Federal statute under which the ass is- i

27. .- It will comply with the labor standards requirements set out in section 125
-sof-the-Act.
28. Services and activities provided under this Agreement will be administered
f by or under the supervision of the Institution.
29. No funds made available under the Act shall be used for lobbying activities
in violation of 18 USCA 1913.
30. For contracts and subcontracts in excess of $100,000, or where the contracting i
officer has determined that orders under an indefinite quantity contract or subcontract
in any year will exceed $100,000, or if a facility to be used has been the subject of
a conviction under the Clean Air Act [42 USC 1857C-8(c)(1)) or the Federal 'water
Pollution Control Act f33 USC 1319(01 and is listed by the Environmental Protection
Agency (EPA) or is not otherwise exempt: (a) no facility to be utilized in the perfor-
mance of this Contract has been listed on the EPA List of Violating Facilities; (b) it
will notify County, prior to award, of the receipt of any communication from the
Director, Office of Federal Activities, U. S. Environmental Protection. Agency,
indicating that a facility to be utilized for this Contract is under consideration
to be listed on the EPA List of Violating Facilities; and (c) it will include sub- j
stantially this assurance, including this third part, in every non-exempt contract
or subcontract.
B. Additional Assurances for Title it-B or Title II-B Related Prozrams. Institution
assures and certifies that in carrying out programs under or related to Title II-B of '
the Act:
1. Manpower services, including job development, will be provided to those
most in need of them includine low income persons and persons of limit-ed English-
speaking ability, and that the need for continued funding of Drograms of demonstrated 1
effectiveness is considered in serving such persons.

2. Programs of institutional skill training shall be designed for occupations
in which skill shortages exist j
3. Its program meets all the requirements of section 105(a) and the Contractor j
Will comply with all provisions of the Act
4. It will make such arrangements as are prescribed by regulation to assist the
Secretary o_` Labor in carrying out his responsibilities under sections 105 and 108 of
the Act.
5. It will- take appropriate steps to provide for the increased participation of
qualified disabled veterans and qualified Vietnam-era veterans who are under 35 vears
of age. Specific effort should be made to develop appropriate full or part-time
opportunities for such veterans. Institution shall attempt to meet the local goals
developed by County for service to such veterans taking into consideration their ;
numbers and the number of qualified persons in other significant segments of the
population in the area served. Institution. should utilize the assistance of the State
and local veterans employment service representative in meeting these goals. And,
in filling public service jobs, Institution shall give special consideration to
special veterans and shall exercise maximum efforts to design jobs and job training i
opportunities for veterans who have received other than a dishonorable discharge ;
within four (4) _years beforethedate of their application- fsection 305(a) of i
P.L. 95-93) . On a continuing and timely basis, Institution shall provide information j
on job vacancies and training opportunities funded under Title II-B of the Act to the j
State and local veterans employment service representative for the purpose of
disseminating information to eligible veterans (section '_04(b) of Emergency Jobs
I
and Unemployment Assistance Act of 19741 . ;

6. It will make appropriate arrangements to promote maximum feasible use of I
apprenticeship and other on-the-job training opportunities available under 38 USC
1787.

The Board having authorized, by its Orders dated August 14, 1979
and September 25, 1979, execution of the County's federal fiscal year 1979-80
Comprehensive Employment and Training Plan (CETP) (County 029-815-6) for
operation of the County's CETA programs, including individual referral class-
room training under Title II-B, for the period October 1, 1979 through
September 30, 1980; and
The Board having considered the recommendation of the Director, j
Department of Manpower Programs, regarding the need to provide vocational/
classroom training during FY '79-80 for CETA Title II-B program enrollees,
individually referred by the County Manpower Department;
IT IS BY raE BOARD ORDERED that the Director, Department of Manpower
Programs is AUTHORIZED to execute, on behalf of the County, standard form
Vocational Training Agreements with 27 Vocational Training Institutions
(Contractors) named in the attached "Vocational Training Institutions Listing,"
for the term beginning October 1, 1979 through September 30, 1980, with an
overall program budget limitation of $480,273, and in the event of an antici-
pated lapse -in Federal funding, subject to termination by the Manpower Programs
Director upon seven-days advance written notice to Contractors; and

IT IS FURTHER ORDERED that the Director, Department of Manpower
Programs, is ALT'12ORIZED to execute additional standard form Amendment Agreements
with said Vocational Training Institutions as may be needed periodically, for
the purposes of adding or deleting occupational titles (training courses) ,
changing the fixed training fees, or complying with changes in federal regulations.
