1. Parties. The County of Contra Costa, California (County), for its Department of \`;
Manpower Programs Office and the following named Vocational Training Institution

3. Termination. This Agreement may be terminated by either party, at its sole discretion,
upon 7-day advance written notice thereof to the other, or cancelled immediately by
written mutual consent.
4. Institution's Obligations. Institution shall provide full vocational training for
CETA enrollees who are referred and certified for training by prior written authorization
from County in the occupational titles and at the training fees set forth in the Vocational
Training Schedule attached hereto, which is incorporated herein by reference, and in
accordance with the Assurances and Certifications attached hereto and incorporated herein
by reference.
5. County's Obligations. County shall pay Institution the training fees set forth in
the Vocational Training Schedule attached hereto, for training provided to properly re-
ferred CETA enrollees, upon submission of a properly documented demand for payment in the
manner and form prescribed by County (Demand Form D-15) and upon approval of such demand
by the Director, Department of Manpower Programs or her designee.
6. Amendments. This Agreement may be amended to modify the Vocational Training Schedule
in order to add or delete occupational titles or to change the training fees or to comply
with changes in federal regulations by a written amendment executed by Contractor and the
Director, Deparment of Manpower Programs or her designee.
7. Independent Contractor Status. This Agreement is by and between two independent
contractors and is not intended to and shall not be construed to create the relationship i
of agent, servant, employee, partnership, joint venture, or association.
8. Indemnification. Institution shall defend, save harmless, and indemnify the County
and its officers, agents, and employees from all liabilities and claims for damages for
death, sickness or injury to persons or property, including without limitation, all conse-
quential damages, from any cause whatsoever arising from or connected with the operations
or the services of the Institution hereunder, resulting from the conduct, negligent or
otherwise, of the Institution, its agents or employees.

9. Legal Authority. This Agreement is entered into under and subject to the following
legal authorities: California Government Code Sections 26227 and 31000; Title II-B of
the Comprehensive Employment and Training Act of 1978 (CETA) , as amended.

ASSURANCES AND CERTIFICATIONS

Subject to the General and Special Conditions Contractor hereby makes the following assur-
ances and certifications.
General Assurances. Contractor assures and certifies that:
1. It will fully comply with the requirements of the Comprehensive Employment and
Training Act, all Federal regulations issued pursuant to the Act, and with applicable
sections of County' s Comprehensive Employment and Training Plan, as approved by the
Department of Labor.
2. In operating programs funded under the Act, it shall assure that it will administer
its programs under the Comprehensive Employment and Training Plan in full compliance
with safeguards against fraud and abuse as set forth in CETA and the CETA regulations;
that no portion of its CETA program will in any way discriminate against, deny benefits
to, deny employment to, or exclude from participation any persons on the grounds of
race, color, national origin, religion, age, sex, handicap, or political affiliation or I
belief; that it will target employment and training services to those most in need of
them.
3. In operating programs for youth funded under Title IV of the Act further assures
that:
a. Youth participating in program, projects, and activities under subparts 2 and
3, shall be youth who are experiencing severe handicaps in obtaining employ-
ment, including but not limited to those who lack credentials (such as a high
school diploma) , those who require substantial basic and remedial skill devel-
opment, those who are women and minorities, those who are veterans of military
service, those who are offenders, those who are handicapped, those with depen-
dents, or those who have otherwise demonstrated special need, as determined by
the Secretary per Section 444(a) ; '
b. Training and work experience for eligible youth will be coordinated with
school-related programs, including the awarding of academic credit per Section
426(b)(2) ;
c. Applications will be coordinated to the maximum extent feasible with the plans
submitted under Title II, but services to youth under that title shall not be
reduced beause of the availability of financial assistance under Title IV, per
Section 436(a)(2) .
4. In administering programs under CETA, the Contractor assures and certifies that:
a. It will comply with Title VI of the Civil Rights Act of 1964 (P.L. 88-352).
b. It will comply with the provisions of the Uniform Relocation Assistance and i
Real Property Acquisition Act of 1970 (P.L. 91-646) which requires fair and
equitable treatment of persons displaced as a result of Federal and federally-
assisted programs.
c. It will comply with the provisions of the Hatch Act which limit the political
activity of certain State and local government employees.
d. For grants, subgrants, contracts in excess of $100,000, or where the grant
officer has determined that orders under an indefinite quantity contract or -
subcontract in any year will exceed $100,000, or if a facility to be used has
been the subject of a conviction under the Clean Air Act [42 U.S.C. 1857c-8(c)
(1)] or the Federal Water Pollution Control Act [33 U.S.C. 1319 (C)] and is .
listed by the Environmental Protection Agency (EPA) or is not otherwise exempt,

the grantee assures that: (1) no facility to be utilized in the performance of
the proposed grant has been listed on the EPA List of Violating Facilities; (2)
it will notify the RA, prior to award, of the receipt of any communication from
the director, Office of Federal Activities, U.S. Environmental Protection
Agency, indicating that a facility to be utilized for the grant is under con-
sideration to be listed on the EPA List of Violating Facilities; and (3) it
will include substantially this assurlince, including thisthird part, in every
nonexempt subgrant, contract or subcontract. 1

The Board having authorized, by its Order dated August 25,
1981, execution of the County's federal fiscal year 1981-82
Comprehensive Employment and Training Plan (CETP) for operation of the
County's CETA programs, including individual referral classroom training
under Title II-B, for the period October 1, 1981 through September 30,
1982; and
The Board having considered the recommendation of the
Director, Department of Manpower Programs, regarding the need to
continue to provide vocational/classroom training during FY '81 - 82 for
CETA-eligible Title II-B enrollees, individually referred by the County
Department of Manpower Programs, pending approval of said CETA by the U.
S. Department of Labor (DOL);
IT IS BY THE BOARD ORDERED that the Director, Department of
Manpower Programs is AUTHORIZED to execute, on behalf of the County,
standard form Vocational Training Agreements with twenty-eight (28)
Vocational Training Institutions (Contractors) named in the attached
"Vocational Training Institutions Listing", for the term beginning
October 1, 1981 through September 309 1982, with an overall program
budget limitation of $131,095, and subject to the availability of
continued DOL funding; and
IT IS FURTHER ORDERED that the Director,. Department of
Manpower Programs, is AUTHORIZED to execute additional standard form i
Amendment Agreements with said Vocational Training Institutions as may
be needed periodically, for the purpose of adding or deleting
occupational titles (training courses), changing the fixed training
fees, or complying with changes in federal regulations.

AMENDMENT SPECIFICATIONS U
Number 039/1
The parties have discovered that provision for the continued training of 79/80 CETA
referrals at 79/80 training fee rates was omitted from Vocational Training Agreement
No. 039 . Therefore, the parties hereby amend Vocational Training Agreement No. 039 i
to provide as follows:
1. Institution's Obligations Amendment. Paragraph 4. (Institution's Obligations) of
Vocational Training Agreement No. 039 is hereby amended to read:
"4. Institution's Obligations. Institution shall provide full vocational train-
ing for 80/81 CETA enrollees who are referred and certified for training by
written authorization from County in the 80/81 occupational titles and at the
80/81 training rates set forth in the Vocational Training Schedule attached hereto,
which is incorporated herein by reference, and in accordance with the Assurances
and Certifications attached hereto and incorporated herein by reference. Institution
shall also continue to provide full vocational training for 79/80 CETA enrollees, i
who were referred and certified under Vocational Training Agreement No. 012 , in
the 79/80 occupational titles and at the 79/80 training rates set forth in said
Vocational Training Agreement No. 012 , and in accordance with the aforementioned i
Assurances and Certifications."

2. County's Obligations Amendment. Paragraph 5. (County's Obligations) of Vocational
Training Agreement No. 039 is hereby amended to read:
"5. County's Obligations. County shall pay Institution the training fees set
forth in the Vocational Training Schedule, attached hereto, for the training
provided to properly referred CETA enrollees who are certified during this con-
tract's term. County shall also pay Institution the training fees set forth in
the Vocational Training Schedule of Vocational Training Agreement No. 012 , for
continued training provided for properly referred CETA enrollees certified during
the term of Vocational Training Agreement No. 012 . County shall pay Institution
upon submission of a properly documented demand for payment in the manner and form
prescribed by County (Demand Form D-15) and upon approval of such demand by the i
Director, Department of Manpower Programs or her designee."

CETA Title II-B Vocational Training
Institutions.
The Board having authorized, by its Order dated September 30, 1980,
execution of FY 1980-81 CETA Title II-B Vocational Training agreements with
twenty-four (24) Vocational Training Institutions (Contractors) named in the
"Vocational Training Institution Listing" attached thereto, to provide voca-
tional training for individual CETA referrals; and
The Board having considered the recommendation of the Director,
Department of Manpower Programs, regarding the need to clarify vocational
training fee rate provisions for twenty-two (22) of the above mentioned
Contractors;
IT IS BY THE BOARD ORDERED that the Director, Department of Manpower
Programs, is AUTHORIZED to execute, on behalf of the County, standard form
contract amendment agreements with twenty-two (22) Contractors named in the
attached "Vocational Training Institution Contract Amendment Listing,"
effective October 1, 1980, subject to approval by County Counsel as to legal
form, and under terms and conditions as more particularly set forth in said
contract amendments.

CONTRA COSTA COUNTY CETA MANPOWER PROGRAM
VOCATIONAL TRAINING AGREEMENT
FOR INDIVIDUAL CETA REFERRALS
i Number 039
1. Parties. The County of Contra Costa, California (County) , for its Department of '
Manpower Programs Office and the following named Vocational Training Institution
(Institution) mutually agree and promise as follows:
Institution: Ramon and Nellie Flores [an individual(s)]

Address: 2000 Center Street, Suite 103, Berkeley, CA 94704
2. Term. The effective date of this Agreement is October 1, 1980 and it
terminates September 30, 1981 unless sooner terminated as provided herein.
3. Termination. This Agreement may be terminated by either party, at its sole discretion,
upon 7-day advance written notice thereof to the other, or cancelled immediately by
written mutual consent.
4. Institution's Obligations. Institution shall provide full vocational training for
CETA enrollees who are referred and certified for training by prior written authorization
from County in the occupational titles and at the training fees set forth in the Vocational
Training Schedule attached hereto, which is incorporated herein by reference, and in
accordance with the Assurances and Certifications attached hereto and incorporated herein
by reference.
5. County's Obligations. County shall pay Institution the training fees set forth in
the Vocational Training Schedule attached hereto, for training provided to properly re-
ferred CETA enrollees, upon submission of a properly documented demand for payment in the
manner and form prescribed by County (Demand Form D-15) and upon approval of such demand
by the Director, Department of Manpower Programs or her designee.
6. Amendments. This Agreement may be amended to modify the Vocational Training Schedule
in order to add or delete occupational titles or to change the training fees or to comply
with changes in federal regulations by a written amendment executed by Contractor and the i
Director, Deparment of Manpower Programs or her designee.
7. Independent Contractor Status. This Agreement is by and between two independent i
contractors and is not intended to and shall not be construed to create the relationship I
of agent, servant, employee, partnership, joint venture, or association.
8. Indemnification. Institution shall defend, save harmless, and indemnify the County
and its officers, agents, and employees from all liabilities and claims for damages for
death, sickness or injury to persons or property, including without limitation, all conse-
quential damages, from any cause whatsoever arising from or connected with the operations
or the services of the Institution hereunder, resulting from the conduct, negligent or
otherwise, of the Institution, its agents or employees.
9. Legal Authority. This Agreement is entered into under and subject to the following
legal authorities: California Government Code Sections 26227 and 31000; Title II-B of
the Comprehensive Employment and Training Act of 1978 (CETA) , as amended.

ASSURANCES AND CERTIFICATIONS

Subject to the General and Special Conditions Contractor hereby makes the following assur—
ances and certifications.
General Assurances. Contractor assures and certifies that:
1. It will fully comply with the requirements of the Comprehensive Employment and
Training Act, all Federal regulations issued pursuant to the Act, and with applicable
sections of County's Comprehensive Employment and Training Plan, as approved by the
Department of Labor.
2. In operating programs funded under the Act, it shall assure that it will administer
its programs under the Comprehensive Employment and Training Plan in full compliance
with safeguards against fraud and abuse as set forth in CETA and the CETA regulations;
that no portion of its CETA program will in any way discriminate against, deny benefits
to, deny employment to, or exclude from participation any persons on the grounds of
race, color, national origin, religion, age, sex, handicap, or political affiliation or
belief; that it will target employment and training services to those most in need of
them.
3. In operating programs for youth funded under Title IV of the Act further assures
that:
a. Youth participating in program, projects, and activities under subparts 2 and
3, shall be youth who are experiencing severe handicaps in obtaining employ-
ment, including but not limited to those who lack credentials (such as a high
school diploma) , those who require substantial basic and remedial skill devel-
opment, those who are women and minorities, those who are veterans of military
service, those who are offenders, those who are handicapped, those with depen-
dents, or those who have otherwise demonstrated special need, as determined by
the Secretary per Section 444(a) ;
b. Training and work experience for eligible youth will be coordinated with
school-related programs, including the awarding of academic credit per Section
426(b)(2);
c. Applications will be coordinated to the maximum extent feasible with the plans
submitted under Title II, but services to youth under that title shall not be
reduced beause of the availability of financial assistance under Title IV, per
Section 436(a)(2) .
4. In administering programs under CETA, the Contractor assures and certifies that:
a. It will comply with Title VI of the Civil Rights Act of 1964 (P.L. 88-352) .
b. It will comply with the provisions of the Uniform Relocation Assistance and
Real Property Acquisition Act of 1970 (P.L. 91-646) which requires fair and
equitable treatment of persons displaced as a result of Federal and federally- i
assisted programs.
C. It will comply with the provisions of the Hatch Act which limit the political
activity of certain State and local government employees.
d. For grants, subgrants, contracts in excess of $100,000, or where the grant
officer has determined that orders under an indefinite quantity contract or
subcontract in any year will exceed $100,000, or if a facility to be used has i
been the subject of a conviction under the Clean Air Act [42 U.S.C. 1857c-8(c)
(1)] or the Federal Water Pollution Control Act [33 U.S.C. 1319 (C)] and is
listed by the Environmental Protection Agency (EPA) or is not otherwise exempt,
the grantee assures that: (1) no facility to be utilized in the performance of
the proposed grant has been listed on the EPA List of Violating Facilities; (2)
it will notify the RA, prior to award, of the receipt of any communication from
the director, Office of Federal Activities, U.S. Environmental Protection i
Agency, indicating that a facility to be utilized for the grant is under con-
sideration to be listed on the EPA List of Violating Facilities; and (3) it
will include substantially this assuAnce, including this third part, in every i
nonexempt subgrant, contract or subcontract.

execution of the County's federal fiscal year 1980-81 Comprehensive Employment
and Training Plan (CETP) for operation of the County's CETA programs, includ-
ing individual referral classroom training under Title II-B, for the period
October 1 , 1980 through September 30, 1981; and

The Board having considered the recommendation of the Director,
Department of Manpower Programs, regarding the need to continue to provide
vocational/classroom training during FY '80-81 for CETA-eligible Title II-B
enrollees, individually referred by the County Manpower Programs Department,
pending approval of said CETA by the U.S. Department of Labor (DOL) ;
IT IS BY THE BOARD ORDERED that the Director, Department of Manpower
Programs is AUTHORIZED to execute, on behalf of the County, standard form
Vocational Training Agreements with twenty-four (24) Vocational Training
Institutions (Contractors) named in the attached "Vocational Training
Institutions Listing", for the term beginning October 1 , 1980 through
September 30, 1981 , with an overall program budget limitation of $286,953, and
subject to the availability of continued DOL funding; and
IT IS FURTHER ORDERED that the Director, Department of Manpower
Programs, is AUTHORIZED to execute additional standard form Amendment Agreements
with said Vocational Training Institutions as may be needed periodically, for
the purposes of adding or deleting occupational titles (training courses) ,
changing the fixed training fees, or complying with changes in federal
regulations.
