SUBJECT: Correct January 8, 2008 Board Order Item#C.87 with CorEMR, L.C. V
' SPECIFIC REQUEST(S)OR RECOMMENDATION(S)&BACKGROUND JUSTIFICATION
RECOMMENDATION(S):
Correct the Board Order which was approved by the Board of Supervisors on January 8, 2008,
(C.87) with CorEMR, L.C., a limited liability company, to reflect the intent of the parties, with no
change in the payment limit, not to exceed $125,000, to change in the term from January 1, 2008
through December 31, 2008 to a new term of July 1, 2008 through June 30, 2009, to provide an
electronic medical records system. The Contract will delete the County's standard indemnification
clause as part of the Contractor's standards for approval of the agreement.
FISCAL IMPACT:
This Contract is funded 100%by Enterprise Fund I.

BACKGROUND/REASON(S) FOR RECONIMENDATION(S):
On January 8, 2008, the Board of Supervisors approved Contract#23-421 with CorEMR, L.C., for
the period from January 1, 2008 through December 31, 2008, for the provision of an electronic
medical records system. The Contract has not been executed, due to extensive negotiations
between the Contractor and County.
The purpose of this Board Order is to correct the term of the Contract to July 1, 2008 through
June 30, 2009, to reflect the intent of the parties, which was for the Contractor to provide services
under this Contract for one year.
The County's Risk Management has reviewed and approved the request to delete, in its entirety,
Paragraph 18 (Indemnification) as part of the Contractor's standard for approval of the agreement
with the County.

CONSEQUENCES OF NEGATIVE ACTION:
This contract will REPLACE the detention health service's current electronic medical record
system.
For the past six years, the Sheriff's office has provided health services with access and support to
their Jail Management System (JMS), which has served as our operational database and electronic
medical record for all three adultfacilities.
Each day, the Sheriff's office moves over 150 inmates between our three adult facilities.
Detention Health Services depends upon our electronic medical record to ensure continuity of
care between facilities by ensuring that care processes or medications continue between facilities
uninterrupted.
The initiative to purchase CorEMR is a critical capacity maintenance task, not an upgrade or
enhancement.
Should CorEMR not be purchased, Detention Health Services will regress to a 100% paper
operation. This will result in the immediate need to hire an additional 2.0 FTE of medical records
support personnel at West County Detention Facility(WCDF) and 2.5 FTE at the Main Detention
Facility (MDF) to manage the additional volume of paper interfiling, duplication of court ordered
medical record releases and transfers of records between facilities.

The consequences attempting to provide inmate care without a continuous medical record
between our three facilities can be catastrophic. If inmate medications or procedures are not
continued between 'facilities, inmate welfare is placed at risk. The inmate population is
notoriously litigious and cases filed by inmates are often heard in federal court where discovery
laws require complete disclosure from all involved parties and medical malpractice caps are
inapplicable.
In short, at a time when we must protect the public's treasury and trust, the CorEMR project
makes fiscal and clinical sense.

SUBJECT: Contract between Health Services Department and CorEMR
The County Administrator's Office is recommending that the Board of Supervisors
approved the attached item. The agreement is for the provision and installation of
medical records software to be used at the County's detention facilities. We believe the
services are needed and the requested action is appropriate. However, we would like to
point out that some standard contract language usually found in agreements between
.Contra Costa County and a vendor are not included in the subject agreement.
The following paragraphs have been deleted:
1. Audit Exceptions paragraph of the Standard Form Payment Provisions deleted in
its entirety.
2. Reporting Requirements of the General Conditions section deleted in its entirety..
3. The Subcontract and Assignments provision has been.deleted in its entirety.
4. The Indemnification provision has been deleted in its entirety.
