THIS SPONSORSHIP AND LICENSING AGREEMENT (the "Agreement") is
entered into as of the 1St day of September, 2006, by and between the Contra
Costa County ("County") on behalf of the Office of the Sheriff, Sheriff's
Charities, Inc., a California Corporation ("Charities"), and Bay Alarm
Company, a California Corporation ("Bay Alarm").

WHEREAS, the County is a political subdivision of the State of California, with
responsibilities including general law enforcement and detention in Contra
Costa County, California; and
WHEREAS, the Office of the Sheriff operates the "Law Enforcement Training
Center," a Police Academy located in Pittsburg, California (the "LETC" or the
"Academy"), which provides basic and in-service law enforcement training,
pursuant to certification by the California Commission on Peace Officer
Standards & Training ("POST"); and
WHEREAS, Charities is organized as a Nonprofit Public Benefit Corporation
under the Corporations Code of the State of California; and
WHEREAS, Charities' Articles and By-laws provide that it is organized for the
purpose of promoting and supporting law enforcement; and
WHEREAS, Bay Alarm, is headquartered in Pacheco, Contra Costa County,
California; and
WHEREAS, Bay Alarm is desirous of donating funds, goods, and services, all as
set forth below, to assist the Office of the Sheriff and the LETC in mission of
recruiting, educating and training law enforcement recruits and officers; and
WHEREAS, the parties entered into a "Sponsorship and Licensing Agreement"
as of the 1St day of May, 2004, for a term of one year, which Agreement was
renewed as of the 1St day of September 2005, also for a term of one year, and
they now desire to renew the said relationship as modified herein;
Now THEREFORE, in consideration of the mutual covenants and promises
contained herein and for other good and valuable consideration the receipt
and adequacy of which are hereby acknowledged, the parties hereto agree as
follows:

ARTICLE I.
LETC SPONSOR
1.1. LETC SPONSOR. Throughout the Term (as defined below), Bay
Alarm shall be the exclusive "alarm and security" sponsor of the LETC.
1.2. RECOGNITION BY LETC. During the Term, Bay Alarm will
receive the following sponsorship and promotional recognition:
(i) 6" x 12" sign in LETC lobby
(ii) Classroom named for Bay Alarm
(iii) Recognition in LETC graduation program
(iv) Presentation of Bay Alarm award to "Top Academic"
graduating cadet. The award will be a "perpetual award"
trophy, to be provided by Bay Alarm, and shall be inscribed
with the name of Bay Alarm. The previous Bay Alarm award
to the "Most Improved" graduating cadet, previously
intended to be a perpetual award, shall be retired.
1.3. CATEGORY EXCLUSIVITY. During the Term, Bay Alarm shall
have exclusivity in the sponsorship category "Alarm and Security Services."
1.4 BAY ALARM COURSE. During the Contract Period, and during
each subsequent contract period for which this Agreement is renewed, the
LETC shall offer on at least one occasion a course to Bay Alarm Company
employees, to be presented by an LETC instructor, on a subject matter to be
jointly agreed upon by Bay Alarm and the LETC. All instructees who
successfully complete the course shall be provided with a certificate attesting
to having completed such instruction. Prior to such course being offered, Bay
Alarm shall pay all costs required for the instructor(s) and materials. (No
charge shall be made by the LETC for the facility.)
ARTICLE II.
SPONSORSHIP AND PROMOTIONAL CONTRIBUTIONS
2.1. CONTRIBUTION. In consideration of the sponsorship recognition
granted in Section 1.2, above, Bay Alarm agrees to contribute those funds,
services, goods, and in-kind donations set forth below:

2.1.1. SCHOLARSHIPS. Bay Alarm will donate Thirty
Thousand Dollars ($30,000.00) to be utilized for full or partial scholarships
for non-affiliated Basic Academy students at the LETC (the "Scholarship
Funds"). The Scholarship Funds shall be awarded throughout the Contract
Period as directed by the LETC's Commanding Officer. The LETC will
provide to Bay Alarm a listing of cadets who have received full or partial
scholarship grants from Bay Alarm, showing the amount credited to the
tuition of each such cadet. During the duration of this Agreement, should it
appear reasonable to the Sheriff, or his designee, that an insufficient number
of non-affiliated students will enroll to fully utilize the funds provided in this
paragraph, the Sheriff shall be authorized to apply such excess Scholarship
Funds to pay for costs in connection with recruiting Deputy Sheriffs in the
manner set forth in Section 2.1.2, below. Additionally, and alternatively, at
the discretion of the Sheriff, such excess Scholarship Funds can be applied to
defray expenses of the LETC, such as the purchase of desks, chairs, other
furniture and office equipment, books, supplies, and the like.
2.1.1.1 AWARD OF SCHOLARSHIPS. As to each
Basic Academy class for which the LETC has received scholarship funding
from Bay Alarm, each and every non-affiliated cadet per class shall receive
an identical scholarship stipend, whether in full or in partial payment (or
reimbursement) of tuition and costs. Such payments or reimbursements may
differ from class-to-class, depending upon factors such as the number of non-
affiliated students, the then-applicable tuition and costs, and the amount of
Bay Alarm scholarship funding available; however, in any one Academy
class, each non-affiliated cadet shall be credited with identical funding under
this Agreement. The allocation of scholarship funds shall be made as of the
first day of classes. Subsequent affiliations, withdrawals or failures shall not
affect the allocation.
2.1.2. BROADCAST/CABLE MEDIA PURCHASE. In addition to
the contingent contributions provided for recruiting efforts in Section 2.1.1 of this
Agreement, Bay Alarm shall contribute the sum of Fifteen Thousand Dollars
($15,000.00)to assist the recruiting efforts of the Office of the Sheriff. The $15,000
donation earmarked for media purchasing must be used to air the existing Contra Costa
County Sheriff TV commercials that were originally developed and aired on Fox Sports
in 2006. The purchased commercials will feature the Bay Alarm logo and the phrase
"This message brought to you by a continuing partnership with Bay Alarm Company".
The Bay Alarm logo will appear in the bottom left corner throughout the entire
commercial. All commercial development must be approved by both parties and
developed to be aired by March 1 st, 2007.
2.1.2.1. In addition to its cash contributions as set
forth in this Agreement, Bay Alarm shall additionally provide Five Thousand
Dollars ($5,000) in "in-kind" advertising for the promotion of the self-defense

training course. This in-kind contribution will be made in the form of mail
inserts, promotional tie-ins, and radio advertisements.
2.1.3. BILLBOARD. Bay Alarm will attempt in good faith
make available, at no cost to the county, for a period of one month, a billboard
on Interstate 680, advertising the need for recruits, both for the Office of the
Sheriff and for the LETC. Bay Alarm will also attempt in good faith to make
available at least one other billboard located on Highways 24 / 242 / 4 within
Contra Costa County. Bay Alarm will work with the Sheriff, or his
designee(s), to develop the billboard message. The Office of the Sheriff
reserves pre-approval rights as to the billboard message, and no billboard
message shall be displayed unless and until approved in writing by the
Sheriff, or his designee(s).
2.1.4. ADVERTISING. Bay Alarm will provide the following
Direct Mail, Event Support, and Media Support. Bay Alarm will be
authorized to use any or all of the LETC Sponsorship Acknowledgement
Phrases and Slogans listed in Exhibit B, in connection with the following:
(a) DIRECT MAIL. Bay Alarm will provide the
LETC with mail inserts during at least two billing cycles during the Contract
Period. The cost of developing and printing the mail inserts will be borne by
Bay Alarm. The inserts will advertise the need for recruits, both for the
Office of the Sheriff and for the LETC. Bay Alarm will work with the Sheriff,
or his designee(s), to develop the billing insert message. The Office of the
Sheriff reserves pre-approval rights as to the billing insert message, and no
insert shall be included in any bill(s) unless and until such insert is approved
in writing by the Sheriff or his designee(s).
(b) EVENT SUPPORT. Bay Alarm agrees to provide
in-kind donor support to the LETC for six-to-ten "co-branded" marketing
events during the Contract Period (i.e., Police Olympics, etc.).
(c) MEDIA SUPPORT. Bay Alarm agrees to
contribute media support (i.e., radio bumpers, printed insertions in Bay
Alarm newspaper and magazine advertising, Bay Alarm's website, etc.) to
promote the LETC during the Contract Period. These promotional services
will advertise the need for recruits, both for the Office of the Sheriff and for
the LETC. Bay Alarm will work with the LETC's Commanding Officer, or his
designee(s), to develop the media messages. The Office of the Sheriff reserves
pre-approval rights as to the media messages, and no media message shall be
distributed, displayed or posted unless and until such message is approved in
writing by the Sheriff or his designee(s).

2.2. PAYEE FOR CASH CONTRIBUTIONS. All contributions by Bay
Alarm of funds shall be by check, draft, or wire, made payable to Sheriffs
Charities, Inc. For its part, Sheriffs Charities agrees, as soon as practical
after such funds have cleared, to remit such received funds, without any
deduction whatever, to the Office of the Sheriff Enterprise Account for the
LETC.
2.3. TIMELINES FOR CONTRIBUTIONS. Unless a timeline with
respect to a specific contribution is stated above, contributions shall be
tendered in accordance with the following schedule: (a) If scholarship
funds—payable in halves of Fifteen Thousand Dollars ($15,000) on or before
February 25, 2007 and July 1, 2007, (b) If services—upon a timeline so that
the provision of services shall be reasonably distributed throughout the
Contract Period; (c) If goods— upon a timeline so that the provision of goods
shall be reasonably distributed throughout the Contract Period; and (d) If In-
Kind— upon a timeline so that the provision of in-kind donative support shall
be reasonably distributed throughout the Contract Period.
ARTICLE III.
SPONSORSHIP POLICY
3.1. Pursuant to the licensing provisions set forth in Article IV, below,
the Office of the Sheriff grants to Bay Alarm, during the Term, the right to
publicize and acknowledge its sponsorship of the LETC through the use of
one of the two LETC insignia (as depicted in Exhibit "A!'), and the use of
certain phrases or slogans (as set forth in Exhibit "B").
3.2. Such use as is permitted in Section 3.1, above, must be in
conjunction with an approved application. Bay Alarm shall submit to the
Sheriffs administration specific plans, including drawings if applicable, of
each application of the insignia and slogans. By way of example, should Bay
Alarm wish to utilize the insignia or slogans on a coffee cup, a drawing
showing all promotional material to be imprinted on the cup, whether
relating to the LETC, Bay Alarm, or both, shall be provided to the Sheriffs
administration in advance of any materials order being placed. No such
order will be placed without the prior written approval of the Office of the
Sheriff.
3.3. The right of the Sheriffs administration to reject a proposed use of
the insignia or slogans is within its absolute discretion. Without limiting the
instances in which a rejection may be made, such right will be exercised
whenever the proposed use appears to be overly commercialized, is

distasteful, or reflects poorly on, or tends to bring into discredit, the Office of
the Sheriff or the LETC.
3.4. Other than as provided in Section 3.1, above, no insignia or badge
of the Office of the Sheriff, or of any other public agency, may be utilized
pursuant to this Agreement, nor may the name or image of the Sheriff, or of
any Deputy Sheriff, or of any employee of the County, be utilized for any
purpose without the prior specific written approval of both the Board of
Supervisors and the subject individual.
3.5 Notwithstanding anything to the contrary within this Agreement,
no use or display of the badge of the Sheriff, or of any badge of any member of
the Office of the Sheriff or any reasonable approximation thereof, may be
made by Bay Alarm which implies law enforcement authority and status.
ARTICLE IV.
LICENSES
4.1. LICENSES.
4.1.1. Subject to the terms and conditions hereof, the Office of the
Sheriff hereby represents and warrants that it has the power and authority
to grant, and does hereby grant to Bay Alarm a non-exclusive, non-
transferable, royalty-free, worldwide license to reproduce and display the
insignia and the slogans, as set forth in Exhibits "A" and "B", respectively
(the "LETC Marks"), solely in connection with Bay Alarm's promotion,
marketing and distribution in accordance with the terms hereof, provided,
however, that Bay Alarm shall not make any specific use of any LETC Mark
without first submitting a sample of such use to the Sheriffs administration
and obtaining its prior written consent in accordance with Sections 3.2 and
3.3 , which consent shall be in the Sheriffs administration's absolute
discretion but which shall not be unreasonably withheld. The foregoing
license shall terminate upon the effective date of the expiration or
termination of this Agreement.
4.2. INTELLECTUAL PROPERTY OWNERSHIP. Each party shall
retain all right, title, and interest to all of its respective intellectual property
(including all copyrights, patents, service marks, trademarks and other
intellectual property rights). Except for the license granted pursuant to this
Agreement, neither party shall acquire any interest in the other party's
intellectual property.

4.3. REMOVAL OF MATERIALS. The Office of the Sheriff reserves the
right to require the immediate termination of any application containing the
LETC Marks if, in its reasonable opinion, it believes that any such usage may
infringe any third-party intellectual property right, is libelous or invades the
privacy or violates other rights of any person, violates applicable laws or
regulations, exposes the Office of the Sheriff to liability, or jeopardizes the
health or safety of any person.
ARTICLE V.
CONFIDENTIALITY
5.1. CONFIDENTIALITY. Neither the existence of this Agreement,
nor any of its terms, is confidential. No party shall be held liable to any other
for the release of any information required to be disclosed under the
California Public Records Act or any other law or court order or process.
ARTICLE VI.
INDEMNIFICATION
6.1. INDEMNIFICATION. Bay Alarm hereby agrees to indemnify and
hold harmless the Office of the Sheriff and Sheriffs Charities, the County of
Contra Costa, and their employees, officers and agents, against any and all
claims, actions, demands, liabilities, losses, damages, judgments,
settlements, costs and expenses (including reasonable attorneys' fees) (any or
all of the foregoing hereinafter referred to as "Losses") insofar as such Losses
(or actions in respect thereof) arise out of or are (a) based on (i) the breach of
any representation or warranty set forth in Articles 4, 5 or 6, (ii) any breach
by Bay Alarm of this Agreement or the licenses granted hereunder; (iii) the
use by Bay Alarm of any trademarks, or other intellectual property, without
proper lawful authorization, or (b) arise from, or in connection with, this
Agreement. The foregoing obligations are contingent upon the indemnified
party: (i) promptly notifying the indemnifying party of any claim, suit, or
proceeding for which indemnity is claimed; (ii) cooperating reasonably with
the indemnifying party at the latter's expense; and (iii) allowing the
indemnifying party to control the defense or settlement thereof. The
indemnified party will have the right to participate in any defense of a claim
and/or to be represented by counsel of its own choosing at its own expense.
ARTICLE VII.
LIMITATION OF LIABILITY
7.1. EXCLUSION OF WARRANTY. EXCEPT AS EXPRESSLY SET
FORTH IN THIS AGREEMENT, NEITHER PARTY MAKES ANY

WARRANTY TO THE OTHER PARTY IN CONNECTION WITH THE
SUBJECT MATTER OF THIS AGREEMENT.
7.2. DAMAGES. IN NO EVENT SHALL EITHER PARTY BE LIABLE
TO THE OTHER FOR ANY SPECIAL, INCIDENTAL, CONSEQUENTIAL
OR PUNITIVE DAMAGES ARISING OUT OF THIS AGREEMENT OR ITS
TERMINATION, WHETHER LIABILITY IS ASSERTED IN CONTRACT,
TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE
AND IRRESPECTIVE OF WHETHER SUCH PARTY HAS BEEN ADVISED
OF THE POSSIBILITY OF ANY SUCH LOSS OR DAMAGE.
ARTICLE VIII.
TERM AND TERMINATION
8.1. TERM; TERMINATION.
8.1.1. This renewal term (the "Renewal Term") will begin on
September 1, 2006 (the "Effective Date") and shall continue for a period
terminating on January 31, 2008 (the "Contract Period"). Pursuant to a
future agreement of the parties upon renegotiation, the Agreement may be
continued beyond the Contract Period. The Renewal Term together with all
predecessor terms, all extensions and renewals, shall comprise the "Term" of
this Agreement.
8.1.2. Either party may terminate this Agreement at any
time, should it appear that the continuation of the relationship established
under this Agreement reasonably tends to bring the Office of the Sheriff or
the LETC into disrepute.
8.2. TERMINATION FOR CAUSE. Either party may terminate this
Agreement upon thirty (30) days' written notice of a breach by the other
party, provided such breach is not cured within such thirty-day period. The
termination of this Agreement for cause by the Office of the Sheriff, at its
discretion, shall include, but not be limited to, the failure of Bay Alarm to
make a payment or to provide a service set forth in Article II at such time as
the payment or service is due.
8.3. SURVIVAL. The following Sections shall survive termination of
this Agreement: Article 6 (Indemnification), Article 7 (Limitation of
Liability), and Article 9 (General).

9.1. PUBLICITY. Except as may be required by applicable laws and
regulations or a court of competent jurisdiction, neither party shall make any
public release respecting this Agreement and the terms hereof without the
prior written consent of the other party.
9.2. ARBITRATION. Any and all disputes, controversies and claims
arising out of or relating to this Agreement or concerning the respective
rights or obligations of the parties hereto shall be settled and determined by
arbitration in the County of Contra Costa, California, before one (1)
arbitrator pursuant to the Commercial Rules then in effect of the American
Arbitration Association. Each party shall have no longer than one (1) day to
present its position. Judgment upon the award rendered may be entered in
any court having jurisdiction or application may be made to such court for a
judicial acceptance of the award and an order of enforcement. The parties
agree that the arbitrator shall have the power to award damages, injunctive
relief and reasonable attorneys' fees and expenses to any party in such
arbitration.
9.3. ASSIGNMENT. Neither party may assign this Agreement, in
whole or in part.
9.4. GOVERNING LAW. This Agreement shall be construed and
'enforced in accordance with the laws of the State of California. Venue for all
purposes shall be in Contra Costa County, California.
9.5. NOTICE. All notices, statements and reports required or permitted
by this Agreement shall be in writing and deemed to have been effectively
given and received: (i) five (5) business days after the date of mailing if sent
by registered or certified U.S. mail, postage prepaid, with return receipt
requested; (ii) when transmitted if sent by facsimile, provided a confirmation
of transmission is produced by the sending machine and a copy of such
facsimile is promptly sent by another means specified in this section; or (iii)
when delivered if delivered personally or sent by express courier service.

Any party may change its address for the purpose of this paragraph by notice
given pursuant to this paragraph.
9.6. NO AGENCY. The parties are independent contractors and will
have no power or authority to assume or create any obligation or
responsibility on behalf of each other. This Agreement will not be construed
to create or imply any partnership, agency or joint venture.
9.7. SEVERABILITY. In the event that any of the provisions of this
Agreement are held to be unenforceable by a court or arbitrator, the
remaining portions of the Agreement will remain in full force and effect.
9.8. ENTIRE AGREEMENT. This Agreement is the complete and
exclusive agreement between the parties with respect to the subject matter
hereof, superseding any prior agreements and communications (both written
and oral) regarding such subject matter. This Agreement may only be
modified, or any rights under it waived, by a written document executed by
both parties.

9.9. COUNTERPARTS. This Agreement may be signed in counterparts
which, when signed, shall constitute one document.

SPECIFIC REQUEST(S)OR RECOMMENDATION(S)&BACKGROUND AND JUSTIFICATION
RECOMMENDED ACTION:
APPROVE and AUTHORIZE the Sheriff-Coroner, or designee, to execute a contract with Bay Alarm Company
to accept an amount up to $50,000 in sponsorship proceeds designated for the provision of scholarships, classes,
and recruiting for the Law Enforcement Training Center for the period September 1, 2006 through August 31,
2008, with Sheriff's Charities as the funds intermediary.
FINANCIAL IMPACT:
No County Costs. Revenue $50,000 to fund scholarships, recruiting efforts, and classes for the Law
Enforcement Training Center.
BACKGROUND:
Bay Alarm Company is the largest independently owned alarm company in the United States and is
headquartered in Pacheco. Bay Alarm has provided sponsorship and promotional contributions to the Law
Enforcement Training Center in the form of scholarships, in-service courses, recruiting efforts, direct mail,
event support, and media support. This action will renew the prior period contract to provide these services for
a two year period. Of the $50,000 in this contract, $30,000 will be applied toward scholarships, $15,000 for
media purchase, and $5,000 for a self-defense course. Billboard space, media support, advertising support, and
direct mail will be funded through Bay Alarm in this agreement.
Funds will be provided through Sheriff's Charities, Incorporated, a non-profit organized for the purpose of
promoting and supporting law enforcement. Sheriff's Charities will directly distribute these funds to the
Sheriff s Office Enterprise Fund for the Law Enforcement Training Center. The Board approved the previous
agreement on September 27, 2005, item C.43.
CONSEQUENCES OF NEGATIVE ACTION:
Failure to approve this contract will negatively impact law enforcement efforts in the County. Bay Alarm
sponsorship assist in advertising for recruits, promotes awareness of the local availability of courses and
services, allows for the continued curriculum that would otherwise be eliminated, and provides full and partial
scholarships to qualified candidates who would not otherwise be able to attend the Law Enforcement Training
Center.
