RECOMMENDED ACTION:
APPROVE and AUTHORIZE the Chair, Board of Supervisors, or designee, to execute a contract with City of
Martinez, in the amount of$10,000 to provide right of way services for its expansion of its Intermodal project, for
the period February 7, 2007 until the agreement is terminated by either party upon 30 days written notice.
FISCAL IMPACT:
There is no imi-)act to the County General Fund. The City of Martinez will pay actual costs for Real Property staff
services.

REASONS FOR RECOMMENDATIONS AND BACKGROUND:
The Agreement is needed to assist City of Martinez with right of way oversight and related services.
CONSEQUENCES OF NEGATIVE ACTION:
If the Agreement is not approved, the County cannot provide the requested services.
AGREEMENT
1. Effective Date and Parties. Effective on FEBRUARY 7, 2007, the COUNTY OF CONTRA
COSTA, a political subdivision of the State of California (hereinafter referred to as
"County"), and the CITY OF MARTINEZ, a municipal corporation (hereinafter referred to
as "City"), hereby mutually promise and agree as follows:
2. Purpose. The City is planning the expansion of its Intermodal project (Amtrak station).
Phase 3 of the Intermodal project may require acquisition of right of way The City has no
right of way staff and desires to contract with the County for oversight and related services.
3. Services by County. The services to be rendered by County to City may include acquisition
oversight, appraisal review, right of way certification and other related services.
4. Payment for Services. City agrees to reimburse County for all labor costs and appropriate
overhead for County Real Property Agents labor including overtime rates for evening or
weekend work (See Appendix "A" for pay rates). The County shall invoice the City
monthly for work performed, up to the not to exceed amount referenced below in Section 7.
The City shall pay the monthly invoiced amount within 30 days of receipt of invoice.
5. Indemnification. City agrees to defend, indemnify and save harmless County, its officers,
and employees against any and all loss, damage, liability, expense, claims or demands of
whatever character, direct or consequential, directly or indirectly contributed to or caused
by County assuming and acting as the right of way agency for and on behalf of City.
6. Independent Status. Nothing herein shall be construed to imply that any County employee
providing services hereunder is a City employee.
7. Not To Exceed Amount. This contract shall be limited to a total of$10,000, consistent with
the amount appropriated for these services by the Contra Costa Transportation Authority. If
the Authority appropriates additional funds, this amount may be amended by written
agreement of the County's Principal Real Property Agent, and the City's Transportation
Projects Manager.
8. Decisions. Final right of way acquisition decisions shall be made by the City Council, on
recommendation by the City Manager and Transportation Projects Manager.
9. Term. The term of this agreement shall commence on the effective date hereof and shall
end upon termination by either party upon 30 days written notice. The rights and
obligations of Paragraph 5 "Indemnification" shall survive any such termination.
