APPROVE and AUTHORIZE the Public Works Director, or his designee, to execute on behalf of the County a real property Purchase and Sale Agreement, pursuant to which the County will convey the County-owned real property located at 1250 Locust Street, Walnut Creek, to the Walnut Creek Redevelopment Agency (WCRDA) for the purchase price of$2,800,000. APPROVE and AUTHORIZE the General Services Director, or his designee, to execute on behalf of the County: (i) a Lease Termination Agreement from the Lafayette War Veterans, Inc., for the property located at 3490 Golden Gate Way, 11-afayette; (ii) a Lease Termination Agreement from the Board of the Trustees for the Walnut Creek Veterans' Memorial Building located at 1250 Locust Street, Walnut Creek; and (iii) a new Lease Agreement between the County and the Board of Trustees of the Lafayette War Veterans', Inc. a veterans' association. 6. DIRECT that a fund in the amount of$500,000 be established for maintenance of the Veterans' Memorial Buildings throughout the County. FISCAL IMPACT: Under the terms of the previously approved Memorandum of Understanding between the County, the City of Lafayette, and the LRDA, five hundred thousand dollars ($500,000) of the sale proceeds will be placed into a maintenance account for County-owned veterans' memorial buildings throughout Contra Costa County. The County will also be required to reimburse the LRDA an amount to be determined separately, but not to exceed $2,330,000, as the County's sharelof the costs to construct the new building. The Board's approval for that payment will be sought by a future action. REASONS FOR RECOMMENDATION AND BACKGROUND The County acquired the property and building located at 3490 Golden Gate Way in Lafayette on April 8, 1963, and the property and building located at 1250 Locust Street in Walnut Creek on February 28, 1944. Each of those buildings has been used by Veterans' organizations over the years. Lafayette Redevelopment Agency (LRDA) desires to use the site of the 3490 Golden Gate Way property for the construction of its new library, and the Walnut Creek Redevelopment Agency (WCRDA) desires to use the 1250 Locust Street property for general redevelopment purposes. I SUBJECT: VETERANS' MEMORIAL BUILDING FOR LAFAYETTE AND WALNUT CREEK VETERANS 3780 MT. DIABLO BLVD., LAFAYETTE;APPROVAL OF REAL PROPERTY TRANSACTIONS DATE: APRIL 11,2006 PAGE: 3 OF 3 On October 15, 2002, the County, the LRDA, the City of Lafayette, and the Lafayette War Veterans, Inc. entered into a Memorandum of Understanding (MOU) whereby the County would sell the 3490 Golden Gate Way property to the LRDA for $1,300,000 in exchange for the LRDA (i) acquiring additional land at another location in Lafayette to be assembled with adjacent property owned by the City of Lafayette, (ii) constructing a new building on that land, and (iii) after having the parcel owned by the City of Lafayette transferred to the LRDA, and legally assembling that property with the property already owned by the LRDA, conveying the new land and building to the County for use as a Veterans Memorial Building, with the County to contribute no more than $2,330,000 to LRDA to offset the cost of constructing the new building. The LRDA subsequently agreed to add $16,000 to the above $1,300,000 purchase price to offset the County's expenses in making repairs to the road leading to the new Lafayette Veterans Memorial building. This agreement is included in the Property Exchange Agreement. The MOU was amended on July 14, 2003, to include the sale of the 1250 Locust Street property owned by the County to the Walnut Creek Redevelopment Agency for $2,800,000, and to allow for the Walnut Creek Veterans groups to share the use of the nelw Lafayette Veterans Memorial building. The City of Lafayette and LRDA acquired two separate properties before constructing the above building. In accordance with the MOU, the City was required to provide evidence that those two properties had been legally assembled into one parcel, and that all encumbrances to title had been resolved so that the fee simple absolute title to the property could be conveyed to the County. County staff is satisfied that those two properties have been properly assembled, and all encumbrances to title have been resolved. As part of the above transaction, the LRDA has agreed to grant an access easement to the County for access between the new Lafayette Veterans Memorial Building property and Mt. Diablo Boulevard. The MOU also provides that the plans and specifications for the new Lafayette Veterans Building would be reviewed and approved by the County's General Services Department. The Board approved those plans on December 16, 2003. The County's General Services Department and the LRDA conducted a final joint inspection of the building on September 21, 2005, and has determined that the work performed by LRDA's contractor has been completed in accordance with the Project plans and specifications. On September 27, 2005, the Board authorized staff to issue a written notice to LRDA of the County's approval of the project. Upon receipt of the written notice of approval of the Project from the General Services Department, Lafayette adopted a resolution of acceptance and notice of completion of the Project, in accordance with the MOU. The County's General Services Department has re-inspected the building, and has determined that it is in a suitable condition to be accepted by the County. CONSEQUENCES OF NEGATIVE ACTION: The County will not convey either existing Veterans memorial buildings in Lafayette or Walnut Creek, and will not accept the conveyance of property owned by the Lafayette Redevelopment Agency for use as a new Lafayette Veterans Memorial Building and will not be in compliance with the previously approved MOU and amendment. Diablo Blvd., Suite 210 Lafayette, CA 94549 Attn: SPACE ABOVE THIS LINE FOR RECORDER'S USE RIGHT OF FIRST OFFER AGREEMENT BETWEEN CONTRA COSTA COUNTY AND THE LAFAYETTE REDEVELOPMENT AGENCY ' This Right of First Offer Agreement ("Agreement") is made as of 2006, ("Effective Date") between Contra Costa County, a political subdivision of the State of California ("County") and the Lafayette Redevelopment Agency, a public body, corporate and politic, existing under the laws of the State of California("LRDA"). RECITALS A. Pursuant to the Memoranduml of Understanding ("MOU") dated October 15, 2002, and amended July 14, 2003, between the parties hereto, the City of Lafayette, the Walnut Creek Redevelopment Agency, and the Lafayette War Veterans, Inc., and the Board of Trustees for the Walnut Creek Veterans' Memorial Building, LRDA acquired two separate but adjacent parcels of land and legally assembled them to form the property described in Exhibit "A" attached hereto and incorporated herein by reference. Both the Lafayette War Veterans, Inc. and the Board of Trustees for Ithe Walnut Creek Veterans.Memorial Building are Veterans Associations as defined in Military and Veterans Code 1260, and shall together be known herein as (the "Veterans Associations"). LRDA built an approximately 9,000 square foot building, for use as a veterans memorial facility to be used jointly by the Veterans Associations. The land and building are more commonly known as 3780 Mt. Diablo Blvd., Lafayette, California (APN: 241-010-045), and shall hereinafter be . referred to as the . "Property." LRDA conveyed title to the Property to County by grant deed of even date herewith ("Deed"). B. As part consideration therefor, and pursuant to the MOU, the County conveyed the existing Lafayette Memorial Building property to LRDA, under the terms of the Exchange.Agreement Between Contra Costa County and the Lafayette Redevelopment Agency between the parties dated ("Exchange Agreement"). C. The MOU further provides for the County to enter into this Right of First Offer to LRDA, for LRDA to repurchase the Property at fair market value in the event the Veterans Associations DRA: F:\Veterans-Laf,WCILAFAYETTE140606LaNets RtFirstOffer.doc 4/6/2006 9:18 AM 1 abandon their use of twroperty under Military and Veterans Codi e Section 1266, and County thereafter determines, by official action of the County's Board of Supervisors, to sell the Property. This Agreement and the terms and- conditions contained in the Exchange Agreement, were and are material consideration for LRDA's agreement to convey title to the Property to County. County desires to grant to LRDA and LRDA desires to obtain from County, this Right of First Offer Agreement to repurchase the Property, on the terms and conditions contained herein. For good and valuable consideration, the receipt and adequacy of which are acknowledged, the parties agree as follows: AGREEMENT Section 1. Right of First Offer. This Right of First Offer Agreement is hereby granted to LRDA, or its successors in functions, under the following terms and conditions: (a) In the event that the Veterans Associations abandon their use of the Property under Military and Veterans Code Section 1266, and County thereafter determines, by official action of the County's Board of Supervisors, to sell the Property, County shall not sell or agree to sell the Property to any other party, without first offering LRDA, in writing, the right to purchase the Property ("First Offer") at fair market value, as described below. The fair market value of the Property for the First Offer (i) shall be determined by an independent appraiser hired by County, (ii) shall include the land and improvements, and (iii) shall be consistent with the definition of "Market Value" as defined in Code of Civil Procedure, Section 1263.320(a), which Code includes the "highest and best use" of the Property. (b) Upon LRDA's receipt of the First Offer from County, LRDA shall then have sixty (60) days from the date of such receipt (the "Acceptance Period") to either, at LRDA's option, (i) accept the First Offer ("Accept" or "Acceptance"), or (ii) reject the First Offer ("Reject" or "Rejection"). LRDA shall notify County of its decision by delivering its written notification to County on or before 5:00 p.m. on the last day of the Acceptance Period. Failure to notify County within the Acceptance Period shall be deemed a Rejection by LRDA. If LRDA Accepts the First Offer during the Acceptance Period, the parties shall use their best efforts to consummate the purchase and sale of the Property within sixty (60) days following Acceptance of the First Offer, or within a reasonable time thereafter. If LRDA does not Accept the First Offer, County shall be free to enter into an agreement to sell the Property to any third party at terms at least equal to the First Offer, provided the County and the third party execute a purchase and sale agreement within one hundred eighty (180) days after LRDA's Rejection of the First Offer. Consideration. The consideration for this Agreement is the sale of the Property by LRDA to County under the terms contained in the Exchange Agreement dated and the MOU, and the terms and conditions contained herein. I Section 3. Term. LRDA's right of first offer shall begin with the Effective Date of this Agreement and continue in effect for ninety (90) years, in accordance with Probate Code section 21205(b) (the "Term"), unless sooner terminated in accordance with the terms of this Agreement. The Term may be extended for an additional thirty (30) years by written request to County by LRDA or its public entity successor in function. I Section 4. Termination. This Agreement shall automatically terminate.on the first of the following events to occur: (a) The expiration of the Term, as it may be extended; I (b) LRDA rejects the First Offer and County enters into a purchase and sale agreement within one hundred eighty (180) days of LRDA's rejection of the County's First Offer, and subsequently consummates a sale of the Property to a third party pursuant to at least the terms of the First Offer; or I (c) The purchase of the Property by LRDA In the event the Term of this Agreement terminates as provided herein, and LRDA does not acquire the Property, then at the request of County, LRDA shall deliver to County an executed Quitclaim Deed in favor of County in recordable form. Section 5. Notices. All notices (including requests, demands, approvals or other communications) under this Agreement shall be in writing. (a) Notice shall be sufficiently)given for all purposes as follows: 1) When mailed by certified mail with return receipt requested, notice is effective on receipt if delivery is confirmed by a return receipt. 2) When delivered by a nationally recognized overnight courier, notice is effective on delivery if delivery is confirmed in writing by the courier. 3) When personally delivered to the recipient, notice shall be deemed delivered on the date personally) delivered. The section headings and captions of this Agreement are, and the arrangement of this instrument is, for the sole convenience of the parties to this Agreement. The section headings, captions and arrangement of this instrument do not in anyway affect, limit; amplify or modify the terms and provisions of this Agreement. This Agreement shall not be construed as if it had been prepared by one of the parties, but rather as if both parties have prepared it. The parties to this Agreement and their counsel have read and reviewed this Agreement and agree that any rule of construction to the effect that ambiguities are to be resolved against the drafting party shall not apply to the interpretation of this Agreement. Section 7. Governing Law. This Agreement shall be governed and construed in accordance with California Law. The venue for any legal action pertaining to this Agreement shall be Contra Costa County, California. Section 8. Severability. In the event that any provision herein is held to be invalid by any court of competent jurisdiction, the invalidity of I any such provision shall not materially prejudice either the County or LRDA in their respective rights and obligations contained in the valid provisions of this Agreement. Section 9. Entire Agreement This Agreement, the MOU, the Deed, and the Exchange Agreement contain the entire agreement between County and LRDA with respect to the subject matter hereof. There are no representations or promises made to any party hereto concerning the subject matter of this Agreement except)as set forth herein. It is expressly understood by each of the parties that this Agreement may not be altered, amended, modified or otherwise changed in any respect whatsoever, except by a writing executed by County and LRDA. Section 10. Signatures. By affixing his/her signature below, each of the persons signing this Agreement represents that he/she has read and understands this Agreement, that he/she is authorized to sign this Agreement, and that the party on behalf of whom he/she signs this Agreement shall be bound by its terms.
