On this date, the Board called for Public Comment. The following persons presented testimony:
Connie Steers, Mental Health Consumer Concerns, Contra Costa County Patients' Rights Advocacy
Program, 1420 Willow Pass Road#120, Concord, on behalf of clients who depend on Shelter, Inc. for
housing services, urging the Board to keep the agency viable-,
Janet Wilson, Program Director for Patients' Rights Advocacy Program, in regard to services provided
by Shelter, Inc., and staffing errors, recommending that county insist on personnel action, not pay any
settlement cost, and requesting that should the County contract be cancelled, that there be an RFP period
to find another provider;
Debbie Dorsey, Ener Power, energy analysts, on electrical savings that may be available to School
Districts and other agencies;
Paul Krantz, legal representative for certain persons who received services from Shelter Inc, noting his
willingness to assist the Board in acquiring timely information and status of legal proceedings.

In the midst of the Energy Crisis in California, EnerPower investigated the excessive

PG&E, and in some cases, even MORE! Due to new surcharges introduced on July 1, 2001,
California businesses have watched their electric charges climb 30-50%and HIGHER!

I am continually challenged to try to sane money for the Town of Discovery Bay,
Community Services District (CSD) any way I can, especially with the smaller budgcts
we receive each vear. Of particular concern, is the cost of electricity, which continues to
increase with no end in sight. I have had little success decreasing those costs until I met
Jahn Ryan from DnerPower.
John cane to our office, did a yearly analysis of our PG&E hills, and then reported hack
to myself and the; "rown of Discovery Bay CSD Board of Directors to show us how we
could save money by restructuring our electric rates. By agreeing to use hisconsulting
services, we were able to save the `l"ovum of Discovery Bay CSD over $112,000-00 on:
electricity costs this past year. The process was so simple,tahi g minimal time and effort
on our,part,, with no downside risk. No payment to EnerPower is required until savings
are actually realized. '
Jahn. Ryan and his team have done a great job for Discovery Bay, and I recommend their
services without hesitation.

course of this Agreement. Without the prior written consent of EnerPower,the

FOR
ELECTRIC CONSULTING SERVICES AGREEMENT
This Consulting Services Agreement, (hereafter referred to as the "Agreement")is
entered into by and betNN-reen the parties hereto, City of , a political
subdivision of the State of California(hereafter referred to as"'City")and Choice
Partners,Inc., dba EnerPower, (hereafter EnerPower), a Minnesota Corporation which is
registered and qualified to do business in the State of California.
Recitals
Whereas the City uses electrical utility services provided by Pacific Gas and
Electric Company(hereafter PG&E); and,
Whereas City desires to maximize its cost savings related to electrical services
provided to City; and
Whereas EnerPower is in the business of providing consulting services to both
public and private entities regarding energy efficiency and cost savings, including
customer qualification for lower tier pricing schedules from public utility companies
including,but not limited to,PG&E; and
Whereas City desires to engage a consultant to provide consulting services
including,but not limited to,Electricity Efficiency and Usage Audits,Electrical meter
and rate change recommendations and ongoing energy consultation and information
updates regarding electricity rates; and,
Whereas EnerPower is qualified and able to provide such services to City; and,
Whereas City desires to hire EnerPower to provide said consulting services to
City and whereas EnerPower desires to provide such consulting services to City,
NOW THEREFORE,in consideration of the foregoing facts and circumstances
and the mutual promises and covenants contained herein,the parties agree hereto as
follow:
Terms
1. That the foregoing recitals are not to be construed as merely recitals but are
factual in nature and circumstance and binding upon the parties and are incorporated into
the herein terms.
2. EnerPower will provide consulting services to City including,but not limited
to, performing Electricity Efficiency and Usage Audits,Electrical meter and rate change
recommendations and ongoing energy consultation and information updates regarding
electricity rates.
3. City will pay to EnerPower amounts equal to THIRTY PERCENT (30%)of
the net savings to City on City's electrical bills received from PG&E for the usage
months of May through October(summer rate schedule)for a term of I full billable
summer period 2005. City's-payments hereunder to EnerPower will commence with the
.
first full month of service it PG&E's new summer neite. schedule. However,-under no
circumstance is City responsible to pay EnerPower anything in any month in which there
is no net savings to City on City's electrical service invoice from PG&E. It is expressly
stated herein and contemplated by the Parties that if City does not realize any net savings
as a result of EnerPower's consulting services that City is not responsible to pay any
monies to FnerPower for services rendered in any month in which no net savings to City
are realized.
4. This agreement shall remain in force for the summer rate seasons only
beginning the month of May 2005 and continuing through the month of October 2005.
City agrees that it will renew this agreement upon the herein terms in future years so long
as City continues to realize a net savings on their PG&E account numbers, see Exhibit A
attached.
5. City's monthly net savings will be based on the average summer rate schedule
(May through October 20043 paid minus the new rates obtained in future summer rate
schedules of May through October multiplied by the total KWH for the month in which
the net savings is realized. For PG&E account numbers, see Exhibit A attached.
6. In the event that there are no net savings to City during any summer month
within the summer month rate schedule,this Agreement may be cancelled by either party
upon THIRTY-DAY(30)written notice to the other party.
7. An initial payment to PG&E in the amount of$ is required to be paid
prior to qualification for lower tier billing analysis.
8.. City agrees to forward copies of its electrical service detail invoices (not
including natural gas details)to EnerPower monthly within *14 days of City's receipt of
the same from PG&E.
9. Savings will be calculated by EnerPower's designated consultant,John Ryan,
and must be approved by City's designated representative.

10. Payment to EnerPower of its consulting fees hereunder shall be paid monthly
upon City's receipt and approval of EnerPower's monthly savings report and invoice.
11. This Agreement shall be reviewed annually for correct pricing and
EnerPower shall continue to monitor PG&E`s summer rate schedules and any changes
hereto and continue to monitor and review City's electrical usage and make commits
upon the same which are likely to result in increased or continuing net savings to City.
12. As to City,EnerPower holds the position of an independent contractor and
shall remain independent of City and is not entitled to any benefits,protections,.,
indemnity, defenses or privileges from City or which are typically enjoyed by employees.
13. EnerPower shall not delegate its responsibilities under this Agreement or
assign its duties, obligations and rights under this Agreement without first obtaining
City's written ap p r-oval.
14. This agreement shall be construed according to the laws of the State of
California and the county wherein this Agreement has been signed. That in the event of
any dispute, lawsuit, litigation, claim or action arising out of this Agreement,the
prevailing party shall be entitled to the recovery of legal costs, including expert witness
or consultant fees as well as reasonable attorneys fees.
15. That if any term, clause or portion of this Agreement is later determined to be
invalid or unenforceable,that any such term, clause or portion shall be severed from this
agreement and shall not impact or effect the remaining terms nor impact the continuing
performance and/or enforcement of this Agreement.
