SUBJECT: ADOPT Resolution No. 2004/285 to consummate the conveyance of County-owned excess real
property to the State of California,Department of Transportation for the proposed South Vista Point for
the new Carquinez Bridge. Portion Assessor's Parcel No. 355-160-011

The Board of Supervisors of Contra Costa County RESOLVES THAT:
The Board hereby FINDS that the proposed action will not have a significant effect on the environment,and that
it has been determined to be exempt from the California Environmental Quality Act State CEQA Guidelines pursuant to
Section 15061 (b)(3), and DIRECTS the Director of Community Development to file a Notice of Exemption with the
County Clerk and DIRECTS the Public Works Director to arrange for payment of a$25.00 handling fee to the County
Clerk for filing and a$25.00 fee to Community Development for processing of the Notice of Exemption.
This Board on May 25,2004,passed Resolution No.2004/276 and Notice fixing June 8,2004,at 9:30 a.m.,in its
Chambers, County Administration Building, Martinez, California, as the time and place when it would meet to
consummate the conveyance of the real property described therein to the State of California, Department of
Transportation; said Notice was duly published in the Contra Costa Times.
This Board, by the aforesaid Resolution, found that said property is no longer required for present or future
County use and the sales price of$285,000 represents its market value.
This Board hereby APPROVES the Right of Way Contract between Contra Costa County and the State of
California,Department of Transportation,and the conveyance of the property located on San Pablo Avenue,Crockett
area, to the State of California, Department of Transportation upon payment of$285,000 to the County. The Chair,
Board of Supervisors, is hereby AUTHORIZED to execute a Grant Deed to the State of California, Department of
Transportation, on behalf of the County, and DIRECTS the Real Property Division to cause its delivery to Suzann
Goodhue, District Branch Chief, Right of Way for acceptance and recording.
The Public Works Director,or designee,is hereby AUTHORIZED to sign the Right of Way Contract on behalf
of the County.

Document No. 57140 in the form of a GRANT DEED, covering the property particularly described
in the above instrument has been executed and delivered to Suzann Goodhue, Right of Way
Agent for the State of California ("State").
In consideration of which, and the other considerations hereinafter set forth, it is mutually agreed
as to Parcel 57140 as follows:
1. (A) The parties have herein set forth the whole of their agreement. The performance of
this agreement constitutes the entire consideration for said Parcel 57140 and shall
relieve State of all further obligation or claims on this account, or on account of the
location, grade, or construction of the proposed public improvement, and on
account of any claims of unreasonable pre-condemnation conduct by State.
(B) Grantee requires said property described in Document No. 57140 for State highway
purposes, a public use for which Grantee has the authority to exercise the power of
eminent domain. Grantor is compelled to sell, and Grantee is compelled to acquire
the property.
Both Grantor and Grantee recognize the expense, time, effort, and risk to both
parties in determining the compensation for the property';by eminent domain
litigation. The compensation set forth herein for the property is in compromise and
settlement, in lieu of such litigation.
2. State shall:
(A) Pay the undersigned grantor(s) the sum of $285,000.00 less a withhold of $4,000
as provided for in Clause 8 below for the property or interest conveyed by
Document No. 57140 when title to said property vests in the State free and clear of
all liens, encumbrances, assessments, easements and leases (recorded and/or
unrecorded') and taxes, except:
a. Taxes for the tax year in which this escrow closes shall be cleared and paid
in the manner required by Section 5086 of the Revenue and Taxation Code,
if unpaid at the close of escrow.
b. Covenants, conditions, restrictions and reservations of record, or contained
in the above referenced document.
C. Easements or rights of way over said land for public or quasi-public utility or
public street purposes, if any.
d. Withhold as provided for in Clause 8 below.

Alliance Title, dated March 2, 2003, their report number 11 136174-503-KAD.
1. Exception No. 3, title company examination of records discloses no
open deeds of trust on Parcel 57140 as described in Document No.
57140. Grantor warrants that Parcel 57140 will not be encumbered
with a mortgage instrument of any kind prior to the close of escrow.
2. Exception No. 5 requires any facts, rights, interest or claims which a
correct survey would show. State will provide a survey should it be
required by the title company.
(B) Pay all escrow and recording fees incurred in this transaction, and if title insurance
is desired by the State, the premium charged therefore.
(C) It is agreed by the parties hereto that Grantor is a public agency and Grantor
warrants there are no outstanding bond demands, taxes and/or assessments
current or delinquent on Parcel 57140. In the event any should accrue to said
Parcel 57140 prior to the close of escrow, State shall have the authority to deduct
and pay from the amount shown in Clause 2(A) above, any amount necessary to
satisfy any bond demands and any delinquent taxes due in any year except the
year in which this escrow closes, together with penalties and interest thereon,
and/or delinquent and/or nondelinquent assessments which have become a lien at
the close of escrow or bonds except those which title is to be taken subject to in
accordance with the terms of this contract.
3. It is understood by the parties hereto, and Grantor warrants that there are no outstanding
mortgages, deeds of trust, or bonds currently encumbering Parcel 57140 and Grantor
warrants that it will not encumber said Parcel 57140 with a mortgage, deed of trust or bond
prior to the close of escrow.
4. It is agreed and confirmed by the parties hereto that notwithstanding other provisions in
this contract, the right of possession and use of the subject property by the State shall
commence on June 8, 2004 or upon close of escrow whichever is earlier and that the
amount shown in Clause 2(A) herein includes but is not limited to, full payment for such
possession and use, including damages and interest, if any, from said date.
5. Grantor shall execute the Right of Way Contract and the Grant Deed and make every
effort to submit to State on or before June 10, 2004. Said documents along with the check
for the total compensation due Grantor shall be deposited into Escrow No. 11136174-503-
KAD with Alliance Title Company, 1850 Mt. Diablo Boulevard, Suite 160, Walnut Creek,
CA 94596. State shall make every effort to deposit compensation within 30 days of receipt
of all necessary documents. It is understood that the escrow officer will not record the
Grant Deed prior to the receipt of the State's funds.
6. Time is of the essence in this contract.
7. Grantor warrants that to the best of its knowledge that there are no oral or written leases
or subleases on all or any portion of the property, and Grantor further agrees to hold State
harmless and reimburse State for any and all of its losses and expenses occasioned by
reason of any lease or sublease of said property held by any tenant or subtenant of
Grantor excepting claims brought against Grantor and/or the State by Viacom, Inc. or
Clear Channel.

A large advertising s;�js'r, operated by Viacom, Inc. is lotzked on the property being
acquired by State from Grantor. Viacom, Inc. claims they have sub-leasehold rights to the
sign, based on an alleged master lease between Clear Channel (formerly Eller Media) and
the former Southern Pacific Railroad Company (now Union Pacific Railroad Company).
The compensation State is paying for Parcel 57140 is based on the acceptance by State
that to the best of the Grantor's knowledge neither Viacom, Inc. nor Clear Channel have
any right, title, or interest in Parcel 57140 and Grantor has not granted them any leasehold
rights for the signboard located on Parcel 57140. The parties hereto agree that Union
Pacific Railroad has an undefined easement for ingress and egress from San Pablo
Avenue to its property adjacent to Grantor's. The easement only allows Union Pacific
Railroad to convey materials and work persons to repair its facilities.
8. The Acquisition price of the property being acquired in this transaction reflects the fair-
market value of the property without the presence of contamination other than clean up
costs for an area of approximately 600 square feet to a depth of three feet containing
elevated levels of petroleum hydrocarbons in the diesel and motor oil range. The cost of
remediation is estimated by Caltrans staff to be the sum of $4000.00, based on the
information set forth in the report prepared by Geocon Consultants, Inc. and dated May
2001, which sum is being withheld in escrow until the soil is remediated. In the event the
cost of said remediation is less than $4000.00, the difference will be paid to Grantor.
It is also understood and agreed by the parties hereto that Grantor used the parcel being
acquired herein as a material storage site for roadway repairs. Grantor acknowledges
responsibility for these materials and will remove them, leaving the site free and clear of
any stored materials.
Grantor will retain ownership of the stored materials and they will be relocated to another
site pursuant to the November 1, 2001 letter titled "Notice of Eligibility."
9. This agreement contains all of the covenants, conditions and agreements between the
parties related to the subject matter of this agreement, and 'supersedes all prior
correspondence, agreements and understandings, both verbal and written, related
hereto. No addition to or modification of any term or provision hereof shall be effective
unless set forth in writing and signed by the parties to this agreement.
10. The waiver by any party to this agreement of any breach of any terms, covenant or
condition imposed on any other party by this agreement shall not be deemed a waiver by
any party of any other breach of any term, covenant or condition imposed by this
agreement, no waiver shall be deemed effective unless provided for in writing.
11. If any of the provisions of this agreement or its application is, to any extent, determined by
a court of competent jurisdiction to be unenforceable, the remainder of this agreement, or
application of such provisions), shall not be affected thereby, and each remaining
provision of this agreement shall be valid and enforceable to the fullest extent permitted by
law.
12. The undersigned Grantor hereby agrees and consents to the dismissal of any eminent
domain action in the Superior Court wherein the herein described land is included and also
waives any and all claims to any money that may now be on deposit in said action.
13. By this agreement, Grantor and State do not waive any rights defenses, immunities, and
remedies, except as specifically set forth in this agreement.

pursuant to Article 5, Section 15061 (b) (3) of the CEQA Guidelines.
It can be seen with certainty that there is no possibility that the activity may have a significant
adverse effect on the environment.
DESCRIPTION OF THE ACTIVITY:
Under the threat of condemnation, Caltrans has offered to purchase a 5,443 square meter
section, out of a 32,770 sq. meter parcel owned by Contra Costa County.Caltrans will use
the land as access to a viewing site that will overlook the Carquinez Strait. Construction of
the viewing site is part of the larger Carquinez Bridge Replacement Project and all impacts
associated with construction of the overlook are the responsibility of Caltrans. The
overlook was addressed in the Caltrans NEPA EIS I CEQA Statutory Exemption
Document. Although this is a sale of County property to the State, the County does not
deem the property surplus. Contra Costa County Public Works and Caltrans staffs were
able to reach a negotiated settlement amount, and the County has agreed to sell the
required property to Caltrans for their project and to avoid litigation. This DE covers the
Real Property transactions necessary in support of Caltran's project. The acquisition is
located at the south-east corner of Parcel APN 355-160-011.
