COSTA DATE: MAY 11, 2004 COUNTY SUBJECT: THIRD AMENDMENT TO LEASEBACK WITH CENTRAL CONTRA COSTA SANITARY DISTRICT FOR THE PREMISES AT 4049IMHOFF PLACE, MARTINEZ (T04058) SPECIFIC REQUEST(S)OR RECOMMENDATION(S)&BACKGROUND AND JUSTIFICATION RECOMMENDATION 1. APPROVE the Third Amendment to the Leaseback, first amended March 1, 2002 and second amended November 3, 2003 with Central Contra Costa Sanitary District (Sanitary District) for the Premises at 4849 Imhoff Place, Martinez (Martinez Animal Shelter) to extend the term of the Leaseback under the terms and conditions more particularly set forth in the Third Amendment to the Leaseback. 2. AUTHORIZE the Director of General Services, or designee, to EXECUTE the Third Amendment on behalf of the County. FINANCIAL IMPACT The Third Amendment extends the term of the Leaseback and monthly rental amount of $5,800 from April 4, 2004 to December 31, 2004. In the absence of the Third Amendment, the County would have been obligated to pay a rental of$29,000 per month for holding over beyond April 4, 2004. BACKGROUND On March 5, 2002, the Board approved the First Amendment to the above Leaseback to extend the term from November 4, 2002 to November 4, 2003 to coincide with completion of the new animal services facility in Martinez. On December 2, 2003 the Board approved the Second Amendment to the Leaseback to extend the term from November 4, 2003 to April 4, 2004 due to unanticipated project delays associated with construction of the new facility. The project has again been delayed and the new anticipated date for completion is August 2004. The Sanitary District Board of Directors has agreed to the Third Amendment to the Leaseback that extends the term to December 31, 2004 and maintains the monthly rental at$5,800 per month. Effective Date and Parties: Effective May 11,2004, Jacobson Silverstein Winslow Architects(herein called"Consultant"),a Partnership,and the County of Contra Costa(herein called"County"),a political subdivision of the State of California,mutually agree as follows: 2. Purpose: On July 9, 2002, the parties entered into a contract entitled "Consulting Services Agreement," referred to as the "Agreement," which covers the replacement of the existing Discovery House at 4639 Pacheco Boulevard with a new facility to be adjacent to the existing facility at 4545 Pacheco Boulevard, Martinez. The Agreement has previously been amended as follows: First Amendment dated August 21, 2002, Second Amendment dated March 27, 2003,Third Amendment dated April 10,2003 and Fourth Amendment dated August 5, 2003. The parties desire to further amend the Agreement to expand the scope of service and to increase the payment limit accordingly. 3. Amendments to Agreement: A. In the Agreement, Section I(c), change the Payment Limit from$304,967.00 to $309,317.00, an increase of$4,350.00. This change shall apply to charges from and after April 5,2004. R In accordance with Section 14 of the Agreement provide additional scope of services including the following: • Review and coordinate added underground fire service drawings requested by the Contra Costa County Fire Protection District. • Review and coordinate electrical site changes required by P.G.and E. • Review and coordinate additional fire protection to structural supports as required by County Building Inspection. • Review new code revisions regarding the elevator sump pump. 4. Effect: Subject to the revisions made by this and any prior amendments,the Agreement shall remain in full force and effect. 5. The Third Amendment increased the services to include a re-analysis of the site due to a site merger of 4639 and 4645 Pacheco Boulevard. The additional services also included landscaping design and civil and structural engineering due to the site changes. The Fourth Amendment increased the services to include additional site visits and additional work required by the Mt. View Sanitary District, The Fourth Amendment also added $3,000 for additional reimbursable expenses. This Fifth Amendment provides for additional scope of services including the following: • Review and coordinate added underground fire service drawings requested by the Contra Costa County Fire Protection District. • Review and coordinate electrical site changes required by P. G. and E. • review and coordinate additional fire protection to structural supports as required by County Building Inspection. • Review new code revisions regarding the elevator sump pump.
