RECOMMENDED ACTION: Authorize the executive director of the Housing Authority of the County of Contra Costa to enter into an IP Telephony Project Hardware & Installation Agreement with AMS.NET in the amount of $282,461.42. 11. FINANCIAL IMPACT: This agreement has been budgeted from two Housing Authority revenue sources, Capital Funds and Section 8 Earned Administrative Fees. No County General Funds are required. Ill. REASONS FOR RECOMMENDATION/BACKGROUND In August 2002 a Request for Proposal (RFP)was published for the purpose of selecting a vendor to install a telephone system, related equipment, and training that will best satisfy the Housing Authority's current and future telephone communication requirements. Seven vendors responded to the RFP. A review of their proposals and research of the various proposed telephony solutions had been extensive and diligent. Future needs and technological advances influenced the Housing Authority's decision for a system that complimented its recent acquisition of its management information system. AM'S.NET's proposal was selected after an evaluation of costs, vendor experience, quality, appropriateness of the proposed solution to this agency, and staff competencies. The system will include a call accounting package. • Consolidation of the Housing Authority's outgoing/incoming lines into a more cost effective phone system. Combined with the additional controls, we anticipate significant reduction in our overall long distance and toll charges. • A voice-over-intemet protocol (VOIP) phone system so it can be incorporated into the Housing Authority's newly installed T1 Data !Network. • Incorporation of a voice messaging system to support its operations. • Reduction of response times and improved quality of service callresponses. • Support for current operations and incremental expandability to meet growing business and program operational staffing requirements. • The convergence of voice, data and video onto a single Internet Protocol network resulting in lower cost of network ownership; i.e., one communication line for all three media. AMS.NET headquarters is in Livermore, CA and has excellent communications installation and maintenance experience throughout the Say Area. Their staff of professionals includes approximately ten CISCO certified technicians, managers, designers and engineers. IV. CONSEQUENCES'OF NEGATIVE ACTION: Should the Board of Commissioners choose not to approve this agreement, the Housing Authority would not be able to meet its implementation schedule for this project. H:\JudyHayes\MSOFFICE\WINWORDIBOARDIBO-New'retephone System Contract.doc IP TELEPHONY PROJECT HARDWARE AND INSTALLATION AGREEMENT This IP Telephony Project Hardware and Installation Agreement ("Agreement") is entered into as of March 25, 2003 by and between Contra Costa County Housing Authority, ("Customer")and AMS.NET, INC ("Seller"). WHEREAS, Seiler is in the business of designing, installing and servicing Local and Wide Area Networks, and video and data installations, as well as, selling Multi-Service Networking and software, and IP Telephony Systems in connection therewith; WHEREAS, Customer is a Government Agency operating at 3133 Estudillo Street,Martinez, California 94553. WHEREAS, Customer desires to purchase various multi-service Cisco IP Telephony communication & networking products, cabling and electrical hardware and software from Seller throughout several remote offices, and to retain the services of Seller for purposes of installing and servicing such equipment. NOW, THEREFORE, in consideration of the promises and covenants contained herein the parties hereto agree as follows: 1. Definitions. For purposes of this Agreement the following terms shall be defined as follows: (a) "Multi-service" shall mean the Multi-Service Networking and devices listed and described on the price quote(s) (the "Price Quote(s)"). Copies of the Price Quote(s) are attached to this Agreement as Exhibit "A, and the Price Quote(s) are incorporated herein in their entirety by this reference. (b) "Installation Services" shall mean the installation, set-up, testing and related services to be performed by Seller in connection with the sale of the multi- service networking components, as described in greater detail in the Price Quote(s). (c) "Software" shall mean the computer software listed on the Price Quote(s). 2. Agreement to Purchase Multi-Service Networking; and Services. Customer hereby agrees to purchase from Seiler, and Seller hereby agrees to sell to Customer, the Multi-Service Networking and Installation Services according to the terms and conditions set forth herein and in the Price Quote(s). Customer and Seller agree that this Agreement and the Price Quote(s) may be amended and/or modified from time to IP Telephony Project Hardware and Software Agreement P.O. Contract# time by a written agreement duly executed by persons authorized to execute agreements on behalf of Customer and Seller. Customer and Seller agree that Customer may submit additional orders to Seller, which, upon being approved by Seller in writing, will become a part of this Agreement and subject to all of the terms and conditions contained herein. The parties hereto further agree that the terms and conditions contained in this Agreement shall prevail notwithstanding any additional orders submitted by Customer. However, in the event any additional orders are submitted by Customer and approved by Seller, the Purchase Price, as defined in Section 3, below, shall be adjusted accordingly. 3. Purchase Price, Taxes and.Payment Terms. The purchase price for the Contra Costa Housing Authority's IP Telephony Project and Installation Services is listed by each Quote listed in Exhibit A(the'Turchase Price"). Seller shall separately invoice Customer as follows: Hardware will be paid 100% upon deliveryat site and progressive labor billings for Construction and Equipment Installation will be billed twice per month based on the portion of work completed with the final 10% retention to be invoiced upon job completion and sign off. Seller shall deliver such invoices to Customer and each invoice provided shall state the approximate value of the Multi-Service Networking and/or Installation Services provided at such location to date that have not yet been paid for. Customer shall pay any and all taxes based on or in any way measured by this Agreement, the Multi-Service Networking and Software, or the Installation Services, excluding taxes based on Seller's net income. If Customer elects to challenge the applicability of any such taxes, Customer shall pay such taxes to Seller and Customer may thereafter challenge such taxes and seek refund thereof. 4. Title. Title to the Multi-Service Networking Project Equipment shall vest in the Customer upon delivery thereof by Seller; provided, however, Seller shall retain a security interest in such equipment until Seller receives payment in full of the Purchase Price in accordance with Section 3, above. 5. Maintenance Services. In addition to the Installation Services, Seller agrees to provide a one-year, on-site Service Agreement with a four (4) hour response time for maintenance services to Customer as set forth in the Quote(s), a copy of which is attached hereto as Exhibit "A" and incorporated herein in its entirety by this reference, and based on the specific performance standard needs of individual Multi-Service Networking and Software items as determined by Seller("Maintenance Services"). -2 - IP Telephony Project Hardware and Software Agreement P.O. Contract# 6. Warranties. (a) Seller warrants that it has good title to the Multi-Service Networking and Software and the right to sell the Multi-Service Networking and Software to Customer free of any proprietary rights of any other party or any other encumbrance whatsoever. (b) All Multi-Service Networking furnished hereunder is warranted to be free from defects in materials and workmanship for a warranty period of one year from date of installation, including parts and on site labor. The foregoing warranty shall not apply to consumables or portions of the Multi-Service Networking that are expendable by their nature. (c) If the Multi-Service Networking fails to meet the warranties of Section 6(b), and Customer gives Seller written notice thereof during the warranty period, Seller's sole obligation shall be to correct the failure by repair, replacement, or adjustment; or Seller may, at its sole and absolute discretion, elect to take back that portion of the Multi-Service Networking that fails to meet the warranties of Section 6(b), and return a corresponding portion of the Purchase Price, whereupon Seller shall have no further obligation to Customer with respect to such portion of the Multi- Service Networking, . (d) EXCEPT AND TO THE EXTENT EXPRESSLY PROVIDED IN THIS SECTION, THERE ARE NO OTHER WARRANTIES, EXPRESS OR IMPLIED, OFFERED HEREUNDER. (e) Except for the Multi-Service Networking and Software purchased hereunder, Customer shall be solely responsible for the selection, use, efficiency and suitability of all future Multi-Service Networking and software purchased and/or acquired by Customer, and no warranties are made hereunder in connection with such Multi-Service Networking and/or software. (f) Seller shall not be liable to Customer for the warranty provisions of this Section 6 if: (1) Modifications are made to the Multi-Service Networking, by someone other than Seller; - 3 - IP Telephony Project Hardware and Software Agreement P.O. Contract# (2) Attachments, features or devices are employed on the Multi-Service Networking that are not supplied by Seller or not approved in writing by Seller; (3) A version other than the current version of the Software is used on the Multi-Service Networking or (4) The Multi-Service Networking is subject to misuse or abuse. 7. Termination/cancellation. (a) This Agreement may be terminated or cancelled by Seller if: (1) Customer fails to pay Seller the purchase price; (2) Customer is in default of any other provision of this Agreement and such default has not been cured within twenty(20) days after written notice thereof is given by the Seller; or (3) Customer becomes insolvent or seeks protection, voluntarily or involuntarily, under any bankruptcy laws. (b) In the event of any termination/cancellation of this Agreement, the Seller may: (1) Declare all amounts owed to Seller to be immediately due and payable; and (2) Cease performance of all its obligations hereunder without liability to Customer. (c) The foregoing rights and remedies of Seller shall be cumulative and in addition to all other rights and remedies available to the Seller in law and in equity. S. General terms and conditions. (a) Definition "Housing Authority" shall mean The Housing Authority of the County of Contra Costa (HACCC). -4 - IP Telephony Project Hardware and Software Agreement P.O. Contract# "Offeror" shall mean any person, firm, partnership, or corporation submitting a proposal to HACCC in response to this solicitation. "Contractor" shall mean the offeror whose proposal is accepted by HACCC and who has entered into an agreement with HACCC to provide the equipment and services described herein, "Vendor"or"Seller" shall mean the same as Contractor. 9. Affirmative Action. The HACCC, as a matter of policy, encourages the participation of small, minority and woman-owned businesses. This agency fully supports the principles and ideals of Equal Employment Opportunity. All vendors, contractors and each subcontractor shall comply with 'those applicable federal and state guidelines and regulations regarding Equal Employment Opportunity and non-discrimination in employment. 10. Minority and woman business enterprise (MWBE) Participation Encouraged. The Housing Authority encourages the participation of small, minority and woman business enterprises (MWBE) in Housing Authority procurements. Attached are the Representations and Certifications, which contains a description of the Housing Authority's requirements to qualify as an MWBE. Prospective MWBE contractors are encouraged to contact the Housing Authority Representative listed in the Request for Bid (RFB) or Request for Proposal (RFP) for information concerning the Housing Authority's procurement procedures. 11. Assignment of rights,.title and interest. In submitting a bid to a public purchasing body, the vendor offers and agrees that if the bid is accepted, it will assign to the purchasing body all rights, title and interest in and to all causes of action it may have under Section 4 of the Clayton Act(15 U.S.C. Seca 15)or under the Cartwright Act (Chapter I [commencing with Section I67001 of Part 2 of Division 7 of the Business and Professions'Code), arising from purchases of goods, materials or services by the bidder for sale to the purchasing body pursuant to the bid. Such assignments shall be made and become effective at the time the purchasing body tenders final payment to the vendor. 12. CAL OSHA. As applicable, all items furnished under this bid shall meet or exceed the standards established by the California Occupational Safetyand Health Act of 1973 (OSHA) and current amendments thereto, provided the end use of the item is for the purpose for which the item is intended. - 5 - IP Telephony Project Hardware and Software Agreement P.Q.Contract# 13. Conflict in terms. A purchase order resulting from this Request for Bids will include all Housing Authority specifications, terms and conditions contained in the RFBunless specifically modified by the Housing Authority prior to award. The Housing Authority's terms and conditions will take precedence over other terms and conditions. A copy may be obtained from the Housing Authority upon request. 14. Delivery. Time is of the essence, and the purchase order is subject to termination for failure to deliver on time. The acceptance by buyer of late performance with or without objection or reservation shall not waive the right to claim damage for such breach nor constitute a waiver of the requirements for the timely performance of any obligation remaining to be performed by the vendor. 15. Inspection. All items or services are subject to final inspection and acceptance at designation by the Housing Authority. Such final inspection shall be made within a reasonable time after delivery. 16. Termination for default. The Housing Authority may, by written notice of default to the vendor, terminate any resulting order in whole or in part, should the vendor fail to make satisfactory progress, fail to deliver within time specified therein or fail to deliver in strict conformance to specifications and requirements set forth therein. In the event of such termination, the Housing Authority reserves the right to purchase or obtain the supplies or services elsewhere, and the defaulting vendor shall be liable for the differences between the prices set forth in the terminated order and the actual cost thereof, if higher, to the Housing Authority. The prevailing market price shall be considered the fair repurchase price. (a) If, after notice of termination of this contract under the provisions of this clause, it is determined for any reasons that the Contractor was not in default under the provisions of this clause, the rights and obligations of the parties shall, if the contract contains a clause providing for terminating for convenience of the Housing authority, be the same as if the notice of terminating had been issued pursuant to such clause. (b) The rights and remedies of the Housing Authority provided in this article shall not be exclusive and are in addition to any _6 _ IP Telephony Project Hardware and Software Agreement P.O.Contract# other rights and remedies provided by law or under resulting order. 17. Termination for convenience. The Housing Authority may, by written notice stating the extent and effective date, terminate any resulting order for convenience in whole or in part,at any time. The Housing Authority shall pay the vendor as full compensation for performance until such termination. (a) The unit or pro rata price for the delivered and accepted portion. (b) A reasonable amount,as costs of termination,not otherwise recoverable from other sources by the vendor as approved by the Housing Authority, with respect to the undelivered or unaccepted portion of the order, provided compensation hereunder shall in no event exceed the total price. (c) In no event shall the Housing Authority be liable for any loss of profits on the resulting order or portion thereof so terminated. (d) The rights and remedies of Housing Authority provided in this article shall not be exclusive and are in addition to any other rights and remedies provided by law or under resulting order. 18. Title. Title to the material and supplies purchased shall pass directly from vendor to Housing Authority at the F.O.B. point shown, subject to the right of the Housing Authority to reject upon inspection. 19. Variations in Specifications. The Housing Authority reserves the right to waive a variation in specification if, in the opinion of the Housing Authority, such variation does not materially change the item or its performance within parameters acceptable to the Housing Authority. 20. Hazardous Substances. If any products being delivered or supplied to the Housing Authority under this contract/purchase order is listed in the Hazardous Substances List of Regulations of the Director of Industrial Relations with the California Occupational Safety and Health Standards Board,or if the product presents a physical or health hazard as defined in the - 7 - IP Telephony Project Hardware and Software Agreement P.O.Contract# California Code of Regulations, General Industry Safety Order, Section 5194 (T8CCR), Hazard Communication,then the contractor must include a Material Safety Data Sheet (MSDS)with delivery or shipment. Each MSDS must reference the contract/purchase order number, and identify the"Ship To"address. All shipments and containers must comply with the labeling requirements of Title 49, Code of Federal Regulations by identifying the hazardous substance,name, address of manufacturer, and appropriate hazard warning regarding potential physical safety and health hazard. No product which is manufactured with fully halogenated chlorofluorocarbons (CFC) shall be delivered or supplied, or used on a job site in performance of this contract/purchase order unless specifically described in the stated requirements of this contract/purchase order or otherwise explicitly authorized by the Housing Authority's Deputy Executive Director of Operations. 21. Prohibited Contracts. The Housing Authority's policy provides that the Housing Authority shall not contract with, and shall reject any bid or proposal submitted by the person or entities specified below,unless the Board of Supervisors finds that special circumstances exist which justify the approval of such contract: (a) Persons employed by the Housing Authority or of public agencies for which the Board of Commissioners/Supervisors is the governing body; (b) Profit-making firms or businesses in which employees of the Housing Authority serve as officers, principals, partners, or major shareholders; (c) Persons who, within the immediately preceding twelve (12) months were employees of the Housing Authority and who (1) were employed in positions of substantial responsibility in the area of service to be performed by the contract,or (2) participated in any way in developing the contract or its service specifications;and (d) Profit-making firms or businesses in which the former employees of the Housing Authority serve as officers, principals,partners or major shareholders. With the affixing of a signature to your response to this solicitation, offeror certifies that the above provisions of the code have been complied with,and that any exception will cause any ensuing contract to be invalid. _ g _ ................................. .................... IP Telephony Project Hardware and Software Agreement P.O. Contract# 22. Most Favored Customer Price Guarantee. Notwithstanding any other pricing agreed to between the parties to this contract, the parties agree that the Housing Authority is a preferred customer, and prices charged to the Housing Authority will be no greater than these charged the contractor's most favored customer. Furthermore, should the Housing Authority find a lower price offered in the contract award area within fifteen(15)calendar days after delivery, for the same product,payment terms, delivery terms and comparable quantity as set forth in this contract,and any applicable purchase order or suborder,the contractor shall, upon presentation of authentic proof of such lower price, immediately refund the difference to the Housing Authority. 23. Availability of funding. The Housing Authority's obligation for payment of any contract beyond the current fiscal year end is contingent upon the availability of funding from which payment can be made. No legal liability on the part of the Housing Authority shall arise for payment beyond June 30 of the calendar year unless funds are made available for such performance. 24. Disputes. (a) Except as otherwise provided in this contract, any dispute concerning a question of fact arising under this contract which is not disposed of by agreement shall be decided by the Housing Authority Representative who shall furnish the decision to the Contractor in writing. The decision of the Housing Authority Representative shall be final and conclusive unless determined by a court of competent jurisdiction to have been fraudulent or capricious, or arbitrary, or so grossly erroneous as necessarily to imply bad faith. The Contractor shall proceed diligently with the performance of the contract pending the Housing Authority Representative's decision. (b) The "Disputes" clause does not preclude considerations of legal questions in connection with decisions provided for in paragraph 18.1 above. Nothing in this contract shall be construed as making final the decision of any administrative official,representative or board on a question of law. 25. Changes. The 1-lousing Authority Representative may at any time, by written order, make changes within the,general scope of this contract, in the definition of services to be performed, and the time (i.e., hours of the day, days of the week, etc.) and place of performance thereof. If any such change causes an increase or decrease in the cost of, or the time _ g _ ................................................................................................................... ............................................................ IP Telephony Project Hardware and Software Agreement P.O.Contract# required for the performance of any part of the work under this contract, whether changed or not changed by any such order, an equitable adjustment shall be made in the contract price or delivery schedule, or both, and the contract shall be modified in writing accordingly. Any claim by the Contractor for adjustment under this contract, whether changed or not changed by any such order, an equitable adjustment shall be made in the contract price or delivery schedule, or both, and the contract shall be modified in writing accordingly. Any claim by the Contractor for adjustment under this clause must be asserted within 30 days from the date of receipt by the Contractor of the notification of the change; provided however, that the Housing Authority Representative, if he decides that the facts justify such action, may receive and act upon any such claim asserted at any time prior to>final payment under this contract. Where the cost of property made obsolete or excess as a result of a change is included in the Contractor's claim for adjustment, the Housing Authority Representative shall have the right to preserve the manner of disposition of such property. Failure to agree to any adjustment shall be a dispute concerning a question of fact within the meaning of the clause of this contract entitled "Disputes". However, nothing in this clause shall excuse the Contractor from proceeding with the contract as changed. 26. Assignability. The Contractor shall not assign any interest in this contract, and shall not transfer any interest in the same (whether by assignment or novation), without the prior written consent of the Housing Authority thereto; provided however, that claims for money due or to become due to the Contractor from the Housing Authority under this contract may be assigned without such approval. Notice of any such assignment or transfer shall be furnished promptly to the Housing Authority. 27. Hold Harmless. The Contractor agrees to hold the Housing Authority, its officers and employees, free and harmless from any and all claims of whatsoever kind of nature for the damage to property or for personal injury, including death, made by anyone whomsoever which may arise from operations carried on under this contract to the extent such claims are caused by this negligence or misconduct. The Contractor shall exonerate, identify and hold harniless the Housing authority from and against, and shall assume full responsibility for payment for all federal, state and local taxes or contribution imposed or required under unemployment insurance, social security and income tax laws, with respect to the Contractor and his employees engaged in performance of tI-ds contract. The Housing Authority and its agents and employees shall not be, nor be held liable for any liabilities, penalties, forfeitures, or for any damage to the goods, properties or effects of the Contractor or of any other persons whomsoever,nor for personal injury to or death of them,whether cause by or resulting from any negligent act or omission of the Contractor. The Contractor further agrees to indemnify and hold harmless the Housing Authority and its agents and employees, against and from any and all of the foregoing obligations and liabilities, by which it is intended by both parties that the Contractor shall indemnify and hold the - 10- IP Telephony Project Hardware and Software Agreement P.O. Contract# Housing Authority harmless from all claims arising by reason of the work done, or by any act or omission of the Contractor. 28. Disallowance. In the event the Contractor receives payment for services under this contract which is later disallowed by the Housing Authority, the Contractor shall promptly refund the disallowed amount to the Housing Authority on request, or at its option, the Housing Authority may offset the amount disallowed from any payment due to the Contractor under any contract with the Housing Authority. 29. Governing;Law. This contract shall be construed and interpreted according to the laws of the State of California. 30. Contractor.Representation. Unless the Contractor expressly states otherwise in his proposal, where functional requirements are expressly stated as part of the requirements of this solicitation, the Contractor, by responding, represents that in its opinion the system proposed is capable of meeting those requirements. In the event of any inconsistency between the functional specificationand the detailed specifications contained in the solicitation, the former will control. 31. Warranty. Contractor agrees that the equipment, supplies or services to be furnished shall be covered by the most favorable commercial warranties the Contractor gives to any customer of the same or substantially similar equipment, supplies or services, and that the rights and remedies so provided: are in addition to and do not limit any right afforded to the Housing Authority. 32. Licensing. Attention is directed to the provisions of Chapter 9, of Division 3, of the Business and Professions Code concerning the licensing of contractors. All offerors and contractors shall be licensed, if required, in accordance with the laws of this state, and any offeror or contractor not so licensed is subject to the penalties imposed by such laws. 33. Invoices. All deliveries must be accompanied by invoices or delivery tickets. A copy of each invoice or delivery ticket must be signed by the individual accepting delivery. Invoices shall include item, description, quantity, delivery point, price, terms, purchase order - 11 - IP Telephony Project Hardware and Software Agreement P.O.Contract# number, sub-order number (if applicable to a blanket purchase order), and any data relative to the shipment. Original invoices shall be mailed to the Deputy Executive Director for Operations, Housing Authority of the County of Contra Costa, 3133 Estudillo Street, Martinez, CA 94553. Discounts will be calculated from receipt of merchandise or invoice, whichever is later. 34. Air,water pollution, safety,and health. Contractor shall comply with all air pollution control, water pollution, safety and health ordinances and statutes which apply to the work performed pursuant to this contract, including any requirements specified in state government codes. 35. Right to acquire equipment and service. Nothing in this agreement shall prohibit the Housing Authority from acquiring the same type or equivalent equipment and/or service from other sources, when deemed by the Housing Authority to be in its best interest. 36. Severability. Should any part of this agreement be held to be invalid by a court of competent jurisdiction, the remainder of the agreement shall be considered as the whole agreement and be binding on the contracting parties. 37. Notice. Any notice or notices required or permitted to be given pursuant to this agreement may be personally served on the other party by the party giving such notice, or may be served by certified mail,return receipt requested, to the addresses set forth herein. 38. Product identification and labeling. Each package shall be identified with manufacturer's label, which shall conform to the requirements of the Fair Packaging and Labeling Act in section 12604 of the California Business and Professions Code, when applicable. 39. Drug and alcohol-free workplace. The Housing Authority of the County of Contra Costa, in recognition of the public service responsibilities entrusted to the employees of the Housing Authority, acknowledges that drug and/or alcohol usage can hinder a person' ability to perform duties safely and effectively. (f) Shall notify his supervisor of any criminal drug statute conviction for a violation occurring in the workplace no later than five(5)days after such a conviction. (g) The Contractor shall inform all employees who are performing service for the Housing Authority, of the Housing Authority's objective of a safe, healthful and productive workplace and the prohibition of drug or alcohol use or impairment of same while performing such service for the Housing Authority.
