II. Financiallmpact:
There will be no impact to the General Fund. The estimated cost of the project is $80,000. The
project is funded 100% with County Road Funds.
III. Reasons for Recommendations and Background:
Hemme Avenue is a two lane narrow roadway in the Alamo area of Contra Costa County.
Rancho Romero Elementary School is located on Hemme Avenue between Danville Boulevard
and La Sonoma Drive. The number of parents driving their children to school has increased over
the years. The increased vehicle volume has created a backup at the school that;extends onto
Hemme Avenue. Through vehicles on Hemme Avenue must either wait for the line of vehicles
to clear or pass on the left against oncoming traffic. To relieve this situation, the school has
proposed a number of changes to their parking lot and drop-off area. These improvements will
help alleviate the circulation problem at the school. In conjunction with the school's project, the
County proposes to construct a right turn pocket into the school and re-stripe Hemme Avenue to
provide an exclusive right turn lane and a through/right lane, thereby increasing the capacity and
safety of the area.
It is mutually agreed that merging the work into one design and construction contract administered
by the School District should result in lower contract administration costs and a shorter delivery
time. The purpose of the Agreement is to provide for the apportionment of duties and costs
between the School District and the County for the inclusion of planned County work into the
School District's design and construction contract.
IV. Consequences of Negative Action:
Failure to approve the agreement will result in the right turn lane not being constructed.

JOINT EXERCISE OF POWERS AGREEMENT
BETWEEN CONTRA COSTA COUNTY AND THE SAN RAMON VALLEY UNIFIED
SCHOOL DISTRICT
FOR STREET IMPROVEMENTS ON HEMME AVENUE
(County Project No.: 0662-6U4168)
This AGREEMENT is entered into on the 5th day of June , 2001, between San
Ramon Valley Unified School District, a California School District, hereinafter DISTRICT,
and County of Contra Costa, a political subdivision of the State of California, hereinafter
COUNTY, pursuant to Government Code section 6500, and following.
The parties to this AGREEMENT mutually agree and promise as follows:
1. Purpose and Scope of Work.
COUNTY desires to improve Hemme Avenue along the frontage of Rancho
Romero Elementary School. DISTRICT plans to design and build parking lots and
other landscape and park improvements to Rancho Romero Elementary School. It
is mutually agreed that merging said work into one design and construction
contract administered by DISTRICT should result in lower contract administration
costs and a shorter project delivery time. The purpose of this AGREEMENT is to
provide for the apportionment of duties and costs between DISTRICT and
COUNTY for the inclusion of planned COUNTY work into DISTRICT'S design and
construction contract. As used in this AGREEMENT, the term "PROJECT" shall
refer only to COUNTY work on Hemme Avenue to provide a right turn pocket
(described in further detail in Exhibit B) into Rancho Romero Elementary School.
The PROJECT is contingent upon the simultaneous construction of the
DISTRICT'S entire Rancho Romero Elementary School improvements.
2. Responsibilities of DISTRICT and COUNTY.
A. DISTRICT shall be responsible for the following:
(1) Act as lead agency.
(2) Convey the necessary road right-of-way for PROJECT.
(3) Obtain the necessary environmental clearance under the California
Environmental Quality Act.
(4) Develop the plans, specifications, and cost estimates for PROJECT
based on County street standards.
(5) Advertise and award the contract for PROJECT.
(6) Obtain a no-fee encroachment permit from COUNTY to construct
PROJECT.
(7) Perform construction inspection, contract administration, and
materials testing for PROJECT.
(8) Approve and accept PROJECT as complete after approval by
COUNTY.
(9) Pay contractor for completed PROJECT work from COUNTY funds
on deposit.

B. COUNTY shall be responsible for the following:
(1) Provide DISTRICT with County design standards for PROJECT.
(2) Review and approve the initial plans, specifications, and cost
estimate and review again at 90%, and final design stages.
(3) Approve PROJECT prior to acceptance by DISTRICT.
(4) Provide a total maximum of $80,000 for design, construction
engineering, construction contingencies, right of way engineering,
real property dedication, environmental clearance, materials and
testing, and construction of PROJECT.
(5) Deposit engineer's initial cost estimate of PROJECT as identified in
attached EXHIBIT A and A-2, with DISTRICT fourteen (14) days
prior to DISTRICT advertising PROJECT.
3. Financial Responsibility.
A. DISTRICT and COUNTY acknowledge and agree that all actual costs for
design, construction engineering, construction contract plus 10% contingency,
right of way engineering, real property dedication, environmental clearance, and
materials testing for PROJECT as shown in attached EXHIBIT A and A-2, which is
incorporated herein, shall be paid by COUNTY. The total of these costs shall not
exceed $80,000. The DISTRICT will fund any costs for PROJECT including any
change orders exceeding $80,000.
B. COUNTY shall deposit $80,000 with DISTRICT to cover the PROJECT
construction contract cost, 10% contingency, design, construction engineering,
right of way engineering, environmental clearance, and materials testing costs as
identified in EXHIBIT A and A-2, with DISTRICT fourteen (14) days prior to
DISTRICT advertising PROJECT.
C. DISTRICT shall prepare and deliver a report of PROJECT expenditures to
COUNTY within one hundred twenty (120) days of the last DISTRICT construction
contract payment. If PROJECT costs are less than the deposit paid by COUNTY,
the excess shall be refunded to COUNTY within one hundred twenty (120) days of
the last DISTRICT construction contract payment.
D. Simple interest generated by COUNTY funds on deposit .with DISTRICT
shall be credited to COUNTY'S account.
E. DISTRICT may terminate this AGREEMENT (1) for COUNTY non-
compliance of AGREEMENT or (2) should COUNTY approval of PROJECT
delay advertising of DISTRICT construction contract. COUNTY may terminate
this AGREEMENT for DISTRICT non-compliance of AGREEMENT. COUNTY
shall still be obligated to pay DISTRICT for design engineering and any other
DISTRICT costs associated with the elimination of PROJECT from the
DISTRICT'S Rancho Romero Elementary School Improvements construction
contract.

4. Change Orders. Change orders for PROJECT resulting in a design change from
the original plans approved by COUNTY shall be reviewed and approved by
COUNTY. COUNTY shall review the change order and submit any comments to
DISTRICT within three (3) working days of receiving the change order from
DISTRICT.
5. Insurance and Hold Harmless.
A. The contract documents for PROJECT shall include provisions requiring the
successful bidder to:
(1) Secure and maintain in full force and effect during construction of
PROJECT worker, s compensation and public liability and property damage
insurance in forms and limits of liability satisfactory to DISTRICT and
COUNTY, naming DISTRICT and COUNTY, their governing bodies,
officers, agents, and employees as additional insureds.
(2) Promise to hold harmless and indemnify COUNTY, its governing
body, officers, agents, and employees from liability to the same extent as
promised to DISTRICT.
The aforementioned policy shall contain a provision that the insurance
afforded thereby to the additional insureds shall be primary insurance to the
full limits of the policy and that, if any of the additional insureds has other
insurance or self-insurance against a loss covered by such policy, such
insurance or self-insurance shall be excess insurance only. Before
beginning construction of PROJECT, the contractor shall submit to
DISTRICT and COUNTY a certificate of insurance evidencing the required
coverage and requiring the carrier to give at least thirty (30) days written
notice to DISTRICT and COUNTY of any cancellation, non-renewal, or
material modification of the policy. DISTRICT shall be responsible for
ensuring that this requirement has been met before allowing construction
work to proceed.
B. Neither DISTRICT, nor any officer, agent, or employee thereof, shall be
responsible for any damage or liability occurring by reason of anything done or
omitted to be done by COUNTY or in connection with any work delegated to
COUNTY under this AGREEMENT, and COUNTY shall defend, indemnify, save,
and hold harmless DISTRICT, its governing body, officers, agents, and
employees, from the same.
C. Neither COUNTY, nor any officer, agent, or employee thereof, shall be
responsible for any damage or liability occurring by reason of anything done or
omitted to be done by DISTRICT or in connection with any work delegated to
DISTRICT under this AGREEMENT, and DISTRICT shall defend, indemnify, save,
and hold harmless COUNTY, its governing body, officers, agents, and employees,
from the same, except as provided otherwise in Section 7 below.

D. Nothing in this AGREEMENT is intended or shall be construed to effect the
legal liability of either party to third parties by imposing any standard of care
greater than that imposed by law.
6. Acceptance. Upon completion of PROJECT, COUNTY and DISTRICT shall
conduct a final joint inspection. After COUNTY has determined that the work performed
by the contractor has been completed to COUNTY's satisfaction, DISTRICT shall accept
PROJECT as complete for itself and for COUNTY. COUNTY shall not unreasonably
withhold or delay its determination of PROJECT completion.
7. Maintenance. After PROJECT is formally accepted by DISTRICT, COUNTY shall
own PROJECT and assume total responsibility for maintenance of the PROJECT and
shall defend, indemnify, save, and hold harmless DISTRICT, its governing body, officers,
agents, and employees, against all claims, suits, actions, or liability that arises relating to
the use, operation, or maintenance of PROJECT.
8. Restrictions. Pursuant to Government Code Section 6509, the powers of the
parties under this AGREEMENT shall be subject to the restrictions on such powers
applicable to DISTRICT.
9. Accountability. As required by Government Code Section 6505, both parties to this
AGREEMENT shall provide a report providing strict accountability of all funds received
and disbursed for PROJECT.
10. Agreement Modification. This AGREEMENT shall be subject to modification only
with the written consent of the legislative bodies of both parties. Neither party shall
unreasonably withhold its consent to modification for the implementation and
accomplishment of the overall purpose for which this AGREEMENT is made.
11. Agreement Termination. In accordance with Section 3E, COUNTY upon payment
to DISTRICT of all costs may terminate this AGREEMENT except for the provisions of
Sections 513, 5C, and 7 above, which shall survive termination of this AGREEMENT.
12. Agreement Expiration. Except for the provisions of Sections 513, 5C and 7 above,
this AGREEMENT shall expire upon delivery of the report of final costs or reimbursement
of unspent funds deposited by COUNTY with DISTRICT.
13. Entire Agreement. This AGREEMENT contains the entire understanding of the
parties relating to the subject matter of this AGREEMENT. Any representation or promise
of the parties relating to the work shall not be enforceable unless it is contained in this
AGREEMENT or in a subsequent written modification of this AGREEMENT executed by
the legislative bodies of both parties.

EXHIBIT A
SCOPE OF WORK
FOR CONTRA COSTA COUNTY HEMME AVENUE RIGHT TURN LANE IMPROVEMENTS
The following scope of work is intended to cover the items of work DISTRICT will do in order to
complete the design and construction for the right turn improvements on Hemme Avenue
adjacent to the Rancho Romero Elementary School. DISTRICT will add PROJECT to the
DISTRICT'S Rancho Romero site improvement plans to encourage better bid prices and
expediting the delivery time of PROJECT.
DESIGN (Preliminary Engineering)
1. There will be two meetings with DISTRICT and COUNTY staff — a preliminary and final
design field review of PROJECT.
2. COUNTY will supply DISTRICT with road geometry and traffic index.
3. DISTRICT will prepare plans, specifications, and engineer's estimate (PS&E).
4. COUNTY will review initial PS&E and again at 90%, and final completion and return
comments to DISTRICT within seven days for each review.
5. DISTRICT will work with COUNTY to determine acceptable traffic control alternatives.
6. DISTRICT will advertise, award, and administer the construction contract.
7. DISTRICT will make changes to plans and send COUNTY two sets of record drawings
(as-built plans) when PROJECT is complete.
REAL PROPERTY DEDICATION
1. DISTRICT will convey to COUNTY the necessary road right of way for PROJECT.
2. DISTRICT will prepare all necessary legal descriptions and maps to convey road right of
way for PROJECT.
ENVIRONMENTAL
1. DISTRICT will process the necessary California Environmental Quality Act documents
for environmental clearance for PROJECT.
CONSTRUCTION ENGINEERING
1. DISTRICT will supply resident engineer, inspectors, and lab technicians and do all
materials testing and plant inspections on project.

Hemme Avenue Right Turn Lane Improvements

The PROJECT consists of furnishing all labor, materials, tools, equipment, and
incidentals for installing, clearing and grubbing, traffic control, road excavation, placing
aggregate base and asphalt concrete, constructing curb and gutter, constructing
sidewalk, placing striping and signing, fence relocation, inlet relocation, and placement
of reinforced concrete pipe, complete in place, including all work necessary to complete
the PROJECT.
