II. FINANCIAL IMPACT Payments required are to come from the budget of the General County Building Occupancy Costs Budget (0077). III. PARTIES: Effective on JUN 2 6 2001 , CITY OF ANTIOCH, hereinafter call "LICENSOR," and the COUNTY OF CONTRA COSTA, a political subdivision of the State of California, hereinafter call "COUNTY," mutually agree and promise as follows: 2. LICENSE OF PREMISES: LICENSOR, for and in consideration of the fees, hereby licenses to COUNTY, and COUNTY accepts from LICENSOR those certain premises described as follows: Office space consisting of approximately 130 square feet in that building commonly known and designated as the Nick Rodriguez Community Center, 420 West 3rd Street, Antioch, California, as outlined on Exhibit "A" attached hereto and made a part hereof, together with non-exclusive use of the building common areas, restrooms, the Finance Department conference room and the building parking area. 3. TERM: The term of the License shall be three (3) years and ten (10) months, commencing March 1, 2001 and ending December 31, 2004. 4. CONSIDERATION: COUNTY shall pay to LICENSOR as consideration for the use of said premises a monthly rental of NINETY SIX AND NO/100 DOLLARS ($96.00), payable in advance in the tenth of every month during the term of this License. Payments shall be mailed to: City of Antioch, Finance Department, P. 0. 5007,Antioch, CA 94531-5007.• 5. EXTENSION: This License shall be automatically renewed upon the same terms and conditions, except for fees, every year on a year-to-year basis unless notice is received from LICENSOR prior to the expiration of the term or any extensions thereof. The fees during the extension period shall be SIXTY AND NO/100 DOLLARS ($60.00)per month. 1 6. REVOCABLE USE: The rights granted hereunder may be revoked by the LICENSOR or terminated by the COUNTY at any time, for any reason or for no reason, with or without cause, upon ninety (90) days prior written notice to the other party. 7. UTILITIES AND JANITORIAL: LICENSOR shall pay for all gas, electric, water, sewer, refuse collection, and janitorial service provided to the Premises. 8. TELEPHONE AND FURNITURE: COUNTY shall have the right to install, at COUNTY'S expense, telephone lines to the Premises for COUNTY'S use. LICENSOR shall allow COUNTY to use the workstations and conference table located in the Premises. 9. MAINTENANCE AND REPAIRS: All lighting, electrical,water,plumbing and HVAC systems shall be-maintained by LICENSOR. 10. FIXTURES AND SIGNS:COUNTY may attach fixtures and signs in or upon the Premises or building in which the Premises is located, which shall remain COUNTY property and may-be removed therefrom by COUNTY prior to the termination of this License. All signs shall meet with existing code requirements and LICENSOR'S approval. Any such fixture or signs shall be installed at COUNTY'S sole cost and expense. 11. HOLD HARMLESS: COUNTY agrees to indemnify and hold harmless the LICENSOR from the COUNTY'S share of any and all claims, costs, and liability for any damage, injury or death of or to any person or the property of any person, including attorney' fees, arising out of negligent acts, errors or omissions of the COUNTY, its officers, agents or employees. COUNTY shall not be liable in the case of any structural, mechanical or other failure of equipment of building owned and maintained by LICENSOR or for liability which is attributable, in whole or in part, to the negligence, willful misconduct or other intentional act, error or omission of LICENSOR, which results in damage to any person or property. LICENSOR agrees to indemnify and hold harmless the COUNTY from the LICENSOR'S share of any and all claims, costs, and liability for any damages, injury or death of any person or the property of any person, including attorneys' fees, arising out of negligent or intentional acts, errors or omissions of the LICENSOR, its officers, agents or employees. 2 12. NOTICES: All notices given hereunder shall be in writing and shall be deemed to have been given if personally delivered or deposited in the United States mail postage prepaid, certified or registered, return receipt requested, and addressed to the other party as follows or as otherwise designated by written notice hereunder from time to time: To LICENSOR: City of Antioch P. USE OF COPY MACHINE: COUNTY is granted the use of the copy machine located in the Nick Rodriguez Community Center in City Hall. LICENSOR keeps an accounting of copy machine use. Periodically, LICENSOR shall invoice COUNTY for the cost of copies made by COUNTY. Said cost shall be the same per-copy charge that is levied against City of Antioch departments for copy machine use. COUNTY shall promptly pay such invoices. 14. ALARM SYSTEM: COUNTY acknowledges that the building has an alarm system for security during non-office hours. LICENSOR will provide COUNTY with appropriate information for use of the security system, and COUNTY will comply with all procedures for security and the proper use of the system. Should COUNTY cause more than three (3) false alarms within any one (1) year period of time, an administrative penalty, in the amount established in the City of Antioch's alarm ordinance, shall be assessed against COUNTY. 15. USE.OF CONFERENCE ROOM: COUNTY may make occasional use of the conference room located in the Nick Rodriguez Community Center. Any such use of the room must not conflict with Finance Department business or it's use of the conference room, and must be arranged in advance with the building staff. 3 16. WRITTEN AGREEMENT: Neither party has relied on any promise or representation not contained in this License. All previous conversations, negotiations, and understandings are of no further force or effect. This License may be modified only by a writing signed by both parties. The headings of the paragraphs are for convenience only and shall not be considered in construing the intent of this License. 17. TIME IS OF THE ESSENCE of each and all of the terms and provisions of this License. 18.
