SPECIFIC REQUEST(S) OR RECOMMENDATION(S) & BACKGROUND AND JUSTIFICATION
I. RECOMMENDED ACTION:
APPROVE a $219,988 Consulting Services Agreement for preparation of a HOPE VI Grant Application to the
Department of Housing and Urban Development for the revitalization of the Las Deltas public housing
development in North Richmond.
AUTHORIZE the Executive Director to execute the Consulting Services Agreement and sign and submit the
HOPE VI Grant application and certifications.
II. FINANCIAL IMPACT:
Funding for the consultants will include$46,500 from the Housing Authority's Federally funded
Comprehensive Grant Program and $173,488 in funds from other participating County Departments.
III. REASONS FOR RECOMMENDATION/BACKGROUND
Much of the 224 unit Las Deltas public housing development is nearly fifty years old with many basic and
costly physical and management difficulties that can only be corrected with very substantial subsidies. To
address this kind of need, the competitive HOPE VI Program from the Department of Housing and Urban
Development provides grants of up to $35,000,000 for revitalization of housing and social support services.
Staff obtained responses to its Request for Proposal process and followed a consultant selection process
that included public participation to name a Consultant to produce an extensive technical application. The
award of a HOPE VI grant could transform public housing and the adjacent North Richmond neighborhood for
wide benefits to residents and to the County tax base.
IV. CONSEQUENCES OF NEGATIVE ACTION:
If not approved, the Authority would not be able to make an application for needed funds to improve public
housing and the adjacent neighborhood in North Richmond.

3. Parties. Effective on the above date,the above-named Public Agency and Consultant mutually agree and promise as
follows:
4. Employment. Public Agency hereby employs Consultant, and Consultant accepts such employment, to perform the
professional services described herein, upon the terms and in consideration of the payments stated herein.
5. Scope of Service_. Scope of service shall be as described in Appendix A, attached hereto and made a part hereof by
this reference.
6. Report Disclosure Section.Any document or written report prepared hereunder by Consultant,or a subcontractor, for
Public Agency shall contain,in a separate section,the numbers and dollar amounts of this contract and all subcontracts
relating to the preparation of such document or written report, provided that the payment limit specified in Sec. 1(e)
exceeds $5,000. When multiple documents or written reports are the subject or products of this agreement, the
disclosure section may also contain a statement indicating that the total contract amount represents compensation for
multiple documents or written reports.
7. Insurance. Consultant shall, at no cost to Public Agency, obtain and maintain during the term hereof: (a) Workers'
Compensation Insurance pursuant to state law; (b) Professional Liability Insurance with minimum coverage of
8. $1,000,000 and a maximum deductible of$10,000; and (c) Comprehensive General Liability Insurance, including
blanket contractual (or contractual liability) coverage, broad form property damage coverage, and coverage for owned
and non-owned vehicles,with a minimum combined single limit coverage of$1,000,000 for all damages due to bodily
injury,sickness or disease, or death to any person, and damage to property, including the loss of use thereof, arising
out of each accident or occurrence, and naming Public Agency, itsttheir governing bodies, officers and employees as
additional insureds. Consultant shall promptly furnish to Public Agency certificates of insurance evidencing such
coverage and requiring 30 days' written notice to Public Agency of policy lapse, cancellation or material change in
coverage.
8. Payment. Public Agency shall pay Consultant for professional services performed at the rates shown in Appendix B
attached hereto,which include all overhead and incidental expenses, for which no additional compensation shall be
allowed. Notwithstanding the foregoing, those incidental expenses specifically itemized in Appendix B shall be
reimbursable by Public Agency to Consultant, provided that Consultant submits copies of receipts and,if applicable, a
detailed mileage log to Public Agency. In no event shall the total amount paid to Consultant exceed the payment limit(s)
specified in Sec. 1(e) without prior written approval of the Public Agency. Consultant's billing statements shall be
submitted at convenient intervals approved by Public Agency and shall list, for each item of services, the employee
categories, hours and rates. Public Agency will pay consultant in accordance with the requirements of Civil Code Section
3320 as applicable.
9. Status. The Consultant is an independent contractor, and shall not be considered an employee of Public Agency.
10. Time for Completion. Unless the time is extended in writing by Public Agency, Consultant shall complete all services
covered by this Agreement no later than the Completion Date(s) listed above and further described in Appendix C,Task
List and Schedule attached hereto and made a part hereof by this reference.
11. Record Retention and Auditing. Except for materials and records delivered to Public Agency, Consultant shall retain
all materials and records prepared or obtained in the performance of this Agreement,including financial records,for a
period of at least five years after Consultant's receipt of the final payment under this Agreement. Upon request by Public
Agency, at no additional charge, Consultant shall promptly make such records available to Public Agency, or to
authorized representatives of the state and federal governments, at a convenient location within Contra Costa County
designated by Public Agency, and without restriction or limitation on their use.
12. Documentation.Consultant shall prepare and deliver to Public Agency at no additional charge,the items described in
Appendix A to document the performance of this Agreement and shall furnish to Public Agency such information as is
necessary to enable Public Agency to monitor the performance of this Agreement.
13. Ownership of Documents.All materials and records of a finished nature,such as final plans,specifications, reports,and
maps, prepared or obtained in the performance of this Agreement, shall be delivered to and become the property of
Public Agency.All materials of a preliminary nature,such as survey notes,sketches, preliminary plans, computations
and other data, prepared or obtained in the performance of this Agreement,shall be made available, upon request,to
Public Agency at no additional charge and without restriction or limitation on their use.

14. Extra Work. Any work or services in addition to the work or services described in Appendix A shall be performed by
Consultant according to the rates or charges listed in Appendix B. In the event that no rate or charge is listed for a
particular type of extra work, Consultant shall be paid for the extra work at a rate to be mutually agreed on prior to
commencement of the extra work. In no event shall Consultant be entitled to compensation for extra work unless a
written authorization or change order describing the work and payment terms has been executed by Public Agency prior
to the commencement of the work.
15. Payment Retention. Public Agency shall retain ten percent(10°x) of the monies due the Consultant as security for the
fulfillment of this Agreement.After the Consultant has completed all work under this Agreement,submitted final billing,
and the Public Agency has found the work to be accurate,the Public Agency will pay all withheld funds. Public Agency
will pay withheld funds in accordance with the requirements of Civil Code Section 3320 as applicable. A retention will
not be withheld for any"on-call"work.
16. Termination by Public Agency.At its option, Public Agency shall have the right to terminate this Agreement at any time
by written notice to Consultant,whether or not Consultant is then in default. Upon such termination, Consultant shall,
without delay, deliver to Public Agency all materials and records prepared or obtained in the performance of this
Agreement, and shall be paid, without duplication, all amounts due for the services rendered up to the date of
termination.
17. Abandonment by Consultant.In the event the Consultant ceases performing services under this Agreement or otherwise
abandons the project prior to completing all of the services described in this Agreement,Consultant shall,without delay,
deliver to Public Agency all materials and records prepared or obtained in the performance of this Agreement, and shall
be paid for the reasonable value of the services performed up to the time of cessation or abandonment, less a deduction
for any damages or additional expenses which Public Agency incurs as a result of such cessation or abandonment.
18. Breach. In the event that Consultant fails to perform any of the services described in this Agreement or otherwise
breaches this Agreement, Public Agency shall have the right to pursue all remedies provided by law or equity. Any
disputes relating to the performance of this Agreement shall not be subject to non judicial arbitration. Any litigation
involving this Agreement or relating to the work shall be brought in Contra Costa County, and Consultant hereby waives
the removal provisions of Code of Civil Procedure Section 394.
19. Compliance with Laws. In performing this Agreement, Consultant shall comply with all applicable laws, statutes,
ordinances, rules and regulations,whether federal,state, or local in origin.
20. Assignment. This Agreement shall not be assignable or transferable in whole or in part by Consultant, whether
voluntarily, by operation of law or otherwise; provided, however,that Consultant shall have the right to sub-contract that
portion of the services for which Consultant does not have the facilities to perform so long as Consultant notifies Public
Agency of such subcontracting prior to execution of this Agreement.Any other purported assignment,transfer or sub-
contracting shall be void.
21 Subcontracting.All subcontracts exceeding $25,000 in cost shall contain all of the required provisions of this contract.
Consultant will pay each subconsultant in accordance with the requirements of Civil Code Section 3321 as applicable.
22. Endorsement on Plans.Consultant shall endorse all plans,specifications,estimates, reports and other items described
in Appendix A prior to delivering them to Public Agency, and where appropriate, indicate his/her registration number.
23. Patents and Copyrights.The issuance of a patentor copyright to Consultant or any other person shall not affect Public
Agency's rights to the materials and records prepared or obtained in the performance of this Agreement. Public Agency
reserves a license to use such materials and records without restriction or limitation, and Public Agency shall not be
required to pay any additional fee or royalty for such materials or records.The license reserved by Public Agency shall
continue for a period of fifty years from the date of execution of this Agreement, unless extended by operation of law or
otherwise.

24. Indemnification. Consultant shall indemnify,defend,save, protect, and hold harmless Public Agency, its governing body,
officers,employees, representatives,and agents("Indemnitees")from any and all demands, losses, claims, costs,suits,
liabilities, and expenses for any damage, injury, or death (collectively "Liability") arising directly or indirectly from or
connected with the services provided hereunder which is caused,or claimed or alleged to be caused,in whole or in part,
by the negligence or willful misconduct of Consultant, its officers, employees, agents, contractors, subconsultants, or
any persons under its direction or control and shall make good to and reimburse Indemnitees for any expenditures,
including reasonable attorneys'fees and costs,the Indemnitees may make by reason of such matters and ,if requested
by any of the Indemnitees, shall defend any such suits at the sole cost and expense of Consultant. Consultant's
obligations under this section shall exist regardless of concurrent negligence or willful misconduct on the part of the
Public Agency or any other person; provided, however,that Consultant shall not be required to indemnify Indemnitees
for the proportion of liability a court determines is attributable to the negligence or willful misconduct of the Public Agency,
its governing body, officers, or employees. This indemnification clause shall survive the termination or expiration of this
Agreement.
25. Heirs, Successors and Assigns. Except as provided otherwise in Section 20 above,this Agreement shall inure to the
benefit of and bind the heirs,successors, executors, personal representatives, and assigns of the parties.
26. Public Endorsements. Consultant shall not in its capacity as a Consultant with Public Agency publicly endorse or oppose
the use of any particular brand name or commercial product without the prior approval of the Public Agency's governing
board. In its Public Agency Consultant capacity, Consultant shall not publicly attribute qualities or lack of qualities to a
particular brand name or commercial product in the absence of a well-established and widely accepted scientific basis
for such claims or without the prior approval of the Public Agency's governing board. In its Public Agency Consultant
capacity, Consultant shall not participate or appear in any commercially-produced advertisements designed to promote
a particular brand name or commercial product,even if Consultant is not publicly endorsing a product, as long as the
Consultant's presence in the advertisement can reasonably be interpreted as an endorsement of the product by or on
behalf of Public Agency. Notwithstanding the foregoing, Consultant may express its views on products to other
Consultants,the Public Agency's governing board, its officers, or others who may be authorized by the Public Agency's
governing board or by law to receive such views.
27. This agreement shall be interpreted and enforced under the laws of the State of California,with venue in the
Superior Court of Contra Costa County , California.
28. Federal Cost Principles and Procedures (Federal aid projects only). Consultant shall comply with the following
provisions,which are incorporated into this Agreement by reference: (a)the cost principles for allowability of individual
items of costs set forth in 48 CFR, Chapter 1, Part 31: (b)the administrative procedures set forth in 49 CFR, Part 18;
and (c) the administrative procedures for non-profit organizations set forth in OMB Circular A-110, if applicable to
Consultant. In the event that payment is made to Consultant for any costs that are determined by subsequent audit to
be unallowable under 48 CFR,Chapter 1, Part 31,Consultant shall refund the payment to Public Agency within 30 days
of written request from Public Agency. Should Consultant fail to do so,and should the Public Agency file legal action
to recover the refund, Consultant shall reimburse the Public Agency for all attorney's fees, costs, and other expenses
incurred by Public Agency in connection with such action.

APPENDIX A
SCOPE OF SERVICE
Consultant shall perform all necessary tasks and work to satisfy the HOPE VI
Notice of Funding Availability(NOFA) revitalization application requirements from
the U.S. Department of Housing and Urban Development (HUD) issued in 2001, to
the satisfaction of the Housing Authority of the County of Contra Costa (HACCC)
which at a minimum will include the items shown below.
1.0 Administration and Management
Task 1.1: Prepare for the submission of a HOPE VI Application by reviewing the HOPE
VI NOFA, related information, and other relevant applications including the City of
Richmond for the Easter Hill projects. Identify successful strategies for winning
applications and make recommendations to the HACCC for preparation of the Las
Deltas application.
Task 1.2: In collaboration with HACCC and Redevelopment Agency prepare a
production schedule and task list for the applications. Task list should identify mutually
agreed upon roles and responsibilities for Master Planner/Developer, HACCC and
Redevelopment Agency on collaboration of activities and shared responsibilities.
Task 1.3: Develop a strategy to reach the highest potential scoring of the application.
Task 1.4: Provide weekly progress reports on task accomplishments to meet Contract
criteria.
Work Product:
• Completion of a timely and fundable HOPE VI grant application equivalent in scope,
breadth, and detail as the Easter Hill and other successful HOPE VI Applications
supplied to the Contractor.
2.0 Citizen Participation
Task: 2.1 Work with the HACCC to facilitate formulation and recruitment of a Community
Advisory Committee as expressed through Steering Committee and Citizen Participation
meetings.
Task 2.2 Organize, schedule, advertise and participate in a minimum of 5 Steering
Committee meetings and 6 staff meetings. Additional meetings will be reimbursed on a
cost basis as provided in Appendix D.
Task 2.3 Work with HACCC to organize appropriate meetings with the Las Deltas
residents, including a meeting to introduce the HOPE VI application planning process.
Task 2.4 In conjunction with HACCC, Organize, schedule, advertise, facilitate, and
recruit public participation for a minimum of 3 public charette meetings and 1 final public
community meeting to achieve consensus on a preferred Revitalization Plan for the
HOPE VI Application. Contractor shall specifically recruit additional public participation

from public housing and community residents, civic groups, service providers, churches,
businesses, school officials, and public and private agencies. Provide minutes of
meetings and copies of sign-in sheets showing attendees.
Task 2.5: Make presentations of the plan at public meetings of the North Richmond
community and the Steering Committee.
Work Products:
• Community Advisory Committee component of application.
• Consensus and endorsement from public housing and neighborhood residents, and
from the Steering Committee, on viable revitalization plans.
• Signed and notarized minutes of public meetings, newspaper notices of meetings,
attendance sign-in sheets.
• Commitment and support letters from the North Richmond Municipal Advisory
Council and the Steering Committee.
3.0 Existing Conditions Analysis
Task 3.1 Survey Existing Streets, Utilities and Easements— Map existing streets and
identify existing street grids, utility and vehicular easements and closed streets.
Task 3.2 Survey Neighborhood Conditions — Update maps of existing land uses and
zoning districts. Identify vacant houses and vacant lots. Identify major property owners,
property tenure (renter v. owner). Identify community recreation facilities, community
institutions, and social service agencies.
Task 3.3: Assess Condition of HACCC Properties: Assess and document physical
condition of the Las Deltas properties, including conducting exploratory demolition and
assessment of building systems. Provide a summary report of findings.
Work Products:
• A report summarizing the physical conditions of the HACCC-owned properties,
documenting the need for demolition or rehabilitation.
• A series of Maps identifying the following:
- Existing streets, alleys and utility easements
- Existing Land Uses and a map of Existing Zoning Districts
- Vacant Buildings and Vacant Land (including and address database)
- Major Property Owners (including address database)
- Tax Delinquent Properties (including address database)
- Community Facilities and Services
Task 4.0 Housing and Site Development Planning
Task 4.1: Neighborhood Charettes: Prepare for and conduct at least three neighborhood
charettes to establish development goals, obtain community input, and assist the
community with envisioning possible revitalization options.
Task 4.2: Conceptual Site Plan: Through the charette process develop a plan for the
location of residential and non-residential uses within the development area. The
concept plan will recommend the location and mix of new housing development,

locations of new non-residential development, and the treatment of roadways and
pedestrian access. (Site concepts shall include where appropriate, acquisition and
development beyond the existing public housing site where expansion would enhance
the viability of the development.)
Task 4.3: Unit Plans: Provide concept elevations and floor plans for the new housing and
non-housing development included in the conceptual plan.
Task 4.4: Cost Estimates. Provide cost estimates for the proposed revitalization plan.
Work Product:
• A conceptual, final site and unit development plans.
5.0 Market Study
Task 5.1: Research economic and demographic characteristics and trends in North
Richmond and their affect on potential housing development under HOPE VI. Identify
demographic and employment trends that should be considered in the preparation and
planning of the revitalization plan. Analyze the economic characteristics of the site and
surrounding community to determine major employers, employment prospects and other
factors that will effect the economic development of the site.
Task 5.2: Las Deltas Resident Profile: In conjunction with HACCC analyze the
demographic characteristics of the Las Deltas tenant population to determine household
size, composition, income, and occupation of head of households. Utilize data to
determine potential replacement housing and relocation requirements for the HOPE VI
concept plan and application.
Task 5.3: Survey Other Project Development Efforts: Provide a summary of information
on other project developments in the Las Deltas project area, to include an analysis of
recently completed housing developments detailing housing type, income served, and
absorption rates. Provide a summary of any planned developments that would
complement the proposed Las Deltas development.
Task 5.4 Update commercial retail market study.
Work Product:
• Market feasibility analysis detailing Las Deltas and North Richmond housing needs
and market opportunities showing the optimum mix of housing unit sizes, types, and
other characteristics with other potential neighborhood amenities that will create a
successful mixed income community at Las Deltas using HOPE VI revitalization
funds and other resources.
• A statement of the need and market for replacement public housing units of the type
and size proposed in the concept plan.
• Commercial market study update.

6.0 Community Supportive Services Planning (CSSP)
Economic Self-Sufficiency Plan:
Task 6.1 Contractor will work with HACCC to identify self-sufficiency needs of the Las
Deltas Residents. This needs assessment will include an appropriate mechanism, such
as surveys or focus groups, for assessing the self-sufficiency needs of the residents.
Contractor will work with Eden Housing Residents Services, Inc. and the HACCC's
Resident Services Coordinator to determine the appropriate needs assessment tool and
a plan and schedule for implementation.
Task 6.2: Identify existing community job training and job referral programs to meet the
needs of resident self-sufficiency.
Task 6.3: Identify major employer linkages that would support the HOPE VI application
for creation of job training and referral opportunities for Las Deltas residents.
Task 6.4: Identify job opportunities related to the Las Deltas development plan in
construction, management, and community service fields and develop policies and
procedures for notifying residents of training and employment opportunities.
Work Products:
• A list of existing job training and referral services
• Commitments from job training partners and employers to assist with the project.
• A plan for hiring residents for jobs generated by the development
• Recommendations for on-site services with staff and space requirements
Supportive Services Planning:
Task 6.5: Several community-based service providers in the project area have
conducted needs assessments in the project area. Contractor shall collect and review all
relevant, readily available, existing supportive services studies and assessments on the
Las Deltas project and surrounding community, including health services assessments,
community and family supportive services, crime prevention, justice, education
(preschool and K-12), adult education, and child care. All relevant information from
these documents will be compiled for use in the planning process or the HOPE VI
application.
Task 6.6: Identify existing supportive services programming that can provide services to
HACCC residents. Identify gaps in supportive services programming.
Task 6.7: Recommend an approach for providing supportive services that utilizes or
expands existing services (avoids duplication), and an approach for accessing or
creating services that are not presently available.

• An estimated staffing plan, budget, and funding plan for sustaining ongoing
supportive services. The funding plan shall include an analysis and assessment of
other mechanisms used by other projects such as the Endowment Trust.
Homeownership & Tenant Relocation Counseling
Task 6.9: Identify best practices in homeowner and tenant counseling and recommend
to HACCC possible strategies for instructing tenants in areas such as money
management, property maintenance, and homebuyer counseling.
Task 6.10: Identify other homeownership counseling providers and services to determine
possible linkages.
Task 6.11: Identify a plan for preparing Las Deltas residents for homeownership.
Task 6.12 Assist the HACCC with relocation planning for the Las Deltas residents,
including planning for resident counseling for tenants who would move to privately
owned rental housing.
Work Product:
• Homeownership and Counseling Plan that can be delivered to potential residents of
the redeveloped site and a marketing plan for attracting a broad range of incomes
to the development.
• Facilitate relocation planning with HACCC
• Create Tenant Counseling Plan for resident moves to privately owned apartments.
7.0 Financial Plan
Task 7.1: Create a budget for the proposed revitalization plan including acquisition,
construction and soft costs for all proposed revitalization activities.
Task 7.2: Identify potential sources and uses of financing for all project activities
including housing and amenity development within Total Development Cost limits as
prescribed by HUD. Consider Low-Income Housing Tax Credits, Bonds, Community
Development Block Grants, HOME Program, municipal funds, tax increment set-asides,
and others.
Task 7.3: Create a preliminary financial feasibility study showing the viability of applying
for a HOPE VI revitalization grant.
Task 7.4: Determine with HACCC and the Steering Committee the efficacy of applying
for a HOPE VI Demolition Grant.
Task 7.5: Identify prospective lenders and investors and seek letters of interest for the
HOPE VI application.

• Project financing plan component for application with proforma and narrative
illustrating feasibility for proposed housing and amenity development.

Letter from Tax Credit Allocation Committee regarding support for HOPE VI goals.
8.0 Management Improvements Plan
Task 8.1: Develop a management plan component for the application with
recommendations for policies and procedures for quality services through the HOPE VI
revitalization implementation phase and into the future consisting of:
• Waiting list and application procedures
• Management procedure
• Management structure including staffing and tenant participation
• Marketing mixed income, mixed tenure development
• Five year operating budget
• Tenant selection plan
• Description of policies that support self-sufficiency
• Lease requirements including social addenda
Work Product:
• Management Improvements Plan component of application.
9.0 Evaluation and Monitoring for Quality Assurance
Task 9.1: Obtain commitment of services from the University of California, other major
university or other highly regarded agency to monitor and evaluate progress and report
results of future implementation of all components of the Revitalization Plan. This shall
include baseline comparison that can be used to measure immediate and direct
outcomes.
Work Product:
• Letter of commitment from a university or other agency to perform future monitoring
and evaluation services.
10.0 Implementation Model
Task 10.1: Describe implementation options for a HOPE VI revitalization program award
and review them with HACCC and the Steering Committee.
Task 10.2: Develop implementation task list with graphic production schedule.
Work Product: Application component that demonstrates readiness to begin
implementation of project quickly and surely.
11.0 Application Production

Task 11.1: Create application outline with list of needed forms, exhibit photos, maps, and
other graphics on demographics, community support service needs, economics,
proforma, housing data, development plans, and other items.
Task 11.2: Provide HACCC with timely drafts of application materials for review.
Contractor will work with HACCC to finalize the application and secure any necessary
approvals and signatures for submission to HUD.
Task 11:3 Contractor shall review application for compliance with HUD NOFA and
supplementary application requirements including Section 3 and Employment, Fair
Housing and Equal Opportunity, Citizen Participation and Environmental Law.
Task 11.4: Collate, print, bind, and ship to meet application deadline. Provide 20
additional copies of complete application to HACCC above NOFA requirements.

APPENDIX B
PAYMENT SCHEDULE
Total Contract Amount $219,988
Payments shall be made to Consultants by the Housing Authority of the County of
Contra Costa (HACCC) in increments as the work progresses in amounts that reflect the
percentage of completion of tasks on APPENDIX A, SCOPE OF SERVICE. Invoices
describing completed work to the satisfaction of HACCC shall be delivered to HACCC
twice each month by Consultant. A ten percent (10%) retention shall be withheld from
each incremental payment until satisfactory completion of the entire Scope of Service is
approved by HACCC, which approval shall not be unreasonably withheld. Payments
shall be made to Consultants within ten days of HACCC approval of invoices from
Consultant.
Consultant invoices shall be submitted by Eden Housing, Inc. and payment checks to
Consultant shall be made payable solely to Eden Housing, Inc.
