County SUBJECT: LICENSE AGREEMENT WITH THE NATIONAL PARK SERVICE FOR USE OF OFFICE SPACE, 11780 SAN PABLO AVE., SUITE D, EL CERRITO, CA (SUPERVISOR DISTRICT I OFFICE, BLDG. #T00574) SPECIFIC REQUESTS OR RECOMMENDATION(S)&BACKGROUND AND JUSTIFICATION I. RECOMMENDATION APPROVE a License Agreement with the National Park Service, a Bureau of the United States Department of Interior, effective March 1, 2001, for use of office space at County leased facility located at 11780 San Pablo Ave.,Suite D, EI Cerrito, CA, and AUTHORIZE the Director of, General Services to EXECUTE said License on behalf of the County. II. FINANCIAL IMPACT No financial impact. National Park Service shall be responsible for the costs of installing the telephone and data lines required for their use and shall reimburse the County for the ongoing costs of such lines and for their telephone usage. III. REASONS FOR RECOMMENDATION / BACKGROUND At the request of District I Supervisor Gioia, a license with the National Park Service for their use of office space within the District I office suite has been negotiated. The license provides the National Park Service with office space in order to facilitate the coordination and development of sites and structures in the greater Richmond area which have recently been designated as National Monuments. The National Park Service will be responsible for the incremental increase in costs as a result of their use of the office space. EXTENSION: License shall be automatically renewed on a yearly basis unless County provides written notice to Park Service that license is being terminated. SQUARE FEET: Approximate 100 sq.ft. office. USE: Office and administrative functions to facilitate coordination and development of sites and structures in the greater Richmond area which have been recently designated as National Monuments. PARK SERVICE RESPONSIBILITY: Costs for installation of telephone and data lines. Reimburse County for ongoing costs for such lines and for telephone usage and copier usage. PARTIES: Effective on ( ZOO 1 , the COUNTY OF CONTRA COSTA, a political subdivision of the State of California and lessee in possession of Premises located at 11780 San Pablo Ave., Suite D, hereinafter call "COUNTY," and the NATIONAL PARK SERVICE, a bureau of the UNITED STATES DEPARTMENT OF INTERIOR hereinafter call "SERVICE" mutually agree and promise as follows: 2. LICENSE OF PREMISES: In consideration of the civic purposes of the proposed use and compliance with all the terms and conditions of this Agreement, COUNTY, hereby licenses to SERVICE, and SERVICE accepts from COUNTY the right to use, under the terms and conditions of this Agreement, those certain premises described as follows: Office space consisting of approximately 100 square feet in office suite commonly known and designated as 11780 San Pablo Ave., Suite D, El Cerrito, CA, as outlined on Exhibit "A" attached hereto and made a part hereof, together with non-exclusive use of the suite common areas, restrooms, and the building parking area. 3. USE: SERVICE shall use the Premises to conduct office and administrative functions to facilitate coordination and development of sites and structures in the greater Richmond area which have been recently designated as National Monuments. SERVICE does not have the rights to construct any improvements or fixtures on the Premises. 4. TERM: The term of the License shall be one (1) year, commencing March 1, 2001 and ending February 28, 2002. 5. EXTENSION: This License shall be automatically renewed upon the same tenns and conditions every year on a year-to-year basis unless COUNTY provides written notice to SERVICE prior to the expiration of the term or any extensions thereof. REVOCABLE USE: The rights granted hereunder may be revoked or terminated by COUNTY at any time, for any reason or for no reason, with or without cause, upon thirty (30) days prior written notice to SERVICE. 7. UTILITIES AND JANITORIAL: COUNTY shall provide for all gas, electric, water, sewer, refuse collection, and janitorial service provided to the Premises. 8. TELEPHONE AND FURNITURE: SERVICE shall have the right to install, at SERVICE's expense, telephone and data lines to the Premises for SERVICE's use. SERVICE shall reimburse COUNTY for the ongoing monthly costs of the telephone and data lines and for telephone usage. COUNTY shall allow SERVICE to use the desk, desk chair and file cabinet located in the Premises. 9. MAINTENANCE AND REPAIRS: COUNTY shall provide for the maintenance and repair of the lighting, electrical, water, plumbing and HVAC systems which serve the Premises 10. LIABILITY: SERVICE, shall be liable, to the extent allowed by the Federal Tort Claims Act, for claims, costs, and liability for any damage, injury or death of or to any person or the property of any person, resulting from the negligent or wrongful act or omission of any employee of the United States while acting within the scope of his/her employment, arising out of this Agreement. 11. USE OF COPY MACHINE: SERVICE may use the copy machine located in the Office Suite provided that SERVICE reimburses COUNTY for the costs of such use. 14. ALARM SYSTEM: SERVICE acknowledges that the Office Suite has an alarm system for security during non-office hours. COUNTY will provide SERVICE with appropriate information for use of the security system, and SERVICE will comply with all procedures for security and the proper use of the system. Should SERVICE cause more than three (3) false alarms within any one (1) year period of time, an administrative penalty, in the amount established in the City of Richmond's alarm ordinance, shall be assessed against SERVICE. 15. USE OF CONFERENCE ROOM: SERVICE may make occasional use of the conference room located in the Office Suite when it is not otherwise being used. Any such use of the room must not conflict with the occupants of the Office Suite and must be scheduled in advance with the occupants of the Office Suite. 16. WRITTEN AGREEMENT: Neither party has relied on any promise or representation not contained in this License. All previous conversations, negotiations, and understandings are of no further force or effect. This License may be modified only in writing signed by both parties.
