Purpose. This Consent to Assignment of Lease and Leasehold ("Consent") is made with reference to the following facts, objectives, and representations: a. County owns the fee title to the real property better known as the Buchanan Field Airport ("Airport") located on unincorporated land near the city of Concord in Contra Costa County, California. b. County, as lessor, and CAI, as lessee, executed a written lease dated August 1, 1990 ("CAI Lease") for a portion of the Airport better known as sites CH-6A and CH-6B, which premises are further described in said CAI Lease. C. County, as lessor, and Buchanan Corporate Properties (BCP) as lessee, executed a written lease dated September 27, 1983 ("BCP Lease") for a portion of the Airport better known as Site 8, which premises are further described in said BCP Lease. d. On September 20, 1983, County and BCP executed a Fueling Facility Agreement ("Fueling Facility Agreement"), which provided for the installation and operation of underground jet fuel facilities by BCP, under terms and conditions more particularly described in said Fueling Agreement. e. On January 5, 1994, BCP, as assignor, and CAI, as assignee, executed an Assignment and Assumption of Lease, purporting to assign all of BCPs right, title and interest in the BCP Lease and the Fueling Facility Agreement to CAL f. On April 11, 1995, County consented to the Assignment and Assumption of Lease between BCP and CAI. g. On April 1, 2000, CAI merged into Apex Aviation Corporation (AAC). Pursuant to the terms of the CAI Lease, the BCP Lease, and the Fueling Facility Agreement, this merger constitutes a voluntary assignment, and therefore requires County's consent. 2. Consent. On this date, June 20, 2000, in consideration that the foregoing statements and accounts are true and accurate, and on the condition that AAC shall accept and shall assume the respective responsibilities of all agreements, covenants, and obligations contained in the CAI Lease, the BCP Lease, and the Fueling Facility Agreement, referenced herein, and hereby become directly obligated to County to perform thereunder, County hereby acknowledges and consents to the merger of CAI into AAC. No assignment, other than the assignment specifically identified herein, shall be effective to assign the CAI Lease, the BCP Lease, or the Fueling Facility Agreement, or any portions thereof, or is consented to herein by County. In consideration of County's consent hereunder, AAC hereby guarantees during the term of the CAI Lease, the BCP Lease, and the Fueling Facility Agreement, or any holdover, the performance by AAC and AAC's heirs, successors, or assigns of all the covenants and conditions of the CAI Lease, the BCP Lease, and the Fueling Facility Agreement described herein. 3. Authority. CAI and AAC warrant and represent that the individuals signing this document on behalf of CAI and AAC are authorized to do so, that this shall constitute a legal, valid, and binding agreement enforceable against CAI and AAC in accordance with its terms, and that no other consents, orders, or approvals are required in connection therewith.
