I. Recommended Action:
APPROVE and AUTHORIZE the Public Works Director to execute, on behalf of Contra
Costa County a Consulting Services Agreement Amendment with Jonas & Associates
increasing the limit from $50,000 to $100,000 for various services in connection with
soils investigation matters.
IL Financiallmpact:
Payments under this contract are charged directly to various road, flood control and
other projects which require consulting services on an "as needed" basis. No general
funds will be required.

III. Background and Reasons for Recommendations:
Jonas & Associates is a Small Business Enterprise environmental firm which various
County agencies use from time to time to provide soils investigations and analyze for
the presence of hazardous materials. In order to conserve time and reduce paperwork,
a single "standing" Consulting Services Agreement with a $50,000 limit was initially
approved. We are requesting an amendment for an additional $50,000 so that the firm's
services could be obtained quickly on an as-needed basis. In the interim, various
projects have drawn down the funds available through these agreements. County staff
members wish to continue to use this firm because of its quick response time and
reliable performance. Therefore, staff is requesting approval of a fifth amendment for
an additional $50,000 for future services as needed. Agreement extends through the
completion of all assigned projects.
IV. Consequences of Negative Action:
Negative action will result in an incomplete assessment of property and possibly
substantial financial risks associated with contamination problems.

11. Financial Impact:
There will be no financial impact to the general fund. The County's share of the estimated design
costs is $386,338 and will be paid for with Tosca/Solano Transportation Mitigation funds.
111. Reasons for Recommendations and Background:
One of the projects selected for funding from the Tosco/Solano Transportation Mitigation Fund
was the Pacheco Boulevard Realignment. After the Public Works Department staff began the
preliminary study for the realignment project they discovered that the Contra Costa
Transportation Authority (CCTA) was preparing the environmental document and the project
study report for the Interstate 680 High Occupancy Vehicle Lane project. Both of the projects
will be replacing an underpass at the Burlington Northern Santa Fe railroad, and it was
decided that coordinating the railroad work would save both agencies money.
CCTA with the approval of Caltrans has hired HDR Inc. to design the railroad underpasses
and the railroad detour. The Cost Sharing Agreement is needed to define the responsibilities
of CCTA and the County.
IV. Consequences of Negative Action:
Failure to approve the cost sharing agreement could delay the project and increase the cost.
COST SHARING AGREEMENT
BETWEEN CONTRA COSTA COUNTY AND THE CONTRA COSTA
TRANSPORTATION AUTHORITY
FOR CONTRA COSTA COUNTY'S SHARE OF THE DESIGN OF TRACK
REALIGNMENT AND BRIDGE REPLACEMENT OF THE BNSF RAILROAD
CROSSING AT 1-680 AND PACHECO BOULEVARD
(County Project No. 0662-6R4157)
(CCTA Project No. 1116)
This AGREEMENT is entered into on the 21st day of MARCH , 2000,
between the Contra Costa Transportation Authority, hereinafter AUTHORITY, and the
County of Contra Costa, a political subdivision of the State of California, hereinafter
COUNTY, pursuant to Government Code section 6500, and following.
The parties to this AGREEMENT mutually agree and promise as follows:
1. Project definition, purpose, and scope of work. For this AGREEMENT, the
track realignment and bridge replacement of the BNSF railroad crossing at Interstate 680
(1-680) and Pacheco Boulevard is hereinafter called the PROJECT. The purpose of this
AGREEMENT is to allocate to the COUNTY its share of the costs for design services for
the PROJECT. The work to be performed consists of the design of a new railroad bridge
over 1-680, a temporary railroad bridge over 1-680, a new railroad bridge over relocated
Pacheco Boulevard, a temporary railroad bridge over existing Pacheco Boulevard, a
temporary railroad shoofly (detour), and other items of work, except construction,
necessary to complete the PROJECT.
2. Responsibilities of AUTHORITY and COUNTY.
A. AUTHORITY shall be responsible for the following:
(1) Prepare design plans, specifications, and cost estimates for
the PROJECT, consistent with Caltrans procedures.
(2} Act as lead agency for the design of this segment of work.
(3) Coordinate with Caltrans and BNSF to incorporate the
PROJECT into the Caltrans 1-680 HOV Lane Project
construction bid documents being prepared by Caltrans.
B. COUNTY shall be responsible for the following:
1
(1) Provide any necessary design criteria to AUTHORITY's
design consultant.
(2) Provide design oversight review, and approve AUTHORITY
prepared plans.
(3) Jointly review with the AUTHORITY the current scope and
schedule for the AUTHORITY's design Consultant and jointly
review with the AUTHORITY additional out-of--scope work that
is necessary for the project or is identified by the project
development team.
3. Financial Responsibility.
A. AUTHORITY and COUNTY acknowledge and agree that COUNTY's
share of all costs for the PROJECT design will be paid for by
COUNTY as shown in attached Exhibit "A," which is incorporated
herein. COUNTY'S total cost responsibility will be the percentages,
as outlined in Exhibit A, of the total actual design costs incurred by
AUTHORITY. The total actual design costs shall include the said
percentages of all amendments to AUTHORITY's design
consultant's contract that are applicable to the PROJECT. The term
"costs," as used in this section, shall include, without limitation,
consultant design costs, and AUTHORITY management costs, and
permitting services. Should the County decide at any time to
terminate this agreement, the County shall be responsible for their
percentage share of the costs incurred to date.
S. AUTHORITY will initially fund the costs for COUNTY's share of the
design services performed by AUTHORITY's consultant.
AUTHORITY will invoice the COUNTY for reimbursement of said
costs on a quarterly basis for the duration of the PROJECT.
4. Insurance and Hold Harmless.
A. The contract documents for the PROJECT shall include provisions
requiring the successful bidder to:
(1) secure and maintain in full force and effect during construction
of the PROJECT worker,s compensation and public liability
and property damage insurance in forms and limits of liability
satisfactory to AUTHORITY and COUNTY, naming
AUTHORITY and COUNTY, their governing bodies, officers,
and employees as additional insureds, and
(2) promise to hold harmless and indemnify AUTHORITY and

COUNTY, their governing body, officers, and employees from
liability to the same extent as promised to Caltrans.
(3) The insurance policy shall contain a provision that the
insurance afforded thereby to the additional insureds shall be
primary insurance to the full limits of the policy and that, if any
of the additional insureds has other insurance or self-
insurance against a loss covered by such policy, such
insurance or self-insurance shall be excess insurance only.
Before beginning construction of the PROJECT, the
contractor shall submit to AUTHORITY and COUNTY a
certificate of insurance evidencing the required coverage and
requiring the carrier to give at least thirty (30) days written
notice to AUTHORITY and COUNTY of any cancellation, non-
renewal, or material modification of the policy. AUTHORITY
shall be responsible for ensuring that this requirement has
been met before allowing construction work to proceed.
B. Nothing in this AGREEMENT is intended or shall be construed to
effect the legal liability of either party to third parties by imposing any
standard of care greater than that imposed by law.
5. Acceptance.
COUNTY shall accept the PROJECT design when it has determined that the documents
have been properly completed and AUTHORITY has approved the completed design.
6. Restrictions.
Pursuant to Government Code Section 6509, the powers of the parties under this
AGREEMENT shall be subject to the restrictions on such powers applicable to COUNTY.
7. Accountability.
As required by Government Code section 6505, both parties to this AGREEMENT shall
provide a report providing strict accountability of all funds received and disbursed for the
PROJECT, which shall occur commensurate with final payment as set forth in Section 3.
8. Agreement Modification.
This AGREEMENT shall be subject to modification only with the written consent of the
legislative bodies of both parties. Neither party shall unreasonably withhold its consent to
the implementation and accomplishment of the overall purpose for which this
AGREEMENT is drawn. This AGREEMENT supersedes all other AGREEMENTS
between AUTHORITY and COUNTY; either written or oral, concerning the design cost
sharing for the PROJECT.

9. Agreement Expiration.
This AGREEMENT shall expire upon delivery of the report of receipts and disbursements
and payment of all funds specified herein.

III. Background and Reasons for Recommendations:
Environmental Engineering Associates is an environmental firm which the Public Works
Department uses to provide soils investigations and analyze for the presence of
hazardous materials. The Public Works Department uses Environmental Engineering
Associates for the State Route 4 West CAP project, which requires soils investigation
for the septic system replacements. A single Consulting Services agreement with a
$50,000 limit was initially approved and later amended for an additional $50,000. The
Public Works Department wishes to continue to use this firm because of its reliable
performance. Therefor, staff is requesting approval of a second amendment for an
additional $50,000 for future services as needed. Agreement extends through the
completion of the State Rout 4 West Cap Project.
IV. Conse uences of Negative Action:
An incomplete assessment of the impact of the project on septic systems of properties
which the County needs to acquire on behalf of the Authority could result in substantial
financial risks associated with contamination problems.
