The Board of Supervisors of Contra Costa County, RESOLVES THAT:
This Board on May 25, 1999, passed Resolution of Intention No. 99/275 and Notice fixing July 13,
1999, at 9:00 a.m. in its Chambers, County Administration Building, 651 Pine Street, Martinez, California,
as the time and place where it would meet to consummate the purchase of the real property described
therein from the City of Antioch, said property being required for the expansion of the Social Services
facility and construction of a transitional housing facility, Said Resolution was duly published in the Contra
Costa Times in compliance with Govt. Code Section 6063.
The Board hereby consummates said purchase and approves the purchase Agreement dated
June 22, 1999 between the City of Antioch and the County, and authorizes the public Works Director to
sign the Purchase Agreement on behalf of the County.
The County Auditor-Controller is hereby DIRECTED to issue a check in favor of Placer Title
Company, 1981 N. Broadway, Suite 302, Walnut Creek, CA 94596, Escrow No. 6153500, for
$994,219.00 for said property for payment to Grantors, upon their conveying to the County a Deed
therefor.

Said Deed, dated June 22, 1999, is hereby ACCEPTED and the Real Property Division is
ORDERED to have it recorded, together with a certified copy of this resolution.
This Board hereby FINDS that there is no substantial evidence that the proposed project will have
a significant effect on the environment, and that it has reviewed and considered the Initial Study and
Negative Declaration together with any comments received during the public review process and this
Board approves its adequacy for California Environmental Quality Act purposes. This Board DIRECTS
the Director of Community development to file a Notice of Determination and a Certificate of Fee
Exemption; De Minimis Impact Finding with the County Clerk, and DIRECTS the Public Works Director
to arrange for payment of a $25.00 handling fee to the County Clerk for filing and a $25.00 fee to
Community Development for processing of the Notice of Determination. The City of Antioch has
determined that the project conforms to the City's General Plan.

Pursuant to the State of California Public Resources Code and the "Guidelines for Implementation of the
California Environmental Quality Act of 1970" as amended to date,this is to advise you that the Community
Development Department of Contra Costa County has prepared an initial study on the following project:

Public Comment Period: The period for accepting comments on the adequacy of the environmental
documents extends to 5:00 P.M., July 7. 1999 Any comments should be in writing and submitted to the

On the basis of this initial evaluation:
I find that the proposed project COULD NOT have a significant effect on the environment,and a
NEGATIVE DECLARATION will be prepared.
I find that although the proposed project could have a significant effect on the environment,there
will not be a significant effect in this case because the mitigation measures described on an
attached sheet have been added to the project. A MITIGATED NEGATIVE DECLARATION
will be prepared.
® I find that the proposed project MAY have a significant effect on the environment,and an
ENVIRONMENTAL IMPACT REPORT is required.
I find that the proposed project MAY have a significant effects)on the environment,but at least
one effect(1)has been adequately analyzed in an earlier document pursuant to applicable legal
standards, and(2)has been addressed by mitigation measures based on the earlier analysis as

SUMMARY:
Short-term impacts of the proposed project on surrounding air quality would result from grading during
construction. Emissions during construction will be limited by using watering dust control on equipment and work
areas,especially during morning hours(stable atmospheric conditions)and during high wind;requirement that all dirt
loads exiting the constriction site will be well-watered after loading. Site planning will consist of liberal planting of
street trees and other roadside landscaping to help filter particulates from the local atmosphere and reduce radiated heat
from street pavements.

SUMMARY:
The commercial office building will be sited in the front section of the parcel,fronting Delta Fair Boulevard. This
facility and the already existing Social Service building to the west,will provide noise screening to the transitional
housing project.

Focused EIR for Delta Pair Property Rezoning and General Plan Amendement,approved November 7, 1984 by the
Antioch City Council calculated 2000 vehicle trip ends(vte)for Social Service Expansion Building and potential
commercial development.The vtes for the transitional housing center will be less than commercial development since

PURCHASE AGREEMENT BETWEEN CONTRA COSTA COUNTY
AND GRANTOR NAMED HEREIN
A document in the form of a Grant Deed dated June 22, 1999 , covering the
property particularly described in said instrument, has been executed and delivered to
Donna Dawkins, Agent for Contra Costa County.
In consideration of the above-mentioned instrument and the other considerations herein-
after set forth, it is mutually agreed as follows:
1. This Agreement is effective on the date of approval of the Board of Supervisors.
�. The consideration to be paid by County for the property which is the
subject of this Agreement is as follows:
A. County shall pay to grantor the sum of Nine Hundred
Ninety Four Thousand Two Hundred Nineteen Dollars,
($994,219.00) for the property as conveyed by the
Grant Deed when title to said property vests in the
County in fee simple, free and clear of all liens,
encumbrances, assessments, leases (recorded and/or
unrecorded), and taxes except:
(1) Covenants, conditions, restrictions and
reservations of record, if any.
(2) Easements or rights of way of record over said
property.
B. Provided that a family transitional center is successfully
constructed and operates on any portion of the property
purchased under this Agreement, County agrees, as
additional consideration for the purchase of the subject
property, that it will not construct housing of any type on
the property known as (APN 074-080-026) [referred to
hereinafter as the "Fire District Site"]. The Fire District
Site is currently owned by the Centra Costa County Fire
Protection District. This agreement not to construct
housing on the Fire District Site is a covenant personal
to the County only. It shall not apply to any owner of the
Fire District Site other than the County.
- C. County shall pay all escrow and recording fees incurred
in this transaction and, if title insurance is desired by the
County, the premium charged therefor. This transaction
may be handled through an escrow with Placer T itle
Co., Walnut Creek, CA. Order# 6153500.
3. Grantor warrants that there are no oral or written leases on all or any portion of the
property being conveyed exceeding a period of one month, and the grantor further
agrees to hold the County harmless and reimburse the County for any and all of its
losses and expenses occasioned by reason of any lease of said property held by
any tenant of grantor for a period exceeding one month.
4. It is understood and agreed that this agreement is subject to approval by the County
Board of Supervisors after the publication of a notice of intention to purchase real
property, as required by the Government Code, Section 25350. Said notice will
specify a definite time for consummating this transaction, which time will be within
sixty (60) days from the date hereof.
5. The Grantor hereby represents and warrants that during the period of Grantor's
ownership of the property, there have been no disposals, releases or threatened
releases of hazardous substances or hazardous waste on, from, or under the
property. Grantor further represents and warrants that Grantor has no knowledge
of any disposal, release, or threatened release of hazardous substance or
hazardous waste on, from, or under the property which may have occurred prior to
Grantor taking title to the property.
The acquisition price of the property being acquired in this transaction reflects the
fair-market value of the property without the presence of contamination. if the
property being acquired is found to be contaminated by the presence of hazardous
waste which requires mitigation under Federal or State law, the County may elect
to recover its clean-up costs from those who caused or contributed to the
contamination.
6. Grantor acknowledges that the County is exempt from City building regulations and
zoning ordinances. However, as the owner of the property, Grantor wishes to
ensure acceptable design of the project. Therefore, County shall submit
contemplated uses on the property to Grantor's Community [development staff for
informal (staff) review and acceptance of site design. Site design shall include the
appearance of buildings, site layout, landscaping, signage, traffic and parking
circulation, and the potential need for public transit bus turnout. Grantor's
acceptance of these matters shall be reflected in a letter from Grantor to County.
In the event of any dispute or disagreement between Grantor and County regarding
site design acceptance, the dispute shall be submitted to the Mayor of the city of
Antioch for resolution of said dispute. If County remains unsatisfied with the
Mayor's resolution of the dispute, a panel shall be convened consisting of the
Antioch Mayor, the District 5 Supervisor, and a third person selected by the Mayor
and Supervisor. The panel, by majority vote, shall conclusively and finally decide
any disputed matter.
T All of the terms, provisions, representations, warranties and covenants of the parties
under this Agreement shall survive the assignment, expiration or termination of this
Agreement and shall not merge in the deed or other documents fallowing the
delivery and recordation of said deed or other documents.
8. The parties have herein set forth the whole of their agreement. The performance
of this agreement constitutes the entire consideration for said document and shall
relieve the County of all further obligation or claims on this account, or on account
of the location, grade or construction of the proposed public improvement.
