Other 9-1 EXECUTIVE SUMMARY The Treasurer's investment portfolio is in compliance with Government Cade 53600 et. seq.. 4 The Treasurer's investment portfolio is in compliance with the Treasurer's current investment policy. 0 The total investment peal equaled $1,258,277,648, on December 31, 1996. The fair value was $1,261,433,245, which was 100.2% of cast. a The weighted average maturity of the total investment pool was 94 days. Over 93 percent of the portfolio or over $1,181 million will mature in less than a year. The County is able to meet its cash flow needs for the next six months. The ward of Supervisors at the January 19, 1999 meeting approved an amendment to the June 1996 Contra Costa County Investment Policy to Incorporate the August 1996 revisions to Government Cade Sections 53601 and 53601 (2) on instruments authorized for investment. The annual audit for the treasury oversight committee on the county treasury for the calendar year 1996 will be scheduled. No provision of this Fiscal Agency Agreement or the Contract shall require the Trust Company to risk or advance its own fiends in the performance of any of its duties or obligations hereunder or under the Contract. f The Trust Company may resign at any time by giving written notice to the District whereupon the District shall promptly appoint a successor Fiscal Agent at which time this Fiscal Agency Agreement shall terminate as provided in Section 7 5-5 3 hereof. If a successor Fiscal Agent is not appointed within thirty days of the receipt by the District of the notice of resignation from the Frust Company, the Trust Company shall have no further duties under this Fiscal Agency Agreement or under the Contract other than to hold any finds that may be on deposit with it pending appointment of a successor Fiscal Agent. g. The Guarantor agrees to pay on demand all fees and out of pocket expenses (including the reasonable fees and expenses of each guaranteed Party's counsel) in any way relating to the enforcement or protection of the rights of each Guaranteed Party hereunder; provided, that the guarantor shall not be liable for any expenses of a guaranteed Darty if no payment under this guarantee is due. 5. Subrogation. The Guarantor will not exercise any rights which it may acquire by way of subrogation until all the Obligations to each Guaranteed party shall have been paid in full. Subject to the foregoing, upon payment of the Obligations, the Guarantor shall be subrogated to the rights of each Guaranteed Party against the Company with respect to such. Obligations, and each Guaranteed Party agrees to take at the Guarantor's expense such steps as the Guarantor may reasonably request to implement such subrogation. 6. No Waiver; Cumulative Rights. leo failure on the part of a Guaranteed Party to exercise, and no delay in exercising, any right, remedy or power hereunder shall operate as a waiver thereof, nor shall any single or partial exercise by a Guaranteed Party of any right, remedy or power hereunder preclude any ether or future exercise of any right, remedy or power. Each and every right, remedy and power hereby granted to a Guaranteed Party or allowed it by law or other agreement shall be cumulative and not exclusive of any other, and may be exercised by each Guaranteed Party at any time or from time to time. 7. Representations and Warranties. The Guarantor hereby represents and warrants that; (a) the Guarantor is duly organized, validly existing and in good standing under the laws of the State of Delaware and has full corporate power to execute, deliver and perforin this Guarantee; s (b) the execution, delivery and performance of this Guarantee have been and remain duly authorized by all necessary corporate action and do not contravene any provision of the Guarantor's certificate of incorporation or by- laws, as amended to date,or any law, regulation rule, decree, Larder,judgment or contractual restriction binding on the Guarantor or its assets; NY 1-546175.V 1 2 10/27/97 (c) all consents, licenses, clearances, authorizations and approvals of, and registrations and declarations with, any governmental authority or regulatory body necessary for the due execution, delivery and performance of this Guarantee have been obtained and remain in full fore and effect and all conditions thereof have been duly complied with, and no other action by, and no notice to or filing with, any governmental authority or regulatory body is required in connection with the execution, delivery or performance of this Guarantee; and (d) this Guarantee constitutes a legal, valid and binding general obligation of the Guarantor enforceable against the Guarantor in accordance with its terms, subject to bankruptcy, insolvency, reorganization, moratorium and other laws of general applicability relating to or affecting creditors' rights and to general equity principles. g. Assignment.
