SUBJECT: Approve the Amendment to the Contribution Agreement between Contra Costa County,
California Department of Transportation (Caltrans) and the Contra Costa Transportation
Authority (CCTA) for the Stone Valley Road/1-680 Interchange project in the Alamo Area.

SPECIFIC REQUEST(S)OR RECOMMENDATION(S)&BACKGROUND AND JUSTIFICATION
I. Recommended Action:
APPROVE the Amendment to the Contribution Agreement between Contra Costa County,
Caltrans, and CCTA for the Stone Valley Road/1-680 Interchange Improvements project.
AUTHORIZE the Chairperson to execute the Contribution Agreement.
II. Financiallmpact:
The project is funded by the Contra Costa Transportation Authority with Measure C funds (75%),
Alamo Area of Benefit (10%), SB-300 (10%) and State of California (5%).
There is no impact to the General Fund.
III. Reasons for Recommendations and Background:
CCTA and the County are realigning the on and off ramps at the Stone Valley Road/1-680
Interchange in the Alamo area. The proposed geometrics for modifying the ramps were in conflict
with the ongoing Caltrans landscaping contract. Therefore, Caltrans deleted the overlapping
portion of the landscaping work. Caltrans requested that the CCTA and the County include the
affected landscaping as part of the ramp realignment project.

The bids for this project were received on April 8, 1997 and the Board of Supervisors awarded the
contract on May 6, 1997. The bid prices for the landscaping which Caltrans has requested be
constructed exceed their initial estimate and financial obligation. The amendment referred to in
this Board Order increases Caltrans obligation to $85,000.
IV. Consequences of Negative Action:
If the Agreement is not approved and executed, the installation of the landscaping improvements
will be delayed.

AMENDMENT TO AGREEMENT
THIS AMENDMENT TO AGREEMENT, ENTERED INTO ON
May 21 , 1997 is between the STATE OF CALIFORNIA, acting
by and through its Department of Transportation, referred to
herein as "STATE" , and
COUNTY OF CONTRA COSTA,
a political subdivision of the
State of California, referred
to herein as "COUNTY" ,
and
I
CONTRA COSTA TRANSPORTATION
AUTHORITY, a public entity,
referred to herein as "AUTHORITY" .
RECITALS
( 1) The parties hereto entered into an Agreement (Docu-
ment No. CC-7-13295) , on January 16, 1996, said Agreement defin-
ing the terms and conditions to do a portion of the landscaping
work, referred to herein as "LANDSCAPE" , as part of AUTHORITY' s
project to modify the Stone Valley Road Interchange, referred to
herein as "PROJECT" , for which COUNTY is responsible for con-
struction.
(2 ) Said Agreement sets STATE' s share of the cost of
LANDSCAPE at the lump sum total amount of $26, 000, and it has

been determined that STATE will now pay the total actual cost for
the construction of LANDSCAPE.
IT IS THEREFORE MUTUALLY AGREED:
( 1) The estimated construction cost of LANDSCAPE speci-
fied in Article (4) of Section I of the original Agreement, shall
now be the amount of $85, 000.
(2 ) Articles (6) and (7 ) shall be added to Section I as
follows :
(6) Upon completion of PROJECT and all work inci-
dental thereto, to furnish STATE with a detailed state-
ment of the direct costs to be borne by STATE. COUNTY
thereafter shall refund to STATE, promptly after com-
pletion of COUNTY' s final accounting of costs for the
construction of LANDSCAPE, any amount of STATE' s depos-
its required in Articles (3 ) and (4) of Section II of
this Agreement remaining after actual direct costs to
borne by STATE have been deducted.
(7) To submit a final report of ,expenditures to
STATE within 120 days after completion and acceptance of
the construction contract for PROJECT by COUNTY.

(3) Article (3 ) of Section II. shall now read:
(3 ) To deposit with COUNTY within 25 days of re-
ceipt of billing therefore (which billing will be for-
warded 15 days prior to COUNTY' s bid advertising date of
a construction contract for PROJECT) , the amount of
$26, 000, which figure represents a portion of STATE' s
estimated cost of work to be performed by COUNTY on
STATE' s behalf pursuant to this Agreement. STATE' s total
obligation for costs for LANDSCAPE under this Agreement
shall not exceed $85, 000 .
(4) Articles (4) and (5 ) shall be added to Section II
as follows:
(4) STATE shall make an additional deposit with
COUNTY, within twenty-five (25) days of receipt of bill-
ing therefore, of the amount of $59, 000, which amount
represents the remainder of STATE' s estimated cost of
work to be performed by COUNTY on STATE' s behalf.
(5) To pay one hundred percent ( 100%) of the actual
construction cost for LANDSCAPE, including the cost of
claims related to the construction of LANDSCAPE, and the
cost of COUNTY' s defense of any of these claims, as de-
termined after completion of work and upon final ac-

counting of costs, subject to the limit of STATE' s total
obligation as specified in Article (3 ) of this Section
II .
(5 ) Article (2 ) of Section III shall now read:
(2 ) To arrange with COUNTY to fund one hundred per-
cent ( 100%) of the cost of PROJECT subject to any funds
programmed in the 1995 Strategic Plan for PROJECT, ex-
cept for the cost of LANDSCAPE, which STATE will deposit
with COUNTY pursuant to Articles (3 ) and (4) of Section
II of this Agreement.
(6) Article ( 14) of Section IV shall now read:
( 14) This Agreement shall terminate upon completion
of construction of PROJECT and upon final payment to
COUNTY by STATE, pursuant to Articles (3 ) and (4) of
Section II of this Agreement, or on September 30, 1999,
whichever is earlier in time.
(7) The other terms and conditions of said Agreement
(Document No. CC-7-13295 ) shall remain in full force and effect.
(8) This Amendment to Agreement is hereby deemed to be
part of Document No . CC-7-13295 .

rate counterpart signature pages may be used but that all such
pages constitute one and the same Agreement.

CONTRA COSTA TRANSPORTATION AUTHORITY
RESOLUTION 97-19-P
WHEREAS, the 1995 Contra Costa Transportation Authority Strategic Plan includes Interstate
680/Stone Valley Road Interchange (Project 1104), hereinafter"project" ; and
WHEREAS,the County of Contra Costa is administering construction of the project; and
WHEREAS,the Authority had agreed to include certain additional landscaping into the overall
construction contract, to be fc.aded by Caltrans; and
WHEREAS, such understandings were incorporated into Contribution Agreement No. 4-1631-C,
executed on January 16, 1996; and
WHEREAS, following receipt of construction bids by the County, it was determined that the cost of the
additional landscaping items were higher than anticipated; and
WHEREAS, Caltrans has identified additional funds for said landscaping work which requires an
amendment to the Contribution Agreement prior to release of said funds; and
WHEREAS,Caltrans has submitted such Amendment No. 4-1631-A1 to the Authority and the County
for approval;
NOW THEREFORE BE IT RESOLVED,that
(1) the Chair is authorized to enter into Caltrans Agreement Amendment No. 4-1631-A 1; and
(2) prior to such execution, staff is authorized to make minor amendments as long as such changes
do not materially affe( the substance of the agreement.

project.

111. Reasons for Recommendations and Background:
CCTA and the County are proposing to realign the on and off ramps at the Stone Valley Road/1-
680 Interchange in the Alamo area. The proposed geometrics for modifying the ramps are in
conflict with the ongoing Caltrans landscaping contract. Therefore, Caltrans will delete and/or
defer the overlapping portion of the landscaping work, including, but not limited to, all necessary
grading, irrigation, import and placement of topsoil, planting, and plant tablishment. Caltrans
