RECOMMENDED ACTION APPROVE a License, commencing March 1, 1996, with Child and Family Therapy Center for a portion of the premises at 2450 Stanwell Drive, Suite 260,eieord ; for occupancy by the Health Services Department, Mental Health Division, under the terms and conditions more particularly set forth in said License, and AUTHORIZE the Director of General Services to EXECUTE said License on behalf of the County. DETERMINE that the above project is a Class 1 Categorical Exemption under the California Environmental Quality Act. II. FINANCIAL IMPACT Payments required are to come from the budget of the Health Services Department. The term is month to month. III. REASONS FOR RECOMMENDATIONS/BACKGROUND Provide office space as required by the Health Services Department. PARTIES: Effective on MAR 5 1996, CHILD AND FAMILY THERAPY CENTER, hereinafter called "LICENSOR", and the COUNTY OF CONTRA COSTA, a political subdivision of the State of California, hereinafter called "COUNTY", mutually agree and promise as follows: 2. MASTER LEASE: This License is subject to the terms of a the LICENSOR's Lease with Margaret M. Morgan Trust dated April 12, 1990 ("the Master Lease"). 3. GRANT OF LICENSE: Subject to the terms and conditions of this Agreement, LICENSOR hereby grants to COUNTY a month to month License commencing March 1, 1996 for use of portions of Suite 260 of 2450 Stanwell Drive, Concord. Exhibit "A", which is attached hereto and made a part hereof, delineates exclusive use and common areas for each occupant. COUNTY shall have nonexclusive use of the common areas shown on Exhibit "A" and of nine (9) designated parking spaces. Except as otherwise provided herein, this License may be terminated at any time by COUNTY or LICENSOR upon thirty (30) days written notice. 4. CONSIDERATION: The consideration for this License shall be a fee of TWO THOUSAND ONE HUNDRED SEVENTY ONE AND NO/100 DOLLARS ($2,171.00) per month, payable in advance on or before the 1st day of each month during the term of this Agreement. All checks shall be made,payable to Child and Family Therapy Center and mailed to: Child and Family Therapy Center 2540 Charleston Street Oakland, CA 94602 - 1 - �I 5. USE OF PREMISES: The Premises shall be used for general office purposes. 6. UTILITIES,JANITORIAL SERVICE: LICENSOR shall provide all gas, electric, water, sewer, and refuse collection services and shall provide routine janitorial service. 7. TELEPHONE: COUNTY shall reimburse LICENSOR for the cost of use of certain designated lines on LICENSOR's telephone system. 8. MAINTENANCE AND REPAIRS: LICENSOR shall keep and maintain the building and every part thereof in good order, condition, and repair. LICENSOR shall keep and maintain the interior of the premises in good order, condition, and repair, but COUNTY shall repair damage to the interior caused by abusive use. LICENSOR shall be responsible for the correction of any code violations which may exist in the premises, provided LICENSOR shall not be liable for correction of code violations which arise out of and are directly related to COUNTY's use of the premises. 9. SIGNS: COUNTY shall not install any signs without written consent of LICENSOR, which shall not be unreasonably withheld. 10. ALTERATIO 1i\S: COUNTY shall not alter the Premises in any way without written permission of LICENSOR. 11. DESTRUCTION: If these Premises or any essential part thereof be destroyed or severely damaged, this License shall immediately terminate. 12. HOLD HARMLESS: COUNTY agrees to indemnify and hold harmless the LICENSOR from the COUNTY's share of any and all claims, costs and liability, including attorney's fees, for any damage, injury or death of or to any person or the property of any person, arising out of negligent acts, errors or omission of the COUNTY, its officers or employees. COUNTY shall not be liable in the case of any structural, mechanical or other failure of equipment of building maintained by the LICENSOR or for liability which is attributable, in whole or in part, to the negligence or willful misconduct of LICENSOR, which results in damage to any person or property. LICENSOR agrees to indemnify and hold harmless the COUNTY from the LICENSOR's share of any and all claims, costs and liability, including attorneys fees, for any 2 - x:39 damages, injury or death of any person or the property of any person, arising out of negligent acts, errors or omissions of the LICENSOR, its agents or employees. 13. INSURANCE: It is acknowledged by both parties that COUNTY, a political subdivision of the State of California, is self insured for public liability and property damage exposure. Upon request, COUNTY shall provide a letter of self-insurance covering the term of this License. 14. NOTICES: All notices given hereunder shall be in writing and shall be deemed to have been given if personally delivered or deposited in the United States mail postage prepaid, certified or registered, return receipt requested, and addressed to the other party as follows or as otherwise designated by written notice hereunder from time to time: To LICENSOR: Child and Family Therapy Center 2450 Charleston Street Oakland, CA 94602 To COUNTY: Contra Costa County General Services Department Lease Management Division 1220 Morello Avenue, Suite 100 Martinez, CA 94553-4711 - 3 - 15. WRITTEN AGREEMENT: Neither party has relied on any promise or representation not contained in this License. All previous conversations, negotiations, and understandings are of no further force or effect. This License may be modified only by a writing signed by both parties. The headings of the paragraphs are for convenience only and shall not be considered in construing the intent of this License. 16. TIME IS OF THE ESSENCE of each and all of the terms and provisions of this License.
