SPECIFIC REQUEST(S)OR RECOMMENDATION(S)&BACKGROUND AND JUSTIFICATION
I. Recommended Action: APPROVE agreement to provide right of way services to
the City of Brentwood for a variety of projects and AUTHORIZE the Board Chair to
sign the agreement on behalf of the County.
II. Financial Impact: The City of Brentwood will pay the actual costs for Real Property
staff and Right of Way Engineering staff right of way services.

III. Background and Reasons for Recommendations: The City of Brentwood
requires a variety of right of way services but has no real property or right of way
engineering staff and desires to contract with the County for these services.
IV. Consequences of Negative Action: Less efficient government because the City
of Brentwood would have to hire additional private contractors at greater expense.

AGREEMENT FOR PROFESSIONAL RIGHT OF WAY MANAGEMENT SERVICES
This Agreement is intended to cover general terms and conditions related to Right of Way Services
that the City of Brentwood (hereinafter referred to as "City"), may request from time to time of the
County of Contra Costa (hereinafter referred to as "County").
Purpose
City desires to seek professional right of way services as may be needed for right of way
projects planned by the City of Brentwood. This agreement is intended to cover general
provisions. Specific provisions, included but not limited to fees, deadlines, and scope of
work, will be addressed in a Project Addendum. By entering into this master agreement,
there is no guarantee of work.
Scope of Services
The scope of services that may be provided under this agreement is generally described
below. A specific scope of work for each project will be identified in the Project Addendum
specific to each project.
The services to be performed under this agreement may include appraisal, appraisal review,
negotiation, land rights document preparation, right of way acquisition, relocation, and/or
supervision of independent contractors providing such services, field surveys, topographical
mapping, preparation of appraisal maps, writing legal descriptions, preparation of right of way
maps, environmental assessments, and such other services for which County is qualified and
capable of performing.
Status
Nothing herein shall be construed to imply that any County employee providing services
hereunder is a City employee.
Subcontract
County will not subcontract any of the work or assign any of their rights and obligations
under this agreement without prior consent of City. In the event subcontractors are used, a
copy of the contract between the County and subcontractor will be provided to City.
Subcontractors will be identified in the Project Addendum.
Payment
The fee for each project will be proposed in writing and included in the Project Addendum.
The fee will not be exceeded without prior written approval. Hourly compensation for this
contract shall not exceed the fees outlined in Appendix A, attached hereto and made a part
hereof. All invoices submitted for payment will include the date and a brief description of
work performed. Payment by City to County will be made within 30 days of receipt of an
approved bill.
Indemnification
If any claim is brought against either City or County by any third party relating in whole or
in part to the negligence of City or County, each party shall hold harmless, defend ,and
indemnify the other against any loss or judgement including attorney's fees and costs, to the
extent that such loss or expense is caused by that party's negligence.

Nothing in this agreement is intended to impose any standard of care different from the standard
of care imposed by law.
Term
This agreement shall commence on January 23, 1996 and shall remain in full force and effect
until September 30, 1996. Either party may terminate this agreement for any reason upon 30 days
prior written notice to the other party; thereafter, City shall be liable to County only for those fees
and costs earned to the date of termination and which shall be substantiated by an itemized,
written statement that is submitted to City by County.
