SUBJECT: Approval of Standard Agreement (Amendment) #28-523-4 with the State
Department of Health Services for the HIV CARE Consortium
SPECIFIC REQUEST(S) OR RECOMMENDATION(S) & BACKGROUND AND JUSTIFICATION
I. RECOMMENDED ACTION:
Approve and authorize the Chair, Board of Supervisors, to execute,
on behalf of the County, Standard, Agreement (Amendment) #28-523-4
(State #94-19872-A1) , effective February 1, 1995, with the State
Department of Health Services to increase the contract payment
limit. by $64, 300, from $192,529 to a new total of $256, 829 during
FY .1994/95, for the County's HIV CARE Consortium Project.
II. FINANCIAL IMPACT:
Approval of this Standard Agreement (Amendment) will increase the
maximum reimbursable amount of State funding (Ryan White CARE Act,
Title 2) for FY 1994/95 by $64, 300, for a new total of $256, 829.
No County match is required.
III. REASONS FOR RECOMMENDATIONIBACKGROUND:
On September 27, 1994, the Board of Supervisors approved Standard
Agreement #28-523-3 with the State Department of Health Services,
for the County's local HIV CARE Consortium, to improve the quality,
availability and organization of health care and support services
for individuals with HIV Disease and their families.
Standard Agreement (Amendment) #28-523-4 will provide an increase'
in the maximum reimbursable amount from the State for activities
conducted by the HIV CARE Consortium during FY 1994/95.
The Board Chair should sign eight copies of the agreement. Seven
signed copies of the agreement and three sealed/certified copies of
this Board Order should be returned to the Contracts and Grants
Unit for submission to the State Department of Health Services.

1. Paragraph 4A and 4C is,amended to read:
"4. Limitation of State Liability
A. The maximum amount payable for the 1994/95 Fiscal Year ending June 30,
1995, shall not exceed $256,829. "Any requirement of performance by State and
Contractor for the period of the contract subsequent to June 30, 1995 is
dependent upon the availability of subsequent state and federal appropriations.
C. The total maximum amount payable under this contract shall not exceed
$641,887."

STANDARD AGREEMENT '

1. The Contractor agrees to indemnify,defend and save harmless the State.its officers,agents and employees
from any and all claims and losses accruing or resulting to any and all contractors, subcontractors,
materialmen,laborers and any other person,firm or corporation furnishing or supplying work services,
materials or supplies in connection with the performance of this contract,and from any and all claims and
losses accruing or resulting to any person,firm or corporation who may be injured or damaged by the
Contractor in the performance of this contract.
2. The Contractor,and the agents and employees of Contractor,in the performance of the agreement,shall
act in an independent capacity and not as officers or employees or agents of State of California.
3. The State may terminate this agreementand be relieved of the payment of anyconsideration to Contractor
should Contractor fail to perform the covenants herein contained at the time and in the manner herein
provided. In the event of such termination the State may proceed with the work in any manner deemed
proper by the State. The cost to the State shall be deducted from any sum due the Contractor under this
agreement,and the balance, if any,shall be paid the Contractor upon demand.
4. Without the written consent of the State.this agreement is not assignable by Contractor either in whole
or in part.
5. Time is of the essence in this agreement.
6. No alteration or variation of the terms of this contract shall be valid unless made in writing and signed by
the parties hereto,and no oral understanding or agreement not incorporated herein,shall be bindin;on
any of the parties hereto.
'. The consideration to be paid Contractor, as provided herein, shall be in compensation for all of
Controctor's eNpenses incurred in the performance hereof, including travel and per diem, unless
otherwist, So provided.

2. Paragraph 7 is amended to read:
"7. Budget
The attached Exhibit "C-1" entitled "Budget", consisting of three pages, is incorporated
and made a part hereof by this reference. All further references to Exhibit "C" in the
body of this agreement or any exhibits thereto shall be deemed to read Exhibit "C-1"."
3. The effective date of this amendment shall be February 1, 1995.
4. Except as amended herein, all other terms, provisions, and amendments to said agreement shall
remain in full force and effect.
