Trotta, General Manager, Viacom Cable, 550 Garcia Avenue, Pittsburg 94565, advising that Viacom Cable and RCS are agreeing to toll the running of the 120 day period effective March 27, 1995, until further notice, triggered by delivery of the Federal Communications Commission Form 394. The House of Representatives had already passed a similar bill on February 21, 1995. If signed by President Clinton, which is anticipated, it will become law. Viacom and RCS Pacific are obviously disappointed to see Congress craft tax policy on a retroactive basis. As you know, the sale to RCS is conditioned upon receipt of a minority tax certificate. While our parent company, Viacom Inc., is still committed to selling its cable systems, it is now considering other options in structuring a transaction. We don't want to keep you to a tight timetable while we consider our alternatives and await final resolution of the pending legislation. Therefore, to allow you the opportunity to attend to other matters, Viacom Cable and RCS are agreeing to toll the running of the 120 day period triggered by delivery of the FCC Form 394 until further notice. This tolling period is effective March 27, 1995 Thank you for your understanding and patience.
