Spooner, Contracts Administratofo Costa DATE: May 12, 1994 County SUBJECT: Approval of Contract Amendment Agreement #24-683-1 with Alameda County for Contra Costa County's Participation in a Regional Neuro-Behavioral Care Program SPECIFIC REQUEST(S) OR RECOMMENDATION(S) & BACKGROUND AND JUSTIFICATION I. RECOMMENDED ACTION: Approve and authorize the Health Services Director or his designee (Lorna Bastian) to execute on behalf of the County, Contract Amendment Agreement #24-683-1, effective April 14, 1994, to amend Contract #24- 683 with Alameda County (effective November 1, 1993 through June 30, 1995) to reduce the Contract Payment Limit from $809, 938 to $633 ,212. II. FINANCIAL IMPACT: This Contract is included in the Department's 1993-94 and 1994-95 Fiscal Year Budgets and is funded by savings generated from the County's reduction of client placements at State Hospitals. Approval of this Amendment Agreement will reduce the original payment limits authorized by the Board of Supervisors for Contract #24-683. Services did not begin immediately upon execution of the Contract, and therefore, the amount paid to Alameda County for Fiscal Year 1993-94 was $244, 138, rather than $306,238, the FY 1993-94 payment limit authorized by your Board. Reducing the number of Contra Costa beds from sixteen to thirteen is resulting in a further reduction in the Fiscal Year Payment Limits to $223,955 for FY 1993-94 and $409,257 for FY 1994-95, and in the total Contract Payment Limit from the original $809,938 to a new total Contract Payment Limit of $633 ,212. III. REASONS FOR RECOMMENDATIONS/BACKGROUND: On December 7, 1993 , the Board of Supervisors approved, and authorized the Health Services Director to negotiate a contract (#24-683) with Alameda County, as host County and the Guardian Foundation as the service provider, for Contra Costa County's participation in a Regional Neuro-Behavioral Care Program, as an alternative to State hospital placement, to provide skilled nursing facility (SNF) care and programs for this County's organic brain syndrome (OBS) , traumatic brain injured, and medically debilitated patients. In addition, the Board authorized the Health Services Director, or his designee, to execute the Contract, with payment limits not •to exceed $306,238 for Fiscal Year 1993-94; $503 , 700 for Fiscal Year 1994-95; and a total Contract Payment Limit of $809,938 for the services described above. Subsequently, the Health Services Director executed Contract #24-683 with Alameda County, with payment limits as set forth above, for the purchase of sixteen beds. Approval of Contract Amendment Agreement #24-683-1 will provide for payment limit adjustments and for formal transfer of three unused Contra Costa County beds to other counties participating in this Program. Total Remuneration Remuneration to the Contractor under this agreement shall be known as net reimbursable cost and shall, in no event, exceed the amount of $633,212. 2. Basis for Final Reimbursement' Contractor shall be reimbursed on the basis of a negotiated net amount specified in Paragraph 3. County shall consider this amount as net final reimbursable cost. 3 . Reimbursement Method(s) During Contract Period County acknowledges the necessity of providing a cash flow to Contractor to enable Contractor to pay program operating and other expenses of the Guardian Foundation herein after referred to as the program provider. Therefore, to establish the aforementioned cash flow, County shall pay Contractor for services in accordance with the following reimbursement method(s) and payment schedules: Net negotiated amount of $633,212 for access to 13 bed(s) at the Neuro-Behavioral Care program operated by the Guardian Foundation. Schedule of payments: Fiscal year 1993-94 net negotiated amount of $223,955 to be paid on or before March 1, 1994. Fiscal year 1994-95 net negotiated amount of $409,257 to be paid on or before January 1, 1995. 4. Submittal Deadline for Claims Contractor shall submit claim(s) for payment to County 30 days prior to the payment date(s) as specified in Paragraph 3.
