BACKGROUNDJREASONS FOR RECOMMENDATIONS
On May 3, 1994, the Board of Supervisors authorized the Deputy
Director - Redevelopment to submit to the California Debt Limit
Allocation Committee the necessary applications to request an
allocation of Private Activity Bond Authority for Mortgage Credit
Certificates. Contra Costa County has been operating a Countywide
Mortgage Credit Certificate (MCC) program since June, 1991. By
approval of the Cooperative Agreements, the program will be able to
continue operation throughout the unincorporated County and all
cities. The approval of this agreement will also provide for the
County to be able to operate future Home Mortgage Finance Programs
Countywide.

A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF SAN RAMON
AUTHORIZING THE MAYOR TO EXECUTE A COOPERATIVE AGREEMENT WITH
THE COUNTY OF CONTRA COSTA REGARDING THE USE OF MORTGAGE
CREDIT CERTIFICATES IN THE CITY OF SAN RAMON AND THE
ADMINISTRATION OF THE PROGRAM BY THE COUNTY OF CONTRA COSTA
I. HOME MORTGAGE FINANCE PROGRAM
WHEREAS, there is a shortage in the County of Contra Costa (the "County") and in
the City of San Ramon (the "City) of decent, safe and sanitary housing, particularly of
housing affordable by persons in the lower end of the purchasing spectrum, and a
consequent need to encourage the construction of homes affordable by such persons and
otherwise to increase the housing supply in the County and in the City for such persons; and
WHEREAS, the Board of Supervisors of the County has adopted an ordinance
declaring its intent to engage in a home mortgage finance program pursuant to Chapters 1-5
of Part 5 of Division 31 of the Health and Safety Code of the State of California (the "Act");
and
WHEREAS, the County intends to issue bonds pursuant to the Act to provide funds
for the County's home mortgage finance program - Mortgage Credit Certificate (MCC)
('Program"), if the County determines that such programs are deemed to be beneficial; and
WHEREAS, The Council finds and determines that it is in the best interest of the
City to adopt the Program and to consent to the operation of the Program by the County
within the geographic boundaries of the City pursuant to the Act;
H. MORTGAGE CREDIT CERTIFICATE PROGRAM
WHEREAS, there is a continued need for affordable homeownership opportunities
within the City and the Country particularly for households at the lower end of the
purchasing spectrum; and
WHEREAS,the Tax Reform Act of 1984 established the Mortgage Credit Certificate
Program (hereinafter' referred to as the "MCC Program") as a means of assisting qualified
individuals with the acquisition of new and existing single family housing; and

WHEREAS, Division 31, Part 1, Chapter 35, Article 4 of the California Health and
Safety Code Sections 50197 et seq (the "Act") authorizes Counties, Cities and
Redevelopment Agencies to create and participate in MCC programs; and
WHEREAS, the County has heretofore determined to engage in a MCC Program
pursuant to the Act in order to assist individual home purchasers in the County to afford
both new and existing homes within the statutory limits as provided for in said Act; and
WHEREAS,the County intends to request additional MCC Program allocations from
the California Debt Limit Allocation Committee (CDLAC) to continue operation of its
existing MCC Program; and
WHEREAS, the City requests that the MCC allocation be available to eligible first
time homebuyers within the corporate limits of the City; and
WHEREAS, the County and City wish to cooperate with one another pursuant to the
"Act" in the exercise of their powers under the "Act" for the purposes of the MCC Program;
and
WHEREAS, the County has successfully administered a MCC Program since 1991,
in which over 700 individuals and families have been assisted in the purchase of new and
existing homes in the County.
NOW, THEREFORE, BE IT RESOLVED that the City Council on April 26, 1994
recommended approval of the Home Mortgage Finance Program and the Mortgage Credit
Certificate Program for the purpose of increasing the housing supply of affordable housing
in the County and in the City, and consents to the operation of said Programs by the County
with respect to all property located within the geographical boundaries of the City.
BE IT FURTHER RESOLVED, that the Cooperative Agreement, dated as of
, between the County and the City ("Agreement"), in the form
presented to this meeting, is hereby approved and the Mayor is hereby authorized and
directed to execute and deliver the Agreement, for and in the name and on behalf of the
City. The Mayor, with the advice and consent of the City attorney, is further authorized to
enter into such additional agreements with the County, execute such other documents, or
take such other actions as they may deem necessary or appropriate to carry out the purposes
and intent of the Agreement or to cooperate in the implementation of the Program.

COOPERATIVE AGREEMENT BETWEEN
THE COUNTY OF CONTRA COSTA AND

THIS COOPERATIVE AGREEMENT (the "Cooperative Agreement") is made and entered into
as of . 1994 , by and between the COUNTY OF CONTRA COSTA ("County"),
and the CITY OF SAN RAMON (the "City").
WITNESSETH: MORTGAGE CREDIT CERTIFICATE PROGRAM
WHEREAS, the Tax Reform Act of 1984 established the Mortgage Credit Certificate Program
(hereinafter referred to as the "MCC Program") as a means of assisting qualified individuals with the
acquisition of new and existing single family housing; and
WHEREAS, the County has heretofore determined to engage in an MCC Program pursuant to
Chapters 1399, Statutes of 1985 Section 50197, et sea of the Health and Safety Code of the State of
California(the "Act") in order to assist individual home purchasers in the County to afford both new and
existing homes within the statutory limits as provided for in said Act; and
WHEREAS, in furtherance of the MCC Program, the County authorized its staff to apply to the
California Debt Limit Allocation Committee(CDLAC)to obtain allocations for operation of the Mortgage
Credit Certificate Program in Contra Costa County; and
WHEREAS, Contra Costa County has operated a successful Mortgage Credit Certificate Program

WHEREAS, the City and the County wish to cooperate with one another pursuant to the Act in
the exercise of their powers under the Act for the purposes of the MCC Program; and
WHEREAS, the County has the capacity both to issue bonds and to establish and administer an
MCC Program; and
WHEREAS, the County intends to administer an MCC Program in the County, and the City
desires that the Program be applicable to eligible real property in the City;
WITNESSETH: MORTGAGE BOND PROGRAM
WHEREAS, the County has determined to engage in a home mortgage finance program pursuant
to Chapters 1-5 of Part 5 of Division 31 of the Health and Safety Code of the State of California (the
"Act")to make or acquire, directly or indirectly, loans to finance the construction or acquisition of homes
in the County of Contra Costa, all as provided for in the Act (the "Home Mortgage Finance Program");
WHEREAS, the County of Contra Costa, pursuant to the Act, has adopted a home finance
program by Ordinance No. 82-5;
WHEREAS, the County has determined to cooperate with the City pursuant to the Act in the
exercise of its powers under the Act for purposes of the Home Mortgage Finance Program; and
WHEREAS, the City, pursuant to the Act, has adopted a home mortgage finance program and
has determined to cooperate with the County pursuant to the Act in the exercise of its powers under the
Act for purposes of the Home Mortgage Finance Program;
NOW, THEREFORE, in consideration of the mutual covenants hereinafter provided, the parties
hereto agree as follows:
SECTION 1. The.words and phrases of this Cooperative Agreement shall, for all purposes
hereof unless otherwise defined herein, have the meanings assigned to such words and phrases in the Act.
SECTION 2. The County shall staff a program for the effective administration of an MCC
Program within the geographical boundaries of the City. The County shall cooperate with local real
estate and lending institutions in order to maintain their participation in securing applications from eligible
applicants for review and approval by County representatives on behalf of the County and the City.
SECTION 3. The County intends to undertake a Home Mortgage Finance Program and to issue
revenue bonds pursuant to the Act, as such programs are deemed to be beneficial.
SECTION 4. The City hereby agrees to cooperate with the County in the exercise jointly or
otherwise of their powers for the purpose of financing home mortgages pursuant to the Act by agreeing
that the County shall exercise such powers to make or acquire home mortgages under the Home Mortgage
Finance Program, all as more specifically set forth in the Act, with respect to property located within the
geographic boundaries of the City.
SECTION 5. Nothing in this Cooperative Agreement shall prevent the County from entering into
one or more similar agreements with other municipal corporations within the County, if deemed necessary
and advisable to do so by the County, so long as such other agreements are not inconsistent with this
agreement.
SECTION 6. The City agrees to undertake such further proceedings or actions as may be
necessary to carry out the terms and intent of this Cooperative Agreement as expressed in the recitals;
provided, however, that nothing in this Cooperative Agreement shall require the City to appropriate any
funds to the County for services under this Cooperative Agreement. Funds for the administration.of the
MCC Program, and the Home Mortgage Finance Program shall be derived by the County from the fees
paid by the MCC applicants and from administrative fees paid by the Home Mortgage Finance Program
respectively.
SECTION 7. Nothing contained herein shall be interpreted to.impose a relationship of partners
or joint ventures between the City and the County.

attested by their proper officers thereunder duly authorized, and their officials seals to be hereunto

WHEREAS, there is a shortage in the County of Contra
Costa (the "County" ) and in the City of Pinole (the "City" ) of
decent, safe and sanitary housing, particularly of housing
affordable by persons in the lower end of the purchasing spectrum,
and a consequent need to encourage the construction of homes
affordable by such persons and otherwise to increase the housing
supply in the County and in the City for such persons; and
WHEREAS, the Board of Supervisors of the County has
adopted an ordinance declaring its intent to engage in a home
mortgage finance program pursuant to Chapters 1-5 of Part 5 of
Division 31 of the Health and Safety Code of the State of
California (the "Act" ) ; and
WHEREAS, the County intends to issue bonds pursuant to
the Act to provide funds for the County' s home mortgage finance
program (the "Program" ) ; if the County finds that such programs are
deemed to be beneficial; and
WHEREAS, the Council finds and determines that it is in
the best interest of the City to adopt the Program and to consent
to the operation of the Program by the County within the geographic
boundaries of the City pursuant to the Act;
II . MORTGAGE CREDIT CERTIFICATE PROGRAM
WHEREAS, there is a continued need for affordable home
ownership opportunities within the City and the County particularly
for households at the lower end of the purchasing spectrum; and
WHEREAS, the Tax Reform Act of 1984 established the
Mortgage Credit Certificate Program (hereinafter referred to as the
"MCC Program" ) as a means of assisting qualified individuals with
the acquisition of new and existing single family housing; and
WHEREAS, Division 31, Part 1, Chapter 35, Article 4 of
the California Health and Safety Code Sections 50197 et seq (the
"Act" ) authorizes Counties, Cities, and Redevelopment Agencies to
create and participate in MCC Programs; and
WHEREAS, the County has heretofore determined to engage
in an MCC Program pursuant to the Act in order to assist individual
home purchasers in the County to afford both new and existing homes
within the statutory limits as provided for in said Act; and
WHEREAS, the County intends to request additional MCC
Program allocations from the California Debt Limit Allocation
Committee (CDLAC) to continue operation of the existing MCC
Program; and

Program since 1991, in which over 700 individuals and families have
been assisted in the purchase of new and existing homes in the
County.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF PINOLE
Section 1 : The City hereby adopts the Home Mortgage
Finance Program and the Mortgage Credit Certificate Program for the
purpose of increasing the housing supply of affordable housing in
the County and in the City, and consents to the operation of said
Programs by the County with respect to all property located within
the geographical boundaries of the City.
Section 2 : The Cooperative Agreement, dated as of
, between the County and the City ( "Agreement" )
in the form presented to this meeting, is hereby approved and the
Mayor is hereby authorized and directed to execute and deliver the
Agreement, for and in the name and on behalf of the City. The
Mayor, with the advice and consent of the City Attorney, is
authorized to enter into any additional agreements with the County,
execute such other documents, or take such actions as they may deem
necessary or appropriate to carry out the purposes and intent of
the Agreement or to cooperate in the implementation of the program.
Section 3 : This resolution shall take effect from and
after its adoption.
NOW, THEREFORE, IT IS DETERMINED AND ORDERED that the Mayor of
the City be authorized and directed to execute said agreement for

THIS COOPERATIVE AGREEMENT (the "Cooperative Agreement") is made and entered into

WHEREAS, the Tax Reform Act of 1984 established the Mortgage Credit Certificate Program
(hereinafter referred to as the "MCC Program") as a means of assisting qualified individuals with the

WHEREAS, the County has heretofore determined to engage in an MCC Program pursuant to
Chapters 1399, Statutes of 1985 Section 50197, et sea of the Health and Safety Code of the State of
California (the "Act") in order to assist individual home purchasers in the County to afford both new and
existing homes within the statutory limits as provided for in said Act; and
WHEREAS, in furtherance of the MCC Program, the County authorized its staff to apply to the
California Debt Limit Allocation Committee(CDLAC)to obtain allocations for operation of the Mortgage
Credit Certificate Program in Contra Costa County; and
WHEREAS, Contra Costa County has operated a successful Mortgage Credit Certificate Program

WHEREAS, the City and the County wish to cooperate with one another pursuant to the Act in
the exercise of their powers under the Act for the purposes of the MCC Program; and
WHEREAS, the County has the capacity both to issue bonds and to establish and administer an
MCC Program; and
WHEREAS, the County intends to administer an MCC Program in the County, and the City
desires that the Program be applicable to eligible real property in the City;
WITNESSETH: MORTGAGE BOND PROGRAM
WHEREAS, the County has determined to engage in a home mortgage finance program pursuant
to Chapters 1-5 of Part 5 of Division 31 of the Health and Safety Code of the State of California (the
"Act")to make or acquire, directly or indirectly, loans to finance the construction or acquisition of homes
in the County of Contra Costa, all as provided for in the Act (the "Home Mortgage Finance Program");
WHEREAS, the County of Contra Costa, pursuant to the Act, has adopted a home finance
program by Ordinance No. 82-5;
WHEREAS, the County has determined to cooperate with the City pursuant to the Act in the
exercise of its powers under the Act for purposes of the Home Mortgage Finance Program; and
WHEREAS, the City, pursuant to the Act, has adopted a home mortgage finance program and
has determined to cooperate with the County pursuant to the Act in the exercise of its powers under the
Act for purposes of the Home Mortgage Finance Program;
NOW, THEREFORE, in consideration of the mutual covenants hereinafter provided, the parties
hereto agree as follows:
SECTION 1. The words and phrases of this Cooperative Agreement shall, for all purposes
hereof unless otherwise defined herein, have the meanings assigned to such words and phrases in the Act.
SECTION 2. The County shall staff a program for the effective administration of an MCC
Program within the geographical boundaries of the City. The County shall cooperate with local real
estate and lending institutions in order to maintain their participation in securing applications from eligible
applicants for review and approval by County representatives on behalf of the County and the City.
SECTION 3. The County intends to undertake a Home Mortgage Finance Program and to issue
revenue bonds pursuant to the Act, as such programs are deemed to be beneficial.
SECTION 4. The City hereby agrees to cooperate with the County in the exercise jointly or
otherwise of their powers for the purpose of financing home mortgages pursuant to the Act by agreeing
that the County shall exercise such powers to make or acquire home mortgages under the Home Mortgage
Finance Program, all as more specifically set forth in the Act, with respect to property located within the
geographic boundaries of the City.
SECTION 5. Nothing in this Cooperative Agreement shall prevent the County from entering into
one or more similar agreements with other municipal corporations within the County, if deemed necessary
and advisable to do so by the County, so long as such other agreements are not inconsistent with this
agreement.
SECTION 6. The City agrees to undertake such further proceedings or actions as may be
necessary to carry out the terms and intent of this Cooperative Agreement as expressed in the recitals;
provided, however, that nothing in this Cooperative Agreement shall require the City to appropriate any
funds to the County for services under this Cooperative Agreement. Funds for the administration of the
MCC Program, and the Home Mortgage Finance Program shall be derived by the County from the fees
paid by the MCC applicants and from administrative fees paid by the Home Mortgage Finance Program
respectively.
SECTION 7. Nothing contained herein shall be interpreted to impose a relationship of partners
or joint ventures between the City and the County.

California Debt Limit Allocation Committee(CDLAC)to obtain allocations for operation of the Mortgage

WHEREAS, Contra Costa County has operated a successful Mortgage Credit Certificate Program
since 1991, in which over 700 qualified individuals and families have been assisted in the purchase of
new and existing housing in the County; and
WHEREAS, the City and the County wish to cooperate with one another pursuant to the Act in
the exercise of their powers under the Act for the purposes of the MCC Program; and
WHEREAS, the County has the capacity both to issue bonds and to establish and administer an
MCC Program; and
WHEREAS, the County intends to administer an MCC Program in the County, and the City
desires that the Program be applicable to eligible real property in the City;
WITNESSETH: MORTGAGE BOND PROGRAM
WHEREAS, the County has determined to engage in a home mortgage finance program pursuant
to Chapters 1-5 of Part 5 of Division 31 of the Health and Safety Code of the State of California (the
"Act")to make or acquire, directly or indirectly, loans to finance the construction or acquisition of homes
in the County of Contra Costa, all as provided for in the Act (the "Home Mortgage Finance Program");
WHEREAS, the County of Contra Costa, pursuant to the Act, has adopted a home finance
program by Ordinance No. 82-5;
WHEREAS, the County has determined to cooperate with the City pursuant to the Act in the
exercise of its powers under the Act for purposes of the Home Mortgage Finance Program; and
WHEREAS, the City, pursuant to the Act, has adopted a home mortgage finance program and
has determined to cooperate with the County pursuant to the Act in the exercise of its powers under the
Act for purposes of the Home Mortgage Finance Program;
NOW, THEREFORE, in consideration of the mutual covenants hereinafter provided, the parties
hereto agree as follows:
SECTION 1. The words and phrases of this Cooperative Agreement shall, for all purposes
hereof unless otherwise defined herein, have the meanings assigned to such words and phrases in the Act.
SECTION 2. The County shall staff a program for the effective administration of an MCC
Program within the geographical boundaries of the City. The County shall cooperate with local real
estate and lending institutions in order to maintain their participation in securing applications from eligible
applicants for review and approval by County representatives on behalf of the County and the City.
SECTION 3. The County intends to undertake a Home Mortgage Finance Program and to issue
revenue bonds pursuant to the Act, as such programs are deemed to be beneficial.
SECTION 4. The City hereby agrees to cooperate with the County in the exercise jointly or
otherwise of their powers for the purpose of financing home mortgages pursuant to the Act by agreeing
that the County shall exercise such powers to make or acquire home mortgages under the Home Mortgage
Finance Program, all as more specifically set forth in the Act, with respect to property located within the
geographic boundaries of the City.
SECTION 5. Nothing in this Cooperative Agreement shall prevent the County from entering into
one or more similar agreements with other municipal corporations within the County, if deemed necessary
and advisable to do so by the County, so long as such other agreements are not inconsistent with this
agreement.
SECTION 6. The City agrees to undertake such further proceedings or actions as may be
necessary to carry out the terms and intent of this Cooperative Agreement as expressed in the recitals;
provided, however, that nothing in this Cooperative Agreement shall require the City to appropriate any
funds to the County for services under this Cooperative Agreement. Funds for the administration of the
MCC Program, and the Home Mortgage Finance Program shall be derived by the County from the fees
paid by the MCC applicants and from administrative fees paid by the Home Mortgage Finance Program
respectively.
SECTION 7. Nothing contained herein shall be interpreted to impose a relationship of partners
or joint ventures between the City and the County.

RESOLUTION AUTHORIZING EXECUTION OF A COOPERATIVE AGREEMENT
ADOPTING A HOME MORTGAGE FINANCE PROGRAM IN COOPERATION WITH THE
COUNTY OF CONTRA COSTA, AND REGARDING THE USE OF MORTGAGE CREDIT
CERTIFICATES IN THE CITY OF ANTIOCH AND THE ADMINISTRATION OF THE
PROGRAM BY THE COUNTY OF CONTRA COSTA STAFF
I. HOME MORTGAGE FINANCE PROGRAM
WHEREAS, there is a shortage in the County of Contra Costa (the "County") and in the City
of Antioch (the "City") of decent, safe, and sanitary housing, particularly of housing affordable by
persons in the lower end of the purchasing spectrum, and a consequent need to encourage the construction
of homes affordable by such persons and otherwise to increase the housing supply in the County and in
the City for such persons; and
WHEREAS, the Board of Supervisors of the County has adopted an ordinance declaring its intent
to engage in a home mortgage finance program pursuant to Chapters 1-5 of Part 5 of Division 31 of the
Health and Safety Code of the State of California (the "Act"); and
WHEREAS, the County intends to issue bonds pursuant to the Act to provide funds for the
County's home mortgage finance program - Mortgage Credit Certificate (MCC) ("Program"), if the
County determines that such programs are deemed to be beneficial; and
WHEREAS, the Council finds and determines that it is in the best interest of the City to adopt
the Program and to consent to the operation of the Program by the County within the geographic
boundaries of the City pursuant to the Act;
II. MORTGAGE CREDIT CERTIFICATE PROGRAM
WHEREAS, there is a continued need for affordable homeownership opportunities within the City
and the County particularly for households at the lower end of the purchasing spectrum; and
WHEREAS, the Tax Reform Act of 1984 established the Mortgage Credit Certificate Program
(hereinafter referred to as the "MCC Program") as a means of assisting qualified individuals with the
acquisition of new and existing single family housing; and
WHEREAS, Division 31, Part 1, Chapter 35, Article 4 of the California Health and Safety Code
Sections 50197 et seq (the "Act") authorizes Counties, Cities, and Redevelopment Agencies to create and
participate in MCC Programs; and
WHEREAS, the County has heretofore determined to engage in an MCC Program pursuant to
the Act in order to assist individual home purchasers in the County to afford both new and existing homes
within the statutory limits as provided for in said Act; and
WHEREAS, the County intends to request additional MCC Program allocations from the
California Debt Limit Allocation Committee (CDLAC) to continue operation of its existing MCC
Program; and
WHEREAS, the City requests that the MCC allocation be available to eligible first time

homebuyers within the corporate limits of the City; and
WHEREAS, the County and City wish to cooperate with one another pursuant to the "Act" in
the exercise of their powers under the "Act" for the purposes of the MCC Program; and
WHEREAS, the County has successfully administered an MCC Program since 1991, in which
over 700 individuals and families have been assisted in the purchase of new and existing homes in the
County.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF
Section 1: The City hereby adopts the Home Mortgage Finance Program and the Mortgage
Credit Certificate Program for the purpose of increasing the housing supply of affordable housing in the
County and in the City, and consents to the operation of said Programs by the County with respect to all
property located within the geographical boundaries of the City.
Section 2: The Cooperative Agreement, dated as of April 26. 1994 , between
the County and the City ("Agreement"), in the form presented to this meeting, is hereby approved and
the Mayor is hereby authorized and directed to execute and deliver the Agreement, for and in the name
and on behalf of the City. The Mayor, with the advice and consent of the City Attorney, is further
authorized to enter into such additional agreements with the County, execute such other documents, or
take such other actions as they may deem necessary or appropriate to carry out the purposes and intent
of the Agreement or to cooperate in the implementation of the Program.
Section 3: This resolution shall take effect from and after its adoption.
NOW, THEREFORE, IT IS HEREBY DETERMINED AND ORDERED that the Mayor of the City be
hereby authorized and directed to execute said agreement for and on behalf of the City of Antioch.

Program (hereinafter referred to as the "MCC Program") as a means of assisting qualified
individuals with the acquisition of new and existing single family housing; and
WHEREAS, the County has heretofore determined to engage in an MCC Program pursuant
to Chapters 1399, Statutes of 1985 Section 50197, et seg of the Health and Safety Code of the
State of California (the "Act") in order to assist individual home purchasers in the County to
afford both new and existing homes within the statutory limits as provided for in said Act; and
WHEREAS, in furtherance of the MCC Program, the County authorized its staff to apply to
the California Debt Limit Allocation Committee (CDLAC) to convert its carry forward mortgage
bond allocation in the amount of$25,500,000 to be traded for authority to issue Mortgage Credit
Certificates in the face amount of$ 6,375,000 (based upon 4:1 trade-in value of bond allocation);
and
WHEREAS, that the application for the MCC Program was approved by CDLAC at its June
19, 1991 meeting; and
WHEREAS, the City and the County wish to cooperate with one another pursuant to the Act
in the exercise of their powers under the ACT for the purposes of the MCC Program; and
WHEREAS, the County has the capacity both to issue bonds and to establish and administer
an MCC Program; and
WHEREAS, the County intends to administer an MCC Program in the County, and the City
desires that the Program be applicable to eligible real property in the City;

pursuant to Chapters 1=5 of Part 5 of Division 31 of the Health and Safety Code of the State of

or acquisition of homes in the County of Contra Costa, all as provided for in the Act (the "Home
Mortgage Finance Program");
WHEREAS, the County of Contra Costa, pursuant to the Act, has adopted a home finance
program by Ordinance No. 82-5;
WHEREAS, the County has determined to cooperate with the City pursuant to the Act in the
exercise of its powers under the Act for purposes of the Home Mortgage Finance Program; and
WHEREAS, the City, pursuant to the Act, has adopted a home mortgage finance program
and has determined to cooperate with the County pursuant to the Act in the exercise of its powers
under the Act for purposes of the Home Mortgage Finance Program; and
NOW, THEREFORE, in consideration of the mutual covenants hereinafter provided, the
parties hereto agree as follows:
SECTION 1. The words and phrases of this Cooperative Agreement shall, for all purposes
hereof unless otherwise defined herein, have the meanings assigned to such words and phrases
in the Act.
SECTION 2. The County shall staff a program for the effective administration of an MCC
Program within the geographical boundaries of the County. The County shall cooperate with
local real estate and lending institutions in order to maintain their participation in securing
applications from eligible applicants for review and approval by County representatives on behalf
of the County and the City.
SECTION 3. The County agrees to undertake a Home Mortgage Finance Program and to
issue revenue bonds therefore pursuant to the Act as soon as possible.
SECTION 4. The City hereby agrees to cooperate with the County in the exercise jointly
or otherwise of their powers for the purpose of financing home mortgages pursuant to the Act
by agreeing that the County shall exercise such powers to make or acquire home mortgages under
the Home Mortgage Finance Program, all as more specifically set forth in the Act, with respect
to property located within the geographic boundaries of the City.

SECTION 5. Nothing in this Cooperative Agreement shall prevent the County from entering
into one or more similar agreements with other municipal corporations within the County, if
deemed necessary and advisable to do so by the County, so long as such other agreements are
not inconsistent with this agreement.
SECTION 6. The City agrees to undertake such further proceedings or actions as may be
necessary to carry out the terms and intent of this Cooperative Agreement as expressed in the
recitals; provided, however, that nothing in this Cooperative Agreement shall require the City to
appropriate any fiends to the County for services under this Cooperative Agreement. Funds for
the administration of the MCC Program, and the Home Mortgage Finance Program shall be
derived by the County from the fees paid by the MCC applicants and from administrative fees
paid by the Home Mortgage Finance Program respectively.
SECTION 7. Nothing contained herein shall be interpreted to impose a relationship of
partners or joint ventures between the City and the County.
SECTION 8. This Agreement supercedes any and all prior Cooperative Agreements entered
into by the City with regard to these programs.

COOPERATIVE AGREEMENT BETWEEN
THE COUNTY OF CONTRA COSTA AND
THE TOWN OF DANVILLE
THIS COOPERATIVE AGREEMENT (the "Cooperative Agreement") is made and entered into
as of , 1994 , by and between the COUNTY OF CONTRA COSTA ("County"),
and the TOWN OF DANVILLE (the "City").
WITNESSETH: MORTGAGE CREDIT CERTIFICATE PROGRAM
WHEREAS, the Tax Reform Act of 1984 established the Mortgage Credit Certificate Program
(hereinafter referred to as the "MCC Program") as a means of assisting qualified individuals with the
acquisition of new and existing single family housing; and
WHEREAS, the County has heretofore determined to engage in an MCC Program pursuant to
Chapters 1399, Statutes of 1985 Section 50197, et sea of the Health and Safety Code of the State of
California(the "Act") in order to assist individual home purchasers in the County to afford both new and
existing homes within the statutory limits as provided for in said Act; and
WHEREAS, in furtherance of the MCC Program, the County authorized its staff to apply to the
California Debt Limit Allocation Committee(CDLAC)to obtain allocations for operation of the Mortgage
Credit Certificate Program in Contra Costa County; and
WHEREAS, Contra Costa County has operated a successful Mortgage Credit Certificate Program
since 1991, in which over 700 qualified individuals and families have been assisted in the purchase of
new and existing housing in the County; and
WHEREAS, the City and the County wish to cooperate with one another pursuant to the Act in
the exercise of their powers under the Act for the purposes of the MCC Program; and
WHEREAS, the County has the capacity both to issue bonds and to establish and administer an
MCC Program; and
WHEREAS, the County intends to administer an MCC Program in the County, and the City
desires that the Program be applicable to eligible real property in the City;
WITNESSETH: MORTGAGE BOND PROGRAM
WHEREAS, the County has determined to engage in a home mortgage finance program pursuant
to Chapters 1-5 of Part 5 of Division 31 of the Health and Safety Code of the State of California (the
"Act")to make or acquire, directly or indirectly, loans to finance the construction or acquisition of homes
in the County of Contra Costa, all as provided for in the Act (the "Home Mortgage Finance Program");
WHEREAS, the County of Contra Costa, pursuant to the Act, has adopted a home finance
program by Ordinance No. 82-5;
WHEREAS, the County has determined to cooperate with the City pursuant to the Act in the
exercise of its powers under the Act for purposes of the Home Mortgage Finance Program; and
WHEREAS, the City, pursuant to the Act, has adopted a home mortgage finance program and
has determined to cooperate with the County pursuant to the Act in the exercise of its powers under the
Act for purposes of the Home Mortgage Finance Program;
NOW, THEREFORE, in consideration of the mutual covenants hereinafter provided, the parties
hereto agree as follows:
SECTION 1. The words and phrases of this Cooperative Agreement shall, for all purposes
hereof unless otherwise defined herein, have the meanings assigned to such words and phrases in the Act.
SECTION 2. The County shall staff a program for the effective administration of an MCC
Program within the geographical boundaries of the City. The County shall cooperate with local real
estate and lending institutions in order to maintain their participation in securing applications from eligible
applicants for review and approval by County representatives on behalf of the County and the City.
SECTION 3. The County intends to undertake a Home.Mortgage Finance Program and to issue
revenue bonds pursuant to the Act, as such programs are deemed to be beneficial.
SECTION 4. The City hereby agrees to cooperate with the County in the exercise jointly or
otherwise of their powers for the purpose of financing home mortgages pursuant to the Act by agreeing
that the County shall exercise such powers to make or acquire home mortgages under the Home Mortgage
Finance Program, all as more specifically set forth in the Act, with respect to property located within the
geographic boundaries of the City.
SECTION 5. Nothing in this Cooperative Agreement shall prevent the County from entering into
one or more similar agreements with other municipal corporations within the County, if deemed necessary
and advisable to do so by the County, so long as such other agreements are not inconsistent with this
agreement.
SECTION 6. The City agrees to undertake such further proceedings or actions as may be
necessary to carry out the terms and intent of this Cooperative Agreement as expressed in the recitals;
provided, however, that nothing in this Cooperative Agreement shall require the City to appropriate any
funds to the County for services under this Cooperative Agreement. Funds for the administration of the
MCC Program, and the Home Mortgage Finance Program shall be derived by the County from the fees
paid by the MCC applicants and from administrative fees paid by the Home Mortgage Finance Program
respectively.
SECTION 7. Nothing contained herein shall be interpreted to impose a relationship of partners
or joint ventures between the City and the County.

SECTION 7. The City may terminate the Cooperative Agreement upon a 60 day
written notice to the County.
SECTION 8. Nothing contained herein shall be interpreted to impose a relationship
of partners or joint ventures between the City and the County.

RESOLUTION AUTHORIZING EXECUTION OF A •COOPERATIVE AGREEMENT
ADOPTING A HOME MORTGAGE FINANCE PROGRAM IN COOPERATION WITH THE
COUNTY OF CONTRA COSTA, AND REGARDING THE USE OF MORTGAGE CREDIT
CERTIFICATES IN THE CITY OF BRENTWOOD AND THE ADMINISTRATION OF THE
PROGRAM BY THE COUNTY OF CONTRA COSTA STAFF
I. HOME MORTGAGE FINANCE PROGRAM
WHEREAS, there is a shortage in the County of Contra Costa (the "County") and in the City
of Brentwood (the "City") of decent, safe, and sanitary housing, particularly of housing affordable by
persons in the lower end of the purchasing spectrum, and a consequent need to encourage the construction
of homes affordable by such persons and otherwise to increase the housing supply in the County and in
the City for such persons; and
WHEREAS,the Board of Supervisors of the County has adopted an ordinance declaring its intent
to engage in a home mortgage finance program pursuant to Chapters 1-5 of Part 5 of Division 31 of the
Health and Safety Code of the State of California (the "Act"); and
WHEREAS, the County intends to issue bonds pursuant to the Act to provide funds for the
County's home mortgage finance program - Mortgage Credit Certificate (MCC) ("Program"), if the
County determines that such programs are deemed to be beneficial; and
WHEREAS, the Council finds and determines that it is in the best interest of the City to adopt
the Program and to consent to the operation of the Program by the County within the geographic
boundaries of the City pursuant to the Act;
II. MORTGAGE CREDIT CERTIFICATE PROGRAM
WHEREAS,there is a continued need for affordable homeownership opportunities within the City
and the County particularly for households at the lower end of the purchasing spectrum; and
WHEREAS, the Tax Reform Act of 1984 established the Mortgage Credit Certificate Program
(hereinafter referred to as the "MCC Program") as a means of assisting qualified individuals with the
acquisition of new and existing single family housing; and
WHEREAS, Division 31, Part 1, Chapter 35, Article 4 of the California Health and Safety Code
Sections 50197 et seq (the "Act") authorizes Counties, Cities, and Redevelopment Agencies to create and
participate in MCC Programs; and
WHEREAS, the County has heretofore determined to engage in an MCC Program pursuant to
the Act in order to assist individual home purchasers in the County to afford both new and existing homes
within the statutory limits as provided for in said Act; and
WHEREAS, the County intends to request additional MCC Program allocations from the
California Debt Limit Allocation Committee (CDLAC) to continue operation of its existing MCC
Program; and
WHEREAS, the City requests that the MCC allocation be available to eligible first time
homebuyers within the corporate limits of the City; and
WHEREAS, the County and City wish to cooperate with one another pursuant to the "Act" in
the exercise of their powers under the "Act" for the purposes of the MCC Program; and
WHEREAS, the County has successfully administered an MCC Program since 1991, in which
over 700 individuals and families have been assisted in the purchase of new and existing homes in the
County.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF
Section 1: The City hereby adopts the Home Mortgage Finance Program and the Mortgage
Credit Certificate Program for the purpose of increasing the housing supply of affordable housing in the
County and in the City, and consents to the operation of said Programs by the County with respect to all
property located within the geographical boundaries of the City.
Section 2: The Cooperative Agreement, dated as of 297 O /4 /� between
the County and the City ("Agreement"), in the form presented to thiltmeeting, is hereby approved and
the Mayor is hereby authorized and directed to execute and deliver the Agreement, for and in the name
and on behalf of the City. The Mayor, with the advice and consent of the City Attorney, is further
authorized to enter into such additional agreements with the County, execute such other documents, or
take such other actions as they may deem necessary or appropriate to carry out the purposes and intent
of the Agreement or to cooperate in the implementation of.the Program.
Section 3: This resolution shall take effect from and after its adoption.
NOW, THEREFORE, IT IS HEREBY DETERMINED AND ORDERED that the Mayor of the City be
hereby authorized and directed to execute said agreement for and on behalf of the City of Brentwood.

SECTION 7. Nothing contained herein shall be interpreted to impose a relationship of partners

COOPERATIVE AGREEMENT BETWEEN
THE COUNTY OF CONTRA COSTA AND
THE CITY OF RICHMOND
THIS COOPERATIVE AGREEMENT (the "Cooperative Agreement") is made and entered into
as of December 19 .. 1994 , by and between the COUNTY OF CONTRA COSTA ("County"),
and the CITY OF RICHMOND (the "City").
WITNESSETH: MORTGAGE CREDIT CERTIFICATE PROGRAM
WHEREAS, the Tax Reform Act of 1984 established the Mortgage Credit Certificate Program
(hereinafter referred to as the "MCC Program") as a means of assisting qualified individuals with the
acquisition of new and existing single family housing; and
WHEREAS, the County has heretofore determined to engage in an MCC Program pursuant to
Chapters 1399, Statutes of 1985 Section 50197, et seg of the Health and Safety Code of the State of
California(the "Act") in order to assist individual home purchasers in the County to afford both new and
existing homes within the statutory limits as provided for in said Act; and
WHEREAS, in furtherance of the MCC Program, the County authorized its staff to apply to the
California Debt Limit Allocation Committee(CDLAC)to obtain allocations for operation of the Mortgage
Credit Certificate Program in Contra Costa County;and
WHEREAS, Contra Costa County has operated a successful Mortgage Credit Certificate Program
since 1991, in which over 700 qualified individuals and families have been assisted in the purchase of
new and existing housing in the County; and
WHEREAS, the City and the County wish to cooperate with one another pursuant to the Act in
the exercise of their powers under the Act for the purposes of the MCC Program; and
WHEREAS, the County has the capacity both to issue bonds and to establish and administer an
MCC Program; and
WHEREAS, the County intends to administer an MCC Program in the County, and the City
desires that the Program be applicable to eligible real property in the City;
WITNESSETH: MORTGAGE BOND PROGRAM
WHEREAS, the County has determined to engage in a home mortgage finance program pursuant
to Chapters 1-5 of Part 5 of Division 31 of the Health and Safety Code of the State of California (the
"Act")to make or acquire, directly or indirectly, loans to finance the construction or acquisition of homes
in the County of Contra Costa, all as provided for in the Act (the "Home Mortgage Finance Program");
WHEREAS, the County of Contra Costa, pursuant to the Act, has adopted a home finance
program by Ordinance No. 82-5;
WHEREAS, the County has determined to cooperate with the City pursuant to the Act in the
exercise of its powers under the Act for purposes of the Home Mortgage Finance Program; and
WHEREAS, the City, pursuant to the Act, has adopted a home mortgage finance program and
has determined to cooperate with the County pursuant to the Act in the exercise of its powers under the
Act for purposes of the Home Mortgage Finance Program;
NOW, THEREFORE, in consideration of the mutual covenants hereinafter provided, the parties
hereto agree as follows:
SECTION 1. The words and phrases of this Cooperative Agreement shall, for all purposes
hereof unless otherwise defined herein,have the meanings assigned to such words and phrases in the Act.
SECTION 2. The County shall staff a program for the effective administration of an MCC
Program within the geographical boundaries of the City. The County shall cooperate with local real
estate and lending institutions in order to maintain their participation in securing applications from eligible
applicants for review and approval by County representatives on behalf of the County and the City.
SECTION 3. The County intends to undertake a Home Mortgage Finance Program and to issue
revenue bonds pursuant to the Act, as such programs are deemed to be beneficial.
SECTION 4. The City hereby agrees to cooperate with the County in the exercise jointly or
otherwise of their powers for the purpose of financing home mortgages pursuant to the Act by agreeing
that the County shall exercise such powers to make or acquire home mortgages under the Home Mortgage
Finance Program, all as more specifically set forth in the Act, with respect to property located within the
geographic boundaries of the City.
SECTION 5. Nothing in this Cooperative Agreement shall prevent the County from entering into
one or more similar agreements with other municipal corporations within the County, if deemed necessary
and advisable to do so by the County, so long as such other agreements are not inconsistent with this
agreement.
SECTION 6. The City agrees to undertake such further proceedings or actions as may be
necessary to carry out the terms and intent of this Cooperative Agreement as expressed in the recitals;
provided, however, that nothing in this Cooperative Agreement shall require the City to appropriate any
funds to the County for services under this Cooperative Agreement. Funds for the administration of the
MCC Program, and the Home Mortgage Finance Program shall be derived by the County from the fees
paid by the MCC applicants and from administrative fees paid by the Home Mortgage Finance Program
respectively.
