SUBJECT: Joint Proposals of the District Hospitals
This being the time for presentation on the Joint Proposals of the District Hospitals.
,'. Supervisor Smith advised that this is a broad-range issue and there are a lot of .
different components and a lot of different parts and because of his employment at Merrithew
Hospital, he would.not participate in parts related to his employment, M.O.U.'s or those
things related to his job, but that he certainly could participate in going through some of the
statistics .
Chairman Powers announced that the County had just received a Fax that the Federal
Court does not conclude that the County Hospital Project that was a part of a complaint is in
any way discriminatory to people who are poor or people who are of different races, and he
would like to have staff present that before the joint proposals are answered.
The County Administrator reviewed that there was a complaint filed with the Office of
Civil Rights indicating that there were Title 6 violations that should keep the County from
being able to build the hospital. It was a subject that was comprehensively examined by the
Office of Civil Rights, 400 pages of documents were submitted for their review, and the
County Administrator's Office just received information by way of fax just a few minutes
ago that indicated that the complaint was not valid, that they found in favor of the County,
that there is no reason why the County should not be able to proceed with the hospital if it is
the Board's desire in the future.
Mark Finucane, Director of Health Services, provided additional details of the
complaint filed by the opponents of the hospital project, the 400 page response, and the
response of the Federal Government, and the Findings from the Director of Civil Rights,
Region 9. He advised that he had prepared a press release and analysis of the major
allegations and findings that were made by the Federal Government, and that he had made
copies of the press release and would be happy to discuss it in detail with anyone who wants
to meet with him. Mr. Finucane thanked Vickie Dawes, Deputy County Counsel, for her
invaluable help in this matter.
The Chair expressed the Board's appreciation to Mr. Finucane for his efforts in seeing
this matter through.-. ;-Board members shared their views and comments.
The Chair announced that consideration would now be given to the proposals from the
District Hospitals.
The County Administrator advised that two proposals had been received from the
district hospitals, one received last year which indicated that the County should consider the
possibility of the three district hospitals taking the County's patients and providing the service
and not moving forward with the replacement of the County Hospital. The other proposal
that is a more recent version is one that the County has been discussing with Mt. Diablo and
that is a per diem concept where the hospitals would agree to provide so many beds on a per
diem basis, and the County would contract with them to provide services to its patients.
The County Administrator advised that the County has been working with Los
Medanos to see what can be done to acquire assets or provide leases to the skilled nursing
facility in East County and the acquisition of assets if they can be acquired for a reasonable
price. The County Administrator advised that there will be a further report on May 24,
1994.
The County Administrator advised that the County has been doing business with
Brookside for a number of years, and it has been successful. Meetings have been held with
the Hospital Administrator at Brookside and discussions are being held with respect to the
expansion of that contract.
The County Administrator further advised that meetings have been held with the
Hospital Administrator of Mt. Diablo several times to discuss the issue of the joint proposal,
and secondly, more recently, the per diem concept, and that a positive meeting was held
yesterday with the Chair of the Mt. Diablo Board and the Hospital Administrator and the
issues are being explored. He noted that the thing that becomes quite apparent when looking
into the issue of the takeover of County patients is to how complex it is, such as the issue of
governance, payment, labor, what to do about the money already spent, the defeasance of
debt, what to do about the service of the special needs the County has such as jail patients,
psychiatric needs, what to do about access from clinics to hospitals, the very difficult and
challenging issue of what to'do about merging staff, particularly physician staff, when they
are compensated in a different style, a different way; and many, many issues that are
surfacing and yet to be identified.
The Chair announced that he had many Request to Speak cards, and invited the
speakers to come forward as this time. The following appeared and gave.testimony:

Chairman Powers announced that all who requested to speak had been heard, and the
issue will come back to the Board on May 24, 1994 when the Board will discuss the
proposals of the District Hospitals, as well as considering several other issues such as
consolidating into a single health agency county-wide or something of that sort, to at least
take a look at that, and any other issue that relates to the health care quality and facilities.
Supervisor DeSaulnier requested the County Administrator to set up at least one
meeting of the subcommittee with the District Hospitals prior to the Board meeting on
May 3. He noted that he was not favoring abrogating any responsibilities or doing away with
any of the positive things the County now does, it is just that there are people out there now
in the Community who know of the empty beds in the District Hospitals and wonder why the
County cannot use those empty beds and integrate both systems, and those are the answers he
wishes to get.

24, 1994, at 2:00 p.m. for further discussion and consideration.

Dear Supervisor Powers:
As you know, Brookside Hospital has participated in exploring
alternatives to the proposed replacement County facility. As we await
formal response from the ,County on a proposal submitted by the
District Hospitals in January, I would like to reaffirm this
organization's commitment.
Brookside Hospital is willing to commit' to an arrangement that would
not cost the taxpayers more than it would to replace and operate the
County hospital. It is our understanding that the County will maintain
its clinics, health plan and teaching programs and would utilize
Brookside and other hospitals to admit its acute inpatients. Our
Medical Staff is eager to expand the integration of County Medical
Staff begun by our current Joint Venture program.
Brookside Hospital/West Contra Costa Hospital District's commitment
is summarized as follows:
1. We would commit to provide 40-50 acute care beds for the next 30
years. All types of acute inpatients will be accepted. Medi-Cal
rates would apply for those eligible; per diem rates for County
indigents, and CCHP negotiated rates will apply. Rates will be
adjusted periodically. The precise definitions of terms and
manner in which this might happen must be spelled out in detail.
2 . A bed and demographics analysis will be conducted to assure
adequate capacity exists to accommodate County patients now and
for 30 years in the future.
3 . The District Board of Directors will consult according to a
specified procedure with the County Board of Supervisors before
major bed closures or other significant policy actions which
would impact County patients.

4. Brookside will facilitate arrangements with West County
physicians who are already in support of this commitment.
. 5. . .. . Brookside-,.Hospital is willing to discuss equitable solutions to
the issue of sunken costs with the proposed facility.
This letter reflects a similar commitment expressed by Mt. Diablo
Medical Center in a letter to Sunne McPeak last week and reflects our
ongoing effort to maintain access for West County residents.

Dear Supervisor Powers:
The District Hospitals urgently request that,the Board of Supervisors review and consider the
Joint Hospital District Proposal which was presented to the Board at our joint meeting December
11. The intention of the Proposal is to present the Board with a viable alternative to rebuilding
Merrithew Memorial Hospital.
A January 12 letter from Mt. Diablo CEO Mike Wall further responded to and clarified our
position regarding the conditions expressed by Supervisor McPeak at the December 11 meeting.
We have agreed to each of those conditions.
The District Proposal is serious and has been presented in good faith. It is extremely disturbing,
therefore, that the Proposal has gone unanswered and disregarded by the County. The rush to
build a replacement facility has continued with virtually no exploration by the County of this
genuine and workable alternative. In addition to the Joint Proposal, each District Hospital has
had meetings with County representatives, exploring individual ways to deliver care to patients
within their own community.
The long-term trends in health care clearly show that this is not the time to proceed heedlessly
with the construction of major new facilities. It is instead the time to look for collaborative
solutions and shared resources. This is obviously and especially true in Contra Costa County.
We ask for a response prior to the April 12 Board of Supervisors meeting, and we ask to be
placed on the April 12 Board agenda to address this issue. Board members from the District
Hospitals will be in attendance at that meeting.
