SPECIFIC REQUEST(S) OR RECOMMENDATION(S) & BACKGROUND AND JUSTIFICATION I. RECOMMENDED ACTION: Approve and authorize the Health Services Director, or his designee (Wendel Brunner, M.D. ) , to execute on behalf of the County, Contract Amendment Agreement #22-137-19 with Family and Community Services, Inc. , effective April 15, 1994, to amend Contract #22-137-18 (effective July 1, 1993 through June 30, 1994) , to increase the contract payment limit by $31, 066, from $26,985 to a new total payment limit of $58,051. This Contractor provides home delivered meals for County's Senior Nutrition Program. II. FINANCIAL IMPACT: This contract is 100% federally funded under Title III-C(1) of the. Older Americans Act of 1965. No County funding is required. III. REASONS FOR RECOMMENDATIONS/BACKGROUND: Since 1974 the County has contracted for meals for the Senior Nutrition Program. On October 22, 1993, the Board of Supervisors approved Novation Contract #22-137-18 which continues contract services through Fiscal Year 1993-94. This Contractor has agreed to provide additional home delivered meal services for County's Senior Nutrition Program. Approval of Contract Amendment Agreement #22-137-19 will allow the Contractor to deliver a daily average of 185 meals, on at lease 250 County-designated serving days, to eligible participants. County and Contractor agree, therefore, to amend said Contract as specified below, while all other parts of the Contract remain unchanged and in full force and effect. 1. Payment Limit Increase. The Contract Payment Limit amount set forth in Paragraph 4. (Payment Limit) , is hereby increased by $31.066, from $26,985 to a new total Payment Limit of $58,051. 2. Budget of Estimated Program Expenditures. The Budget of Estimated Program Expenditures of Contract #22-137-18 is hereby deleted and replaced by the attached Budget of Estimated Program Expenditures (#22-137-19) which is incorporated herein by reference. 3. Modification to Service Plan. a. Paragraph I. (Scope of Services) is hereby modified to read as follows: "I. Scope of Services. Contractor shall work cooperatively with the Health Services Director, or his designees, to provide prepackaged home-delivered meals, and outreach services to certain senior citizens (60 years of age or older) , at their respective equipment necessary to deliver an approximately daily average of 185 meals, or a County-specified portion thereof, on at least 250 County-designated serving days, to eligible participants. " b. Paragraph II. (General Provisions) , subparagraph D. (Menus) is hereby deleted in its entirety. C. Paragraph II. (General Provisions) is hereby modified by the addition of the following new subparagraph L. (County-Owned Vehicles) , to read as follows: "L. County-Owned Vehicles. County shall loan to Contractor two vehicles needed to meet its obligations in delivering meals under this Contract. Contractor shall: 1. Register the County-owned vehicles which will be on loan to the Contractor, with the California State Department of Motor Vehicles, indicating that Contractor is the "registered owner" and the County of Contra Costa is the "legal owner", and re-register the vehicles to indicate the County Initials: Contractor County Dept. 1 AMENDMENT SPECIFICATIONS Number 22-137-19 as the "registered owner" upon termination of this Contract or of any extension thereof. 2. Provide for operation of the vehicles during the term of this Contract, including routine day-to-day maintenance, gas, oil and lubricants, insurance, qualified licensed drivers, scheduling, garaging, and similar requirements. 3. Maintain the vehicles according to manufacturer's specifications and provide adequate safeguards to prevent loss, theft, damage, vandalism, or misuse. 4. Provide insurance policies to insure against loss or damage (including collision coverage) to the County-owned vehicles on loan to Contractor in accordance with the terms of this Contract, with the County named as an additional insured under all such policies. Contractor shall be liable for any loss sustained up to the maximum amount of the deductibles, and Contractor shall pay any required deductible amounts under said insurance coverage. Contractor shall keep and maintain such insurance in effect during the entire term of this Contract and any extension or modification thereof. Not later than the effective date of this Contract, Contractor shall provide County with a certificate of insurance evidencing the above coverage. Contractor may not use said County-owned vehicles for any purpose other than transporting home-delivered meals, except as may be expressly approved by prior written authorization from County's Nutrition Project Director. Adjustments in the line item amounts within the budget categories for Personnel, Staff Expenses, and Other Costs may be made, but not to exceed 20% of each line item amount shown above, subject to the Contract Payment Limit. In order to make such adjustments, Contractor shall submit a written request for approval to County 30 days in advance and may make such adjustments upon approval by County's Nutrition Program Director.
