HomeMy WebLinkAboutMINUTES - 04191994 - 1.131 .�f I• 131 TO: BOARD OF SUPERVISORS FROM: Anne Marie Gold, County Librarian DATE: March 29, 1994 SUBJECT: Amend Agreement with CLSI, Inc. for Purchase of Automated Library Circulation System for County Library - Fourth Amendment, and Authorize Purchasing Services Manager to Execute Agreement for Maintenance of System Equipment SPECIFIC REQUEST(S) OR RECOMMENDATION(S) & BACKGROUND AND JUSTIFICATION RECOMMENDATION: Approve and authorize Chair to execute on behalf of the County the Fourth Amendment to the Contract with CLSI, Inc. for purchase of Automated Library System for the County Library and authorize Purchasing Services Manager to execute an agreement for maintenance of system equipment. FINANCIAL IMPACT: Equipment purchased under this Fourth Amendment will be paid for out of funds that were set aside for the final payment to CLSI, Inc, in the Third Amendment. County will be retaining $43,106.01 of the amount retained under the Third Amendment as part of the settlement of contract issues. Cost of system maintenance is included in the Library's operating budget. BACKGROUND: This Fourth Amendment provides for the purchase of upgraded computer equipment at a cost of $72,724.00, plus tax, that will reduce the Library staff hours necessary to backup the Library's Automated Circulation System and allow the addition of additional ports for SelfCheck machines and additional terminals. A final payment of an additional $43,106.01 constitutes payment in full for the Automated Circulation System, releases the County from the original terms of the purchase contract, and allows the County to retain the balance of the amount that was set aside for the final payment to CLSI, Inc, in the Third Amendment for CLSI, Inc.'s,non-performance on the Full Load Response Time and Processing Capacity Examination. ("CLSI") and CONTRA COSTA COUNTY 1750 Oak Park Blvd. Pleasant Hill, CA 94523 WHEREAS, the parties entered into an Agreement for the Purchase of an Automated Circulation System dated September 8, 1987 ("Agreement"), and WHEREAS, Contra Costa County wishes to purchase additional equipment not included in the Agreement, WHEREAS,the parties have not yet successfully completed the Full Load Response Time and Processing Capacity Examination as defined in Schedule I of the Agreement, NOW, THEREFORE, CLSI and Contra Costa County agree to amend the Agreement as follows: 1. Contra Costa County agfees to purchase the additional equipment from CLSI that is listed on the attached Exhibit A2 at a cost of$72,724.00 plus tax, where applicable, with the payment due thirty (30) days after successful installation, if the equipment is successfully installed on or before July 1, 1994. Successful installation is defined as: (a) the two ST-88 tape drives backing up the system's database simultaneously; and, (b) each of the added ports being capable of supporting a VT-100 compatible terminal for normal system input and output. 2. Schedule I (as set forth on pages 45-50 of the Agreement) and all references to it and to the Full Load Response Time and Processing Capacity Examination are deleted from the Agreement. 3. In addition to payments as provided in Part 1, above, Contra Costa County agrees to pay CLSI sixty (60) days after successful installation of the equipment that is listed on the attached Exhibit A2 the amount of $43,106.01 as the final payment under the Agreement and all Amendments thereto, with no other payments whatsoever due from Contra Costa County to CLSI for any reason whatsoever under the Agreement and all Amendments thereto. 4.
