Spooner, Contracts AdministratorCOSta DATE: March 7, 1994 . @ County SUBJECT: Approval of Unpaid Adult Education Agreement #26-265 with Martinez Unified School District for its Adult Education Program SPECIFIC REQUEST(S) OR RECOMMENDATION(S) & BACKGROUND AND JUSTIFICATION I: RECOMMENDED ACTION: Approve and authorize the Health Services Director or his designee (Frank Puglisi) to execute on behalf of the County, Unpaid Adult Education Agreement #26-265 with Martinez Unified School District, for its Adult Education Program, for the period from February 1, 1994 through January, 31, 1997, for provision of adult education services for County's patients and staff at Merrithew Memorial Hospital, at no cost to the County. II. FINANCIAL IMPACT: None. This is a non-financial agreement. III. REASONS FOR RECOMMENDATIONS/BACKGROUND: For a number of years, Martinez Unified School District, through its Adult Education Program, has provided Adult Education Classes for patients and nursing staff at Merrithew Memorial Hospital, at no cost to the County, through a verbal agreement between the staffs of the Hospital and the School District. With the exception of those classes conducted under the Adults with Disabilities Program, classes are also open to the public. Approval of Unpaid Adult Education Agreement #26-265 will formalize this arrangement in order to meet the requirements of JCAHO. Contract Identification. Term. The effective date of this Agreement is February 1, 1994 and it terminates January 31, 1997 , unless sooner terminated as provided herein. 4. Termination. This Agreement may be terminated by either party, at its sole discretion, upon thirty-day advance written notice thereof to the other, or canceled immediately by written mutual consent, subject to termination conditions (if any) set forth in the Program Plan attached hereto and incorporated herein by reference. 5. Program. By this Agreement County agrees to. permit Adult Education classes, sponsored by Contractor, for patients and staff at Merrithew Memorial Hospital and Clinics, under the conditions set forth in Paragraph 1. of the Program Plan, attached hereto and incorporated herein by reference. 6. Independent Contractor Status. This Agreement is by and between two independent contractors and is not intended to and shall not be construed to create the relationship of agent, servant, employee, partnership, joint v n ,mor association. 7. Scope of Activities. Under the terms of this Agreement, Martinez Unified School District ("Adult School") will assign its Instructors) to provide Adult School Education Classes for the County's patients and nursing staff at Merrithew Memorial Hospital ("Facility") at no cost to County. With the exception of those classes conducted under the Adults with Disabilities Program, all classes shall be open to the public. 2 . Adult School Responsibilities. In providing Adult Education services under this Agreement, the Adult School's responsibilities shall include, but may not be limited to the following: A. Providing Instructors. and overseeing an appropriate program to meet the educational needs of the students, and maintaining a file of course outlines. B. Primary responsibility for selection, placement, and evaluation of its Instructors. Instructors assigned by the Adult School to provide adult education at the Facility are not County employees and are governed solely by the personnel policies of the Martinez Unified School District during the assigned hours. In the event that substitute Instructors are needed to fill any temporary vacancy, the Adult School must authorize such substitute personnel. If no substitute is available, Adult School will make its best efforts to notify the Facility in advance of a scheduled class. Instructors assigned to provide adult education at the Facility shall attend training on Management of Behavior Emergencies at least annually. C. Seeking to provide such supplies and equipment as, in the Adult School's judgement, are deemed necessary and appropriate for the successful operation of the classes. All equipment furnished by the Adult School shall remain the property of the Adult School. D. Notifying the Facility's designated Charge Nurse of any difficulties encountered in providing the Adult Education Program. 3 . Facility Responsibilities. The Facility's responsibilities with regard to the Adult Education Program described herein include, but may not be limited to, the following: A. Provision of a suitable area for the conduct of all classes. Said space shall be reserved for the sole use of the Adult School during scheduled class hours. However, in the event that the regular space is not available for a scheduled class, every effort will be made to find other suitable space and to inform the Adult School and the Instructor as soon as possible in advance of the scheduled class. The joint responsibilities of the Facility and the Adult School shall include, but may not be limited to, the following: A. Determining, by mutual agreement, the curriculum which will be offered under this Program. B. Scheduling, in advance, the hours of instruction. The parties must observe the agreed upon schedules. If the parties agree in advance, classes may be conducted on days that the Adult School is not in session. Generally, classes will follow the Adult School calendar, but in no case will classes be conducted on legal holidays. C. Monitoring class attendance to assure that adequate minimum attendance is maintained for each hour the class is scheduled in accordance with the requirements of the Adult School Program. D. Resolving concerns which may arise related to this agreement. The following process will be utilized: (1) Discussion between the individuals involved. (2) Discussion between the Facility's Charge Nurse and the Instructor. (3) Discussion between the Facility's Director of Nursing and the Adult School's Administrator. Initials: Contractor County Dept. 3 PROGRAM PLAN Number 26-265 In the event that the Facility will be closed and/or unavailable for use, the Facility will make every effort to notify the Adult School in advance of scheduled classes. B. Designating a Charge Nurse who will act as a Liaison between the Adult School and the Facility and oversee the Program on behalf of the Facility. The Liaison, or his/her designee will: (1) Meet with the Adult School Instructor at the beginning of each class session; (2) Assure that all students are in the classroom before the class session begins (this is not the responsibility of the Instructor) ; (3) Oversee the physical needs of the students and arrange for transportation of patients to the classes, as necessary; (4) Work with Adult School representatives to resolve problems with regard to the Program; and (5) Advise appropriate Facility staff with regard to Adult Education Program issues. C. Designating a Facility employee or volunteer to assist in the classroom with: (1) Registration; (2) Room set-up; (3) Minimizing disruptions to class; and (4) Other special program needs. D. Assisting the Adult School with the selection, placement, and evaluation of its Instructors, if requested to do so. E. Providing staff development training, including but not limited to, Management of Behavior Emergencies for Adult School Instructors and County-selected staff at least once in each calendar year. F. Providing necessary supplies and equipment and adequate, secure storage space for all Program supplies and equipment. All equipment furnished by the Facility shall remain the property of the Facility. G. Assuring that Adult School Instructors are not required by the Facility to work, or to volunteer, hours in the Adult Education Program in addition to those assigned by the Adult School. H. Assisting with advertising the Adult Education classes which the Adult School sponsors at the Facility. Initials• .Contractor County Dept. 2
