SPECIFIC REQUEST(S) OR RECOMMENDATION(S) & BACKGROUND AND JUSTIFICATION I. RECOMMENDED ACTION: Approve and authorize the Chair, Board of Supervisors, to execute on behalf of the County, Contract Amendment Agreement #24-682-1 with Victor Treatment Centers, Inc. , effective September 1, 1993 , to amend Standard Contract #24-682, to increase the contract payment limit by $60, 549, from $23, 555 to a new total payment limit of $84, 104 and to extend the contract term through June 30, 1994 . This Contract Amendment Agreement also provides for an automatic six-month contract extension, from June 30, 1994 through December 31, 1994 , in the amount of $47 , 500. II. FINANCIAL IMPACT: This Contract is funded by County/Realignment 1000. III. REASONS FOR RECOMMENDATIONS/BACKGROUND: In October 1993 , the County Administrator approved, and the County's Purchasing Services Manager executed, Contract #24-682, effective September 1, 1993 through February 28, 1994 , with Victor Treatment Centers, Inc. , to provide subacute residential treatment for two (2) severely emotionally disturbed adolescents, as an alternative to hospitalization at Napa State Hospital. Approval of Contract Amendment Agreement #24-682-1 will: (1) modify the rate specified in the payment provisions from a monthly rate to a "per bed, per day" rate, to accurately reflect the intent of the Department and the Contractor; (2) allow the Contractor to provide additional client bed-days and subacute-level services for up to five (5) adolescents and latency-age children through the end of the fiscal year; and (3) automatically extend the contract through December 31, 1994 , unless it is sooner terminated as provided in the Contract. County and Contractor agree, therefore, to amend said Contract as set forth below while all other parts of the Contract remain unchanged and in full force and effect. 1. Extension of Term. The Contract Term set forth in Paragraph 3 . (Term) is hereby extended from February 28, 19.94 through June 30, 1994 . 2 . Payment Limit Increase. The total contract payment limit set forth in Paragraph 4 . (Payment Limit) is hereby increased by $60, 549, from $23 , 555 to a new total Payment Limit of $84, 104 . 3 . Modification of Payment Provisions. Payment Provisions Paragraph 1. (Payment Amounts) , subparagraph d. , is hereby modified to read as follows: 11 (1) $65.07 for each dedicated Client Bed-Day unit of service as def ined in the Service Plan, not to exceed a total of 1, 062 units of service; and (2) $75. 00 for each additional client bed-day unit of service, on a non-dedicated basis, not to exceed 200 units of service. " 4. Modification of Service Specifications. Service Plan Paragraph 1. (Scope of Service) is hereby modified to read as follows: 111. Scope of Services. During the term of this Contract, Contractor shall provide community-based residential treatment services for Contra Costa County adolescents with severe emotional and mental problems at it Willow Creek Program in Sonoma County, California. Contractor's Program shall be targeted at proactive "ecological" intervention, family reunification, and facilitating the client' s return to independent functioning in the community. For the period September 1, 1993 through November 14 , 1993 , Contractor shall keep available two (2) dedicated beds for use by County-referred clients. Effective November 15, 1993, Contractor shall keep available four (4) dedicated beds for use by County-referred clients. In addition, Contractor shall provide up to 200 additional client bed-days on a non-dedicated basis. " 5. Automatic Contract Extension. The Special Conditions is hereby amended by the addition of a new Paragraph 4 . (Automatic Contract Extension) to read as follows: 114 . Automatic Contract Extension. Notwithstanding Paragraph 3 . (Term) of this Contract, unless this Contract is terminated by either party pursuant to Paragraph 5. (Termination) of the General Conditions prior Initials. Contractor County Dept. 1 AMENDMENT SPECIFICATIONS Number 24-682-1 to June 30, 1994 , the term of this Contract shall be automatically extended from June 30, 1994 through December 31, 1994 . During its extended term, this contract is nevertheless subject to all the terms and conditions applicable during its initial term, including but not limited to General Conditions Paragraph 5. (Termination) , except as to payment for services rendered during the extended term. The purpose of this automatic six-month extension is to allow for continuation of services as specified in this Contract, to avoid interruption of payment to Contractor, and to allow County time in which to complete a novation or renewal contract for Contractor and County Board of Supervisors approval. As to any such six-month extension: a. The Contract Payment Limit, specified in Paragraph 4. (Payment Limit) of this Contract, is increased by $47,500 (the six- month Payment Limit) and County' s total payments to Contractor for said six-month extension shall not exceed this six-month Payment Limit, subject, nevertheless, to the aforesaid novation or renewal contract. b. County shall pay Contractor in accordance with Payment Provisions Paragraph 1. (Payment Amounts) , subparagraph d. , subject to the six-month Payment Limit specified above. C. Contractor shall continue to provide services as set forth in the Service Plan, subject to any amendments thereto; all service units (set forth in the Service Plan and/or Special Conditions) shall be prorated for the six-month period. d. This six-month contract extension shall be subject to any further agreement (novation) which Contractor and County may enter into covering the provision of services during the contract period immediately following the contract period specified in Paragraph 3 .
