SUBJECT: Approval of Contract Amendment Agreement #26-168-12 with
Delta Personnel Services, Inc.
SPECIFIC REQUEST(S) OR RECOMMENDATION(S) & BACKGROUND AND JUSTIFICATION
I. RECOMMENDED ACTION:
Approve and authorize the Chair, Board of Supervisors, to execute, on behalf of the
County, Contract Amendment Agreement #26-168-12 to reform Contract #26-168-8 (as
amended by Contract Amendment Agreements #26-168-9 and #26-168-11) with Delta
Personnel Services, Inc. , effective January 18, 1993, to remedy the mutual mistake
of the County and Contractor and to accurately reflect the intent of the parties by
increasing the Contract Payment Limit by $2,060, from $75,000 to a new total Payment
Limit of $77,060.
II. FINANCIAL IMPACT:
This Contract is included in the Health Services Department's Enterprise I budget.
Source of funds includes third party revenues, as appropriate, and salary savings
through vacant Respiratory Therapist positions.
III. REASONS FOR RECOMMENDATIONS/BACKGROUND:
On February 25, 1992, the Board of Supervisors approved Contract #26-168-8, and on
September 22, 1992, approved Contract Amendment Agreement #26-168-9, with Delta
Personnel Services, Inc. , to provide temporary respiratory therapy registry services
at Merrithew Memorial Hospital and Clinics during peak loads, temporary absences and
emergency situations.
On April 27, 1993, the Board approved Contract Amendment Agreement #26-168-11 to
reform Contract #26-168-8 to add $2,060 to the Contract Payment Limit and to provide
payment to the Contractor for services which it provided to the County during the
month of January 1993. After approval by the Board, it was discovered that the
total Payment Limit set forth in Contract Amendment Agreement #26-168-11 was
incorrect because the $2,060 had been added, in error, to the $70,000 Payment Limit
of Standard Contract #26-168-8, rather than to the $75,000 Payment Limit set forth
in the Contract as amended by Contract Amendment Agreement #26-168-9.
Approval of Contract Amendment Agreement #26-168-12 will provide for cancellation
of Contract Amendment Agreement #26-168-11 and reform Contract #26-168-8, as
amended, to change the Contract Payment Limit to $77,060, the correct amount, and
will then allow payment to the Contractor for services which it rendered during the
month of January 1993.
This Contractor is currently providing services to the County under Standard
Contract #26-168-10 (effective February 1, 1993 through January 31, 1994) , which was
approved by the Board of Supervisors on March 2, 1993.

AMENDMENT SPECIFICATIONS

In consideration for services rendered by Delta Personnel Services
during the month of January 1993, the parties agree to reform the
Contract identified herein to accurately reflect the intent of the
parties and to remedy the mutual mistake of the parties. County
and Contractor agree, therefore, to amend said Contract as set
forth below while all other parts of the Contract remain unchanged
and in full force and effect.
1. Cancellation of Contract Amendment Agreement #26-168-11.
Contract Amendment Agreement #26-168-11, approved by the Board of
Supervisors on April 27, 1993, is hereby cancelled.
2 . Payment Limit Increase. The Payment Limit set forth in the
Amendment Specifications of Contract Amendment Agreement #26-168-9
is hereby increased by $2,060, from $75,000 to a new total Contract
Payment Limit of $77,060.
