SUBJECT: AUTHORIZATION OF COMMUNITY SERVICES DIRECTOR TO PURSUE DEVELOPMENT OF A
NONPROFIT CORPORATION TO SEEK FUNDS AND OPERATE PROGRAMS IN CONJUNCTION
WITH THE COMMUNITY SERVICES DEPARTMENT
SPECIFIC REQUEST(S)OR RECOMMENDATION(S)6 BACKGROUND AND JUSTIFICATION
I. RECOMMENDED ACTION
AUTHORIZE the Community Services Director or her designee to
explore the feasibility of developing a nonprofit corporation for
the purpose of program funding, fund-raising, and program develop-
ment. Upon completion of the study Community Services will return
to the Board of Supervisors for final approval if the establishment
of a non-profit corporation is determined to be feasible.
II. FINANCIAL IMPACT
None. This request is for a feasibility study for the development
of a nonprofit corporation that will assist the Community Services
Department in fund development.
III. CONSEQUENCES OF NEGATIVE ACTION
A decision not to approve this application could result in a
limitation of funds that can be developed for the Community
Services Department and other collaborative programs with other
County Departments.
IV. REASONS FOR RECOMMENDED ACTION
Background
The Community Services Department has identified a number of
programs which are needed by County residents. Unfortunately,

while these programs are critical (matching funds for Head Start,
housing programs for the homeless, long-term training for the
chronically unemployed, services to the handicapped, etc. ) , the
federal or state funding sources are limited or non-existent.
Similarly, the County General Fund resources are stretched to meet
existing high priority programs. Therefore, it is increasingly
necessary to develop funding resources to support these programs.
To increase the efficiency of Department fund raising efforts, and
to engage in a variety of activities, it is recommended that a
nonprofit corporation be formed. Many private foundations and some
public grantors as a matter of policy do not fund units of local
government. Fund solicitation and program development for services
thus would be improved through the auspices of a nonprofit
corporation. The development of this nonprofit corporation is not
an unusual activity for a county government. Many of the "green"
cap community action agencies of this state, in fact, are either
organizing or have in place similar associations. They are:
County of Los Angeles; Tolumne-Amador Counties (they are presently
separating into two separate corporations) ; Monterey; San Bernar-
dino; Riverside; and others.
Structure of Proposed Corporation
The nonprofit corporation the department envisions would be
organized under the Internal Revenue Code 501 (c) (3) as a charitable
entity. Its purpose would be to develop funds to deliver services
or programs that will complement presently existing County programs
both in and outside of CSD. We envision the Board of Directors to
be composed of three members from the Economic Opportunity Council,
which will operate under the terms described in the Articles of
Incorporation and the Bylaws.
The Director of the Community Services Department would serve as
the Executive Director of the Corporation as part of her duties as
a Contra Costa County Department Head. The Corporation would
receive staffing services and administration from the Community
Services Department staff by contract with CSD.
The County presently has a nonprofit public benefit corporation,
titled Contra Costa County Public Facilities Corporation, operating
through the County Administrator's Office; the entity provides
financial assistance to the County of Contra Costa by f inancing the
acquisition, construction, improvement and remodeling of public
buildings and facilities for the County, together with parking,
site development, landscaping, utilities, equipment, furnishings,
improvements and all appurtenant and related facilities.
The Community Services Department, through the County Admin-
istrator's Office, has communicated with Risk Management and it is
expected that the liability issues would be addressed in the same
manner as the Contra Costa County Public Facilities Corporation.
Action Required to Implement the Corporation
Upon approval by the Board of Supervisors, the department will
gather the necessary forms and papers to do the actual incorpora-
tion. After approval by the Secretary of State, the Corporation
could begin its work of fund raising and program development.
