SUBJECT: Approve Contract Amendment Agreement #29-611-11 with the Office of Statewide
Health Planning and Development
SPECIFIC REQUEST(S) OR RECOMMENDATION(S) & BACKGROUND AND JUSTIFICATION
I. RECOMMENDED ACTION:
Approve and authorize the Chair, Board of Supervisors, to execute on behalf of the
County, Contract Amendment Agreement #29-611-11 with the Office of Statewide
Health Planning and Development to amend Standard Agreement #76-57145 (County #29-
611 effective February 16, 1977) to continue the Family Practice Residency Program
through June 30, 1996 with a $51,615 increase in the contract payment limit for
a new total payment limit of $466,510.
II. FINANCIAL_IMPACT:
Approval of this amendment by the State will result in increased funding as
follows:
$17,205 increased State funding for FY 93-94
17,205 increased State funding for FY 94-95
17.205 increased State funding for FY 95-96
$51,615 Total increased State funding under this Amendment
The total contract payment limit is increased from $414,895 to a new total of
$466,510. No County funding is required.
III. REASONS FOR RECOMMENDATIONS/BACKGROUND:
On January 31 1978 the Board approved Contract #29-611 with the State Department
of Health to implement the Family Practice Residency Program from February 16,
1977 through June 30, 1980. Subsequent amendments to the contract were approved
by the Board to extend the program and continue State funding. The purpose of
Contract Amendment Agreement #29-611-11 is to continue the program through June
30, 1996.
The Board Chair should sign seven copies of the amendment, including the Drug-Free
Workplace Certification, six of which should then be returned to the Contracts and
Grants Unit for submission to the Office of Statewide Health Planning and
Development.

1. In that certain agreement between this Office and Contra Costa County dated January 29, 1977
and approved April 12, 1977 by the Department of General Services; subsequently amended by
Amendment 10, dated July 1, 1991 and approved November 20, 1991 by the Department of
General Services:
Paragraph 1D of Part I of that agreement is amended to read as follows:
1D, Provide trainin for a total of twenty (20) family practice residents in the 1990-91 fiscal
year, eighteen e18) of whom will represent maintenance of effort and two (2) of whom will
represent an expansion of the training program as required by the Family Physician
Training Act; and provide training for a total of twenty (20) family practice residents in the
1991-92 fiscal year, eighteen (18) of whom will represent,maintenance of effort and two (2)

1. The Contractor agrees to indemnify,defend and save harmless the State,its officers,agents and employees
from any and all claims and losses accruing or resulting; to any and all contractors, subcontractors,
materialmen,laborers and any other person,firm or corporation furnishing or supplying work services,
materials or supplies in connection with the performance of this contract,and from any and all claims and
losses.accruing or resulting to any person -firm or-corparation who may be injured or damaged by the
Contractor in the performance of this contract.
Z. The Contractor,and the agents and employees of Contractor,in the performance of the agreement,shall
act in an independent capacity and not as officers or employees or agents of State of California.
3.The State may terminate this agreement and be relieved of the payment of any consideration to Contractor
should Contractor fail to perform the covenants herein contained at the time and in the manner herein
provided. In the event of such termination the State may proceed ,vith the work in any manner deemed
proper by the State. The cost to the State shall be deducted from any sum due the Contractor under this
agreement,and the balance,if any,shall be paid the Contractor upon demand.
4. Without the written consent of the State,this agreement is not assignable by Contractor either in whole
or in part.
5. Time is of the essence in this agreement.
6. No alteration or variation of the terms of this contract shall be valid unless made in writing and signed by
the parties hereto,and no oral understanding or agreement not incorporated herein,shall be binding on
any of the parties hereto.
7. The consideration to be paid Contractor, as provided herein, shall be in compensation for all of
Contractor's expenses incurred in the performance hereof, including travel and per diem, unless
otherwise expressly so provided.

eighteen (18) of whom will represent maintenance of effort and one (1) of whom will

Training Act."
Paragraph 1E of Part II of that agreement is amended to read as follows:
1E. The State shall pay to the Contractor $17,205 per fiscal year of training for the training of
each family practice resident representing an expansion of the training program up to a
total of$34,410 for two 2 family practice residents in the 1991-92 fiscal year; and up to a
total of$34,410 for two 2 family practice residents in the 1992-93 fiscal year; and up to a
total of$34,410 for two 2 family practice residents in the 1993-94 fiscal year; and up to a
total of$17,205 for one (1) family practice resident in 1994-95 fiscal year; and up to a total
of$17,205 for one (1) family practice resident in 1995-96 fiscal year." .
Paragraph 3 of Part II of that agreement is amended to read as follows:
"3. The total amount payable to the Contractor by the State under this agreement shall not exceed
$466,510."
Paragraph 2 of Part III of that agreement is amended to read as follows:
"2. The term of this agreement shall be.from February 16, 1977 through June 30, 1996."
2. The contractor affirms approval of a Drug Free Workplace Certification (which is attached and
incorporated herein by this reference), and affirms that the contractor has submitted the signed
Drug-Free Workplace Certification to the Office of Statewide Health Planning and Development
for its official files.
3. The effective date of this amendment is July 1, 1993.
4. All other terms and provisions of said contract shall remain in full force and effect.

The contractor or grant recipient named above hereby certifies compliance with Government Code
Section 8355 in matters relating to providing -a drug-free workplace. The above named contractor or
grant recipient will:
1. Publish a statement notifying employees that unlawful manufacture, distribution, dispensation,
possession, or use of a controlled substance is prohibited and specifying actions to be taken against
employees for violations, as required by Government Code Section 8355(a).
2. Establish a Drug-Free Awareness Program as required by Government Code.. Section 8355(b), to
inform employees about all of the following:
(a) The dangers of drug abuse in the workplace,
(b) The person's or organization's policy of maintaining a drug-free workplace,
(c) Any available counseling, rehabilitation and employee assistance programs, and
(d) Penalties that may be imposed upon employees for drug abuse violations.
3. Provide as required by Government Code Section 8355(c), that every employee who works on the
proposed contract or grant:
(a) Will receive a copy of the company's drug-free policy statement, and
(b) Will agree to abide by the terms of the company's statement as a condition of employment on
the contract or grant.
