LUP 2020-89 1. PARTIES. Effective March 18, 1993 1993, the COUNTY OF CONTRA COSTA, a political subdivision of the State of California, hereinafter referred to as "County," and the CITY OF PITTSBURG, a municipal corporation within Contra Costa County, hereinafter referred to as "City," pursuant to Government Code section 6500 and following, mutually agree and promise as follows: 2. PURPOSE. County has previously issued Land Use Permit 2020-89 to the Keller Canyon Landfill Company (hereinafter referred to as "Developer") for the operation of a sanitary landfill adjacent to Bailey Road in the unincorporated area of Contra Costa County. To improve traffic circulation on Bailey Road, Developer has agreed to perform certain road improvements within City's jurisdictional boundaries (hereinafter referred to as "road improvements") described in Exhibit A attached hereto. The Board of Supervisors has authorized funding of the road improvements from the Transportation System Impact Mitigation fees established for the landfill. County has agreed to review construction plans and to perform construction inspection in connection with the road improvements. The purpose of this agreement.is to allocate duties and liabilities between County and City. 3. RESPONSIBILITIES. A. County shall do the following things: (1) Review and approve the construction plans submitted by the Developer. Such approval shall not be unreasonably withheld; (2) Enter into a construction agreement with the Developer to construct the road improvements according to the approved plans and specifications at a cost limited to the funds described in paragraph.6; (3) Recommend to City the issuance of an encroachment permit; (4) Perform construction inspection in connection with the road improvements; -1- (5) Notify City when the road improvements are complete and ready for final inspection and acceptance; and (6) Provide an accounting of the costs of the project and County's review and inspection hours at the completion of the project. B. City shall do the following things: (1) Review and approve the construction plans in conjunction with the County; such approval shall not be unreasonably withheld; (2) issue an encroachment permit to the Developer's contractor upon notification from County; (3) participate in conjunction with County in the final inspection of the road improvements; (4) agree that the road improvements are substantially complete in accordance with the construction plans on file with County, such agreement shall not be unreasonably withheld; (5) accept the road improvements upon notification from County that the road improvements have been completed; and (6) provide an accounting of the City's review and inspection hours at the completion of the project. 4. HOLD HARMLESS. A. The construction contract between the Developer and its contractor shall include provisions requiring the contractor to provide: (1) indemnification and insurance protecting City, its officers and employees to the same extent as provided to County; and (2) a written one-year warranty in favor of City covering the road improvements against defective materials and workmanship. The warranty shall be required as a condition of the encroachment permit. B. Neither City nor any officer or employee shall be responsible for any damage or liability occurring by reason of anything done or omitted to be done by County under or in connection with any work, authority or jurisdiction delegated to County under this agreement. Except as provided otherwise in subsection C, County shall, pursuant to Government Code section 895.4, fully defend, indemnify and save harmless City, its officers and employees from all claims, suits or actions -2- of every name, kind or description brought for or on account of injury (as defined by Government Code section 810.8) occurring by reason of anything done or omitted to be done by County under or in connection with any work, authority or jurisdiction delegated to County under this agreement. C. Notwithstanding subsection B, upon City's acceptance of the road improvements, City shall assume liability for any claims, suits or actions that arise after acceptance, whether relating to the design, construction, use, operation or maintenance of the road improvements, and City agrees to defend, indemnify and save harmless County, its officers and employees against the same. D. Nothiriy in this agreement is intended or shall be construed to affect the legal liability of either party to third parties by imposing any standard of care respecting work performed hereunder different from the standard of care normally imposed by law. E. Nothing in this agreement is intended or shall be construed to limit any recourse City or County may have against the Developer, its design engineer or contractor for negligent or defective design or construction work. 5. ACCEPTANCE AND MAINTENANCE. Upon notification from County that the road improvements have been completed, City shall, without delay, accept the improvements as complete and shall thereafter own and be responsible for maintenance of the improvements. The maintenance expenses shall be paid pro rata from the segregated account, as approved by the Board of Supervisors pursuant to Conditions of Approval 29.6 and 29.7 of Land Use Permit 2020-89 upon implementation. 6. ACCOUNTING AND INSPECTION FEES. County represents that there is a total of $300,000 available for this project from the Transportation System Impact Mitigation fees ("the fund"). Within 30 days after completion of the project, County shall provide an accounting of the total project costs and disbursements from the fund, and of the hours of review and on-site inspections performed by County Public Works. Within 30 days after completion, City shall provide an accounting of the hours of review and on-site inspections performed by City Engineering and Public Works. Any monies remaining in the fund after the Developer's contractor has been paid in full shall be disbursed to both City and County on a pro rata basis to reflect each party's percentage contribution of inspection time. -3- 7. TERMS OF AGREEMENT. Except for the provisions of section 4, which shall survive the expiration of this agreement, this agreement shall expire upon City's acceptance of the road improvements. 8. MODIFICATION OF AGREEMENT. This agreement may be modified at any time by written consent of both parties. Developer agrees to contract for the completion of said work and improvements (hereinafter called "work") within the above completion period from date hereof in a good workmanlike manner, manner equal or superior to the requirements of the County Ordinance Code and rulings made thereunder; and where there is a conflict between the improvement plans and the County Ordinance Code, the stricter requirements shall govern. 3. DEVELOPER PROPOSAL. Developer is the holder of County Land Use Permit 2020-89 authorizing the construction and operation of the Keller Canyon Landfill, located southwest of the City of Pittsburg in the unincorporated area of Contra Costa County. By letter dated August 11, 1992 , Developer proposed to undertake construction of certain improvements to an approximately ± 1, 000 feet stretch of Bailey Road north of the City of Pittsburg city limits of an estimated cost of $267,231.95, said funding to be provided from the Keller Canyon Landfill Transportation System Impact Fees Account. The letter is attached as Exhibit "B" and incorporated by reference as though fully set forth therein. 5. BOARD OF SUPERVISOR'S APPROVAL. By order of the County Board of Supervisors ("the Board"0 dated October 20, 1992, the County approved the Developer's proposal (Exhibit "B") and the disbursement of monies from the Transportation System Impact Fee Account in an amount not to exceed $300, 000, subject to the terms and conditions established by the Board. A true and correct copy of the Board's order is attached hereto as Exhibit "C" and incorporated by this reference as though fully set forth herein. 6. NO WAIVER BY COUNTY. Inspection of the work and/or materials, or approval of work and/or materials or statement by any officer, agent or employee of the County indicating the work or any part thereof complies with the requirements of this Agreement, or acceptance of the whole or any part of said work and/or materials, or payments therefor, or any combination or all of these acts, shall not relieve the Developer of his obligation to fulfill the requirements of this Memorandum of Understanding as prescribed; nor shall the County be thereby be stopped from bringing any action for damages arising from the failure to comply with any of the terms and conditions hereof. 7. COSTS. Developer understands that, as indicated in Section 5, the total reimbursement payable under the Memorandum of Understanding shall not exceed $300, 000. As the work progresses, County shall reimburse Developer from the Transportation System Impact Fee Account for all reasonable costs of the work. Payment shall be made within thirty days of County's receipt of a copy of an invoice from Developer's contractor, in a form acceptable to County, showing the amount of work completed. Invoices shall be presented at regular intervals acceptable to County and Developer, but no more than five reimbursement payments shall be required under this Memorandum of Understanding. In no event shall reimbursement be payable to Developer until the work covered by an invoice has been inspected and approved by County. 8. INDEMNIFICATION; INSURANCE; WARRANTY. Developer shall include in the construction contract language requiring the contractor to: (a) Defend, indemnify, save and hold harmless County, the City of Pittsburg, their officers and employees from any and all claims, costs and liability for any damages, injury or death arising directly or indirectly form or connected with the work, due to or claimed or alleged to be due to negligent or wrongful acts, errors or omissions of the contractor, the subcontractors or any person under the contractor's direction or control, save and except claims or litigation arising through the sole negligence or sole willful misconduct of County or the City of Pittsburg, and to make good to and reimburse the indemnitees for any expenditures, including reasonable attorney's fees, the indemnitees may make by reason of such matters and, if requested by any of the indemnitees, to defend any such suits at the sole cost and expense of the contractor; and (b) Obtain and maintain during the contract term: (i) Workers' Compensation Insurance pursuant to state law; and (ii) Comprehensive General Liability Insurance, including blanket contractual (or contractual liability) coverage and coverage for owned and non-owned automobiles, with a minimum combined single limit coverage of $1 million for all damages due to bodily injury, sickness or disease, or death to any person, and damage to property, including the loss of use thereof, arising out of each accident or occurrence; and (c) Provide to the City of Pittsburg a written warranty guaranteeing that the work and materials shall be free from all defects for a period of one year from the date of acceptance by the Pittsburg City Council. The liability insurance described in paragraph (b) above shall be issued by a carrier acceptable to County and shall name County, the City of Pittsburg, their officers and employees as additional insureds and shall require the carrier to give at least thirty days' written notice to County's Risk Manager (651 Pine Street, 6th Floor, Martinez, CA 94553) of policy cancellation or material change in coverage. Before allowing the contractor to start work, Developer shall submit copies of the contract for review and approval. Developer shall be responsible for ensuring that the contractor does not start work until the required indemnification and insurance have been provided and County has approved the same. The written warranty described in paragraph (c) above shall provide that if, within a period of one year after the City of Pittsburg accepts the work as complete, any portion of the Bailey Road improvements which the contractor installed, constructed, reconstructed or repaired fails to fulfill the requirements of the approved plans and specifications or the warranty, the contractor shall without delay and without cost to the City or County repair, replace or reconstruct the defective or otherwise unsatisfactory part of the work. If the contractor fails to act promptly or in accordance with this condition, or should the exigencies of the case require repairs or replacements to be made before the contractor can be notified, the City may at its option make the necessary work and the contractor shall pay to the City the actual cost of the repairs. VC:rw REC:bailey. imp � 1-7 EXHIBIT B Keller Canyon y Landfill Company~ RECEIVED CONTRA COSTA COUNTY AUG 311992 GROWTH MANAGEMENT AND ECONOMIC DEVELOPMENT AGENCY August 11, 1992 '_Corrected Mr. Val Alexeeff, Director Growth Management County of Contra Costa 651 Pine Street, 4th Floor North Wing Martinez, CA 94553 Re: Keller Canyon Landfill - Proposed Improvements, Bailey Road Dear Mr. Alexeeff: The purpose of this letter is to provide you with a response to the proposal initiated by the Contra Costa County Public Works Department and the Community Development Department with respect to certain improvements along an approximately 1,000 foot stretch of Bailey Road north of the City of Pittsburg city limits. It is our understanding that you have requested Keller Canyon Landfill Company to fund in whole or in part the cost of the improvements to this segment of Bailey Road. We understand the revised estimated cost based on an estimate prepared by the City of Pittsburg is $432,408.00. The Keller Canyon Landfill Company funded portion of this amount would be reimbursed through landfill tipping fee rates currently under consideration by the Contra Costa County Board of Supervisors. In our recent meeting, we expressed concern with the size of the estimate, the City of Pittsburg's continued opposition to the landfill site and the potential surcharge necessary to reimburse expended monies through the landfill tipping fees. After consideration of these issues, and of the County staff's presentation at the meeting, we are prepared to make the following proposal. Keller Canyon Landfill Company is prepared to make improvements to the approximately 1,000 foot segment of Bailey Road, based on the attached preliminary construction cost estimate prepared for this purpose. As you can see, the total cost for the Bailey Road extension is estimated at $267,231.95. The cost has been broken down, with unit costs and subtotals provided for your examination. Val Alexeeff August 11, 1992 Page 2 We believe that in undertaking this improvement, it would be most prudent to utilize the currently accrued transportation system impact fees collected at the landfill for the bulk of the up front costs, with that impact fee to be paid back out of future landfill tipping fees. Since the transportation system impact fees had been collected since May 7, 1992, there is a ready and available source of immediate up front funding to draw upon, obviating the need for any capital improvement budget preparation for Keller Canyon Landfill Company. Using this approach provides some flexibility to the County in using tipping fees to reimburse the transportation system impact fee account, since the amount can be amortized over several different time periods to vary the potential impact on rates. In any event, we are prepared to move forward as set forth above, based on the construction costs we have estimated and provided to you. We would be pleased to meet with you and discuss the matter in greater detail at your earliest convenience. Thank you for your anticipated cooperation in this matter. The approximate $300,000 cost of this project would be funded through 'the "Transportation `System 'Impact tipping fee established for Keller Canyon Landfill. BACKGROUND/REASONS FOR RECOMMENDAJIONS During the past several months, the County's Public Works and Community Development Departments have held a series of meetings with representatives of. the City of Pittsburg's City Manager's Office and their Public Works Department. These meetings addressed the concerns of both agencies regarding the unimproved section of Bailey Road within Pittsburg's City limits, between Leland Road and the limits of the City/County. For reasons of public safety, it is the recommendation of both County and City staff that this roadway be improved and upgraded. Bailey Road has recently undergone several improvements, with more scheduled in the future. Within the limits of the City of Pittsburg, Bailey Road is presently four lanes wide from the intersection of Highway 4 to Leland Road (in front of the Oak Hills Shopping Center) . South of Leland Road, Bailey is four lanes at the intersection, then drops to two narrow lanes to the City/County limit. As part of the mitigation measures for the landfill project, Keller Canyon Landfill Company was required by the County to improve Bailey Road from the City/County limit to the landfill entrance. These improvements resulted in a two 12-foot lane road with two 6-foot shoulders, with a stacking/turning lane and an acceleration lane in front of the landfill entrance. Caltrans improvements, expected to begin in September, . 1993, will improve Bailey from the Highway 4 interchange up to Maylard Street. The current BART improvements are anticipated to begin reconstruction of the Highway 4 interchange by December, 1994. This planned combination. of improvements would leave Bailey Road with approximately 11000 feet of old rural roadway that awkwardly merges with the newer roadway on both ends. The structural integrity of this section of roadway was compromised during construction of the landfill, causing the road to break down several times. While Keller Canyon Landfill Company repaired the road, anticipated rains (saturating the sub-grade) and the continued heavy use of Bailey Road will certainly degrade the structural integrity of the roadway again. It is proposed that the 1,000-foot section be upgraded to merge into the improved southern section by constructing a stronger structural section to a 40-foot width with two 12-foot lanes and two 8-foot shoulders. The merge from the intersection from four lanes to two would be designed with an adequate taper just south of the intersection. Additionally, the area of Bailey Road between Leland Road's southern intersection and the start of proposed improvements would be overlaid to be consistent with the planned and existing improvements. Overlaying of the section south of Leland Road to just no;th of Maylard Street would be included as part of the Caltrans/BART improvements. Land Use Permit 2020-89 Condition of Approval 29.7 provides for a .subsequent surcharge to contribute to the maintenance of Bailey Road between the Highway 4 interchange and the landfill entrance.
