PARTIES Effective May 21, 1985, the County of Contra Costa, a political subdivision of the State of California, hereinafter referred to as COUNTY, and the Contra Costa County Flood Control and Water Conservation District, a political subdivision of -the State of California, hereinafter referred to as DISTRICT pursuant to Government Code Section 6500, et. seq., for the benefit of the area identified by DISTRICT as Drainage Area 40A mutually agree and promise as follows: 2. PURPOSE AND SCOPE OF WORK To reduce flooding in the Mountain View area of Martinez, identified by the DISTRICT as Drainage Area 40A, COUNTY proposes to extend the storm drain shown on DISTRICT Drainage Area 40A Plan as Line B. The extension of Line B will link two existing segments of Line B. To ensure that Line B operates to its design capacity, it is further proposed that certain tributary storm ; drains (along Monterey Avenue, Lemon Street, Bella Vista Avenue, Plaza Drive, Sycamore Street and Delacy Avenue) also be installed. The Line B extension is about 600 feet in length. The total length of the tributary storm drains is about 1,750 feet. It is to the advantage of the DISTRICT to participate in the project to eliminate the necessity of modifying COUNTY improvements at a future date. 3. METHOD COUNTY shall prepare the plans and specifications, advertise for bids, award the project in the COUNTY'S name, administer the contract, and perform all construction inspection. DISTRICT participation shall consist of contributing its fair share of the project cost as set forth in Section 4 from currently available Drainage Area 40A funds. DISTRICT'S contribution shall be paid to the COUNTY no later than 30 days after the completion of the project. i� tiJ 4. COST AND ADJUSTMENT The COUNTY and the DISTRICT shall share in the total cost of the project, including engineering, surveys, inspection, contract administration and appropriate overhead, but excluding utility relocation costs. Each agency's share of the contract costs shall be based on the split of contract items and quantities shown in Table-A, attached hereto and incorporated herein by this reference. Each agency's share of engineering, administrative and incidental costs shall be based on the same percentage as its final contract cost share. Final cost distribution will be made on completion of the project. There shall be strict accountability of all funds and a report of all receipts and disbursements. 5. UTILITY RELOCATION COUNTY shall arrange for the relocation of all conflicting utilities within the project limits. DISTRICT shall pay only those relocation costs associated with utility relocation outside the road right-of-way. 6. CHANGE ORDERS Each change order shall specify the apportionment of the cost of additional work between the COUNTY and the DISTRICT and shall be approved by the COUNTY and the DISTRICT. 7. LIQUIDATED DAMAGES ~ Any liquidated damages collected by the COUNTY will be credited to the COUNTY and the DISTRICT in proportion to the construction costs contributed by each agency. 8. MAINTENANCE The portion of the storm drain lying outside the road right-of-way will be maintained by the COUNTY in accordance with the provisions of the County Drainage Maintenance Policy. The storm drain lying within the road right- of-way will be maintained by the COUNTY as road maintenance. 2 Y 9. MISCELLANEOUS The parties may modify this Agreement at any time by mutual consent. Neither party shall arbitrarily withhold its consent to the implementation and accomplishment of the overall purpose for which this Agreement is drawn. 10. TERM . Except for the provisions of Paragraph 8, this Agreement shall expire upon acceptance of the construction as completed by the Board of Supervisors and the payment of all sums required herein by the parties from one to the other. 11. SURPLUS MONEY After the completion of the purpose of this Agreement, any surplus money on hand shall be returned to the parties in proportion to their contributions.
