2. ' Parties. The County of Contra Costa, California (County), for its Department named
above, and the following named Contractor mutually agree and promise as follows:
Contractor: NANCY S. BREWSTER
Capacity: Self-employed individual
Address: 1172 Glendora Avenue, Oakland, California 94602
3. Term. The effective date of this Contract is July 1, 1980 and it
terminates October 31, 1980 unless sooner terminated as provided herein.
4. Termination. This Contract may be terminated by the County, at its sole discretion,
upon five-day advance written notice thereof to the Contractor, or cancelled immediately
by written mutual consent.
5. Payment Limit. County's total payments to Contractor under this Contract shall not
exceed $ 7,993.10
6. County's Obligations. In consideration of Contractor's provision of services as
described below, and subject to the payment limit expressed herein, County shall pay
Contractor, upon submission of a properly documented demand for payment in the manner
and form prescribed by County (Demand Form D-15) and upon approval of such demand by
the head of the County Department for which this Contract is made or his designee,
according to the following fee schedule:

NOT TO EXCEED a total of 670 service unit(s).
7. Contractor's Obligations. Contractor shall provide the following described services:
Consultation and technical assistance for implementation of County's National
Institute of Mental Health (U.S. Department of Health, Education and Welfare) grant
proposal for establishment of a Community Mental Health Center (CMHC) to serve the
Cities of E1 Cerrito and Kensington and about 50% of the City of Richmond (referred
to as catchment area number 16), under the Community Mental Health Center Act.
Contractor shall provide these services in accordance with the attached Special
Conditions which are incorporated herein by reference.

8. Independent Contractor Status. This Contract is by and between two independent
contractors and is not intended to and shall not be construed to create the relationship
of agent, servant,i employee, partnership, joint venture, or association.
9. Indemnification. The Contractor shall defend, save harmless and indemnify the County
and its officers, lagents and employees from all liabilities and claims for damages for
death, sickness or injury to persons or property, including without limitation, all
consequential damages, from any cause whatsoever arising from or connected with the
operations or the services of the Contractor hereunder, resulting from the conduct,
negligent or otherwise, of the Contractor, its agents or employees.
10. Legal Authority. This Contract is entered into under and subject to the following
legal authorities: Community Mental Health Center Act; Welfare and Institutions Code
(Division 5, Part 2, the Short-Doyle Act) Section 5600 et seq. ; California Administra-
tive Code Title 9, Subchapter 3, Section 523 et seq. (Community Mental Health Services
under the Short-Doyle Act); and California Government Code Section 26227.

SPECIAL CONDITIONS

1. Independent Status. Contractor is an independent contractor and County
shall neither direct nor have control over Contractor, Contractor's activities, or
the methods and details by which Contractor fulfills its obligations under this
Contract. In providing services hereunder, Contractor shall work cooperatively
with County's Mental Health Director or his designee.
2. Expenses. Contractor's fee, as set forth in Paragraph 6. (County's
Obligations), includes full compensation for all services, work, and expenses
provided or incurred by Contractor under this Contract, including all travel,
mileage, and per diem expenses.
3. County's Activity Support. County shall provide for Contractor certain
office space, clerical support, office supplies and services, materials, equipment,
facilities, and assistance as may be mutually determined to be necessary to
support Contractor's activities hereunder, but excluding the use of County cars.
4. Service Activities. Contractor shall provide certain consultation and
technical assistance services as described herein, including, but not limited to,
research, interviewing, information gathering and analysis, and writing. In
providing these services, Contractor shall:
a. Continue to search for and identify appropriate sites for County's
Community Mental Health Center (CMHC) services; and advise County's Alcohol/Drug
Abuse/Mental Health Division regarding final selection of CMHC sites, working
closely with the County Public Works Department - Lease Management Division and
the County Mental Health Director.
b. Provide programmatic consultation to County's Lease Management Division
architects regarding basic floor plans for those sites which will require renovation
or new construction; coordinate County's occupancy activities as sites near completion;
and advise County regarding phone ordering/installation, delivery of furniture/equip-
ment from warehouse or present site to new site(s) and office arrangements.
c. Assist County's Alcohol/Drug Abuse/Mental Health Division and its
Personnel Services Officer, Health Services Department, in establishing the personnel
positions required to staff the CMHC as specified in the NIMH proposal and in hiring
staff according to established timelines.
d. Advise County's Alcohol/Drug Abuse/Mental Health Division on purchasing
activities to order the equipment and supplies necessary for first year CMHC operation
in coordination with the Materials Management Director, Health Services Department;
and on arranging for storage and delivery of equipment and supplies, as required.
5. Automobile Insurance. During the entire term of this Contract and any
extension or modification thereof, Contractor shall keep in effect a policy or
policies of motor vehicle liability insurance for any use Contractor makes of a
private automobile in the performance of this Contract, as required by State law
and in amounts not less than:
a. $25,000 for personal injury to, or death of, one person;
b. $50,000 for injury to, or death of, two or more persons, per occurrence;
and
c. $10,000 for property damage.

1. Payment Amounts. Subject to the Payment Limit of this Contract and subject
to the following Payment Provisions, County will pay Contractor the following fee:

3. Right to Withhold. County has the right to withhold payment to the Contractor
when, in the opinion of the County expressed in writing to the Contractor, (a) the
Contractor's performance, in whole or in part, either has not been carried out or is
insufficiently documented, (b) the Contractor has neglected, failed or refused to
furnish information or to cooperate with any inspection, review or audit of its
program, work or records, or (c) Contractor has failed to sufficiently itemize or
document its demand(i) for payment.
4. Audit Exceptions. Contractor agrees to accept responsibility for receiving,
replying to, and/or complying with any audit exceptions by appropriate County, State,
or Federal audit agencies occurring as a result of its performance of this Contract.
Contractor also agrees to pay to the County within 30 days of demand by County the
full amount of the County's liability, if any, , to the State and/or Federal government
resulting from any audit exceptions, to the extent such are attributable to the
Contractor's failure. to perform properly any of its obligations under this Contract.

SERVICE PLAN

1. State Guidelines. Contractor shall comply with all applicable administrative
guidelines contained in the Community Services Systems Manual, as issued by the State
Department of Mental Health, and with the attached State Requirements Addendum (State
Equal Opportunity and Nondiscrimination Requirements) which is incorporated herein by
reference.
2. Services. During the term of this Contract, Contractor shall provide in-
service training for 20 to 30 County mental health staff per training session on an
"Introduction to Family Therapy" and "Family Therapy Supervision. " Contractor shall
provide said training as follows:
a. Training Sessions. Contractor shall provide two or more 3-hour training
sessions eacA,� ring the term of this Contract, with one session on "Introduction to
Family Therapy" and the other session on "Family Therapy Supervision" and with each
3-hour session being conducted from 8:30 a.m. through 11:30 a.m. Contractor shall
conduct training at such training locations as may be mutually agreed upon by County
and Contractor, including, but not limited to, County's 8th Street Mental Health
Clinic in Richmond and Children's Hospital facilities in Oakland. Contractor shall
be responsible for arranging and -scheduling the use of all such training facilities.
b. Training Curriculum. In providing said training, Contractor shall follow
the attached Training Curriculum Outline which is incorporated herein by reference.
Contractor shall be responsible for providing all necessary training materials and
services, including but not limited to, supplies, video tapes , films, books, and
guest speakers.
3. Prohibition Against Patient Treatment. The provision of any diagnosis,
treatment planning,' or counseling services by Contractor for actual County patients
is strictly prohibited under this Contract.
4. Independent Status. Contractor is an independent contractor and County
shall neither direct nor have control over Contractor, her activities, or the
methods and detailslby which she fulfills her obligations under this Contract.
5. Expenses. Contractor's fee, as set forth in Paragraph l. d. of the Payment
Provisions, includes full compensation for all services, work, and expenses provided
or incurred by ContIractor under this Contract, including all travel, preparation
time, facility costs, and training materials and services.

SPECIAL CONDITIONS
Insurance. Paragraph 19. (Insurance) of the General Conditions is hereby deleted
and replaced by the following provision:
"19. Automobile Insurance. During the entire term of this Contract and any
extension or modification thereof, Contractor shall keep in effect a policy
or policies of motor vehicle liability insurance for any use Contractor makes
of a private automobile- in the performance of this Contract, as requited by
State law and in amounts not less than:
(1) $15,000 for personal injury to, or death of, one person;
(2) $30,000 for injury to, or death of, two or more persons, per occurrence;
and
(3) $10,000 for property damage. "

TRAINING CURRICULUM OUTLINE

Overall Training Goal: To train County' s professional and para-professional mental
health workers in how to do therapeutic work successfully
with multi-problemed and minority families.
Phase I: "Orientation to Family Thinking"
In this training phase, trainees will examine and explore the dynamics
of multi-family systems.
Method: Video tape and lecture.
Phase II: "Who are They and Who are You"
This phase will focus on cultural, religious, economic status, and
ethnic issues and will cover the mental health worker as a family
"intervenor". Trainees will present their own family profiles.
Meth'odl: Family diagramming and role-play.
Phase III: "Belief, Theories and Practice"
In this phase the structural approach to family intervention theory and
its application to low-income and minority families will be studied.
Trainees will analyze their own family profile and belief systems and
training will focus on the ways in which their beliefs affect their
ability to do therapeutic work with families.
Method: Lecture and discussion of case material presented by trainees.
Phase IV: "Family Therapy Strategies"
This training phase will focus on the following:
(1) Patterns of interaction in multi-problemed families.
(2) Communication patterns and styles.
(3) The extended family, its impact and influence on the child.
(4) Family ecology.

(i) Special problems, including but not limited to the following:
chronic illness, incest, delinquency, and child abuse.
(6) How to make a family diagnosis and treatment plan.
Method: Lecture and discussion of case material and video taped case
presentations.

STATE REQUIREMENTS ADDENDUM
STATE EQUAL OPPORTUNITY AND NONDISCRIMINATION REQUIREMENTS
Subject to the General Conditions of this Contract, Contractor shall comply with the
following State requirements for equal opportunity and nondiscrimination:
1. Employment of personnel shall be made solely on the basis of merit,
without regard to race, religion, color, sex, national origin, age, or physical or
mental handicap.
2. Affirmative action shall be taken to ensure that job applicants are
employed and that employees are treated during employment without regard to their
race, religion, color, sex, national origin, age, or physical or mental handicap.
Such action shall include, but not be limited to, the following: employment,
upgrading, demotion, or transfer; recruitment or recruitment advertising; layoff
or termination; rates of pay or other forms of compensation; and selection for
training, including apprenticeship. There shall be posted, in conspicuous places,
notices available to employees and applicants for employment provided by County
setting forth the provisions of these equal opportunity and nondiscrimination
requirements. i
3. All solicitations or advertisements for employees placed by or on behalf
of Contractor, and/or any subcontractor, shall state that all qualified applicants will
receive consideration for employment without regard to race, religion, color, sex,
national origin, age, or physical or mental handicap.
4. Each labor union or representative of workers with which Contractor has
a collective bargaining agreement, or other such contract or understanding, must post
a notice provided by County advertising Contractor's obligations under these equal
opportunity and nondiscrimination requirements to the labor union or workers'
representative ana shall post copies of said notice in conspicuous places available
to employees and applicants for employment.
5. Contractor shall furnish all information and reports required by the
State Department of Health and shall permit access to books, records, and accounts
pertaining to this Contract for purposes of investigation to ascertain compliance
with Paragraphs Ilthrough 4 above.
6. In thle event of noncompliance with these equal opportunity and non-
discrimination requirements, or as otherwise provided by State or Federal law, this
Contract may be cancelled, terminated, or suspended in whole or in part and Contractor,
and/or any subcontractor, may be declared ineligible for further State-funded contracts
in accordance with procedures authorized in the State Department of Health's Affirmative
Action Complaint Process.
7. All provisions of Paragraphs 1 through 7, inclusive, shall be included
by Contractor in every subcontract (unless exempted by rules, regulations, or orders
of the Director of the State Department of Health), so that said provisions will be
binding upon each subcontractor. Contractor shall take such action with respect to
any subcontractor as the State may direct as a means of enforcing such provisions
including sanctions for noncompliance, provided, however, that in the event that
Contractor becomes involved in, or is threatened with, litigation with a sub-
contractor as a result of such direction by the State, Contractor may request
the State by writing to the State, who in turn may request the United States, to
enter into such litigation to protect the interests of the State and the United States.
8. Services, benefits, and facilities shall be provided to qualified patients
without regard to their race, color, creed, national origin, sex, age, or physical
or mental handicap and no one will be refused service because of inability to pay
for such services.

STATE EQUAL OPPORTUNITY AND NONDISCRIMINATION REQUIREMENTS
9. There shall be no discrimination in the provision of services because
of color, race, creed, national origin, sex, age, or physical or mental handicap in
accordance with Title VI of the Civil Rights Act of 1964, 42 USC Section 2000d, and
any rules and regulations promulgated pursuant thereto, or as otherwise provided by
State or Federal law. For the purpose of this Contract, distinctions on the grounds
of race, color, creed, or national origin include, but are not limited to, the
following: denying a participant any service or benefit or providing to a participant
any service or benefit which is different, or is provided in a different manner or
at a different time, from that provided to other participants under this Contract;
subjecting a participant to segregation or separate treatment in any manner related
to his or her receipt of any service; restricting a participant in any way in the
enjoyment of any advantage or privilege enjoyed by others receiving any service or
benefit; treating a participant differently from others in determining whether he
or she satisfied any admission, enrollment quota, eligibility, membership, or other
requirement or condition which individuals must -meet in order to be provided any
service or benefit; 'and the assignment of times or places for the provision of
services on the basis of the race, color, creed, or national origin of the partici-
pants to be served. Contractor, and any subcontractors, shall take affirmative action
to ensure that intended beneficiaries are provided services without regard to race,
color, creed, national origin, sex, age, or physical or mental handicap.
10. All complaints alleging discrimination in the delivery of services by
Contractor, and/or any subcontractor, because of race, color, national origin, creed,
sex, age, or physical or mental handicap, may be resolved by the State through the
State Department of Health's Affirmative Action Complaint Process.
11. Contractor, and any subcontractors, shall, subject to the approval of the
State Department of Health, establish procedures under which recipients of service are
informed of their rights to file with the State Department of Health a complaint
alleging discrimination or a violation of their civil rights.

1. Compliance with,Law. Contractor shall be subject to and comply with all Federal,
State and local laws and regulations applicable with respect to its performance hereunder,
including but not limited to, licensing, employment and purchasing practices; and wages,
hours and conditions of employment.
2. Inspection. Contractor's performance, place of business and records pertaining
to this Contract are subject to monitoring, inspection, review and audit by authorized
representatives of the County, the State of California, and the United States Government.
3. Records. Contractor shall keep and make available for inspection by authorized
representatives of the County, the State of California, and the United States Government,
the Contractor' s regular business records and such additional records pertaining to this
Contract as may be required by the County.
4. Retention of Records. The Contractor and County agree to retain all documents
pertaining to this Contract for three years from the date of submission of Contractor's
final payment demand or final Cost Report (whichever is later) under this Contract, and
until all Federal/State audits are complete and exceptions resolved for the funding
period covered by this Contract or for such further period as may be required by law.
Upon request, Contractor shall make these records available to authorized representatives
of the County, the State of California, and the United States Government.

5. Termination.
a. Written Notice. This Contract may be terminated by either party, at their
sole discretion, upon thirty-day advance written notice thereof to the other, or
cancelled immediately by written mutual consent.
b. Failure to Perform. The County, upon written notice to Contractor, may
terminate this Contract should the Contractor fail to perform properly any of its
obligations hereunder. In the event of such termination, the County may proceed with
the work in any reasonable manner it chooses. The cost to the County of completing
Contractor' s performance shall be deducted from any sum due the Contractor under this
Contract.
c. Cessation of Funding._ Notwithstanding Paragraph 5.a. above, in the event
that Federal,- State, or other non-County funding for this Contract ceases, this Contract
is terminated without notice.
6. Entire Agreement. This Contract contains all the terms and conditions agreed
upon by the parties. Except as expressly provided herein, no other understandings,
oral or otherwise, regarding the subject matter of this Contract shall be deemed to
exist or to bind any of the parties hereto.
7. Further Specifications for Operating Procedures. Detailed specifications of
operating procedures and budgets required by this Contract, including but not limited
to, monitoring, auditing, billing, or regulatory changes, may be developed and set
forth in a written Informal Agreement entered between the Contractor and the County.
Such Informal Agreements shall be designated as such and shall not be amendments to
this Contract except to the extent that they further detail or clarify that which is
already required hereunder. Such Informal Agreements may not enlarge in any manner
the scope of this Contract, including any sums of money to be paid the Contractor as
provided herein. Informal Agreements may be approved and signed by the head of the
County Department for which this Contract is made or his designee.
8. Modifications and Amendments.
a. General Amendments. This Contract may be modified or amended by a
written document executed by the Contractor and the Contra Costa County Board of
Supervisors or, afteriBoard approval, by its designee, subject to any required State
or Federal approval, i
b. Administrative Amendments. Subject to the Payment Limit, the Payment
Provisions and the Service Plan may be amended by a written administrative amendment
executed by the Contractor and the County Administrator or his designee, subject to
any required State or Federal approval, provided that such administrative amendments
may not materially change the Payment Provisions or the Service Plan.

9. Disputes. Disagreements between the County and Contractor concerning the
meaning, requirements, or performance of this Contract shall be subject to final
determination in writing by the head of the County Department for which this Contract
is made or his designee or in accordance with the applicable procedures (if any)
required by the State or Federal Government.
10. Choice of Law and Personal Jurisdiction.
a. This Contract is made in Contra Costa County and shall be governed and
construed in accordance with the laws of the State of California.
b. Any action relating to this Contract shall be instituted and prosecuted
in the courts of Contra Costa County.
11. Conformance with Federal and State Regulations. Should Federal or State
regulations touching upon the subject of this Contract be adopted or revised during
the term hereof, this Contract shall be amended to assure conformance with such
Federal or State requirements.
12. No Waiver by County. Subject to Paragraph 9. (Disputes) of these General
Conditions, inspections or approvals, or statements by any officer, agent or employee
of the County indicating the Contractor's performance or any part thereof complies
with the requirements of this Contract, or acceptance of the whole or any part of
said performance, or payments therefor, or any combination of these acts, shall not
relieve the Contractor's obligation to fulfill this Contract as prescribed; nor shall
the County be thereby estopped from bringing any action for damages or enforcement
arising from any failure to comply with any of the terms and conditions hereof.
13. Subcontract and Assignment. This Contract binds the heirs, successors,
assigns and representatives of Contractor. The Contractor shall not enter into
subcontracts for any work contemplated under this Contract and shall not assign this
Contract or monies due or to become due, without the prior written consent of the
County Administrator or his designee, subject to any required State or Federal approval.
14. Independent Contractor Status. This Contract is by and between two independent
contractors and is not intended to and shall not be construed to create the relationship
of agent, servant, employee, partnership, joint venture or association.
15. Conflicts of Interest. Contractor promises and attests that the Contractor
and any members of its governing body shall avoid any actual or potential conflicts of
interest. If Contractor is a corporation, Contractor agrees to furnish to the County
upon demand a valid copy of its most recently adopted bylaws and also a complete and
accurate list of its governing body (Board of Directors or Trustees) and to timely
update said bylaws or the list of its governing body as changes in such governance
occur.
16. Confidentiality. Contractor agrees to comply and to require its employees
to comply with all applicable State or Federal statutes or regulations respecting
confidentiality, including but not limited to, the identity of persons served under
this Contract, their records, or services provided them, and assures that:
a. All applications and records concerning any individual made or kept by
Contractor or any public officer or agency in connection with the administration of or
relating to services provided under this Contract will be confidential, and will not be
open to examination for any purpose not directly connected with the administration of
such service.
b. No person will publish or disclose or permit or cause to be published or
disclosed, any list of persons receiving services, except as may be required in the
administration of such service. Contractor agrees to inform all employees, agents
and partners of the above provisions, and that any person knowingly and intentionally
•disclosing such information other than as authorized•by l;aw may be guilty, of a
misdemeanor.
17. Nondiscriminatory Services. Contractor agrees that all goods and services
under this-Contract shall be available to all qualified persons regardless of age,
sex, race, religion, color, national origin, or ethnic background, and that none
shall be used, in whole or in part, for religious -worship -or instruction. -

18. Indemnification. The Contractor shall defend, save harmless and indemnify the
County and its officers, agents and employees from all liabilities and claims for damages
for death, sickness or injury to persons or property, including without limitation, all
consequential damages, from any cause whatsoever arising from or connected with the
operations or the services of the Contractor hereunder, resulting from the conduct,
negligent or otherwise, of the Contractor, its agents or employees.
19. Insurance. During the entire term of this Contract and any extension or
modification thereof, the Contractor shall keep in effect insurance policies meeting
the following insurance requirements unless otherwise expressed in the Special
Conditions:
a. Liability Insurance. The Contractor shall provide a policy or policies
of comprehensive liability insurance, including coverage for owned and non—owned auto—
mobiles, naming the County and its officers and employees as additional insureds, with
a minimum combined single limit coverage of $500,000 for all damages because of bodily
injury, sickness or disease, or death to any person and damage to or destruction of
property, including the loss of use thereof, arising from each accident or occurrence.
b. Workers' Compensation. The Contractor shall provide the County with a
certificate of insurance evidencing workers' compensation insurance coverage for its
employees.
c. Additional Provisions. The policies shall include a provision for thirty
(30) days written notice to County before cancellation or material change of the above
specified coverage. ) Said policies shall constitute primary insurance as to the County,
the State and Federal Governments, their officers, agents, and employees, so that other
insurance policies held by them shall not be required to contribute to any loss covered
under the Contractor's insurance policy or policies. Not later than the effective date
of this Contract, the Contractor shall provide the County with a certificate(s) of
insurance evidencing the above liability and workers' compensation insurance.
20. Notices. All notices provided for by_ this Contract shall be in writing and
may be delivered by deposit in the United States mail, postage prepaid. Notices to
the County shall be addressed to the head of the County Department for which this
Contract is made, c/o Contracts & Grants Unit, 651 Pine Street, Martinez, California
94553. Notices to the Contractor shall be addressed to the Contractor' s address
designated.herein. The effective date of notice shall be the date of deposit in
the mails or of other delivery.
21. Primacy of General Conditions. Except for Special Conditions which expressly
supersede General Conditions, the Special Conditions (if any) and Service Plan do not
limit any term of the General Conditions.
22. Nonrenewal. Contractor understands and agrees that there is no representation,
implication, or understanding that the services provided by Contractor under this
Contract will be purchased by County under a new contract following expiration or
termination of this Contract, and waives all rights or claims to notice or hearing
respecting any failure to continue purchase of all or any such services from Contractor.
23. Possessory Interest. If this Contract results in the Contractor having
possession of, claim to or right to the possession of land or improvements, but does
not vest ownership of the land or improvements in the same person, or if this Contract
results in the placement of taxable improvements on tax exempt land (Revenue & Taxation
Code §107), such interest or improvements may represent a possessory interest subject
to property tax, . and,Contractor may be subject to the payment, of property. taxes levied
on such interest. Contractor agrees that this provision complies with the notice
requirements of Revenue & Taxation Code_ §107.6, and waives all rights to further
notice or to damages under that or any comparable statute.

Service: In-service training for West County mental health staff in
family therapy techniques
The Board authorized negotiations for this contract on November 13, 1979
(Board Order attached for reference). -
The $50 per hour fee rate is justified by the fact that this contractor is
a highly trained and expert therapist in work with black families, that she
has special skills which our treatment staff need to learn -and improve, and
that our experience with this provider through past contracts has been highly
satisfactory. This fee rate is a customary rate that is presently being
charged by many consultants in the Bay Area.
The lateness of this contract is due to the contractor signing the contract
on December 22, 1979 but neglecting to have it notarized. The contract was
sent back to the contractor to be notarized, and contractor did not return
the contract until February 19, 1980.
The contract has been prepared in a standardized format and approved by the
Department's Contracts and Grants Administrator pursuant to the attached
County Counsel's memo dated January 4, 1980 regarding this contract.
I therefore recommend this contract be approved and submitted to the Board
of Supervisors) at their next meeting.

will allow our clients the opportunity to train for the Special Olympics in
a setting which is developed specifically for Olympic type events.
This program will run from September, 1979 through May, 1980, and will be
at no cost to the program as the college has advised that their fee will
be waived.
Contra Costa Community College is asking that we fill out the "Application
for Use of College Facilities" 4cd-180, before we start using the facilities.

6. County's Obligations. In consideration of Contractor's provision of services as

weekly sessions of 1-1/2 hours each to review principles and practice of brief family
therapy and to demonstrate family therapy with use of video tape.
8. Independent Contractor Status. This Contract is by and between two independent
contractors and is not intended to and shall not be construed to create the relationship
of agent, servant, employee, partnership, joint venture, or association.
9. Indemnification. The Contractor shall defend, save harmless and indemnify the County
and its officers, agents and employees from all liabilities and claims for damages for
death, sickness or injury to persons or property, including, without limitation, all
consequential damages, from any cause whatsoever arising from or connected with the
operations or the services of the Contractor hereunder, resulting from the conduct,
negligent or otherwise, of the Contractor, its agents or employees .
10. Legal Authority. This Contract is entered into under and subject to the following

1. Independent Status. Contractor is an independent contractor and County
shall neither direct nor have control over Contractor, Contractor's activities, or
the methods and details by which Contractor fulfills its obligations under this
Contract. In providing services hereunder, Contractor shall work cooperatively
with County' s Mental Health Director or his designee.
2. Progress Reports. Contractor shall submit periodic Progress Reports,
written or oral, at least monthly to County' s Mental Health Director or his designee,
detailing Contractor's accomplishments in providing services hereunder.
3. Ex enses. Contractor's fee, as set forth in Paragraph 6. (County' s
Obligations), includes full compensation for all services, work, and expenses
provided or incurred by Contractor under this Contract, including all travel,
mileage, and per diem expenses. Reimbursement for use of a private automobile
hereunder shall not exceed the payment rate of 17 cents per mile.
4. County' s Activity Support. County shall provide for Contractor certain
office space, clerical support, office supplies and services, materials, equipment,
facilities, and assistance as may be mutually determined to be necessary to
support Contractor' s activities hereunder, but excluding the use of County cars.
5. Service Activities. Contractor shall provide certain consultation and
technical assistance services as described herein, including, but not limited to,
research, interviewing, information gathering and analysis, and writing in such
areas as:

Staffing Patterns Day Treatment Services

The original contract was entered into orally by Dr. Goldmacher, Chief
of the Richmond Mental Health Clinic. In that capacity he represents
the local Mental Health Director and has the authority to represent the
County. The contract would have been processed in a timely basis but
some internal administrative probleris involving funding for these
consultations held it up. . Since the delay would have interfered with
the scheduling of some 15-20 staff persons for an initial session, the
Clinic Chief asked Ms. Smalls to meet with them on the February 15th
date in lieu-.of the,March- 5th date. The same number of sessions as
stipulated in the contract are adhered to, and the total amount of money
is not changed.
