Add to Article ll.J (2) the following: "The amount of funds that can be expended on such a dwelling is limited to the number of eligible units times the maximum expenditure per unit. For example, if a 100 unit building contains 80 units occupied by eligible families and 20 units by ineligible families: a. the building can be weatherized under the 66 percent criterion; b. $80,000 is the maximum which can be spent on all units and common areas; c. of the $80,000 (at $100 maximum per unit) $8,000 is the maximum which can be spent for repairs; i d. and if all 100 units in the building are weatherized, 100 units should be counted." 3. Add to Article ll.K (1) the following: "(i) Storage of weatherization materials." 4. Add to Article 11 the following: 'IS. The Contractor agrees to indemnify, defend and save haimless the State, its officers, agents and employees from any and all claims and losses accruing or resulting to any and all contractors, subcontractors, materialmen, laborers and any other person, firm or corporation furnishing or supplying work, services, materials or supplies in connection with the perfomlance of this contract, and from any and all claims and losses accruing or resulting to any person, firm or corporation who may be injured or damaged by the Contractor in the performance of this contract. 2. The Contractor, and the agents and employees of Contractor, in the performance of this at agreement, shall act in an independent capacity and not as officers or employees or agents of State of California. 3. The State may terminate this agreement and be relieved of the payment of any consideration to Contractor should Contractor fail to perform the covenants herein contained at the time and in the manner herein provided. In the event of such termination the State may proceed with the work in any manner deemed proper by the State. The cost to the State shall be deducted from any sum due the Contractor under this agreement, and the balance, if any, shall be paid the Contractor upon demand. 4. Without the written consent of the State, this agreement isnot assignable by Contractor either.ip,4a 1e,&r in part. _ 5. Time is the essence of this agreement. -- 6. No alteration or variation of the terms of this contnlct shall be valid unless made in writing and signed by the parties hereto, and no oral understanding or agreement not incorporated herein, shall be binding on any of the parties hereto. 7. Total Amount payable shall not exceed $ 90.223as specified in the budget attached hereto as Attachment A, incorporated herein by reference. 10. Payment and Invoicing A. Upon written request, accomplished by completion of CSOEO Form 0050 Sections I and V, Contractor will be given an initial advance of $ - 0 - as authorized by Section 417 (d) of Public Law 94-385. B. Contractor shall submit monthly invoices, using CSOEO Form #050, Monthly Report of Costs and Status of Cash, attached hereto as Attach- ment B, incorporated herein by reference. Reimbursement of any month's expenses will only be made if CSOEO has also received the Monthly Program Status Report, CSOEO Form 02.8P, which is attached hereto as Attachment C, and is incorporated herein by ref- erence. CSOEO Form, #28P must be accompanied by the supporting CSOEO Form(s) #29P, Low Income Energy Conservation Program Client Intake Form. C. Contractor may only request reimbursement for Administrative Costs for any specific month for the same percentage of Total Costs incurred less . insurance (nonvehicular) as the percentage of the Administrative Costs to the grand total less Insurance (nonvehicular) allowed for in the Budget, Attachment A. Contractor may submit a written request for waiver of this requirement for any specific month. The request shall set forth the unusual circum- stances necessitating the waiver. D. Final reimbursement will be contingent upon receipt of Contractor's close-out package. 11. Eligibility - A. Individual Eligibility - Contractor shall insure that no dwelling unit shall be eligible for weatherization assistance under, this agreement unless it is occupied by a family unit - (1) Whose income is at or below 125 percent of the poverty level determined in accordance with criteria established by the OFFICE . OR (2) Which contains a member who has received cash assistance payments under Title IV (AFDC) or Title XVI (SSI) of the Social Security Act or applicable state or local law during the 12 month period preceding the determination of eligibility for weatherization assistance (Section 440.18 of Title IV-A of Public Law 94-385),. Contractor shall"assure that each applicant signs a Low-Income Energy Conservation Program Client Intake Form (CSOEO #29P), a copy of which has already been furnished- Contractor. _ V Contractor shall verify applicant income for a randomly selected sample of 10 percent of the homes to be weatherized. This veri- fication must be reflected in Section II.d of the CSOEO Form #29P. ; Documents which may be used as proof of income eligibility include the following: W-2 Forms, Welfare Basic Grant Forms, Social Secur- ity Statement of Earnings, etc. B. Dwelling Inspection - Contractor shall also inspect the dwelling unit of each eligible applicant to determine if. the unit is structurally sound and- not in need of excessive repairs. If the dwelling unit is ineligible because of the need for extensive repair, the applicant should be referred to the local Housing and Community Development Organization, U.S. Farmers Home Administration, Housing Loan Program, or other applicable organizations. If the applicant can get the necessary repairs accomplished, weather- ization may be accomplished following the repair work. C. " Standards for Weatherization Materials Attachment D; "Standards for.Weatherization Materials" . which is attached hereto and incorporated herein by reference, lists some of the types of weatherization materials Contractor may use.....:For these types of weather ization materials,, Contra.ctor shall only use those which meet or exceed the standards set forth in Attachment C, and shall be able to present documentation of such conformance with the specifications. D.' Weatheriz.ation Technique _ A weatherization project under this agreement shall follow the ap- proaches to p-proaches' to weatherization, including the energy conservation tech- niques, contained in the sample Project Retro-Tech Job Books (DOE/ CS-0105), copies of which will be supplied-by CSOEO. Contractor shall complete a Building Check and Job Order Sheet (U.S-GPO:1979-303-709) for each dwelling approximating either the sample Wood Frame or the sample Mobile Home Project Retro-Tech job -4 - Book. Contractor shall attach the. applicable CSOEO STD-001 or 002 label to the front of the Building Check and Job Order Sheet and accomplish the needed weatherization measures in order of priority until either or both the $589aT?Kimum per dwelling expenditures for Materials,,,, - for Program Support and labor is reached. L1C4ZD Contractor shall complete. a Project Retro-Tech Job Book and a Building Check and Job Order for each dwelling weatherized that is not of wood frame construction. Contractor shall follow the procedure demonstrated in the sample Project Retro-Tech Job Book. E. Priority Groups Priority shall be given to identifying and.providing weatherization assistance to the elderly, Native Americans, handicapped, and migrant/ seasonal farmworkers low-income persons, as specified in Attachment E, Prliority Populations to be Served, which is attached hereto and in- corporated herein by reference. F. Supplementing of Other Funds Financial assistance provided under this agreement shall be used to supplement, and not supplant, state. or local funds, and to the maxi- mum extent practicable as determined by the U.S. Department of Energy, to increase the amounts of those funds that would be made available in the absence of federal funds provided under this agreement_ G. Labor, To the maximum extent practicable, Contractor will secure the services of volunteers, training participants and public service employment workers, pursuant to CETA, to work under the supervision of qualified supervisors and. foremen. Contractor agrees to notify CSOEO in the event difficulties arise securing such services. Within the constraints of the Program Support and Labor budget line item, Contractor may: (1) Employ labor (particularly persons eligible for training under I CETA). (2) Supplement wages paid to training participants and public service employment workers pursuant to CETA, subject to permission by the U.S. Department of Labor. s= (3) Subcontract with a private contractor (particularly a nonprofit organization or a business owned by disadvantaged individuals which performs weatherization services) to install weatherization materials, provided that an adequate number of volunteers, tra9,s ing participants, public service employment workers, and/or paid staff is not available. PRIOR permission to subcontract with a private. contractor must be obtained from CSOEO, and such approval will be contingent upon receipt and evaluation by CSOEO of the following documentation: (a) A completed CSOEO FORM #70P, "Request to Utilize For-Profit Contractor" . (b) Copies of at least three bids submitted by private contrac- tors in response to a Request for Bid (RFB). The RFB must define the specific kinds of service to be provided by the private contractor and request a breakdown of the costs of materials and labor for the different kinds of work to be done. H. • Coordination To the maximum extent practicable, the use of weatherization assist- ance shall be coordinated with other federal, state, local, or pri- vately funded programs in order to conserve energy and to improve thermal efficiency. I. Equal Treatment of Native Americans - Low-Income members of Indian tribes shall receive benefits equivalent to the assistance, either on or off rancherias, as is provided to other low-income persons. . Rental Units -- (1) No rental dwelling unit shall be weatherized without first ob� taining the written pe:mission of the owner of the dwelling unit. or his/her agent and the tenant on a Weatherization Service Agreement -- Rental Units Form (CSOEO Form #37P), a copy of which has already been furnished Contractor. (2) Contractor may weatherize a building containing rental dwelling units where not less than 66 percent of the dwelling units in the building-(a) are eligible dwelling units (as defined in Article 11.A) OR (b) will become eligible dwelling units within 180 days under a Federal program for rehabilitating the build- ing or making similar improvements to the building. . K. Maximum Dollar Limit Per Duelling Unit (1) Contractor agrees that the maximum .allowable expenditure for any dwelling unit weatherized under this agreement shall not exceed $1,000, comprised of $-W-maximum per dwelling for - (a) , -The cost of purchase and dell-very of weatherization materials; 10D (b)(b) Up to $100 of the $544- maximum per dwelling may be used J/ for incidental repairs, including repairs to the heating source and such repair materials as are necessary to make the installation of weatherization materials effective. AND . -J-546-.maximum per dwelling for - I (c) Transportation of weatherization materials, tools, equip- ment, and work crews to a storage site and to the site of weatherization work; (d) Maintenance, operation, and insurance of vehicles used to transport weatherization materials and work crews; (e) Maintenance of tools and equipment; (f) Purchase or annual lease of tools, equipment, and vehicles; Contractor, shall request prior approval from CSOEO for .the. acquisition of equipment and/or vehicles by submitting a . "Request for. Non-Expendable Equipment Lease/Purchase Ap- proval (non-vehicle)", (CSOEO Form #40P) and/or a "Request for Non-Expendable Equipment Lease/Purchase Approval (vehicle)" ,. CSOEO Form #41P, copies of which will be sup- plied by CSOEO; (g) Employment of on-site supervisory personnel; (h) Labor costs in accordance with Article 11.G. (2) The limitation of $1 ,000 set forth above shall not apply if the local Policy Advisory Committee (required by Q below) requests that a greater amount be provided. for specific categories of units or materials and CSOEO approves. the request. L. Allowable Administrative Expenditures Administrative funds are provided as indicated in Attachment A, Budget Allowable administrative expenses shall include but are not limited to a prorated share of the overhead expenses, such as office space, telephone, postage, and office supplies. Any labor expenses necessary to carry out a weatherization project under this agreement_ are allowable administrative expenses except for the Labor categories set forth in Article ll.G above. M. Insurance - Contractor agrees to have in effect and to maintain both public liability and property damage insurance for Contractor's weath- erization program vehicles plus personal injury and property damage insurance for Contractor's personnel and the dwellings, and occupants therein, being weatherized with minimum liability limits of Three Hundred Thousand Dollars ($300,000.00) for bodily injury or death of any person, and damage to property of not less than Three Hundred Thousand Dollars ($300,000.00) resulting from any occurence. Said.. :; policies shall provide: that 30 days' written notice to CSOEO shall be required before cancellation or material change of any of the terms of the policy. Contractor shall forward to CSOEO a copy of as much of t7!c.• insurance policy (ies) as evidences the required coverage Plus the effective dates prior to commencing operations. -7- N. Limitation On Use of Funds - No funds under this agreement shall be used for any of the followin.- purposes: (1) To weatherize a dwelling unit which has been weatherized previ- ously with funds-granted under Title IV-A of Public Law 94-385, unless such dwelling unit has been damaged by fire, flood, or act of God'and repair of the damage to weatherization materials is not paid for by insurance; or (2) To weatherize a, dwelling unit which is vacant or designated for acquisition or clearance by a federal, state, or local program within 12 months from the date weatherization of the dwelling unit would be scheduled to be completed. . 0. Right to Monitor and Audit - The Administrator, U.S. Department of Energy, and his/her designee, the Director, U.S. Community Services Administration, and his/her designee, and CSOEO shall have the right to monitor and evaluate weatherization projects under this agreement . through on-site inspections or through other means, in order to ensure the effective provision of weatherization assistance for the dwelling units of Low-Income persons. The Administrator, U.S. Department of Energy, and his/her designee, the Comptroller General of the United States and his/her designee, CSOEO, and if Contractor is a Community Action Agency, the Director, Community Services Administration; and his/her designee, shall have access for the purpose of audit and ex- amination of Contractor's books, documents, papers, information and records of any weatherization project performed under this agreement. P. Records/Forms - Contractor shall utilize the following documents or . reports in the manner described. (1) The following reports will be submitted to CSOEO on a monthly basis: (a) . Low Income Energy Conservation Program Client Intake Forms (CSOEO Form #29P). This report contains information which, determines client eligibility for weatherization services. (b) Low Income Energy Conservation Monthly Status Report (CSOEO Form #28P). - This report contains information on the number of full- and part-time staff, the total number of persons assisted in that month, the total number of elderly, the handicapped, Native Americans, and Farmworkers assisted, and the total. number of .dwellings assisted in that month.. .. (c) Monthly Report of Costs and Status-of Cash (CSOEO Form #050, included here as Attachment B) . This report contains , fiscal information necessary to justify payments to the Contractor. Each of these reports, even if there is no activity to report, . will be due no later than the 10th day of the month following the month being reported, but preferably as soon after the first day as possible. -8- One month delinquency in meeting these reporting requirements ishall give CSOEO the right to terminate this agreement. (2) The following documents will be maintained in Contractor's files: (a) Each completed Weatherization Service Agreement (CSOEO Form #37P) . (b) Project Retro-Tech Job Books and the Building Check and Job Order Sheets, as applicable, for each dwelling weatherized. (c) Agency (yellow) copies of the Client Intake Forms (CSOEO Form #29P) Q. Project Advisory Committee (PAC) - Contractor shall establish a Pro- ject Advisory Committee (PAC) if one does not already exist, The PAC's functions shall be as set forth in CSA pamphlet 6143-6 and GSA Instruc- tion 6143-1a (or subsequent issuances) . The PAC shall be broadly representative of organizations, and agencies, particularly local government, utilities, fuel suppliers and- consumer groups that represent the low-income priority groups specified in Attachment E, Priority Populations to be Served. Prior to commencing operations Contractor shall submit to CSOEO the . PAC roster comprising the names and areas of representation,, e.g. low-income; utility company, CETA office, Supervisor/Councilman, etc. W R. Final Audit Report .- The Contractor shall .submit to CSOEO within one (1) year after the termination of this agreement three copies of an audit report (including financial statements and management letters) . Private Contractors shall secure the services of an independent certi- fied public accountant, or independent public accountant, licensed by the State of California, to perform this required audit. Public grantees and their delegate agencies may be surveyed and audited by public auditors such as city, county, or state audit organizations. Public audit agencies do not include organizations whose prime function is to pre-audit vouchers prior to payment. Audits shall be conducted in conformance with the standards set forth in Audit Guides. DOE/IG-0005 and DOE/IG-0005/1. 12. Contract. Modification CSOEO shall have the right to modify this agreement shot-Id any of the following conditions occur: A. Cessation of Funding - Funding for this agreement is contingent upon CSOEO's continued receipt of funds from the U.S. Department .of Energy (DOE). . Modifications shall be necessary if DOE suspends or terminates the master funding grant with CSOEO for purposes of this Agreement. This Agreement shall be modified. accordingly in such event- ' . -9- '" B. Conformity with Federal and State Regulations - In the event that Federal or State regulation changes affect the terms of the agree- ment, this Agreement shall be modified to assure conformity with such Federal and State requirements. C. Right to De-obligate - CSOEO shall have the right to reduce the amount of contractor's funding when, in the opinion of CSOEO expressed in writing to Contractor, (A) Contractor's performance in whole or in part, either has not been substantially carried out or is insufficiently doc- umented, or (B) Contractor has neglected, failed or refused to furnish necessary information or to reasonably cooperate with any inspection or review of its program or records. CSOEO shall conduct a thorough evaluation of the Contractor's performance and shall provide Contractor with written notice at least 10 days prior to reduction of funds. Contractor shall be subject to an evaluation if the Agreement has been . in existence more than three (3) months. D. Contractor Requests Funding Augmentation - Upon receipt of a written request for additional funds accompanied by modified performance goals and budget from Contractor, CSOEO shall -have the option to increase the amount of Contractor's funding via an amendment to the. contract. 13. Failure to Perform, Notice, Right to Correct Performance - CSOEO may term- inate this agreement when it has determined that Contractor has failed to provide any of the services specified or to comply with any of the provi- sions contained in this Agreement. If Contractor fails to perform in whole or in part under this Agreement or fails to make sufficient progress so as • _.--_ to endanger performance, CSOEO shall notify the contractor of such unsatis- factory performance in writing. Contractor has ten (10) working days in which to respond with a plan agree- able to CSOEO for correction of the deficiencies. If Contractor does not respond with an appropriate plan within the appointed time, CSOEO shall serve a termination notice on the Contractor which shall become effective within thirty (30) days after receipt. In the event of such termination, CSOEO shall be liable for payment' only for services rendered up to the effective date of the termination, provided that such services performed are in accordance with theprovisions of this Agreement-. 14. Termination - Either party may terminate this Agreement effective 30 days after written notice to the other party. In such event, Contractor shall be paid for: its actual allowable costs in accordance with terms of this agreement up to the time the termination notice becomes effective. 15. Discriminat_:^ No persons in the United 3tat,�L3 shall, on the gro�!nds of race, color, national origin, sex or on the grounds of any other factor specified in. , any federal law prohibiting discrimination, be excluded from participation in, be denied the benefits of, or be subjected to discrimination under any program, project or activity supported in whole or in part with financial assistance provided by this Agreement. 16. Receipt of Funds As a condition for receipt of CSOEO funds, Contractor assures that it will comply with all applicable regulations, policies, and procedures promulgated by DOE/CSOEO and all other applicable federal, state, and local laws. 17. Assurances These assurances shall govern all activities conducted pursuant to this agreement unless specifically waived and/or modified under this agreement. A. Legal Authority - Contractor certifies that it possess legal authority to apply for the grant, that a resolution, motion, or similar action has been duly adopted or passed as an official act of the Contractor's governing body, authorizing the filing of the Agreement, including all understandings and assurances contained herein, and directing and. authorizing the person certified as the official representative of the Contractor to act in connection with the application and to provide such additio:al information as may be required.'. B. Conflict of Interest - Contractor assures that its employees and the officers of its governing body shall avoid any actual or potential conflicts of interest and that no. officer or employee who exercise§ any functions or responsibilities in connection with this Agreement shall have any personal -financial interest or benefit, directly or indirectly from this Agreement. In addition, Contractor shall es- tablish safeguards to prohibit employees from using their positions -- for a purpose that is, or gives the appearance of being motivated for private.gain for themselves or others, particularly those with whom they have family, business, or other ties. C. Working Conditions - Contractor shall ascertain and assure that safe and healthful working conditions exist at all work sites. D_ Training - Contractor assures that at least the Energy- Coordinator/ Program Manager and Crew Supervisor(s) shall attend either the Stockton or the Los Angeles Weatherization Training Center in addi- tion to all cluster training sessions as scheduled by CSOEO unless specifically exempted by CSOEO. E_ Property - No funds under this agreement may be expended or costs isicurred for the purchase of real property except as in accordance with DOE regulations on the acquisition, ownership, and disposition of personal property as set forth in OEO Instruction 7000-01, a copy of. which can be obtained from CSOEO. 18. The services for ,a house or multifamily dwelling shall consist of: (a) Attic insulation installation only ($700 maximum) , consisting of i (a) insulation to an R19 'minimum, or greater, as the design temper- ature dictates; (b) baffling of eave vents or soffit openings; (c) shieldinglof recessed lights, fans , and junction boxes; (d) in- sulation of attic access doors; (e) shielding of chimneys and flues; (f) protection of knob and tube wiring with flexible insulation; (g) installation of gable vents if the attic is not vented; existing gable vents must be replaced or repositioned if there is evidence of leaking; and (h) installation of vapor barriers in areas with a design temperature of 250F, or less; or (b) Stopping of infiltration only ($300 maximum), consisting of (a) glazing; (b) reglazing; (c) installation of storm windows in areas experiencing 8,000 or more annual heating degree days (AHDD) and storm doors in areas experiencing 9,000 or more AHDD; (d) weatherstripping of doors and win- dows; (e) Caulking; and (f) minor repairs such as repair or replace- ment of door and window frames , thresholds , doors. $100 maximum of the $300 may be used for minor repairs of the building envelope including the roof; or (c) Both insulation and the stopping of infiltration, as defined in (a) and (b) above . Contractor agrees to complete the item not performed by the subcontractor, if needed, if only one step is contracted for. (2) In the event that Contractor obtains CSOEO approval, as outlined above, to utilize for-profit contractors to weatherize mobile homes , the RF'B process shall define the work to be perfcrrred. The work contracted for sl-ail be perform-ed in the folloeving order of priority: (a) Stopping of infiltration, ,,as detailed in 11 .S. (1) (b) above , as applicable . (b) Installation of floor insulation. (c) Installation of roof insulation . (d) Installation of skirting. (e) A complete job consisting of items (a) , (b) , (c) , and (d) ($1 ,000 maximum) . Contractor agrees, to complete any of the items (a) , (b) , (c) and (d) not contracted for, expending no more than the $1,000 maximum including subcontractor's cost. (3) The RFL' shall state that Ther : t rials used shall conform to the standards specified in Attachment C to the original agreement and should be the types of materials recommended in "a guide for home weatherization" by Dr. James E. This Agreement authorized by the Board for execution on September 4, 1979 provides $90,223 to implement an energy conservation assistance program to weatherize the dwellings of the low-income population, with priority to the elderly, handicapped, and Native Americans. The intent is to conserve needed energy and to assist persons least able to afford increasing utilities costs. Five signed copies of the Amendment must be returned to the Community Services Department for transmittal to the California State Office of Economic Opportunity. The Amendment, if approved, would incorporate changes mandated in the Federal Register. ---� Article 8 would change the termination date from August 14, 1980 to December 31 , 1979. Article 11K would allow an_increased expenditure oA 000 per house as opposed to the currently allowed $800 per unit. The effects are, first, an increased amount allowable for project costs, and secondly, a decrease in the overall number of units to be weatherized from 113 to 90. Funds Allocation CSOBO will' contract with each program operator for a maximw aTrount of funds (not to exceed the amount derived through the use of the allocation formula or a minimum base of $40,000) for a twelve-month program. Initially, program operators will have access to the first six rronth's funds. The use of the last six month's funds will depend upon an evaluation by CSOEO of the program operators' achievemP."nt of the first quarter's goals as stated in the contract. The evaluation will be based upon on-site rronitoring by CSOBD and/or DOE representatives and assessment of rmnthly reports submitted by the program operator. Extenuating circumstances will be taken into account. Funds Disbursement After the contract has been approved, the program operators may request a tem-month operating advance. The program operator may request reiTbursements on a monthly basis for actual expenditures. Concurrently, the program operator will submit projected operating expenses for the subsequent two-month period. CONTRA COSTA COUNTY WORK INCENTIVE - CAREER OPPORTUNITY DEVELOPMENT PROGRAM CONTRACT FOR ON-THE-JOB TRAINING THIS CONTRACT is made and entered into this 1st day of NOVEMBER 1977 in MARTINEZ ,County of CONTRA COSTA State of California, by and between the State of California through its Employment Development Depart- ment, hereinafter called the Department, and CONTRA COSTA COUNTY hereinafter called the Contractor. WHEREAS, Part C, of Title IV of the Social Security Act provides for the Work Incentive Program, which has as one of its objectives the moving of Aid to Families with Dependent Children (AFDC) welfare recipients into productive employment through education and on-the-job training; and ' WHEREAS, the Department has available certain funds granted by the United States Department of Labor and appropriated by the California State Legislature for the purpose of this contract; and WHEREAS, the State Personnel Board (hereinafter referred to as the Board) is authorized under Section 5251 of the Unemployment Insurance Code to pay to the Department the amount necessary to provide employers of participants in the Work Incentive Program - Career Opportunity Development Program with up to 100 percent of the wages to be paid said participants; and WHEREAS, the Board has authorized the Department to contract on its behalf with potential employers of participants in the Work Incentive Program - Career Opportunity Development Program for jobs developed by the Board, and has made arrangements to transfer certain funds to the Department in order to reimburse the Contractor for authorized costs incurred under this contract; and WHEREAS, the Department has the right and power to enter into this contract pur- suant to the aforementioned master agreement with the United States Department of Labor and under the provisions of Section 5200 and 5201 of the Unemployment Insurance Code; and WHEREAS, the parties hereto have mutually agreed to participate in a project (hereinafter• rgferred to as the Project) to provide educational services and regular on-the-job training to Work Incentive Program participants; NOW, THEREFORE, in consideration therefor, it is agreed that: 1. The term of this contract shall be from DECEMBER 1, 1977 through SEPTEMBER 30, 1978 , not to exceed one year. 2. The Department shall refer WIN recipients', hereinafter participants, to the Contractor, who will consider them for employment involving a total of 33 Positions funded under this contract. 1 DE 8209 Rev.l (12176) 3. Employment of part0pants shall not conflict with4ky applicable collective bargaining agreement, nor shall implementation of this contract result in either full or partial displacement of the Employer's current full-time employees. If a collective bargaining agreement is applicable,) appropriate union officials shall be informed of the hiring of the participants, and participants shall be informed of the existence of the collective bargaining agreement. 4. a. The Contractor shall provide completed training outlines for each classification, as set forth in Attachment 2, attached hereto and in- corporated herein by reference. These training outlines shall become a part of career plans for each participant, developed by the Contractor consistent with the objectives of the Career Opportunity Development Program established pursuant to Division 4 of the Unemployment Insurance Code (commencing with Section 12000) and Chapter 3.5 of Division 2 of the Unemployment Insurance Code (commencing with Section 5250). b. The Contractor shall place participants in training positions as set forth in Attachment 1, Cost Schedule and Budget, attached hereto and incorporated herein by reference. The Contractor agrees to retain each participant in training no longer than necessary to develop the participant's skills and to place each participant in a regularly budgeted position at a skill level comparable to that attained during the training period (except as provided in Paragraph 4 herein). Partici- pants will be engaged in training and development and will not fill any of the Contractor's regularly budgeted positions during their training period. c. Notwithstanding any other provision in this contract, if the Contractor is a State agency, any hiring of participants shall be in accordance with State civil service procedures. d. It is acknowledged that there are contingencies not within the control of the Contractor which would limit its ability to comply in full with this paragraph 4. Such circumstances include cases where: the partici- pant does not perform satisfactorily on the job; funds to provide for continued employment of the participant are requested by the Contractor from its appropriating authority but are not approved; the Contractor places a freeze on further hiring after the contract is signed; the participant is unable to comply with Civil Service regulations which are required by law a7-id are reasonable and appropriate to tAe job. However, this commitment requires all good-faith efforts to provide such unsubsidized employment for each participant who performs satis- factorily. 5. The Contractor may terminate any participant in the. Project in accordance with its"regular employment practices, but only after notifying the partici- pant of his/her unsatisfactory performance, and providing him/her with an opportunity to improve thereon; provided further, that Contractor may term- inate any participant only after notifying the Department prior to termination or notice of termination, whichever occurs first. 6. The Contractor shall: A. Provide supervision, materials, space, equipment and timely job in- struction necessary for the operation of the Project; B. Provide a training site which complies with all applicable Federal, State, and local health and safety laws; C. Provide such safety instructions and equipment to participants which are necessary to establish reasonable protection against injury and damage i D. Providl worker's compensation coverage to all participants. In no event shall the coverage provided such participants be less than the coverage provided by the Contractor for its regular employees. E. Provide special clothing or equipment to participants where the Contractor normally provides such clothing or equipment to its regular employees. F. Not reduce its level of training or expenditures for training in any way as the result of this contract. -7. The Contractor shall provide the Department and the Board with monthly written reports, on forms supplied by the Department, for the review and evaluation of participant progress and program effectiveness. These reports shall include records of participant performance and attendance. 8. a. The Department or its designee shall have the right to observe and monitor all the conditions and activities involved in the Project under this contract and shall have a right of access to the work site during normal working hours, subject to prior permission of the Contractor. Such permission shall not be withheld unreasonably. b. The Contractor shall permit the Department or its designee and, in addition, the Secretary of Labor or his duly authorized representative and/or the Comptroller General or his duly authorized representative to inspect the books, records, and papers of the Contractor related to the performance of this contract during normal business hours upon re- quest by the Department. The Contractor shall maintain books, records, documents, and other evidence sufficient to reflect properly all costs of whatever nature incurred for the performance of this contract. The Contractor shall preserve and make available said books, records, documents and other evidence until the expiration of three years from the date of final payment under this contract. 9. a. The Contractor shall pay to all participants a wage which shall be at least equal to the higher of the applicable State or Federal minimum wage, or the prevailing wage for the work performed by persons employed in similar occupations. b. Participants shall be employed under the same working conditions and shall be entitled to the same benefits and promotional opportunities aothe s rlemployees of the Contractor insimilarpositions. I 10. The Contractor shall keep confidential any and all information about participantslland their immediate families. Without a participant's prior permission, Contractor shall divulge such information only to persons with responsibilities under this agreement, and then only if necessary for the performance and evaluation of this agreement. There are no oral understandings or agreements not incorporated herein. Alterations, variations, or amendments of the terms of this agreement must be in writing, signed by the parties hereto. 16. This contract may be terminated by• either party upon 30 days notice in writing to the other party. The contract shall be terminated immediately upon written notice to the Contractor if funds are no longer available. 17. In the event of contract termination, the Department shall reimburse the Contractor, for all reimbursable costs which have been incurred up to the date of termination. The Contractor shall submit a final invoice within 60 days following termination. 18. Any and all tools and equipment purchased by the Department for the purpose of this contract, except those items provided to the participants as uniforms, are the property of the United States Department of Labor and the State of California, Employment Development Department. 19. As required by 41 Code of Federal Regulations 29-61 .1(a), no individual retained or hired by the Contractor has performed or will perform "representational activities" before the United States Department of Labor if such individual was formerly employed in the Office of the Assistant Secretary for Employment and Training, the Employment and Trair g Administration, or any subdivision thereof in a position GS 14 or above within two (2) years prior to the performance of such representa- tional activity, defined to include any appearance, conversation, or other direct contact in relation to the contract with any employee of the United States Department of Labor. Upon breach or violation of this condition, the contract is terminable at the option of the United States Department of Labor without liability to the Department. 20. The Contractor shall not encumber or in any way contract on behalf of or in the name of the Department. 21. Any attempt by Contractor to delegate its duties under this agreement shall . be of no force and effect and shall permit the Department immediately to terminate this contract. 22. Notwithstanding any other provision of this contract, if the Contractor is a state agency, since performance of this contract will benefit both state agencies, costs under this contract are not computed in accordance with Section 8760 of the State Administrative Manual. 23. Every reasonable course of action will be taken by Contractor in order to maintain the integrity of this expenditure of public funds and to avoid any favoritism, questionable or improper conduct.. This contract will be adminis- tered in an- impartial manner, free from personal, financial, or political gain. Contractor, its agents and employees shall, in administering the contract, avoid situations which give rise to a suggestion that any decision was influenced by prejudice, bias or personal gain. The Contractor shall provide completed training outlines for each classification, as set forth in Attachment 2, attached hereto and in- corporated herein by reference. These training outlines shall become apart of career plans for .each participant, developed by the Contractor consistent with the objectives of the Career Opportunity Development Program established pursuant to Division 4 of the Unemployment Insurance Code (commencing with Section 12000) and Chapter 3.5 of Division 2 of the Unemployment Insurance Code (commencing with Section 5250). b. The Contractor shall place participants in training positions as set forth in Attachment 1, Cost Schedule and Budget, attached hereto and incorporated herein by reference. The Contractor agrees to retain each participant in training no longer than necessary to develop the participant's skills and to place each participant in a regularly budgeted position at a skill level comparable to that attained during the training period (except as provided in Paragraph 4 herein). Partici- pants will be engaged in training and development and will not fill any of the Contractor's regularly budgeted positions during their training period. c. Notwithstanding any other provision in this contract, if the Contractor is a .State agency, any hiring of participants .shall. be in accordance with State civil service procedures. d. It is acknowledged that there are contingencies not within the control of the Contractor which would limit its ability to comply in full with this paragraph 4. Such circumstances include cases where: the partici- pant does not perform satisfactorily on the job; funds to provide for continued employment of the participant are requested by the'Contractor from its appropriating authority but are not approved; the Contractor- places a freeze on further hiring after the contract is signed; the participant is unable to comply with Civil .Service regulations_which are required by law and are reasonable and appropriate to the job.. However, this commitment requires all good-faithefforts to provide such unsubsidized employment for each participant who performs satis- factorily. , 5. The Contractor, may terminate any participant in the. Project in accordance with its'regslar employment practices, but only after notifying the partici- pant of his/her unsatisfactory performance, and providing him/her with an opportunity to improve thereon; provided further, that Contractor may term- inate any participant only after notifying the Department prior to termination. or notice of -termination, whichever occurs first. 5 6. The Contractor shall: A. Provide supervision, materials, space, equipment and timely job in- struction necessary for the operation of the Project; B. Provide a ;training site which complies with .all applicable Federal, State, and local health and safety laws; . _ C. Provide such safety instructions and equipment to participants which are necessary to establish reasonable protection against injury and damage D. Provide worker's compensation coverage to all participants. In no event shall the coverage provided such participants be_ less than the coverage provided by the Contractor for its regular employees. E. Provide special clothing or equipment to participants where the Contractor normally provides such clothing or equipment to its regular employees. F. Not reduce its level of training or expenditures for training in any way as the result of this contract. �. The Contractor shall provide the Department and the Board with monthly written reports, on forms supplied by the Department, for the review and evaluation of participant progress and program effectiveness. These reports shall include records of participant performance and attendance_ 8. a. The Department or its designee shall have the right to observe and monitor all the conditions and activities involved in the Project under this contract and shall have a right of access to the work site during .normal working hours, subject to prior permission of the Contractor. Such permission shall not be withheld unreasonably. b. The Contractor shall permit the Department or its designee and, in addition, the Secretary of Labor or his duly authorized representative and/or the Comptroller General or his duly authorized representative to inspect the books, records, and papers of the Contractor related to the performance of this contract during normal business hours upon re- quest by the Department. The Contractor shall maintain books, records, documents, and other evidence sufficient to reflect properly all costs of whatever nature incurred for the performance of this contract. The Contractor shall preserve and make available said books, records, documents and other evidence until the expiration of three years from the date of final payment under this contract. 9. a. The Contractor shall pay to. all participants a wage which shall be at least equal to the higher of the applicable State or Federal minimum wage, or the prevailing wage for the work performed by persons employed in similar occupations. b. Participants shall be employed under the same working conditions and shall. be entitled to the same benefits and promotional opportunities as other employees of the Contractor in similar positions. 10. The Contractor shall keep confidential any and all information about participants and their immediate families. Employment of participants shall not conflict with any applicable collective bargaining agreement, nor shall operation of the Project result in either full or partial displacement of the Employer' s current full-time employees. If a collective bargain- ing agreement is applicable, appropriate union officials shall be informed of the hiring of the participants, and participants shall be informed of the existence of the collective bargaining agreement. 3. The Employer shall provide such supervision, safety instructions, materials, space, equipment and timely job instruction as are necessary for the operation of the Project. Where special cloth- ing or equipment is provided to the Employer' s regular employees, the Employer shall provide the same type of clothing or equipment to the participants. The Employer and its agents and employees (including participants) shall, act in an independent capacity in the performance of this contrct and not as officers or employees or agents of the Department and/or the Federal Government. Employer agrees to provide permanent employment in its regular work-force, which shall be financed from funds other than funds from the WIN Program, to all participants who perform satisfac- torily in their respective work assignments after the subsidized period specified in Attachment 1. This unsubsidized employment shall be at a level of responsibility and pay comparable to that which was provided each respective participant during the period of subsidized employment under the program. It is acknowledged that there are contingencies not within the control of the Employer which would limit its ability to comply in full with this paragraph 17. Such circumstances include cases where: the participant does not perform satisfactorily on the job; .funds to provide for continued employment of the participant are rbquested by the Employer from its appropriating authority but are not approved; the Employer places a freeze on further hiring after the contract is signed; the participant is unable to comply with ,Civil Service regulations which are required by law and are reasonable and appropriate to the job. The parties hereby agree that : 1 . The term of this contract shall. be from MARCH 23, 1977 through DECEMBER 30, 1977 , not to exceed one year. 2. The Department shall refer individuals who are registrants under the Work Incentive Program (Title IV-C , Social Security Act) , hereinafter WIN, to the Employer, who will consider them for public service employment. Employer shall employ 4 such individuals as employees , hereinafter "participants" , referred to it by the Department . Employment of participants shall not conflict with any applicable collective bargaining agreement , nor shall operation of the Project result in either full or partial displacement of the Employer' s current full-time employees. If a collective bargain- ing agreement is applicable , appropriate union officials shall be informed of the hiring of the participants , and participants shall be informed of the existence of the collective bargaining agreemint. 3. The Employer shall provide such supervision , safety instructions , materials , space , equipment and timely job instruction as are necessary for the operation of the Project . Where special cloth- ing oriequipment is provided to the Employer' s regular employees , the Employer shall provide the same type of clothing or equipment to thelparticipants. The Employer' s facilities and equipment used under this agreement shall comply with all applicable Federal , State , and local health and safety laws. The Employer shall provide the Department with monthly written reports , on forms supplied by the Department , for the review and evaluation of participant progress and program effectiveness. These reports shall include records of participant performance and attendance . 5. All jobs developed under this contract shall be for the work- week, the hours , the fringe benefits , and the wages prevailing for similar occupations by the same employer. The Employer shall pay to all participants a wage which shall at least be equal to the higher of the applicable State or Federal minimum wage , or the prevailing wage for the work performed by persons in similar public occupations by the same employer. 6. The Employer shall provide workers ' compensation coverage to all participants. In no case shall the workers ' compensation cover- age provided such participants be less than the coverage provided by the Employer for its regular employees. 7. The Department or its designee and , in addition , the Secretary of Labor or his duly authorized representative have the right to observe and to monitor all the conditions and activities involved in the Project under this contract with prior permission of the Employer. Such permission shall not be withheld unreasonably. Employer shall' maintain such program and fiscal records and make such program and fiscal reports as are reasonably required by the Department and shall maintain such records and reports for three years from the termination of this agreement . 8. Insofar as ,funds are available to the Department under Section 431 (a) of the Social Security Act , the Department shall reimburse the Employer a total cost which shall not exceed $ 20,205.56 in Fiscal Year 76/77 and not to exceed $ 32o5,12 in Fiscal Year 77/78 , the sum of which is the total amount of this contract contained in the Cost Schedule and Budget Summary , attached' hereto and incorporated herein as Attachment 1 . This total shall be an amount not to exceed 100% of the Employer' s costs, including the cost of coverage for fringe benefits , of employing participants , as specified in Attachment 1 ; provided, however, that overtime shall be paid by the Employer and shall not be a cost reimbursable under this contract . The cost of coverage for fringe benefits shall be based upon and is limited to the premium cost incurred by the Employer or, where the Employer is self-insured, the avera e` benefit cost per employee (including non-participant employees' of the Employer. In no event shall Employer incur costs' reimbursable under this contract in excess of the total amount for each fiscal year as specified in this paragraph 8 , nor shall the Employer be reimbursed for its costs , including the cost of coverage for fringe benefits , for any individual participant in excess of $12 ,000 per annum from funds made available under this contract . 9 . The Employer and its agents and employees (including participants) shall act in an independent capacity in the performance of this contract and not as officers or employees or agents of the Department and/or the Federal Government. Employer agrees to provide permanent employment in its regular work-force , which shall be financed from funds other than funds from the WIN Program ,. to all participants who perform satisfac- torily in their respective work assignments after the subsidized period specified in Attachment 1 . This unsubsidized employment shall be at a level of responsibility and pay. comparable to that which was provided each respective participant during the period of subsidized employment under the program. It is acknowledged that there are contingencies not within the control of the Employer which would limit its ability to comply in full with this paragraph 17. Such circumstances include cases where : the participant does not perform satisfactorily on the job ; funds to provide for continued employment of the participant are requested by the Employer from its appropriating authority but are not approved; the Employer places a freeze on further hiring after the contract is signed; the participant is unable to comply with Civil Service regulations which are required by law and are reasonable and appropriate to the job . However, this commitment requires all good-faith efforts to provide such unsubsidized employment for each participant who performs satis- factorily. 18. As required by 41 Code of Federal Regulations 29-61 .1 (a) , no individual retained or hired by the Employer has performed or will perform "representational activities" before the United States Department of Labor if such individual was formerly employed in the Office of the Assistant Secretary for Manpower, the Manpower Administration , or any subdivision thereof in a position GS 14 or above within two (2) years prior to the per- formance of such representational activity, defined to include any appearance , conversation, or other direct contact in relation to the contract with any employee of the United States Department . of Labor.
