7711 B) as a County road, from Contra Costa Water District, Work Order No. 4054, as recommended by the
Public Works Director, Byron area. (District III)
FISCAL IMPACT:
None
BACKGROUND/REASON(S) FOR RECOMMENDATION(S):
The construction of Contra Costa Water District's (District) Los Vaqueros Project required the relocation of
Vasco Road. On November 19, 1996, the Board adopted Resolution 96/523 which declared Vasco Road (11.10
miles) as a County Road. The District had not completed its condemnation proceedings for 4.73 miles of Vasco
Road at the time of the Board action. The District has completed its acquisitions of Vasco Road and Grant
Deeds the remaining portions of Vasco Road (4.73 miles) to the County.
CONSEQUENCES OF NEGATIVE ACTION:
Vasco Road will not be included in part of the County Maintained Roadway System.

t A RESOLUTION OF THE BOARD OF DIRECTORS OF CONTRA COSTA
WATER DISTRICT AUTHORIZING EXECUTION OF AMENDMENT NO.2 TO THE
COOPERATIVE AGREEMENT WITH THE COUNTY OF CONTRA COSTA, AND
EXECUTION OF DOCUMENTS FOR TRANSFER, QUITCLAIM, ASSIGNMENT, AND
RELATED MATTERS REQUIRED FOR TRANSFER OF THE RELOCATED VASCO ROAD
TO THE COUNTY FOR THE LOS VAQUEROS PROTECT
WHEREAS,the District and Contra Costa County entered into a Cooperative Agreement, as
amended, which provided for the relocation of Vasco Road prior to the construction of Los Vaqueros
-Dam and Reservoir,and which included terms and conditions regarding the acceptance of the relocated
Vasco Road into the County-maintained road system, transfer of title to relocated Vasco Road to the
County, and acceptance by the District of the County's interest in old Vasco road; and
WHEREAS, a second amendment to the Cooperative Agreement is required to specify the
remaining details of the transactions between the District and the County,and to provide a basis for
resolution of matters upon which the parties have not yet reached agreement,
NOW,THEREFORE, BE IT RESOLVED by the Board of Directors of Contra Costa Water
District that the President of the District's Board of Directors is hereby authorized to execute the Second
Amendment to the Cooperative Agreement with Contra Costa County, in a form approved by the
General Counsel. Prior to said execution of the Second Amendment to the Cooperative Agreement, the
General Manager is directed to notify the Board by letter or subsequent agenda item if there are any
revisions that materially change the provisions of the form of the amendment presented to the Board of
Directors on November 6, 1996.
BE IT FURTHER RESOLVED that the District's General Manager is hereby authorized and
directed to execute the grant deed from the District to the County of the right-of-way for the relocated
Vasco Road, the assignment of the District's right to possess and use properties in the relocated Vasco
Road right-of-way which are still in litigation, the certificate of the District's acceptance of the County's
quitclaim old Vasco Road, documents required for the District's acceptance of easements from the
County related to six undercrossing structures, and all other documents,all of which shall be in a form
approved by the General Counsel, required for the completion of the transfer of relocated Vasco Road to
Contra Costa County and related matters.
The foregoing resolution was duly and regularly adopted at a meeting held on the 6'day of
November, 1996 by the Board of Directors of Contra Costa Water District by the following vote of the
Board:

EASEMENT RESERVATION
(To Parcel One, Exhibit T-1)
For Value Received, receipt of which is hereby acknowledged, CONTRA COSTA WATER DISTRICT, a public
entity, hereinafter referred to as "GRANTOR" hereby reserves from the GRANT to. CONTRA COSTA
COUNTY, hereinafter referred to as "GRANTEE", an EASEMENT for the right to construct, maintain and
repair all existing and future water pipelines and appurtenances as GRANTEE deems necessary in, under,
upon, over, along, and across that real property situated in the County of Contra Costa, State of
California, described .
The pipeline easement reserved herein includes incidental rights of maintenance, repair and replacement
of said pipelines, and appurtenances together with the free right of ingress over and across the
remaining portion of the GRANTEE's property, insofar as such right of ingress and egress is necessary to
the proper use of the rights granted herein, subject to the obligation of the GRANTOR to (1) contact
Underground Service Alert (USA) at 1-800-642-2444 prior to any maintenance, repair and replacement
activities on the properties to have underground utilities located and marked, and (2) repair and restore
the property to its pre-existing condition (including the restoration or replacement of any survey
monuments and markers disturbed by any such activities) following such entry.
Construction, reconstruction, major repair of the utilities and appurtenances, or the installation of.
structures, signs, etc. within the EASEMENT shall require GRANTEE review and approval. The costs of
such review, engineering and inspection of future construction, reconstruction, or major repair shall be
the responsibility of GRANTOR or its successors in the Los Vaqueros Reservoir project. GRANTEE shall
not unreasonably withhold its approval of such construction, reconstruction, major repair, or installations,
provided that it shall not be deemed unreasonable for GRANTEE to decline to approve any such activities
that would (1) have a detrimental effect on the remaining portion of the GRANTEE's property, GRANTEE's
facilities or the maintenance of either, or (2) encroach onto the remaining portion of the GRANTEE 's
property, except where at-grade vehicular crossings are or have been authorized unless GRANTEE
determines that there will be no detrimental effect on the remaining portion of the GRANTEE's property,
GRANTEE's facilities or the maintenance of either.
The provisions hereof shall inure to the benefit of and bind the successors and assigns of the respective
parties hereto, and all covenants shall apply to and run with the land.
