(W-Trans), to extend the term from February 28, 2008 to completion of Delta DeAnza Trail Gap Closure Project to update Appendix B Wage Rates, and to update Appendix C Project Personnel. FiSCAL IMPACT: The payment limit ofS 150,000 is not being modified as part of this amendment. This amendment will extend the agreement for the sole purpose of completing a project. The finding source is Federal Transportation Enhancement and local gas tax funds. Project No.: 0662-6U4001 DATE: February 26, 2008 PAGE: 2 of 2 REASONS FOR RECOMMENDATIONS AND BACKGROUND: In 2005,the County successfully negotiated with W-Trans to provide on-call traffic engineering consultant services. W-Trans was contracted to review, analyze, and resolve traffic related issues throughout the County. Since the original contract was executed,W-Trans provided on-call traffic engineering services on multiple projects. While most of these projects have been completed, the Delta.DeAnza Trail Gap Closure Project is an on-going project that requires W-Trans' engineering services beyond the Agreement's February 28,2008 expiration. In order to allow this project to continue without disruption,the contract is being extended solely for the completion of the Delta DeAnza Trail Gap Closure Project. W-Trans needs to complete the project plans and specifications for this project and remain available to answer bidder questions and assist as required during project construction. No increase in the contract amount is being sought. This amendment is also needed to update Appendix B Wage Rates to current 2008 rates and to update Appendix C Project Personnel to reflect changes in staff. CONSEQUENCES OF NEGATIVE ACTION: If the contract amendment is not approved with W-Trans,.the Delta DeAnza Trail Gap Closure Project will experiences delays and added costs as County solicits for new professional services which will duplicate previous work. Parties: Effective February 26, 2008, the County of Contra Costa, a political subdivision of the State of California, hereinafter referred to as"Public Agency,"and Whitlock&Weinberger Transportation, Inc. (W-Trans), hereinafter referred to as "Consultant," mutually agree and promise as follows: A. To extend the completion date.to upon acceptance of completed Delta DeAnza Trail Gap Closure Project construction contract by the Contra Costa Board of Supervisors. B. To update Appendix B (wage rate) to reflect most current consultant hourly rates. C. To update Appendix C (project personnel) to reflect most current project personnel. 2. Purpose: A. The parties desire to amend the agreement they entered into effective March 1, 2005, entitled "Consulting Services Agreement," hereinafter referred to as the "Agreement." The Agreement is to provide on-call traffic engineering consulting services for various County projects. Since the original contract was executed, W-Trans provided on-call traffic engineering services on multiple projects. Amendments to Agreement: A. Amend Section 1(f): Upon acceptance of completed Delta DeAnza Trail Gap Closure Project construction contract by the Contra Costa Board of Supervisors. ' B. Amend Appendix B: 2008 Staff Billing Rates (attached). C. Amend Section 8: Consultant may adjust, on an annual basis on January 1, its staff rates for staff assigned to perform work under this agreement to reflect adjustments to individual compensation. Such changes shall be equal to consultant's actual changes in hourly rates. Consultant shall provide Public Agency with at least thirty (30) days advance written notice of the changes. All rate changes shall be subject to approval of the Public Agency, and in no case shall the average of all adjustments in a given year exceed five (5) percent, or an individual adjustment exceeds eight (8) percent. D. Amend Appendix C: Project Personnel (attached). 4. Remaining Provisions: Except for the changes made by this Amendment, all provisions of the Agreement shall remain in full force and effect. 5.
