I. RECOMMENDED ACTION:
APPROVE and AUTHORIZE the Director of Airports, or, designee, to EXECUTE, on behalf of the
County, a twelfth lease amendment between the County, as lessor, and F.M. Aviation, Inc., dba Sterling
Aviation, as tenant.
II. FINANCIAL IMPACT:
There is no negative impact on the General Fund. The Airport Enterprise Fund will receive lease and other
revenues and the County General Fund will receive property,sales and possessory interest tax revenues from
this development. The Airport Enterprise Fund will receive a minimum of$2,800 more per month in
Ground Rent due to this amendment.

F.M. AVIATION. INC.. PACHECO AREA

III. REASONS FOR RECOMMENDATION/BACKGROUND:
This lease dates back to December 19, 1961.to provide a full-service fixed base operation on approximately
3.4 acres at Buchanan Field Airport. In the intervening years this lease has been amended eleven times and
assigned seven times. The most recent assignment was on November 1, 2002, to F.M. Aviation, Inc., dba
Sterling Aviation.
Sterling Aviation's lease expires in 2011 and they approached Airport staff to begin the lease extension
process and to discuss a complete redevelopment of the existing site, including about 2 additional acres to
the immediate north. Both parcels are proximate to the Buchanan Field runways,adjacent to other aviation
uses and desianated for aviation uses on the Buchanan Field Master Plan. The parcel is under the
jurisdiction of the Buchanan Field Airport and entirely within the unincorporated County.
In August 2006.the Airports Division received a letter of interest to redevelop the approximate 3.4 acres of
the existing leasehold interest plus develop an additional 2 acres to the immediate north of the leased site to
expand the aviation and aviation-related services offered by Sterling Aviation.
In accordance with prior discussions with the Federal Aviation Administration's (FAA) Airports District
Office (ADO)regarding development at Buchanan Field Airport,the County notified existing commercial
tenants at Buchanan Field and Byron Airport to solicit other competitive interest in the additional 2 acres of
property. The development competitive solicitation process provided a response deadline of August 28,
2006, for all competitive interests in the sites to be submitted to the County Airport Office. The County
received no additional letters of interest in developing the subject properties.
On September 19,2006,the Board authorized Airport staff to negotiate ground lease teens and development
of the 5.4 Acres of County-owned land at the Buchanan Field Airport. The lease and environmental process
have subsequently been delayed pending the completion of the master plan process.
About half of the added property (161 John Glenn Drive) includes a 5,000 square foot office building,
parking lot and landscaped area. This area has been used since the 1960's for aviation and aviation-related
purposes, most recently for rental car services until the lease terminated on August 31, 2007.
This lease amendment will allow Sterling Aviation to expand in the interim by using the existing building to
provide a continuation of general aviation and aviation-related services.All services provided are consistent
with the Airport Master Plan for Buchanan Field Airport.
IV. CONSEQUENCES OF NEGATIVE ACTION:
Delay in approving the lease amendment will negatively impact general aviation aircraft facilities,services,
the Airport Enterprise Fund and County General Fund.

TWELFTH AMENDMENT TO
LEASE BETWEEN CONTRA COSTA COUNTY
AND
FM AVIATION, INC. dba STERLING AVIATION
(Fixed Base Operation - Buchanan Field)
This Twelfth Amendment to Lease (this "Twelfth Amendment"), by and
between the COUNTY OF CONTRA COSTA, a political subdivision, of the State of
California ("Lessor"), and FM AVIATION, INC., a California corporation ("Lessee") is
entered into as of February , 2008 (the "Effective Date").
WHEREAS, on December 19, 1961, Lessor, as lessor and Patterson Aircraft Co.,
a California corporation ("Patterson"), as tenant, entered into a lease for that portion of
Buchanan Field Airport commonly known as 145 John Glenn Drive and as more
specifically described therein for the purpose of Patterson's development and operation
of a full-service fixed base operation (as amended and'assigned, the "Lease"), and
WHEREAS, Lessor and Patterson amended the Lease on November 1, 1962
and March 31, 1964, and Patterson assigned the Lease to Fred M. Gore and William
Gore (the "Gores"), pursuant to an Assignment of Lease dated September 4, 1964,
and
WHEREAS, Lessor and the Gores amended the Lease on November 24, 1964
and November 2, 1965, and the Gores assigned the Lease to Navajo Aviation, Inc.
("Navajo"), pursuant to an Assignment dated November 16, 1971, and
WHEREAS, Lessor and Navajo amended the Lease on February 11, 1975, and
Navajo assigned the Lease to Ron E. Sorensen and Charlene A. Sorensen (the
"Sorensens"), pursuant to an Assignment dated June 22, 1981, and
WHEREAS, Lessor and the Sorensens amended the Lease on October 13,
1981, March 23, 1982, July 1, 1983, July 23, 1985, November 27, 1990, and May 9,
1995, and the Sorensens assigned the Lease to Robert W. West, Jr. and Pamela L.
West (the "Wests"), pursuant to an Assignment dated April 1, 1997, and
WHEREAS, the Lease was assigned by the Wests to Lessee, pursuant to an
Assignment of Lease dated October 29, 2002 and effective November 1, 2002, and
WHEREAS, Lessor and Lessee now desire to amend the Lease to add additional
leased premises and modify the rent provisions therein.
NOW, THEREFORE, for good and valuable consideration the receipt of which is
acknowledged, Lessor and Lessee hereby agree to amend the Lease as follows:
A. AMENDMENTS.
1. Section First: Term. Section First (Term) of the Lease is hereby amended
by adding the following language immediately following the last paragraph
thereof:
"Lessor hereby leases to Lessee those certain 32,800 square feet of land
commonly known as 161 John Glenn Drive, Concord, California and more
particularly described on Exhibit A and shown on Exhibit A-1 hereto (the
"161 John Glenn Drive Parcel"), each of which is attached hereto and
made a part of this Twelfth Amendment. The 161 John Glenn Drive Parcel
is immediately north of the existing Lease premises and includes a
building owned by Lessor that is approximately five-thousand (5,000)

square feet in size, a parking lot area and surrounding land. Lessee will
use the 161 John Glenn Drive Parcel for the purposes of a fixed base
operation and as required by the terms of the Lease. The term of the
lease of the 161 John Glenn Drive Parcel will terminate on the expiration
date set forth in the first paragraph of this Section First (Term)."
2. Section Fourth: Rental. Section Fourth (Rental) is hereby amended by
adding the following language immediately following the last paragraph
thereof:
"The base ground rent for the 161 John Glenn Drive Parcel is as follows
(the "161 John Glenn Drive Ground Rent"):

The 161 John Glenn Drive Ground Rent will be paid each and every
month in the time and manner set forth in subsection (k) of this Section
Fourth (Rental), as amended by the 9th Amendment to Lease dated July
23, 1985.
Notwithstanding the percentage rent provisions for rental car concessions
set forth in Section C of the 11th Amendment to'Lease dated May 9, 1995,
between Lessor and Lessee's predecessor the Sorensens, commencing
on the Effective Date,. Lessee will pay' Lessor two percent (2%) of the
gross time and mileage charges from any rental car concession located on

the 161 ,John Glenn Drive Parcel (the "161 Car Rental Percentage
Rent"). Lessee will remit the 161 Car Rental Percentage Rent to Lessor
at the same time it pays the 161 John Glenn Drive Ground Rent."
B. MISCELLANEOUS. This-Twelfth Amendment is hereby made a part of the Lease
and this Twelfth Amendment constitutes the entire agreement between the parties
hereto relating to the subject matter of this Twelfth Amendment. Except for the
amendments agreed to herein, the lease of December 19, 1961, as amended,
remains in full force and effect.
C. SIGNATURES.

effective as of the date first set forth above.
