RECOMMENDATION
APPROVE and AUTHORIZE the Chair, Board of Supervisors, or designee, to execute a contract with the City
of Brentwood, to provide radio communication services utilizing technicians who are experienced in radio
communications services, for the period of December 1, 2008 through November 30, 2013.
FINANCIAL IMPACT
Additional revenue in an amount not to exceed $66,450 for DoIT's Telecommunication division.
BACKGROUND
DoIT's Telecommunications division will provide to the City of Brentwood professional services of technicians
who are experienced in radio communications services.

AGREEMENT FOR RADIO COMMUNICATION SERVICES
(Contra.Costa County)
THIS AGREEMENT is made and entered into as of the_day of 12008, by
and between the City of Brentwood, a municipal corporation of the State of California ("City") and
Contra Costa County,.a subdivision of the State of California ("County")(each a "Party" collectively,
the"Parties").
RECITALS
City requires the professional services of technicians who are , experienced in radio
communication services. County's Department of Information Technology (the "Department") has the
necessary experience in providing these professional services and has affirmed its willingness and
ability to perform such work.
NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained.
herein, the Parties agree as follows:
1. Scope of Work. City retains County to perform, and County agrees to provide radio
communication services (the "Services") that .are described in the attached Exhibit "A" utilizing
technicians from the Department of Information Technology in accordance with the terms and
conditions set forth in this Agreement.
2. Term. Unless earlier terminated, the term of this Agreement will be effective.for a period of
three (3) years from.the date first above written. The City Manager and County Administrative Officer
may amend the Agreement to extend it for two (2) additional one (1) year periods or parts thereof in
an amount not to exceed 'eight thousand two hundred and twenty five dollars ($8,225.00) per
Agreement year. Extensions will be based upon a satisfactory review of,County's performance,.City.
needs, and appropriation of funds by the City Council. The parties will prepare a written amendment
indicating the effective date and length.of the extended Agreement.
3. Compensation. The total fee payable for the Services-to be performed will not exceed fifty
thousand dollars ($50,000) as further described in Exhibit"A".
4. Status of County. County will perform the Services as an independent contractor and in
pursuit of County's independent calling, and not as an employee of City. County will be under the
control of City only as to the results to be accomplished.
5. Indemnification. County shall;defend, indemnify, and hold City, its officers, employees, and
agents harmless from and against any,and all liability, loss, expense (including reasonable attorneys'
fees), or claims for injury or damages arising out of the performance of this Agreement but only in
proportion to and to the extent such liability, loss, expense, attorneys' fees, or claims for injury or
damages are caused by or result from the.negligent or intentional acts or omissions of'County, its
officers, employees, or agents.
City shall defend, indemnify, and hold County, its officers, employees, and agents harmless
from and against any and all liability, loss, expense (including reasonable attorneys' fees), or claims
for injury or damages arising out of the performance of this Agreement but only in proportion to and to
the extent such liability, loss, expense, attorneys' fees, or claims for injury or damages are caused,by
or result from the negligent or intentional acts or omissions of City, its officers, employees, or agents.
6. Insurance. Each Party shall, at its own expense, procure and maintain in full force at all
times during the term of this Agreement the following insurance:
A. Commercial General Liability Coverage. With limits of no less than Two Million
Dollars ($2,000,000)aggregate limit for bodily injury, personal injury, and property damage.

B. Automobile Liability Coverage. Covering.all vehicles used in the performance of this
Agreement providing a--One Million Dollar ($1,000;000) combined single limit per occurrence for
bodily injury, personal injury, and property damage.
C. Compliance with State Workers'Compensation Requirements. Each Party will insure
itself against liability for Workers' Compensation pursuant to the provisions;of California Labor Code
§3700, et seq. and shall, at all times, upon demand of the other Party's authorized representative or
his/her designee, furnish proof that Workers' Compensation Insurance is being. maintained by it in-
force and effect in accordance with the California Labor Code.
D. Other Insurance Provisions. The insurance of.one Party will be in force during the life
of this Agreement and will not be canceled without thirty (30) days prior written notice to the other.
Party by certified mail. City or County (as applicable), its officers, agents and employees will be
named as additional insureds on commercial general and automobile liability insurance on the other.
Party's policy.
E. Self Insurance. The Parties may each satisfy its insurance obligations,stated above
by providing satisfactory evidence that it isself-insured and has sufficient financial resources to meet
the insurance obligations stated herein.
7. Compliance With Laws. The Parties will comply with all applicable local, state and federal
laws and regulations including but not limited to those prohibiting discrimination and harassment, and
those related to the payment of prevailing wage.
8. Termination. City or County may terminate this Agreement at any time after a discussion,
and written notice to the other party. City will pay County's costs for Services completed up to the
time of termination,.if the Services have been completed in accordance with the Agreement.
9. Choice of Law. This Agreement shall be governed by the laws of the State of California.
10. Assignment. County may not assign this Agreement or any part of it, or any monies due or to
become due under it, without the prior written consent of City.
11. Amendments. This Agreement may be amended by mutual consent of City and County. The
County Administrative Officer and the City Manager are authorized to make'-changes to this
agreement to increase the scope of work so long as such changes remain_within the not to exceed
amount of this agreement. Extra work performed by the county will be at the hourly rates described in
Exhibit"A". Any amendment will be in.writing, signed by both Parties. .

12. Authority. The individuals executing this Agreement and the instruments referenced in it on
behalf of the Parties each represent and warrant that they have the legal power, right and actual
authority to bind their respective Party to the terms and conditions of this'Agreement.

1) Relocate the two existing BPD radios from the PD to the tower.
2) Installation of a new Motorola MTR2000 radio to be used in conjunction with one of the existing
BPD radios for in-band repeat with APD1.
3) Installation of a transmit combiner and a receiver multicoupler so that all radios can utilize
common transmit and receive antennas.
4) Installation of a 24 volt do power system for the MTR2000 radios.
