REASONS FOR RECOMMENDATIONS AND BACKGROUND: The project consists ol' the sale of approximately 3,940 square feet of District-owned property to the Pinole Redevelopment Agency. T11e property is located north of Pinole Creek and east of Henry Avenue. The District no longer needs this property and wishes to sell it as surplus property to the Pinole Redevelopment Agency. CONSEQUENCES OF NEGATIVE ACTION: The District Would own and be liable for maintenance of the property. GRANT DEED For valuable consideration, receipt of which is hereby acknowledged, The CONTRA COSTA FLOOD CONTROL AND WATER CONSERVATION DISTRICT, a political subdivision of the State of California, herein called "Grantor", hereby grants to the REDEVELOPMENT AGENCY OF THE CITY OF PINOLE, a public body, corporate and politic, hereirt called "Grantee", the real property located in the City of Pinole, County of Contra Costa, California, hereinafter referred to as the "Property", described in Exhibit A and incorporated herein by this reference. 1. Grantee covenants by and for itself, and any successors in interest, that there shall be no discrimination against or segregation of, any person, or group of persons on account of any basis listed in subdivision (a) or (d) of Section 12955 of the Government Code, as those bases are defined in Sections 12926, 1292.6.1, subdivision(m)and paragraph (1)of subdivision(p)of Section 12955,and Section 12955.2 of the Government Code, in the sale, lease, sublease, transfer, use, occupancy, tenure, or enjoyment of the Property, nor shall Grantee itself or any person claiming under or through it establish or permit any practice or practices of discrimination or segregation with reference to the selection, location, number, use or occupancy of tenants, lessees, subtenants, sublessees, or vendees of the Property. The foregoing covenants shall run with the land. 2. Subdivision (d) of Section 51 and Section 1360 of the Civil Code and subdivisions (n), (o), and (p) of Section 12955 of the Government Code shall apply to this Section 2. 3. No violation or breach of the covenants, conditions, restrictions, provisions or limitations contained in this Grant Deed shall defeat or render invalid or in any way impair the lien or charge of any mortgage, deed of trust or other financing or security instrument; provided, however, that any successor of Grantee to the Property shall be bound by such remaining covenants, conditions, restrictions,limitations and provisions, whether such successor's title was acquired by foreclosure, deed in lieu of foreclosure, trustee's sale or otherwise. 4. WHEREAS, the District is the owner of that certain real property in Contra Costa County, California, located in the City of Pinole, and more particularly described in Exhibit A attached hereto and incorporated herein by this reference (the "Land"); and. WHEREAS, in accordance with the terms and conditions contained herein, the Agency desires to purchase, and the District desires to sell, the Land together with all improvements located thereon and all easements, hereditaments, and appurtenances belonging to or inuring to the benefit of the District and pertaining to the Land, (all of the foregoing collectively hereinafter, the "Property"); and WHEREAS,the Agency is a Redevelopment Agency formed, existing and exercising its powers pursuant to the provisions of the California Community Redevelopment Law, Health and Safety Code Section 33000 et. seq. ("Community Redevelopment Law"), and pursuant to the authority granted there under, the Agency has the responsibility to carry out the Redevelopment Plan for the Pinole Vista Redevelopment Project ("Redevelopment Plan"); and . WHEREAS, the Property is located in an area governed by the Redevelopment Plan, and the Agency's purchase of the Property as provided for in this Agreement is consistent with and furthers the goals and objectives of the Redevelopment Plan; and WHEREAS, the District desires to sell the Property to fund flood control maintenance of Pinole Creek; and WHEREAS, on November 16, 2004, the governing body of the Agency (the "Redevelopment Agency Board") authorized the Executive Director of the Agency to enter into a Purchase and Sale Agreement to acquire the Property for the purpose of additional parking for the Gateway Plaza-West Project; and 801843_4 1 WHEREAS, after the execution of this Agreement, this Agreement is subject to approval by the Board of Supervisors of the District; NOW, THEREFORE, for good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows: 1. Agreement to Sell and Purchase. The District agrees to sell and the Agency agrees to purchase the Property subject to the terms and conditions of this Agreement. 2. Purchase Price. The purchase price for the Property shall be Fifty Five Thousand One Hundred Sixty Dollars and 00/100 cents ($55,160.00) (the "Purchase Price"). 3. Conveyance of Title. At the close of escrow, the District shall convey by grant deed to the Agency marketable fee simple title to the Property subject to all existing easements, covenants, conditions, restrictions, reservations, and all other encumbrances, whether the same be recorded or unrecorded. 4. Escrow, Escrow Instructions. Prior to the Effective Date, the Parties shall open an escrow to consummate the purchase and sale of the Property pursuant to this Agreement at the office of Land America Commonwealth Title Company, Commercial Services located at One Market Street, Spear Tower, Suite #1850, San Francisco, California (the "Title Company or the "Escrow Agent") or other such person as may be mutually agreed upon by the Parties. The Parties shall deposit with the Escrow Agent an executed copy of this Agreement, which shall serve as the joint escrow instructions of the Agency and the District for this transaction, together with such additional instructions as may be jointly executed by the Parties and delivered to the Escrow Agent. 5. Closing Funds and Documents. (a) Agency. The Agency acknowledges and understands that the District requires the Agency to deposit the Purchase Price into escrow before it can consider this Agreement for approval. The Agency shall deposit with the Escrow Agent the Purchase Price, including any costs associated with this Agreement, prior to the approval of this Agreement by the District. In the event of termination of this Agreement, all monies deposited by the Agency shall be refunded to the Agency. (b) District. No'later than five (5) business days after the District approves this Agreement, the District shall execute and deliver a Grant Deed, substantially in the form attached hereto as Exhibit B and incorporated herein by this reference (the "Grant Deed"), to the Escrow Agent conveying to the Agency fee simple title to the Property, subject only to exceptions approved pursuant to this Agreement. 6. Close of Escrow. The Agency acknowledges and understands that this Agreement is subject to approval by the District and that escrow shall not close unless and until the District approves of this Agreement. Unless this Agreement is terminated 801843_4 2 pursuant to the terms hereof or extended by mutual written consent of the Parties, escrow shall close no later than thirty (30) business days after the District approves of this Agreement. The Escrow Agent shall close escrow by: (i) delivering to the District the monies constituting the Purchase Price of the Property and any costs associated with this Agreement; (ii) causing the Grant Deed to be recorded in the official records of Contra Costa County, California; and (iii) delivering to the Agency the original Grant Deed, together with a conformed copy thereof indicated recording information thereon. The District shall retain possession of the Property until the Escrow Agent records the Grant Deed. If the Agency does not close escrow within ninety (90) days from the Board Approval Date (Effective Date), this Agreement shall be terminated and all monies deposited by the Agency shall be refunded to the Agency. 7. Closing Costs. The Agency agrees to pay all costs of escrow, title insurance, and recording fees, if applicable. 8. District's Conditions to Closing. The close of escrow and the District's obligation to sell the Property are conditioned upon: (i) the performance by the Agency of each obligation to be performed by the Agency under this Agreement within the applicable time period, or waiver by the District of such obligation; and (ii) the Agency agreeing to combine the Property with its adjacent property to create one parcel based on the understanding that the Property is not capable of independent use. 9. Agency's Conditions to Closing. The close of escrow and the Agency's obligation to purchase the Property are conditioned upon: (i) the performance by the District of each obligation to be performed by the District under this Agreement within the applicable time period, or waiver by the Agency of such obligation. 10. No Representations or Warranties. The District makes no representation, warranty, claim or guaranty, of any kind, as to the condition and/or possible uses of the land or any improvements thereon, as of the Effective Date. 11. Consolidation of Parcels. The Agency acknowledges and understands that the Property is not capable of independent use and agrees to combine the Property with its adjacent property to create one parcel. The Agency will complete any necessary lot fine adjustments, record any instruments and undertake any other actions to aggregate the Property with the Agency's adjacent property. 12. Termination. Each party reserves the right to terminate this Agreement at any time prior to the recording of the Grant Deed. This Agreement shall be terminated if the District does not approve of this Agreement. 13. Notices. Waivers; Modification. No waiver of any breach of any covenant or provision of this Agreement shall be deemed a waiver of any other covenant or provision hereof, and no waiver shall be valid unless in writing and executed by the waiving party. An extension of time for performance of any obligation or act shall not be deemed an extension of the time for performance of any other obligation or act, and no extension shall be valid unless in writing and executed by the waiving party. This Agreement may be amended or modified only by a written instrument executed by the Parties. 15. Successors. This Agreement shall bind and inure to the benefit of the respective heirs, personal representatives, successors and assignees of the Parties. 16. Construction. The section headings used herein are solely for convenience and shall not be used to interpret this Agreement. The Parties acknowledge that this Agreement is the product of negotiation and compromise on the part of both Parties, and the Parties agree, that since both Parties have participated in the negotiation and drafting of this Agreement, this Agreement shall not be construed as if prepared by one of the Parties, but rather according to its fair meaning as a whole, as if both Parties had prepared it. ` . 17. Action or Approval. Where action and/or approval by the Agency is required under this Agreement,the Agency's Executive Director may act on and/or approve such matter unless the Executive Director determines in his or her discretion that such action or approval requires referral to Agency's Board of Directors for consideration. The time periods afforded the Agency for any event, inspection, feasibility, due diligence, escrow closing or otherwise shall not be extended by any such referral to the Agency's Board of Directors. 18. Entire Agreement. This Agreement, including Exhibits A and B, attached hereto and incorporated herein by this reference, contains the entire agreement between the Parties with respect to the subject matter hereof, and supersedes all prior written or 801843_4 4 oral agreements, understandings, representations or statements between the Parties with respect to the subject matter thereto. 19. Severability. If any term, provision, or condition of this Agreement is held by a court of competent jurisdiction to be invalid or unenforceable, the remainder of this Agreement shall continue in full force and effect unless the rights and obligations of the Parties have been materially altered or abridged thereby. 20. No Third Party Beneficiaries. Nothing in this Agreement is.intended to or shall confer upon any person, other than the Parties and their respective successors and assigns, any rights or-remedies hereunder. 21. Parties not Co-Venturers. Nothing in this Agreement is intended to or shall establish the Parties as partners, co-venturers, or principal and agent with one another. 22. Non-Liability of Officials, Employees and Agents. No member, official, employee or agent of the Agency shall be personally liable to the District or its successors in interest in the event of any default or breach by the Agency or for any amount which may become due to the District or its successors in interest pursuant to this Agreement. 23. Time of the Essence. Time is of the essence for each condition, term, obligation and provision of this Agreement. 24. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of California without regard to principles of conflicts of laws. 25. Time for Performance. When the time for performance of any obligation under this Agreement is to be measured from another event, such time period shall include the day of the other event. If the day of the time.for performance is not a regular business day, then the time for such performance shall be by the regular business day following such day.
