Attested: October 24,2006 John Sweeten,Clerk of the Board Of Supervisors and County Administrator By: t�k� Deputy Clerk Addendum to DA October 24, 2006 (DMC) On this day the Board considered accepting update from the Health Services Director on the West Contra Costa Healthcare District discussions on possible closure of Doctors Medical Center San Pablo/Pinole and deciding actions to be taken. Health Services Director, Dr. WilliamWalker noted without the efforts of the County Doctors Medical Center in San Pablo/Pinole would close in November 2006. He said the process is moving at an extraordinary fast pace that is necessitated by the need for infusion of revenues into Doctors Medical Center by the first week of November to meet payroll. Dr. Walker reminded the Board attorneys are representing four different constituencies trying to draft following documents that would need to be completed by October 26, 2006 1)Memorandum of Understanding (M.O.U.)between the County and the District to perform pending the full development of a joint agreement, 2) Tax exchange agreement that confirms the transfer of the property tax from West County District to the County and allows for the ability to move the money to the state for the federal.match, 3) contract between the state and the County for moving those dollars to the state and the agreement those dollars would come back to the District, and 4) hold a public hearing in the Boardroom on tax exchange agreement to support provision of health care services. Dr. Walker said the Health District voted with majority vote to approve the developments by their staff and the County's staff and noted a public hearing would be held on October 25, 2006 at Doctors Medical Center to allow for public input. Dr. Walker hopes to have all these documents completed by October 31, 2006 and if they are not done to the County's satisfaction for protecting the interest of the County a special Board Meeting would have to be held. Supervisor Goia explained a joint agreement would specify the County being in control of making major decisions. Supervisor Uilkema said it would be necessary to include in the proposal the duties of that Board not only for the two entities but also for the employees. The Chair asked the public for their opinion and the following people spoke: • Ken Hambrick, resident of Walnut Creek, said he was sympathetic with the situation at DMC and said the County was going to be committed for a longtime and to get back out of the situation is going to be a difficult time; • Kris Hunt, Contra Costa Taxpayers Association,resident of Pleasant Hill said she would like to echo Mr. Hambrick's comments; and said she agrees the devil is in the details and there are no details. • Sandra Faulk, resident of West County, said she has total trust the County Board of Supervisors will be vigilant about the details and said she trusts each and every involved partner to be diligent. Supervisor Piepho asked Dr. Walker to explain the County's involvement, the impact.on the County if they do not take part in the efforts proposed in the financial impact from the MOU proposal and the repayment from the State. Dr. Walker said this was the only solution to keep the hospital open and if the County did nothing the Hospital would close in November, all the employees would be laid off, the Emergency Department, the Intensive Care would close and Kaiser Richmond would be the only Hospital remaining for West County. He noted this facility could not manage the medical interest of West County long-term. He said the commitment was to carefully craft the agreements to protect everyone's interests. Supervisor Piepho asked how the County could remove itself in the four year plan should it not have successful outcome from the MOU. Dr. Walker said there are no guarantees in the Hospital industry and noted this is the best shot for the County with a business plan that could work. Supervisor Piepho said if the County did not help Doctors Medical Center then the impacts from the patient loads and lack of services in West County would be felt throughout the County. Chair Gioia noted the County would have major control in making key decision and would be in control in restructuring the proposal, which is an important key distinction. Dr. Walker agreed and noted this is the best shot the County has and feels the business plan will work. Supervisor Piepho agreed and noted if the County does not help Doctors Medical Center there would be direct impact on County dollars within the Health Services Department. By a unanimous vote with none absent, the Board of Supervisors took the following action: ACCEPTED an update from the Health Services Director on the West Contra Costa Healthcare District discussions on possible closure of Doctors Medical Center San Pablo/Pinole.
