SPECIFIC REQUEST(s)OR RECOMMENDATION(S)&BACKGROUND AND JUSTIFICATION
i Recommended Action:
A ADOPT a Resolution approving the Conveyance of the District's surplus property and an easement located north of
Lone Tree Way and west of Empire Avenue in the City of Antioch to CCWD for$289,343.00, in accordance with
the terms and conditions of the Agreement for Purchase and Sale of Real Property by at least four-fifths vote of the
Board.
B. APPROVE and AUTHORIZE the Chief Engineer,or designee,to execute the Agreement for Purchase and Sale of
Real Property with CC"to consummate the conveyance.
C. AUTHORIZE the Chair, Board of Supervisors, to execute the Quit Claim and Easement Deed conveying the
property to CCWD and DIRECT the Real Property Division to cause said Quit Claim and Easement Deed to be
delivered to CCWD for acceptance and recording.
Financial Impact:
Revenue in the amount of$289,343.00 from the sale of the surplus fee and the ea 7ewill be deposited into the Drainage
area 56 Fund.

The Board of Supervisors of Contra Costa County as the Governing Body of the Contra Costa County Flood
Control and Water Conservation district, RESOLVES THAT:
This Board on January 10, 2006, passed Resolution No 2006/8 and Notice fixing January 24, 2006 at
9:30 a.m. in its Chambers, County Administration Building, Martinez, California, as the time and place when it
would meet to consummate the conveyance of the real property described therein to Contra Costa Water District;
said Notice was duly published in the Contra Costa Times.
This Board,by the aforesaid Resolution,found that said 8,217 square foot fee parcel is no longer required for
present or future District use and the 33,033 square foot easement will not interfere with the District's flood control
operations and sales price of$289,343.00 represents their market fair market value.

EASEMENT DEED
Contra Costa County Flood Control and Water Conservation District, a California
political subdivision of the State of California, hereinafter called DISTRICT, in
consideration of value paid by the Contra Costa Water District, a California government
agency, hereinafter called CCWD, the receipt of which is hereby acknowledged, hereby
grants a perpetual easement to CCWD: the right at any time, and from time to time, to
excavate for, install, replace, maintain and use such pipe line (s) as CCWD shall from
time to time elect for conveying water, with necessary and proper valves and other
appliances and fittings, and devices for controlling electrolysis for use in connection with
said pipe line (s), all collectively called "facilities", within DISTRICT's lands which are
situated in the City of Antioch, County of Contra Costa, State of California, and are
described in Exhibit "A" and shown in Exhibit `B" attached hereto.
DISTRICT further grants to CCWD:
1. the right of ingress to and egress from said easement area over and across said lands
described in Exhibit A;
2. the right from time to time to trim and to cut down and clear away or otherwise
destroy any and all trees and brush now or hereafter on said easement area;
3. the right to install, maintain and use gates in all fences which now cross or shall
hereafter cross said easement area;
4. the right to mark the location of said pipe line by suitable markers set in the ground;
provided that said markers shall be placed in fences or other locations which will not
interfere with any reasonable use DISTRICT shall make of said easement area; and
5. its warranty that there are no oral or written leases on all or any portion of the
property described in Exhibit "A" which will impair CCWD's use and enjoyment of
said easement. DISTRICT further agrees that it will not grant any leases or
easements which would interfere with CCWD's use and enjoyment of said easement.
CCWD hereby covenants and agrees:
1. not to fence said easement area;
2. to promptly backfill any excavations made by it on said easement area and repair
any damage it shall do to DISTRICT's lands;
3. CCWD shall, prior to any construction, reconstruction, remodeling, excavation,
installation or plantings within the easement area, submit specific plans and
specifications to the DISTRICT for review and approval. Such approval, together
with any additional requirements to be in the form of a written permit issued by
DISTRICT to CCWD.
Normal maintenance by CCWD of its facilities within the easement area,
including inspection and cleaning of existing pipelines, shall not require prior
notice to the DISTRICT. CCWD shall perform maintenance of its facilities so as
to prevent damage to the site and
4. to indemnify DISTRICT against any loss and damage which shall be caused by
exercise of the rights herein granted, or by any wrongful or negligent act or
omission of CCWD or of its agents or employees in the course of their
employment, provided, however, that this indemnity shall not extend to that
portion of such loss or damage that shall have been caused by DISTRICT's
comparative negligence or willful misconduct.
The primary use of the Property subject to this easement is for flood control and drainage
purposes, including, but not limited to, the right to install, construct, reconstruct, remove,
replace, repair, upgrade, landscape, maintain, and operate facilities, which convey water
for such purposes. CCWD acknowledges and agrees that the use just described
constitutes the primary use of the Property and that any and all rights granted or implied
by this Grant of Easement are secondary and subordinate only to the primary use of the
Property by the DISTRICT, its successors and assigns. CCWD shall not, at any time, use
or permit the public to use the easement area in any manner that will interfere with or
impair the DISTRICT's primary use of the Property. DISTRICT reserves the right to use
said easement area for purposes that will not interfere with CCWD's full enjoyment of
the rights hereby granted. DISTRICT may plant small shrubs (with no more than a two
foot root structure), lawn, flowers and the like and put in an irrigation system in the
easement area. DISTRICT may modify the property for parking lots, streets and utilities
as long as the modifications do not unreasonably interfere with CCWD's use for water
pipeline purposes.
Grading will be permitted for such purposes so long as the placement of fill or grading
will provide positive drainage, will maintain at least five (5) feet of cover over the top of
pipeline (s), and will not increase the depth of cover over the pipeline by more than four
(4) feet. Copies of grading plans shall be supplied to CCWD by DISTRICT for review
and approval.
Heavy equipment operated over the Pipeline (s) shall not impose wheel loads greater than
those specified by the American Association of State Highway and Transportation
Officials (AASHTO) for HS 20 truck loads,on the pipeline.
This easement is subject to the reservation to the Defendants that is made in the Final
Judgments of Condemnation — Action in Eminent Domain, recorded April 11, 1990, as
Series Number 90-073517 and 90-073518, Contra Costa.County Recorders.
The provisions hereof shall inure to the benefit of and bind the successors and assigns of
the respective parties hereto, and all covenants shall apply to and run with the land.
