HomeMy WebLinkAboutMINUTES - 02282006 - C.75 TO: BOARD OF SUPERVISORS �/ (J� pJ/� too FROM: William Walker, M.D., Health Services Director Contra By: Jacqueline Pigg, Contracts AdministratorCOSta DATE: February 13, 2006 = "�' County SUBJECT: Approval.of Contract#74269 with Davis Wright Tremaine, LLP SPECIFIC REQUEST(S)OR RECOMMENDATION(S)&BACKGROUND AND JUSTIFICATION RECOMMENDATION(S): (1) Approve and authorize the Health Services Director, or his designee (Donna Wigand) to execute on behalf of the County, Contract #74-269 with Davis Wright Tremaine, LLP, a Limited Liability Partnership, in an amount not to exceed $20,000, to provide legal services to negotiate and draft a software license agreement and other related agreements, for the period from February 1, 2006 through August 30, 2006. (2) Waive actual conflict with Covansys whom Contractor represents in an unrelated matter in Alaska. (3) Waive all future potential conflicts of interest on the condition that Contractor immediately notifies the Health Services Director, with a copy to the County Counsel's office of the potentially adverse matter, the general area of law and type of client that Contractor is representing. (4) Direct the Health Services Director to notify the Board of Supervisors of any future conflicts of interest for determining whether to terminate the Contract. FISCAL IMPACT: This Contract is 100% funded by Mental Health Realignment. BACKGROUND/REASON(S)FOR RECOMMENDATION(S): Under Contract #74-269, Davis Wright Tremaine, LLP, will provide legal services to negotiate and draft a new software license agreement for the Mental Health Division's new Behavioral Health System Calcis and Covansys Software agreement, including implementation and support services agreement, through August 30, 2006. Contractor currently represents Covansys on an unrelated matter in Alaska. Contractor has given assurances that its representation of Covansys in the unrelated matter will not have any meaningful or adverse effect on its representation of the County. Attorneys for Contractor working with Covansys will not share information or be involved in the representation of County. Contractor also represents other clients, including media clients, who may have matters that have the potential to conflict with the positions or interests of the County.
