The Department of Defense selected the Concord City Council as the Local Redevelopment Authority (LRA) for this site, with responsibility for administering a community- based process to develop a reuse plan that balances the needs for economic redevelopment, other development, and homeless assistance. The establishment of an LRA and the use of the community-based process are in accordance with the BRAC process and the Base Closure Community Redevelopment and Homeless Assistance Act of 1994 (the Redevelopment Act). The Navy keeps possession of the property while the community reuse plan is developed. The plan must be approved by the Navy and the federal Department of Housing and Urban Development (HUD) before the property can be transferred to the community. The community-based reuse planning process is an important opportunity to address some of the County's significant needs for homeless assistance. An estimated 15,000 people experience homelessness in Contra Costa County each year, and on any given night, more than 4,800 are homeless. The Redevelopment Act identifies assistance for homeless persons or families as a key component of the reuse planning process, and requires that a homeless assistance plan be submitted with the reuse plan. Homeless assistance includes supportive services,job and skills training, employment programs, shelter, transitional housing, permanent housing, food and clothing banks, treatment facilities, or any other activity that clearly meets an identified need of the homeless and fills a gap in the local Continuum of Care. Specific details for how the Concord site's reuse plan will address homeless assistance are still being developed via the community-based process. Declaration of Surplus and Exchange Authority: The LRA and community-based reuse plan cannot be legally authorized until the military installation is officially declared surplus. The surplus declaration for the Concord site was originally scheduled to be issued on November 9, 2006. However, on that date the Navy instead indicated it would defer the surplus determination until December21, 2006, to allow time for the Navy to review an alternate proposal from Shaw Environmental & Infrastructure for redevelopment of the Concord site. On October 30, 2006 Shaw Environmental & Infrastructure, a remediation and infrastructure construction company, made an unsolicited proposal to acquire the Concord site in exchange for equivalent value military construction services under the Navy's exchange authority (set forth in 10 U.S.C. Section 2869). If the Navy accepts the Shaw proposal, a fair market value for the site would be established through a federal appraisal process that would make certain assumptions about the types and amounts of development that would occur at the site; the Navy would then transfer the land to Shaw in exchange for providing military construction services to the Navy at any of its facilities equal to the value of the fair market value amount. Shaw would also become responsible for the clean up of the site. The City is concerned that the exchange proposal from Shaw would put development decisions ahead of the planning process, and would create a financial incentive to maximize development in conflict with sound planning. In addition, the exchange proposal may also reduce or eliminate homeless assistance in the final development of the site, if Shaw does not have a requirement or incentive to include those programs or services in its planning. SUBJECT: CONCORD NAVAL WEAPONS STATION REUSE PLAN Federal regulations indicate that if exchange authority is used by the Navy to accept Shaw's proposal before the property is declared surplus, then the Navy does not have to consult with the LRA or the community before accepting the proposal. The City acknowledges the use of exchange authority as one of many forms of conveyance authorities for the property, but believes those conveyance authorities can only be used after the reuse planning process has been completed and the reuse plan approved. Congressional Action: Senator Dianne Feinstein, Representative Ellen Tauscher, and Representative George Miller sent a joint letter to the Navy on November 15th, encouraging the Navy to work closely with the City to develop a mutually beneficial proposal to clean up and redevelop the site, and supporting the City-led collaborative process. The Military Construction bill, currently ready for House-Senate conference, might be an appropriate legislative vehicle if further Congressional action is needed to maintain the community-based reuse planning process. Language could be proposed that requires the community-based process and reuse plan to be completed and approved by the Navy and HUD prior to any use of the statutory exchange authority. However, it would likely be difficult to gain full Congressional approval for any such language. ra a� �a fk��53i ce •. This is despite the fact that the Navy has designated the City of Concord as the formal ruling authority over the reuse of the base and has already provided the city some$2.6 million for planning and public outreach efforts. By letter dated October 30, 2006, Shaw Environmental &Infrastructure submitted a proposal to acquire the entire Inland Area within the CNWS (consisting of approximately 5,170 acres)from the Navy pursuant to the statutory authority set forth in 10 U.S.C. Section 2869. Section 2869 was enacted by Congress in 1994 as a pilot program for the conveyance of excess property at military installations to support military construction projects. The Shaw proposal was first communicated to the City at a meeting on Monday, November 13,2006 when your staff hand-delivered a letter to the City Manager informing her: (1) that the Navy had received the proposal,and (2)that the Navy had deferred issuing its surplus determination pending evaluation of the proposal. In the course of the meeting and separate communications with Shaw representatives, it became apparent that the proposal envisioned using the statutory exchange authority as a vehicle for circumventing key elements of the Base Closure and Realignment Commission process, including the following: (1) preparation of a Reuse Plan by the City acting as the designated Local Reuse Authority, (2)negotiation of legally binding agreements with homeless providers, and (3) the screening of Public Benefit Conveyance proposals submitted by State and local public agencies and eligible nonprofits. This proposal came as a complete shock to City officials, who have been working diligently and in good faith to structure a community- based reuse planning process which fully conforms to the BRAC law. We recently completed Phase I of this process,which generated goals and guiding principles to provide a framework for community decision-making. It is clear that our community wants a balanced plan,with room to accommodate open space,parks, community facilities,housing, and commercial development. During Phase 2 of the Reuse Project,the City will identify site alternatives and prepare a financial and fiscal analysis of those alternatives with an accompanying environmental assessment. The Office of Economic Adjustment within the Department of Defense previously approved funding which permitted the City to hire a Project Management Team to oversee this process. Yesterday, OEA announced that it had approved$1.9 million in additional grant funding(with options for$106,000 more)to pay for portions of Phase 2. The City already has made significant expenditures of money and staff time to carry out portions of this process not funded by OEA. It is ironic to note that while your staff representatives were meeting with the City Manager to inform her in favorable terms of a proposal to circumvent the BRAC process, our Project Management Team was meeting with an outside team of consulting experts to give them direction for starting work on the technical analysis that will be needed in Phase 2. Last night,the City Council appointed a Citizen's Advisory Committee consisting of 21 individuals representing the region and a broad cross-section of the Concord community to provide advice and recommendations regarding the CNWS Reuse Plan, The City Council was surprised and disappointed that the Navy would seriously consider a proposal to abandon key elements of this carefully constructed planning process in favor of sole source negotiations with a would-be developer. With the Navy's active encouragement,we have worked hard to build community acceptance for a collaborative process for developing a reuse plan that will take into consideration community desires as well as the Navy's objectives. The Navy has repeatedly emphasized the need to follow the timelines and procedures set forth in the BRAC legislation and has discouraged the City from entering into any relationship with a development entity at the early stages of this process. This point was emphasized in the presentation that you and your key staff made to the City Council and the community at a public workshop here in Concord on October 12,2006. We fully understand that as the property owner, the Navy will have lead responsibility for developing a disposition plan to transfer the CNWS property and that the disposition plan may utilize a variety of statutorily authorized conveyance mechanisms, including public sale, conservation conveyances,public benefit conveyances and economic development conveyances. Our mutual expectation has been that the disposition plan would be developed in close coordination with the City and would be consistent with the City's preferred Reuse Plan. We view the exchange authority as another potential tool to be evaluated as part of the overall disposition plan for implementation after the Reuse Plan has been adopted, not a convenient loophole allowing the Navy to bypass the BRAC process entirely. We seriously doubt this is what Congress intended when it passed a statute creating a pilot program for property exchanges. Wayne Amy November 15,2006 :Page 3 of 3 We understand the Navy's desire to move expeditiously forward with the BRAC process and to realize significant value for the site. However,the Shaw proposal is not likely to further either objective. First, it may not be faster. By delaying its surplus determination that was due by November 9 2006,the Navy already has forced the City to delay the first step in our State/local screening process—issuance of our notice to potential PBC recipients. Even if it were successful in avoiding the BRAC process,the Navy would still be required to complete its environmental analysis under the National Environmental Policy Act and obtain approval from the U.S. Environmental Protection Agency as well as the State of California for the early transfer of contaminated property to a private entity. Second,the Navy would be seriously compromising its chances of maximizing the value of its asset. Any prospective purchaser wanting to acquire the site at the front end of the planning process would no doubt significantly discount its purchase offer due to the delay,uncertainty and expense associated with environmental cleanup,NEPA and CEQA compliance, and the local land use entitlement process. By attempting to circumvent a community-driven planning process in favor of a developer-driven process, the Navy would reduce chances for community acceptance of any resulting development proposal and commensurately increase the risk of legal challenges and ballot initiatives. Even if the statutory exchange authority were legally available to be utilized in the manner proposed, we question the wisdom of pursuing negotiations with a single potential purchaser,rather than undertaking a competitive selection process. This would allow evaluation of competing proposals to determine which entity has the financial resources and qualifications to successfully complete the purchase and the resulting development project. We strongly urge the Navy to immediately cease further consideration of the Shaw proposal or any similar proposal based on circumventing the BRAC process at this time and instead recommit to the BRAC process as previously envisioned. In our view, this will provide the best opportunity to begin rebuilding the atmosphere of mutual trust that is so essential to a successful reuse planning process. Last week, the council created a Community Advisory Committee to help prepare a reuse plan. The city is challenging the Navy.'s plans to sell the land and confident that it will prevail, said Mayor Susan Bonilla. "We do not believe (the Navy) is going to be successful," Bonilla said. "We are not moving to any kind of contingency plan at this point." Approximately 135 people applied for spots on the committee. On Nov. 14, the council appointed 21 members -- 18 residents and three nonresidents -- who represent a broad cross-section of the community, Bonilla said. Half of those appointed will serve two-year terms and the other half will serve for one year. Members appointed for a one-year term are Jimmy Araujo, Paul Elliott, Jason Hadnot, John Hemm, Patricia Howlett, Edward James, Ana Maria Korve, Beverly Lane, Ursula Luna, Anna Rikkelman and William Washington. Members appointed to a two-year term are Richard "Dick" Allen, Greg Enholm, Scott Hein, Daniel Helix, Melvin Lee, John Mercurio, Rosanne Nieto, Erinn Peterson, Dirk Wending and Ellen Williams. The committee will function much like one of the city boards or commissions and will be open to the public. The new members' first order of business will be to research and study, Bonilla said. "There will be quite a lot of information they will need to read and digest," Bonilla said. "That is another reason we weren't interested in delaying any further. We wanted to get those members up to speed faster." Posted on Wed, Nov. 15, 2006 Navy may sell Concord base to private firm Move would bypass city, preventing local government from being involved in front-end work on naval weapons station By Tanya Rose and Ryan Huff CONTRA COSTA TIMES CONCORD - After city leaders worked for months to plan the Concord Naval Weapons Station's future, the U.S. Navy dropped a bombshell on them Monday, saying the whole property could be sold to a private developer with long-standing ties to the base. Such a move could make the Concord City Council essentially powerless to craft a blueprint for the 5,170-acre portion of the closed base and take away any meaningful public input sessions. The Navy promised repeatedly that the city would take the lead on planning for one of the largest chunks of developable land left in the East Bay. "There's been some trust broken here," Concord Mayor Susan Bonilla said. "We had the Navy officials to our house. We gave them cookies and punch. It's going to be tough to rebuild that." At Tuesday's City Council meeting, Vice Mayor Mark Peterson argued that a land sale at this point also would Fly in the face of earlier decisions made by the Department of Defense, which named Concord the formal ruling authority over the future of the base. He.noted that the DOD has given Concord $2.6 million to fund planning and public outreach. "It appears the Department of Defense and Navy officials aren't communicating," he said. The Shaw Group Inc., a worldwide company with base construction and cleanup experience, wants to acquire the land in exchange for performing military construction elsewhere, according to a letter delivered by Navy officials to Concord City Hall on Monday afternoon. Such a deal between Shaw and the Navy could be struck for approximately $1 billion, experts said. Here's how it would work: The Navy and Shaw would determine fair market value for the land. Shaw would build Navy dormitories, runways and other facilities around the world in an amount equal to the value of the land. Once that work is either contracted or finished, Shaw would take over ownership of the base's inland portion. That chunk, which stretches from Highway 4 to the Sleep Train Pavilion, is entirely within Concord city limits. Any development would still be subject to city approval, but Concord would have no legal right to do the front-end planning. Shaw officials declined to comment on the proposal Tuesday. But in its letter to the Navy, the company said it will collaborate with the Concord City Council to "fully execute (the city's) vision for the redevelopment." And John Hill; the Navy's base closure manager for Concord, said in an e-mail that Shaw's proposal does not in fact put a wrinkle in Concord's role. "It may present a unique opportunity for critical defense construction requirements to be fulfilled, while also expeditiously returning the property to productive use and the tax rolls of the city of Concord. "This proposal does not change the city's roles and responsibilities to plan, zone and entitle property." Councilwoman Laura Hoffineister disagreed, saying the move was a "slap in the face" after Navy officials had spoken of Concord's planning timeline so highly. She said if the sale goes through, the base closure will become a developer-driven process rather than a community-driven process, despite federal laws requiring community involvement. Concord City Manager Lydia Du Borg says it's an issue of timing. She pointed out that military activity stopped at the base in 1999 -- six years before Congress approved the list of closures in November 2005. "If they're trying to unload the land expeditiously, why did they sit on it so long?" she said. "We don't want our planning process circumvented. Shaw is no stranger to the Concord Naval Weapons Station. The company, which has an office across the street from the base headquarters, has held cleanup contracts for the past decade. Selling property to a private entity such as Shaw could make sense for the Navy, said consultant Sohn Murphy, a former Air Force officer and base-closure insider who helps groups that are trying to keep bases. By selling or bartering the land directly into private hands, the Navy could dispose of it sooner than by going through the potentially time-consuming process of waiting for the city and one or more developers to agree on the land's future. Such a deal also could get the Navy off the hook for paying millions of dollars to clean the land of munitions, toxic chemicals and other hazards. More than any other military branch, the Navy has been transferring property directly into private hands in the several years since federal law provided the military with that option, Murphy said. "The Navy did say as part of the BRAC (Base Re-Alignment and Closure Act) 2005 process that they would be more aggressive in terms of disposing of their property, and it sounds like they're making good on their word," Murphy said. Still, it is surprising that the Navy has received an unsolicited proposal from Shaw at this relatively early stage of talks between Concord and the Navy about the property's future, Murphy said. The military generally has preferred for all parties to agree more or less on the future of surplus land, Murphy said.
