APPROVE and AUTHORIZE the Chair, Board of Supervisors, or its designee to execute the License Agreement on behalf of the District. E. DIRECT the Real Property Division to cause said License Agreement to be delivered to EBRPD Financial Impact: There will be no financial impact for the District from this action. All costs of the trail improvements will be born by EBRPD. Reasons for Recommendations and Background: EBRPD is in the process of connecting their Delta De Anza Regional Trail which is part of the Juan Bautista De Anza National Historic Trail Alignment to the Iron Horse Regional Trail that runs from Concord to Dublin along the old Southern Pacific Railroad Right of Way and the Marsh Creek Trail in Oakley. .By granting the 25 year license with a 25 year option to extend the license, it will allow EBRPD to proceed with the construction of this portion of the Delta De Anza Regional Trail which EBRPD will then be responsible for the maintenance and up keep of this portion of the District's property Consequences of Negative Action: The District would continue to have the responsibility to maintain this area and EBRPD will not be able to connect the three trails. It can be seen with certainty that there is no possibility that the activity may have a significant adverse effect on the environment. DESCRIPTION OF THE ACTIVITY: The activity consists of the Contra Costa County Flood Control and Water Conservation District (District) and the East Bay Regional Parks District (EBRPD) entering into a license agreement to allow for construction of a portion of the Delta DeAnza Trail (part of the larger San Francisco Bay Trail system) across the District's Clayton Valley Drain property. EBRPD is in the process of connecting the Delta DeAnza Regional Trail to the Iron Horse Regional Trail that runs from the City of Concord to the City of Dublin along the old Southern Pacific Railroad Right of Way. In order for EBRPD to connect the trials, they must enter into a 25-year license agreement to use a portion of the District's property. The license agreement between the District and EBRPD will allow for construction of an asphalt or concrete pedestrian/equestrian/bicycle path, shoulder,signage,drainage facilities, barrier fencing, landscaping (within acceptable guidelines), and bridges within the District's property. All of the facilities that are constructed will accommodate continuous unobstructed vehicle access in a ten foot wide/high area and will allow for any necessary maintenance activities conducted by the District. This Determination of Exemption covers issuance of the license agreement only. EBRPD has prepared a separate CEQA analysis for construction of the physical improvements described above. EBRPD will be responsible for obtaining any regulatory permits necessary for work on the Clayton Valley Drain property. General Plan Conformance from the City of Concord will be required. EAST BAY REGIONAL PARR DISTRICT, a political subdivision of the State of California, herclnaftel- c;lllecl "Licensee". WITNESSETH: THAT Licensor, for a good and valuable consideration and In further consideration of the. faithful performance and observance by Licensee of all the terms and conditions herein contained, does hereby grant to Licensee a license for the construction, reconstruction, maintenance, removal and use of a path for the passage of pedestrians, equestrians and bicycles only, together with the necessary appurtenances thereto, herein after referred to as the "Trail". THE License above mentioned is granted by Licensor and accepted by Licensee upon the following terms and conditions and Licensee does hereby agree with Licensor as follows: l. DEFINITIONS: As used in this Agreement, "Licensed Premises" shall refer to the portion of the Clayton Valley Drain property as described in Exhibit "A" and shown on Exhibit "B"attached hereto and made a part hereof. As used in this Agreement, "the Trail" shall refer to a 12-foot-wide corridor, where possible, located adjacent to the Clayton Valley Drain,shown on Exhibit"B" attached hereto and made a part hereof,which may include,subject to Licensor's approval and inspection as provided Ill Section 10. APPROVAL AND INSPECTION OF WORT(, an asphalt or concrete path, shoulder, equestrian trail, signs, drainage facilities,barrier fencing or walls, landscaping and bridges. 2. 'I,ITLE Or LICENSOR: Licensee hereby acknowledges the title of Licensor in and to the Licensed Premises and agrees never to assail or to resist said title. Licensee agrees that it has not acquired nor will it hereafter acquire any rights or interest in the Licensed Premises, nor does Licensee have nor will it obtain any right or claim to the use of the Licensed Premises beyond those specifically granted in this Agreement. �. CE►tn'i: Unless suspended or partially revoked as hereinafter set forth, this Agreement to construct, reconstruct, operate and maintain a Trail in the Licensed .Premises to be used by the general public shall terminate twenty-five (25) years from the date hereof. B_y mutual \written consent of the parties hereto, it may be extended for an additional twenty-five (25) year term. 4. PRIMARY USE or LICENSED PREMISES: The Licensed Premises consists of a service road along the Clayton Valley Drain, which is used for flood control purposes and located southeast of the Walnut Creek Chanel,northwest of Solano Way and south of the intersection Page 2 of 9 G:\RealProp`�(1(1(-Filo;\calcelcltade�nz�(in:tl.duc of Olivera Road and Marsh Drive in the City of Concord, California. Underground utility facilities may already be in place and it is anticipated that, in the futUre, additional utility facilities illa_y be constructed or installed on the Licensed Premises. Any and all rights granted or implied by this Agreement shall be subordinated to the uses just mentioned, as well as to all other uses of the Licensed Premises made or permitted by Licensor Licensee acknowledges that the use just described constitutes the primary use of the Licensed Premises and that Licensee's use of the Licensed Premises pursuant to this Agreerrie It is secondary and subordinate to said primary uses. Licensee shall not, at any time, use or permit the public to use the Trail in any manner that will materially Interfere with or impair said primary use of the Licensed Premises. All rights granted to .Licensee hereunder are subject to all existing and future.rights, rights of way,reservations, franchises and licenses in the Licensed Premises,regardless of who holds the same,including Ucensol's right to use the Trail for emergency, construction and maintenance vehicle access or any Other purpose. 5. SUSPENSION out LIMITATION Or USE: Licensor and its permittees shall have the right to suspend or to limit the use of the Licensed Premises or the Trail by Licensee and the general public for a reasonable amount of time for protection of public safety,or for the construction, installation, operation, maintenance or repair of other facilities on the Licensed Premises. Should such suspension or limitation be necessary, Licensor shall provide Licensee fifteen (15) days' prior notice in writing, except in cases of emergency maintenance or repairs. Licensor shall not be held responsible or liable for unavoidable damage or removal of any of Licensee's trail improvements, such as fences, gates, asphalt or concrete paving, landscaping, or other facilities which may be placed,installed,repaired or constructed as part of the Trail when Licensor finds it necessary to accomplish work for the maintenance, construction, repair, reconstruction or alteration of Licensor's property. However Licensor will exercise reasonable care to minimize adverse impacts of such work upon Licensee's recreational facilities. 6. REVOCATION: In the event, in the sole discretion of Licensor, the primary uses of the Licensed Premises by Licensor or Licensor's permittees reasonably require some pernitulcnt usC of a portion or portions of the Licensed Premises which, by nature thereof, precludCs Licensee's use thereof, Licensor may, upon Slx-]llonths' prior notice, revoke this Agreement as to the area Licensor deems necessary for such permanent primary use. Licensor shall Supply Licensee with a map or drawing identifying the area(s) as to which this Agreement i s so revolved. 7. MAINTENANCE AND LITTER: Licensee shall maintain the Licensed Premises in a clean, safe and presentable condition, free from waste, litter and other items resulting from public access to the Trail and left b-y parties other than Licensor and its permittees. INDEMNIFICATION: Licensee shall indemnify, save, protect, defend and hold harmless Licensor, its boards, officers, employees, from and against any and all loss,liability;expense, claims, costs, suits and damages, including attorney's fees, arising out of or connected with Licensee's operations, presence on, or use of the Licensed Premises, including Use by the public. 9. Any subcontractor of Licensee shall be required to provide the sante insurance coverage as Licensee is required to provide to Licensor. (D) FAILURE OF COVERAGE. APPROVAL AND INSPECTION OF WORK: Licensee shall not perform any construction, reconstruction remodeling, repair, removal or other work within the Licensed Premises without first obtaming Licensor's approval in writing of said work. In seeking Licensor's approval, Licensee shall furnish to Licensor a complete description and sketch of the work proposed to be performed. In performing work approved by Licensor, Licensee shall comply N•vitl7 all terms, conditions and requirements imposed by Licensor and not deviate in anv material manner from the description and sketch approved by Licensor, without first obtaining additional approval in writing from Licensor. Licensee shall comply \with all applicable public bidding laws and prevailing wage requirements. . Licensee agrees to pay for relocating or repairing any of Licensor's facilities required to be relocated or repaired due to any work by Licensee. Licensee shall design; construct and ]Maintain all facilities to provide continuous unobstrrlCted vehicle access ten (10) feet wide and nlinilMunl ten (10) feet high. Licensee agrees to design all pavements and trail surfaces to accommodate Licensor's maintenance use IllClUding blit not IllMlted to bank repair or sediment removal work, and shall aSSUme all responsibility for the repair and maintenance of any damage that may be CallSCd bV the competent and responsible use of such vehicles. Licensee shall not be required to obtain Licensor's prior written approval l'or the performance of routine maintenance or emergency repairs. As used in this section, the term "routine maintenance" refers to wort: that does not alter the original condition of' Improvements previously approved In writing by Licensor,which work is required to prevent deterioration of said improvements. Trail that such motor vehicles are prohibited. Licensee's barricades shall Accept Licensor's locks. 14. PATROL: Licensee shall provide Such patrol service as is necessary to prevent unaLlthori Cd use of the Licensed Premises and to protect the safety of the users of the Trail. Its failure to do so shall constitute a breach of this Agreement and justify Immediate termination of the SaIII C. 15. DAMAGE TO LICENSED PRERIISI?S: The parties understand and agree that the Licensed Premises is subject to sliding,erosion, subsidence and flooding, and that Licensor is under no obligation to i-nallltain the .Licensed Premises or repair any damage resulting fi-onl sliding, erosion, Subsidence or flooding. If the Licensor in its Sole discretion believes that such damage affects the integrity of the flood control facilities or the safely of the trail users, it may repair the Licensed Promises, and Licensee agrees to pay such Costs on derllanci. STORMWA,rER DISCIJARCE: The .Federal Clean Water Act (the "Act") provides that the discharge of pollutants to waters of the United States from any industrial or commercial properties must be in compliance with a National POIILItant Discharge Elimination f1ci- lit ("NPDEP'). Under the Act, airports are considered to be "industrial activities." County has applied for and received a NPDEP, which covers Licensee's operation on the Licensed Premised.The County, 111CILICIIi"lg all tenants and licensees located on the Airport,are required to be in compliance under the Act and the NPDEP. Licensee shall ensure that no pollution or Hazardous Materials(as defined in Sections 17. WASTE; HAZARDOUS MATERIALS hereof) of any type will be discharged into the stormwater system at the Licensed Premises and Licensee shall be held responsible for any such discharge by it or by any of it's officers, employees,agents contractors,subleases, guests, or invitees, while;this,Agreement is in effect. Any fine or cost of remedial action rcCluired of Licensor by any agency or agencies having jurisdiction thereover, as a result of actions or discharges from the Licensed Premises, will be charged to Licensee, and Licensee shall immediately reimburse Licensor for such Cost upon demand. In addition, any discharge of pollutants or Hazardous Materials on or frons the Licensed Premises shall be considered a default of this Agreement and shall be grounds for its termination. 17. NVASTG, HAZARDOUS MATERIALS: Licensee shall not commit, or suffer or permit the commission of any waste upon the Licensed Premises, or any nuisance or other act or thine that may disturb the Cluiet enjoyment of the use of the Licensed Premises or Surrounding property. Licensee Shall not, and shall ensure that no others Shall, store or dispose of any Hazardous Materials on the Licensed Premises. D) Section 21643 and 21644 of the Public Utility Codes of the State of California. Licensee is expressly prohibited from planting any trees or shrubs on the Licensed Premises without first obtaining written approval from Licensor 20. TRAIL IMPROVEMENT MAINTENANCE: Licensee shall maintain at its expense all Trail improvements installed by Licensee,including Trail pavement,culverts,gates,signs, fences, and bollards. Licensee shall only be responsible for landscaping it installs as a part of the Trail improvements. 21. VEGETATION MANAGEMENT: Licensee has reviewed Appendix B, "Vegetatiorl Management Program", of the Memorandum of Understanding between the State of California Department ofFisll and Game(State)and Contra Costa County Flood Control and Water Conservation District. This agreement defines routine maintenance activities necessary to maintain Licensor's flood control facilities to the level of their des),-ned capacities. Notification of encroachment permits granted and plans approved by Licensor will be forwarded to Licensee. Licensor shall consult with Licensee on safety requirements for future utilities. If Licensee does not respond within 15 working days, Licensee agrees that it illay be presumed that .Licensee concurs with the requirements. Licensee shall obtain permits :from all other agencies as required for construction of the Trail improvernents. 27. MODIFICATION: This Agreement shall be subject to modification or amendment, including the expansion of the Trail to additional areas, only by the written, mutual consent of both parties. L 'Y� Ir yx, q City of WN �Cbncdrd/ _-4 X, t % v 0 Buchanan Field Airport '7 A r a CALIFORNIA DEPARTMENT OF FISH AND GAME AND CONTRA COSTA COUNTY FLOOD CONTROL AND WATER CONSERVATION DISTRICT MEMORANDUM OF UNDERSTANDING This Memorandum of Understanding by and between the California Department of Fish and Game, hereinafter called the "Department" , and the Contra Costa County Flood Control and Water Conservation District, hereinafter called the District, is for the purpose of defining and delineating activities within streams and channels under the District's jurisdiction--which will be considered routine maintenance. WHEREAS, the Department is responsible for the protection, maintenance, enhancement and management of the fish and wildlife resources of the State. With few exceptions, all fish and wildlife are the property of the State, and either protected or utilized for the benefit of the people of the State under laws, . rules or regulations administered by the Department of Fish and Game. In carrying out these responsibilities, the Department has a direct statutory involvement in the management of habitat features of land and water resources upon which fish and wildlife depend for survival; and WHEREAS, the Department is required to issue Streambed Alteration Agreements pursuant to Fish and Game Code Sections 1601-6 to or on behalf of the District; and WHEREAS, it is essential that the District perform routine maintenance and routine . operations that will require alteration of the bed, channel, or bank of river, streams, or lakes in Contra Costa County; and WHEREAS, the California Fish and Game Code Section 5650 (f) specifically prohibits the discharge to waters of the State or, placement where it can enter waters of the State, any material which is "deleterious" to fishlife, plantlif_e or birdlife. The use of any chemical herbicide to control aquatic plants in waters of the State may under certain factual circumstances be proscribed by this statute; and WHEREAS, the •Department recognizes that uncontrolled growths of algae or rooted aquatic plants may become detrimental to resident fish and wildlife populations in certain situations; and I I WHEREAS, the Department acknowledges that the use of certain chemicals in discrete applications to manage and thus "control" the growth of certain plant populations living within or upon Waters of the State may be warranted; and WHEREAS, is it mutually beneficial to delineate and define a management program, including routine maintenance activities, which achieves the objectives of both parties in a manner which complies with the Fish and Game Code. THEREFORE, the Department and the District agree that the following shall constitute routine maintenance and routine operations that shall not require additional notice to, and agreement with the Department subsequent to the initial notification and agreement, and payment of the associated fees. If the work as described in this memorandum is substantially changed, or conditions affecting fish and wildlife resources substantially change, or such resources are adversely affected by the activity conducted under this agreement, the agreement will terminate immediately upon written notification of the other party. The activities immediately following (e.g. Item #s 1, 2 and 3) may be undertaken at any time of the year: 1. Removal of parts of woody and herbaceous plants causing flow restrictions with hand tools in that portion of the stream identified as the stream bottom. This activity may only occur when storm-flows have subsided, root structures are not disturbed, and debris is removed to a place where it cannot reenter state waters. '2.. Removal of fallen trees, branches, associated debris, nonliving rubbish and litter from blocking flows of unlined channels and banks. This activity may only occur by hand or by winch and cable or equivalent non-disruptive equipment from top of bank. No heavy equipment may be used in the streambed except the Kaiser Spyder which shall be allowed to operate from channel banks. 3. Removal or placement of safety fencing on structures. The following activities shall occur only between April 1 and October 1 of any year, unless approved in advance by the local warden: 4. Physical' removal of soil, silt, debris, rubbish, algae, and other nonliving materials from concrete lined channels. These activities are to be conducted during periods of minimal flows, and following construction of effective sediment traps at the downstream end of the operation. 5. cleaning, repairs and replacement of existing functioning flap gates or other existing water control devices. Heavy equipment may not be used in the streambed 'without prior approval and in accordance with conditions recommended by the Department. 6. Replenishment of rock riprap with clean, native stone riprap, in previously riprapped areas to maintain bank stability. Placement of material shall be accomplished without using heavy equipment in the streambed. 7. Routine removal of minimum vegetation to insure proper functioning and operation of stream flow measuring stations, existing water control facilities or other structures necessary for public health and safety except that no heavy equipment may be used in the lave stream without prior approval and in accordance with conditions recommended by the Department. - 8. Minor bank slip-out repairs, consisting of slide debris removal, back-fill, compaction and placement of loose, clean native rock riprap, on job sites not to exceed a size of 50 cubic years per discreet location. In the performance of these repairs, the general recommendations #s 1, 2,3,9,11,20, and 21, listed in Appendix A, shall be conditions of this agreement. 9 . Removal of silt and soil deposits or the straightening of resultant meanders in improved channel bottoms by means of heavy equipment when dry or after flow has been diverted around or through the immediate work site. Flows of 20.0 gallons per minute or less will be pumped around the work site after a coffer dam of sufficient size to impound the live waters has been constructed upstream of the work site. Flows in excess of 200 gallons per minutes may be diverted through the work site by excavating a pilot channel in the streambed to confine flows during excavation. All pipes used for pumping flows shall be screened. The Kaiser Spyder may be used in the streambed to excavate a pilot channel. 10. Other a. control of weeds and grasses on channel banks or shoulders may be accomplished by mowing or discing, between July 1 and October 1 of any year. No heavy equipment may be used or' travel through the streambed. Fire access roads and fire breaks along the top of the bank may b6 mowed or disced after April 1 of any year. Nesting birds shall not be disturbed. b. Routine maintenance is understood not to include any new work other than that described in Item 9 , above. Routine maintenance does not include the removal of living riparian vegetation other than that specified in Items 1, 10a and 10c. It does not include the replacement of bank stabilization materials other than minor repair of previously riprapped areas, discussed above. C. Control of herbaceous vegetation by chemical methods shall confp-rm to the Vegetation Management Program described in Appendix B of this MOU. d. Spoils and other debris shall be removed to a place where they will not again enter state waters. e. Walnut Creek, Wildcat Creek, San Pablo Creek, Pinole Creek, Alhambra Creek, and any other creek identified by the Department as containing anadromous fish are identified as streams of special concern. Routine maintenance work in such streams is limited to May 15 through October 1 of any year. Except for routine maintenance described above, work in Walnut Creek shall be under separate 1601 notification and agreement. f. Heavy equipment is understood to mean large, bulky, heavy pieces of driver-operated, mobile machinery, including, but not limited to scrapers, graders, dozers, gradealls, backhoes, front end loaders, and excavators, etc. , that are capable of moving relatively large volumes of earth and debris. 11. The Department may review, amend or cancel this MOU at any time. The Department will immediately notify the District by phone and in writing within 24 hours of any such decision to amend or cancel. 12 . This MOU pertains only to that portion of Contra Costa County lying within the geographic boundaries of Region 3 of the Department. 13 . This MOU shall run for no more than five (5) years. At the end of that period the District will review and update their routine maintenance and operations activities and submit a new -application. 14 . REPORTING REQUIREMENTS: The District shall provide to the Regional Manager, Region 3 , of the Department, written notification of maintenance projects completed within the preceding quarter, and anticipate o e undertaken within the next quarter (quarterly reports) . A maintenance project is defined as one or more of the activities identified in this MOU. Appendix B Vegetation Management Program Flood Control Channels, Detention Basins and Ditches I. Program purpose A. Maintain flow capacity of flood control channels to prevent or mitigate future potential flooding emergencies consistent with Army Corps of Engineers., B. Create and maintain conditions within the flood control channels under which man and nature can coexist in productive harmony. C. To provide the people with a high quality environment within the flood control channels by eliminating noxious weeds, reducing foul odors due to filamentous algae buildup and decay, reducing stagnant water breeding sites for mosquitos, and providing an aesthetic view of open space. D. Reduce fire hazards by controlling highly combustible fuel producing vegetation through selective control methods. G 0<�. E. Reduce erosion hazards by introducing specific species of vegetation with growth characteristics ensuring bank stabilization (Zorro Fescue-California native grass). w N F. Ensure survival of desirable plant species while suppressing undesirable plant species. G. Ensure long term protection of the environment (consistent with a high quality environment) regarding health, safety, and general welfare of the people. H. Prevent the elimination of fish and wildlife due to infestations of undesirable plant species. I. Enhance view of invert slopes and stream beds to facilitate site inspections of existing facilities. K. Reduce overall height of vegetation on slopes to delay mowing until after nesting has concluded. L. Reduce rodent harboring sites. M. Provide trained and certified vegetation management personnel to implement an.-integrated vegetation management program. N. Provide pest control recommendations by a licensed pest control advisor certifying that alternatives and mitigation measures which substantially lessen any significant environmental impact have been considered. and adopted where feasible. 0. Ensure vegetation management records are kept providing historical data and future program consistency. P. The intent of the program is to control, not eradicate, cattails. II. Chemical Program Products and Rates A. Fall 1. Residual herbicide applications on slopes to control wild oats on invert slopes (Princep Caliber 90 @ 1/2 - 1 Ib per acre). 2.
