Recommended.Action:
A ADOPT a Resolution approving the Conveyance of the District's surplus property and an easement located'north of
LoneTree Way and vest of Empire Avenue in the City of Antioch to CCWD for$289,343.00,in accordance with
the terms and conditions of the Agreement nt for Purchase and Sale of Real Property by at least four-fifths vote of the
Board.
B. APPROVE and AUTHOFJZE the Chief Engineer,or designee,to execute the Agreement for Purchase and Sale of
Real Property with CCWD to consummate the conveyance.
C. AUTHORIZE RIZE the Chair, Board of Supervisors, to execute the Quit Claire and Easement Deed conveying the
property to CSC JD and DIRECT the Real Property Division to cause'said{quit Claire and:Easement Deed to be
delivered to CCWD for acceptance and recording.

This Board on January 10, 2006, passed Resolution No 2006/8 and Notice fixing January 24, 2006 at
9:30 a.m. in its Chambers, County Administration Building, Martinez, California, as the time andp lace when it
would meet to consummate the conveyance of the real property described therein to Contra Costa Water District-
said Notice was dul published in the Contra Costa Times.

This Board,by the aforesaid Resolution,found that said 8,21.7 square foot fee parcel is no loW, - I nger required for
present or future District use and the 33,033 square foot easement will not interfere with the District's flood control

EASEMENT DEED
Contra Costa County Flood Control and Water Conservation District, a California
political subdivision of the State of California, hereinafter called DISTRICT, in
consideration of value paid by the Contra Costa water District, a California govenunent
agency, hereinafter called CCWD, the receipt of which is hereby acknowledged hereby
grants a perpetual easement to CCWD-. the right at any time, and from time to time, to
excavate for, install, replace; maintain and use such pipe lime s as CCWD shall from
time to time elect for conveying water, with necessary and proper valves and other
appliances and fittings, and devices for controlling electrolysis for use in connection with
said pipe lime (s), all collectively called "facilities", within °T . CT's lands which are
situated its the City of Antioch, County of Contra Costa, State of California, and are
described in Exhibit "A" and shown in'Exhibit "B"attached hereto.
DISTRICT T further grants to + CWD:
E theright of ingress to and egress from said easement area over and across said lards
described in. Exhibit A
. the right from time to time to trim and to cut dawn and clear away or otherwise
destroy any and all trees and b:rush now or hereafter on said easement area.;
3 the right to install, maintain and use gates in all fences which now cross or shall
hereafter cross said easementarea;
. the right to mark the location of said pipe line by suitable markers set in the round.-

prodded that said markers shall be placed in fences or other locations which will not
interfere with any reasonable use DISTRICT shall make of said easement area; and
its warranty that them are no oral or written leases on all orny portion of the
property described in Exhibit «A" which will impair CCWD's use and enjoyment o
said easement. DISTRICT further agrees that it will not grant any leases or
easements which would interfere with CCW 's use and enjoyment of said easement.
CCWD hereby covenants and agrees:
. not to fence said easement area;
. to promptly backfill any excavations made by it on said easement area and repair
any damage it shall do to ISTR.ICT's lands-,
. CCWD shall, p rior to any construction, reconstruction, remodeling, excavation,
installation orplantings within the easement area, submit specific plans ars
specifications s to the DISTRICT T for review and approval. Such approval together
with any additional requirements to be in the formof a written permit issued by
DISTRICT to C C WD.
Normal maintenance by CCWDof its facilities within the easement area,
including inspection and cleaning of existing pipelines, shall not require prier
notice to the DISTRICT.T. CC W shall perform maintenance of its facilities so as
to prevent damage to the site and
4. to indemnify DISTRICT C T against any loss and damage which shall be caused by
exercise of the rights herein granted, or by any wrongful or negligent act or
omission of CCWD or of its agents or employees in the course of their
employment, provided, however, that this indemnity shall not extend to that
portion of such loss or damage that shall have been caused by DISTRICT'
comparative negligence or willful r i co duct
The primary use of the Property subject to this easement is for rood control and drainage
purposes, including, but not limited to,, the right to install, construct,, reconstruct, remove
replace, repair, upgrade, landscape, maintain, and operate facilities, which convey water
for such purposes.ses. C✓C W acknowledges and agrees that the use just described
constitutes the primary use of the Property and that any and all rights granted or implied
by this Grant of Easement are secondary and subordinate only to the primary use of the
Property by the DISTRICT its successors and assigns. CC`WD shall not, at any time, use
or permit the public to use the easement area nn any manner that will interfere with or
impair the DI TRIC T's primary use of the Property. DISTRICT reserves the right to use
said easement area for purposes that will not interfere with CCWD's full enjoyment of
the'rights hereby granted. DISTRICT may plant small shrubs (with no more than a two
foot root structure), lawn, flowers and the like ,and put in ars irrigation system in the
easement area. DISTRICT may modify the property for parking lots, streets and utilities
as long as the modifications do not unreasonably interfere with CSC WD's use for water
pipeline purposes.
Grading will be permitted for such purposes so long as the placement of fill or grading
