HomeMy WebLinkAboutMINUTES - 10142003 - C83 CONTRA COSTA COUNTY RESOLUTION NO2003f631 RESOLUTION OF TIME BOARD OF SUPERVISORS OF CONTRA COSTA COUNTY MAILING THE PROVISIONS OF THE EDUCATION CODE RELATING TO SCHOOL FACILITIES IMPROVEMENT DISTRICTS APPLICABLE TO CONTRA COSTA COUNTY RESOLVED by the Board of Supervisors (the"Board") of Contra Costa County,State of California (the"County"); WHEREAS, Chapter 2(commencing with section 15300) of Part 10 of Division 1 of Title 1 of the California Education Code (the "Law") authorizes school districts and community college districts to form school facilities improvement districts consisting of a portion of the territory within the school district or community college district and permits the issuance of general obligation bonds by a school facilities improvement district with the approving vote of at least two-thirds (or alternatively, fifty-five percent, in the case of bonds issued under Section 15264 of the Education Code) of the votes cast in the improvement district, WHEREAS, the Law only permits a school district or community college district to create a school facilities improvement district if such school district or community college district has already created within such district a Mello-Roos Community Facilities District (a "CFD"); WHEREAS, Antioch Unified School District (the "District") has previously created two CFDs (CFD 1989-1 and CFD 1994-1), and proposes to create a third CFD (Seeno CFD) and fourth CFD (Future Urbanization Area No. 1), which are collectively referred to herein as the "Antioch USD CFDs"; and WHEREAS, the District is a school district located entirely within. the County, and intends to establish a school facilities improvement district (the "SFID") within the boundaries of the District,but exclusive of the area contained within the boundaries of the Antioch CFDs; WHEREAS, the District wishes to finance various school improvements (the "Improvements") located within. the SFID or of benefit to property within the SFID, as more particularly described in the "Resolution of Intention. to Form a School Facilities Improvement District", a copy of which is attached hereto, which Resolution of Intention will be considered by the Board of Trustees of the District after this Board has adopted this resolution; WHEREAS, the District intends to create the SFID so as to enable the SFID to issue general obligation bonds (the "Bonds") payable from taxes levied solely on property located within the SFID; WHEREAS, the Bonds will be issued under Section 15264 et seq. and Section 15100 et. seq. of the Education Code,by the Board of Supervisors of the County,under the oversight and with the guidance of the County Treasurer-Talc Collector;and WHEREAS, the proceeds of the Bonds will be used to acquire and construct the Improvements; WHEREAS, the Law does not allow a school district or community college district to proceed with formation of a school facilities improvement district until the board of supervisors for the county in which the proposed school facilities improvement district lies,by resolution adopted by a majority vote of such board of supervisors, makes the Law applicable in their county,and NOW, THEREFORE, BE IT RESOLVED by the Board of Supervisors of the County, as follows: Section 1. The above recitals are true and correct. Section 2. For the purpose of facilitating the formation of school facilities improvement districts by school districts and community college districts located in the County, and the issuance of general obligation bonds by such school facilities improvement districts to finance school facilities, the Board of Supervisors of the County hereby adopts this resolution to cause the provisions of the Law to be applicable in the County, all as provided in Section 15303 of the Law. Section 3. The Clerk of the Board is hereby directed to provide a certified copy of this resolution to the Superintendent of the District immediately following its adoption. Section 4. This resolution shall take effect immediately upon its passage. RESOLUTION OF INTENTION TO FORM A SCHOOL FACILITIES IMPROVEMENT DISTRICT WHEREAS, it appears in the best interest of the Antioch Unified School District ("'District") to form a school facilities improvement district to: renovate and modernize its older schools, including upgrading electrical, heating and plumbing; systems; replacing fire alarms and other safety systems; modernizing classrooms; fining leaky roofs, and to qualify for state matching funds,at the schools listed.on Attachment A(together,the"Improvements"); WHEREAS, the Education Code permits the governing board of a school district to begin proceedings to form a school facilities improvement district upon adoption of a Resolution of Intention and scheduling a public hearing thereon; WHEREAS, the District desires to hold a hearing on the formation of a facilities improvement district pursuant to the purposes and provisions of this Resolution of Intention and the California Education Code; WHEREAS,if formed, and bonds thereafter are approved by the voters in the proposed school facilities improvement district, the school facilities improvement district shall be devoted exclusively to funding, from the proceeds of such bonds, the acquisition and construction of the Improvements within the school facilities improvement district boundaries and other school facilities located outside the school facilities improvement district boundaries which benefit the land located within the school facilities improvement district boundaries; NOW THEREFORE, the Governing Board of the Antioch Unified School District resolves, determines and declares its intention as follows: 1. It is the intention of the Governing Board of the Antioch Unified School District to farm a proposed school facilities improvement district to be known as "School Facilities Improvement District No. 1 of the Antioch Unified School District" (also known as "'Improvement District No. I"). 2. The purpose for which Improvement District No. 1 is to be formed is to finance the acquisition and construction of the Improvements. 3. The estimated cast of the Improvements, as described in Attachment A, is $62,000,000. 4. It is necessary and in the best interest of the District to form Impt District No. 1 to defray the financial costs of the Improvements. 5. Any taxes levied for the purpose of paying debt service on general oblai bonds issued to finance the Improvements through Improvement District No. 1 shall be levied exclusively upon the lands in Improvement District No. 1. 6. A neap showing the exterior boundaries of Improvement District No. 1 is attached as Attachment B and on file at the administrative offices of the Antioch Unified School District,510"G" Street,Antioch,CA 94509,and is available for inspection by the public. 7. The Board hereby appoints the time and place for a public hearing before the Board of Trustees on the formation of the proposed Improvement District No. 1 to be held on November 19,2003 at the Antioch Unified School District Board Room,510"G" Street,Antioch, CA 94509, beginning at 7 p.m. Any interested persons, including all persons owning lands in the District or in the proposed school facilities improvement district,may appear and be heard at such time. 8. The Board hereby directs the Superintendent, or the Deputy Superintendent, to publish a copy of this Resolution of Intention, with the recorded vote herein, once a week, beginning no later than October 29, 2003, for two successive weeks, with at least five (5) days intervening between publication dates,at the time and place for hearing as set forth in Section 7 herein. Further, the Superintendent or Deputy Superintendent, shall post a copy of this Resolution in three public places located within the boundaries of the proposed school facilities improvement district at least 14 days prior to the time fixed for the hearing as provided in Section 7. A-4 Attachment B $-1 to all interest due on the Notes at maturity to be received by the County on behalf of the District in (such pledged amounts being hereinafter called the "Pledged Revenues"). The principal of the Notes and the interest thereon shall constitute a first lien and charge thereon and shall be paid from the Pledged Revenues. To the extent not so paid from the Pledged Revenues, the Notes shall be paid from any other moneys of the District lawfully available therefor. The term "unrestricted moneys" shall mean taxes, income, revenue and other moneys intended as receipts for the general fund of the District and which are generally available for the payment of current expenses and other obligations of the District. The Notes are issuable as fully registered notes, without coupons, in denominations of $1,000 each or any integral multiple thereof. Subject to the limitations and conditions as provided in the Resolution, Notes may be exchanged for a like aggregate principal amount of Notes of other authorized denominations and of the same maturity. The Notes are not subject to redemption prior to maturity. This Note is transferable by the Owner hereof, but only under the circumstances, in the manner and subject to the limitations provided in the Resolution. Upon registration of such transfer a new Note or Notes, of authorized denomination or denominations, for the same aggregate principal amount and of the same maturity will be issued to the transferee in exchange for this Note. The Board may treat the Owner hereof as the absolute owner hereof for all purposes and the Board shall not be affected by any notice to the contrary. Unless this certificate is presented by an authorized representative of The Depository Trust Company to the issuer or its agent for registration of transfer, exchange or payment, and any certificate issued is registered in the name of Cede & Co. or such other name as requested by an authorized representative of The Depository Trust Company and any payment is made to Cede & Co., ANY TRANSFER, PLEDGE OR OTHER USE HEREOF FOR VALUE OR OTHERWISE BY OR TO ANY PERSON IS WRONGFUL since the registered owner hereof, Cede&Co.,has an interest herein.
